PERFORMANCE WORK STATEMENT

Contract Religious Ministry Professional, Roman Catholic Priest School of Infantry, Marine Corps Base (MCB) Camp Pendleton CA

1. Scope of Responsibilities. The contractor shall provide the Roman Catholic Priest services for Training and Education Command, School of Infantry –West (TECOM-SOI-WEST) Camp Pendleton, Roman Catholic program and support the individual rights under the First Amendment to the US Constitution by promoting an environment for all to freely exercise their religious beliefs. The contractor shall provide Roman Catholic Priest services for the Roman Catholic Community at TECOM-SOI-WEST Camp Pendleton 52 Area Caruso Memorial Chapel, the School of Infantry Range, and Infantry Training Battalion (ITB) Training Class Room. The Roman Catholic programs include:

weekly Saturday Mass (1), weekly Sunday Masses (2), special Roman Catholic events such as Holy Days of Obligation, and office hours to meet the Roman Catholic community’s spiritual and sacramental requirements.

2. Education, Experience and Personal Requirement.

2.1 At the time of contract award the contractor shall be a validly ordained Roman Catholic priest(s) in good standing with the bishop of his diocese or the superior of his religious order in the Roman Catholic Church. The good standing of the priest will be verified with an appropriate letter of good standing from his bishop or religious superior.

2.2 At the time of contract award the contractor shall provide written documentation of Ecclesiastical Endorsement from the Archdiocese for the Military Services (AMS), USA (http://www.milarch.org/). The document used for endorsement will be the Department of Defense (DD) Form 2088. While the form does not need to be approved prior to making a quote on this contract, it must be approved by the AMS in Washington D.C. prior to actual contract award.

2.3 The contractor shall adhere to the policies defined in the “Archdiocese for the Military Services (AMS), USA, Priests' Manual” as published by AMS. http://www.milarch.org/

2.4 The contractor shall be able to oversee a comprehensive Roman Catholic religious education program with the Coordinator of Religious Education (CRE) and the volunteers by offering guidance, planning and pastoral advice in order to achieve a high quality program as outlined by the

AMS.

2.5 The contractor shall collaborate with Chaplains and the Staff in an ecumenical/interfaith setting.

2.6 The contractor shall possess strong people skills and the ability to work with the military personnel, the Command Chaplain, the Chaplains and the Enlisted Staff at the chapels, Caruso Memorial Chapel, the School of Infantry Range, and ITB Training Class Room.

2.7 The contractor shall have knowledge of military protocol, customs, and courtesies or a willingness to learn through a combination of oral and written instructions given within the first 90 days, per SECNAVINST 1730.7D, OPNAVINST 1730.1E and Marine Corps Order 1730.6E.

2.8 The contractor should possess working knowledge of computer skills in: Microsoft Word, Outlook and Desktop Publishing. The Department Staff is available for assistance.

2.9 The contractor shall provide proof of a successful background criminal history check at local or state or national level: [Public Law Number 101-647, Section 231; Department of Defense

Instruction Number 1402.5 http://www.dtic.mil/whs/directives/corres/pdf/140205p.pdf require personnel contracted for child care services in every facility operated by the Federal Government to undergo successful background criminal history check at local, state and national levels. “Child care services” includes personnel contracted for such services in base chapel programs whose work brings them into contact with children less than 18 years of age.]. 3. Specific Responsibilities.

3.1 Plan and provide opportunities for the Catholic community to attend/participate in Sacramental Rites as scheduled/required by Catholic Pastoral Advisory Council and Command Chaplain (Funerals, Marriages, Baptisms, etc The contractor shall provide administrative support, religious services, and pastoral care in support of: Saturday Mass, Sunday Masses with an opportunity for the Sacrament of Reconciliation, Baptisms, Weddings, Annulments, Anointing of the Sick, Funerals, Fellowship/Hospitality, Lent/Advent Penance Services, Holy Day Of Obligation Masses (see 4.3) and Religious Education.

3.2 The contractor shall; plan, organize, and direct the activities of the Caruso Chapel Catholic Community, ensuring that the Roman Catholic program complies with the Roman Catholic Code of Canon Laws Reference: http://www.vatican.va/archive/ENG1104/_INDEX.HTM Provide leadership to Catholic Community through annual Comprehensive Ministry Plan only if required by the Command Chaplain.

3.3 The contractor shall prepare and deliver homilies/sermons and prepare and submit worship bulletin. In the event the contractor needs support for bulletin production, the Caruso Chapel staff shall be advised no later than 3 business days prior. (Deliverable 10.4)

3.4 The contractor shall provide sacramental ministry to all Roman Catholic military personnel, eligible family members and DOD card holders. Plan and provide one Saturday mass and two Sunday Masses with an opportunity for the Sacrament of Reconciliation for Roman Catholic military personnel, eligible family members, and other authorized users as determined by worship schedule.

3.5 The contractor shall provide pastoral counseling to Roman Catholic personnel concerns (ex:

personnel, professional, spiritual, marital, etc.) to maintain Catholic community quality of life.

3.6 The contractor is encouraged to attend the Roman Catholic Pastoral Advisory Council monthly meetings (especially meetings regarding seasonal liturgical events, i.e. Advent, Christmas, Lent, Easter, etc.). Attendance at Regimental Commanders meetings shall only be required at the request of the Command Chaplain and/or Commander of the School of Infantry.

3.7 The contractor shall be involved in all Roman Catholic programs; oversee meaning offer guidance, planning and pastoral advise to the activities of Rite of Christian Initiation for Children (RCIC), Rite of Christian Initiation for Adults (RICA), Roman Catholic Lay Organizations such as Roman Catholic Youth, Roman Catholic Women and Roman Catholic Men if necessity of duty compels.

3.8 The contractor shall be directly responsible for locking up the chapel facilities when used after normal duty hours and will ensure that the chapel is in general good order ready for worship for the next scheduled service. This shall include trash removal after every Mass.

4. Working Hours, Location, Holidays, Holy Days of Obligation.

Based on the requirements, the Government estimates the contractor would need to maintain an average 7.5 hour work week. Within 10 business days after contract award, the contractor shall provide the Contracting Officer Representative (COR) a standard schedule. The standard schedule is not inclusive of irregular hours that might be needed due to night/weekend emergency ministrations.

The Government shall provide the contractor a three calendar days’ notice if irregular hours are required to fulfill the requirements. The Government shall inform the contractor of the duration of the irregular schedule. This requirement occurs because of such activities as (but not limited to) funeral preparations, crises services etc. (Deliverable 10.5)

4.1 In the past 24 months (February 2015 – February 2017), the services were provided on the following standard schedule: Other types of services include, but are not limited by administrative work, special events, services, sacraments, counseling, and parish coordination. The contractor will perform office hours and tasks of the contract at or other designated base facility as approved by the Command Chaplain. This is also part of the estimated 7.5 hours per week. The Government considers this requirement to be a part-time position and is funding the requirement accordingly.

This schedule is to be worked out and approved by the Command Chaplain ahead of time. Mass Schedule as followed:

Saturday Evening 2 Hours: 1630-1830 (PST) Saturday Evening Mass scheduled at 1700 (PST) Sunday Afternoon/ Evening .5 hours: 1500-2030 (PST) Mass at SOI Range, 1530-1630 (PST) Religious Education/Confession/etc. at Caruso Chapel, 1700-1830 (PST) Mass at ITB Training Class Room, 1900-2000 (PST)

4.2 Recognized Federal Holidays, Office is closed.

4.3 Special Service Masses (Holy Days of Obligations).Plan and provide opportunities for military personnel, eligible family members, and other authorized users to participate in Holy Day/Special Programs as scheduled/required (Lenten, Advent, Thanksgiving, Christmas, Easter, etc.).

Contractor shall offer services for the following Holy Days of Obligations:

New Year’s Day Mass Ash Wednesday Mass Holy Week (Holy Thursday, Good Friday, Easter Vigil) All Saints Day Mass Thanksgiving Day Mass Immaculate Conception Mass Christmas Eve Mass Christmas Day Mass

5. Absences

As the Chaplain position can be of any faith, the religious needs of the Roman Catholic community shall be completely covered by this contract; hence the contractor shall be responsible to provide substitute personnel to conduct Roman Catholic Priest duties.

The substitute personnel are required to seek endorsement if scheduled to perform more than 14 calendar days.

If the contractor cannot provide services for one week of services or more the invoice submitted shall be reflective of the reduction in service.

Within 30 days of contract award, the vendor shall provide the contact information for substitute personnel. (Deliverable 10.6)

The contractor shall give the COR 30 calendar day written notice of any scheduled period of absence, to accommodate the changes in the chapel worship schedules.

For emergency absences, the vendor shall give the COR the earliest possible notice.

6. Furnished Equipment and Supplies. All equipment needed to fulfill this Department shall be provided by TECOM-SOI-WEST Camp Pendleton Chaplain office if available through the DLA Ecclesiastical supply chain (such as vestments, ciboria, communion supplies, and all required items needed to execute para 3.1). The contractor not be allowed to take any of the Caruso Chapel equipment offsite.

For the actual performance of contracted duties, the Government shall furnish adequate office space at the assigned chapel with appropriate office furnishing and office supplies for the support of Contractor only in the actual performance of contracted duties. The Government will provide utilities and custodial services.

6.1. The Government will not furnish Contractor with government living quarters.

6.2. The Government will not be liable for loss, damage, theft, or maintenance of personal equipment.

6.3. The Contractor shall ensure that personal property is clearly marked and identified to preclude misidentification as government property.

6.4. The Contractor shall be liable for loss, damage, or theft of government property due to Contractor’s carelessness and/or negligence. Negligence will be determined by Report of Survey findings.

7. Facilities: The contractor is accountable for keys to secure the chapel spaces utilized in conjunction with the programs.

8. Mission Essential Service: In accordance with DoDI 3020.37, Continuation of Essential DOD Contractor Services during Crises, http://www.aschq.army.mil/supportingdocs/i302037.pdf TECOM-SOI-WEST Camp Pendleton Command Chaplain determined that Roman Catholic Priest’s regular services performed during the period of each year under this contract are mission essential, and as such, shall continue during periods of increased force protection (FPCON) up to Level:

Charlie/Delta. To ensure contractor employees who perform the above-mentioned services have clearance for continued access to TECOM-SOI-WEST Camp Pendleton during periods of increased force protection, the contractor’s work place point of contact will identify, in writing to the Command Chaplain within 10 days after contract award to the those employees who perform these services. Days and hours of operation for these services will remain as specified in the Performance Work Statement unless the Contracting Officer notifies the contractor of upcoming changes in agreed upon notification period.

9. Travel. Travel to fulfill this requirement shall be the responsibility of the contractor. The Government shall not pay for travel. The travel required for these services is travel to and from TECOM-SOI-WEST Camp Pendleton and travel onboard the installation.

10. Deliverables: The following deliverables shall be submitted to the COR (or other specified Government recipients) as identified in the table below. Deliverables shall be provided in Contractor-preferred format (unless otherwise specified below). In most cases, electronic submission via email is the preferred method of transmission.

INSTRUCTION TO OFFERORS

1. SUMMARY: This is a request for quotation utilizing the procedures of FAR 12 and 13. Responses to this solicitation are considered quotations and not offers. In this instances where the words offer, offeror, and proposal are used, the reader should understand that the use of such words does not change the nature of this request for quotation. The resulting award will be a Firm-Fixed Price purchase order. This requirement shall provide the USMC with Roman Catholic Priest Services. The periods of performance shall be a one year base period with five one-year option periods.

2. SUBMISSION OF QUOTATIONS: Quotations must be received no later than the date and time specified in block #8, page #1 – Pacific Standard Time (PST). Quotation shall be submitted via email. If multiple emails are submitted please number the email. For example, “email 1 of 3”, “2 of 3”, and “3 of 3”. Electronic submission of quotes is encouraged. In accordance with FAR 4.302(b), if electronic submission is not used, Offerors shall use at least 30 percent postconsumer fiber paper and print or copy double-sided (or include an explanation concerning why it is not possible to print or copy double-sided). Do not attempt to send the quote via the US Postal Service (USPS) since the US Postal Service does not deliver to the building.

For quotes delivered by hand, Offerors are advised that entry to the installation is restricted, and Offerors are directed to familiarize themselves with the entry control location and process. Entry processing time is unpredictable and can be lengthy. The addressee indicated above may be able to facilitate entry processing, but is not required to do so, and inability to gain access shall not excuse late delivery.

Quotes shall be submitted using a page size of 8.5 x 11 inches. Pages may be single-spaced but shall have at least double spacing between paragraphs. Times New Roman, 12-point font shall be used except for figures, tables, and diagrams where smaller is acceptable as long as it is readable.

If quotes are submitted in different formats requiring different delivery methods, the quote of record shall be the last complete version received prior to the deadline.

For email quotes, the Government office designated for receipt of the quote is the email inbox of the addressee indicated above. Notwithstanding the provisions at FAR 52.212-1(f) or FAR 52.215-1(c)(3), delivery is not accomplished until the addressee can open the email; delivery to a server or an email inbox on a server is not considered delivery to the designated Government office and the quotation is not under the Government’s control until the addressee can open the email. The email shall not be considered to be delivered unless the entire content of the email and all attachments can be read by the addressee indicated above. Receipt of an electronic acknowledgment from the addressee establishes that a record was received but does not establish that the content sent corresponds to the content received. Email attachments are limited to no more than 2MB. Offerors are specifically warned that email may be subjected to spam filters or attachment stripping.

All transmissions must clearly state the solicitation number and the name of the contract specialist on the first page to ensure proper receipt.

Attention is directed to FAR 52.212-1(f), concerning late submissions. Offerors are responsible for allowing adequate time for transmission to be completed. The Offeror bears the risk of non-receipt of transmissions, and should ensure that all pages of the quote (and any authorized modifications) have been received by the designated office before the deadline indicated. Pages of a transmission that arrive after the deadline will not be considered.

The Government may make award based solely on the quotes received.

3. PERIOD OF ACCEPTANCE OF OFFERORS: The pricing terms and condition of the quotation shall be valid for at least 90 days unless a longer time is stated otherwise in the quote.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Factor 1: Technical Acceptability

Technical capability will be evaluated based on how effectively and efficiently the offeror is able to meet the requirements of the PWS and qualification of their personnel. At a minimum, submitted quotes must demonstrate technical acceptably that includes:

• Validly ordained Roman Catholic priest in good standing with the bishop of his diocese. The applicant must have an ecclesiastical endorsement, DD form 2088 in order to perform this contract. The signed document ensures the contractor is in good standing with the AMS or Roman Catholic ecclesiastical body.

• Upon submittal of quote, offeror must have an AMS endorsement and include the approved DD Form 2088 with the quote; or

• If the offeror does not already have ecclesiastical endorsement, the offeror must demonstrate that they have applied for ecclesiastical endorsement at time of quote submittal. The offeror shall include proof of the application submission with their quote.

Note: This is the most important part of the selection criteria. If the offeror does not obtain AMS endorsement by the time the solicitation period closes, the offeror will not be considered technically acceptable.

Factor 2: Price: The offeror’s quote will be evaluated to determine price reasonableness.

i. Options. The Government will evaluate quotes for award purposes by adding the total price for all options to the total price for the base year. Evaluation of options shall not obligate the Government to exercise the option(s).

ii. The Option to Extend Services at FAR 52.217-8 will be included in the awarded contract. The Government will evaluate the Option to extend services as part of the initial competition by adding half of the final year option price to the overall quoted price.

Failure to submit a quote in the format described in the solicitation could result in a quote being deemed nonresponsive and therefore not subject to evaluation and/or award.

Technical is Significantly more important than cost or price. The government must have this required fulfilled by September 30, 2017. The government is willing to trade-off price to have services commence earlier.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

Note: The method utilized to calculate the price of the 6-month Option to Extend Services is for the purpose of price evaluation only. If the Option to Extend Services is exercised, it will be exercised at the terms and price of the current period being extended.

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (JAN 2017)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.

(a) Definitions. As used in this provision --

“Administrative merits determination” means certain notices or findings of labor law violations issued by an enforcement agency following an investigation. An administrative merits determination may be final or be subject to appeal or further review. To determine whether a particular notice or finding is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.

“Arbitral award or decision” means an arbitrator or arbitral panel determination that a labor law violation occurred, or that enjoined or restrained a violation of labor law. It includes an award or decision that is not final or is subject to being confirmed, modified, or vacated by a court, and includes an award or decision resulting from private or confidential proceedings. To determine whether a particular award or decision is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.

“Civil judgment” means—

(1) In paragraph (h) of this provision: A judgment or finding of a civil offense by any court of competent jurisdiction.

(2) In paragraph (s) of this provision: Any judgment or order entered by any Federal or State court in which the court determined that a labor law violation occurred, or enjoined or restrained a violation of labor law. It includes a judgment or order that is not final or is subject to appeal. To determine whether a particular judgment or order is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.

“DOL Guidance” means the Department of Labor (DOL) Guidance entitled: ``Guidance for Executive Order 13673, `Fair Pay and Safe Workplaces' ''. The DOL Guidance, dated August 25, 2016, can be obtained from www.dol.gov/fairpayandsafeworkplaces.

“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily https://www.sam.gov/portal http://www.dol.gov/fairpayandsafeworkplaces business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Enforcement agency” means any agency granted authority to enforce the Federal labor laws. It includes the enforcement components of DOL (Wage and Hour Division, Office of Federal Contract Compliance Programs, and Occupational Safety and Health Administration), the Equal Employment Opportunity Commission, the Occupational Safety and Health Review Commission, and the National Labor Relations Board. It also means a State agency designated to administer an OSHA-approved State Plan, but only to the extent that the State agency is acting in its capacity as administrator of such plan. It does not include other Federal agencies which, in their capacity as contracting agencies, conduct investigations of potential labor law violations. The enforcement agencies associated with each labor law under E.O. 13673 are--

(i) The Fair Labor Standards Act;

(ii) The Migrant and Seasonal Agricultural Worker Protection Act;

(v) The Family and Medical Leave Act; and

(vi) E.O. 13658 of February 12, 2014 (Establishing a Minimum Wage for Contractors);

(2) Department of Labor Occupational Safety and Health Administration (OSHA) for--

(i) The Occupational Safety and Health Act of 1970; and

(ii) OSHA-approved State Plans;

(3) Department of Labor Office of Federal Contract Compliance Programs (OFCCP) for--

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Labor compliance agreement” means an agreement entered into between a contractor or subcontractor and an enforcement agency to address appropriate remedial measures, compliance assistance, steps to resolve issues to increase compliance with the labor laws, or other related matters.

“Labor laws” means the following labor laws and E.O.s:

(1) The Fair Labor Standards Act.

(2) The Occupational Safety and Health Act (OSHA) of 1970.

(3) The Migrant and Seasonal Agricultural Worker Protection Act.

(4) The National Labor Relations Act.

(5) 40 U.S.C. chapter 31, subchapter IV, formerly known as the Davis-Bacon Act.

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

Service-disabled veteran-owned small business concern--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern" means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term

“successor” does not include new offices/divisions of the same company or a company that only changes its name.

The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

“Veteran-owned small business concern” means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

"Women-owned small business concern" means a small business concern--

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; or

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127)”, means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

Note to paragraph (a): By a court order issued on October 24, 2016, the following definitions in this paragraph (a) are enjoined indefinitely as of the date of the order: ``Administrative merits determination'', ``Arbitral award or decision'', paragraph (2) of ``Civil judgment'', ``DOL Guidance'', ``Enforcement agency'', ``Labor compliance agreement'', ``Labor laws'', and ``Labor law decision''. The enjoined definitions will become effective immediately if the court terminates the injunction.
