PERFORMANCE WORK STATEMENT
Performance Work Statement
1st Reconnaissance Battalion, 1st Marine Division Advanced Parachuting Instruction Training Request
1. BACKGROUND. Advanced High-Altitude High-Opening (HAHO) parachute insertion capability has been a requirement for all departing west coast Marine Expeditionary Units (MEUs) to include the 31st MEU for the past five years. This course is a United States Special Operations Command (USSOCOM) equivalent; increasing the ability of the MAGTF to conduct interoperability with joint/SOCOM units. Due to the inability to attain seats to the SOCOM-run Advanced Tactical Infiltration Course (ATIC), USMC Reconnaissance units are required to outsource to ATIC-equivalent contractor companies. USMC Reconnaissance units do not have the qualified instructors organic to their units or the ability to create them. In both cases, units’ only recourse is to contract private companies in order to develop this high demand capability. HAHO capabilities have become more relevant in the past ten years with the proliferation of advanced anti-access technologies, the increase of near-peer adversaries, and the development of terrorist and hybrid networks operating in a wide range of tactical environments and geographical locations. Additionally, the requirement to conduct ground reconnaissance during Phase-0 to Phase-4 of Joint Operations presents a force protection issue that can be mitigated by offset HAHO/ Special Insertion/Extraction (SPIE) methods. The ability to insert teams without detection reduces risk to mission and risk to the force. This training will enhance survivability, lethality, and increase value in missions for MEUs. By building on the foundations of basic Military Freefall (MFF) skills through the conduct of an advanced HAHO training package, risk of jumper injury will be reduced through detailed class instruction, ground practical application, and execution in a realistic training environment.
1. SCOPE. Company B (Co B), 1st Reconnaissance Battalion and Force Reconnaissance Company, I Marine Expeditionary Force (I MEF) is in need of advanced insert training in support of training directives MCO 3502.3B and AMHS DTG 1141309ZJUL15. The period of instruction shall build upon current resident MMF capabilities in advanced Category 3 HAHO insert capability to support the 15th MEU Marine Expeditionary Unit (MEU) and I MEF contingency-response operations.

1. ADVANCED HAHO TRAINING (24 Marines). The contractor shall provide training for up to 24 Marines as follows:
3. ATIC course shall conduct jumps according to the requirements of NAVMC 3500.55B: Reconnaissance T&R Manual, Attachment 1, and MCWP 2-25 Category 3 parachutist, Attachment 2.
3. Training shall be conducted IAW ATIC certification requirements listed in Attachment 3. (ATTP 3-18.11)
3. Contract shall incorporate Night Vision Goggles (NVG) emergency procedures and terrain considerations.
3. Instructors shall assist in planning the insert, insert with the team while filming the team’s exit and flight pattern, and land safely with the team. The instructor must then conduct a video-based debrief.
3. Contractor shall provide Facilities and Blade Hour Support (12 hours) (IAW Attachment 2).
1. ATIC Instructor Requirements. Two (2) U.S. Department of Defense (DoD)-certified ATIC-level instructors. Instructors shall:
0. Be a United States Parachute Association (USPA) Accelerated Free Fall (AFF) Instructor, or a former Military Free Fall Instructor, or a former Airborne Mobile Training Team Instructor (AMTT).
0. Be a graduate of the Multi-Mission Parachutist Course (MMPC) or qualified on the Multi-Mission Parachute System (MMPS) by the manufacturer in all configurations.
0. Be a graduate or instructor of the US Army’s ATIC.
0. Possess current High Altitude Parachutist (HAP) initial qualification for operations requiring the use of supplemental oxygen.
0. Possess a current Federal Aviation Administration (FAA) Medical Certificate Third Class or be medically qualified to participate in MFF operations.
0. Have completed one jump in the last six months using the MMPS.
0. Alternatively, verification may be obtained by the USMC unit if an individual is not current and intends to use government owned parachute equipment or aircraft, they must conduct documented refresher training, to including packing of the main parachute, with a current MFF Jumpmaster (JM) and parachute rigger prior to executing any airborne operations.
0.7. Be "Authorized Train-The-Trainers" (as defined by ATTP 3-18.11/AFMAN 11-411(I)/NTTP 3-05.26M 14 October 2011, Appendix C) or graduates of the formal SOCOM ATIC training program that was establish in January 2010.
1. AIRCRAFT SUPPORT SERVICES.
0. AIRCRAFT. In the event a contractor provide aircraft is required, the Contractor shall provide (1) CASA C212 aircraft, capable of conducting MFF parachute operations at an altitude of at least 18,000ft mean sea-level (MSL) and not to exceed 25,000ft MSL utilizing a rear ramp exit. This aircraft must be an approved Air Mobility Command aircraft (DOD approved Intrastate Commercial Carriers per DoDI 4500.53), which is authorized to conduct parachute operations with DoD personnel. The aircraft must be capable of supporting 10 combat loaded Marines and two MFF Jumpmaster’s simultaneously.
0. The contractor is responsible for all aircraft maintenance, mechanical support, and airfield storage.
0. Contractor shall provide commercial grade aviation fuel onsite via pressurized fuel truck.
0. BLADE HOURS. The Contractor shall provide, during the training period of performance, 12 operational blade hours of aircraft plus relocation fees, utilization for the performance of this requirement.
1. Over and Above Blade Hours - Up to 33 additional blade hours shall be available in the event a Government Aircraft is unable to provide support. Government aircraft availability will not be determined until contract award. At time of award, the Technical Representative shall provide the contractor the dates that contractor provided blade hours will be needed.
0. Repositioning fees of over and above blade hours shall be applied for any Contractor provided blade hours that have a gap of more than 48 hours of support.
6.2.2 Option. Up to 6 additional contingency blade hours in the event of unforeseen circumstance (i.e. weather issues) that if necessary to complete the training. These blade hours shall not exceed the 6 hours and shall be requested, as authorized by the Technical Representative, at least 5 days prior to the required usage date. The Government is not required to exercise this option.
0. TRAINING AREA. The Contractor shall provide a training area with direct access to aircraft and loading areas at a minimum of 15,000 square feet in size.
2. Airfield must be capable of supporting up to and include KC-130 for landing, taking-off and maneuvering on the ground.
2. The Contractor shall provide parachute packing space.
0. EMERGENCY SERVICES: Contractor shall, for the period of performance of this requirement, coordinate municipal or county Crash Crew and Paramedics onsite 24/7 required for military aircraft (MILAIR) operations.
3. The Contractor shall provide and coordinate medical support in the form of air medevac capabilities.
3. The Contractor shall provide liaison to medical facilities in the area.
3. The Contractor shall provide initial coordination of air evacuation of casualty.
0. AIRFIELD/DROP ZONES.
4. The Contractor shall provide DZ landing jumper and parachute recovery capability.
4. The Contractor shall provide at least five Zone Availability Report (ZAR) listed drop zones.
1. FACILITIES. The Contractor shall provide facilities for the performance of this requirement.
1. CLASSROOM. The Contractor shall provide climate controlled classroom spaces available for formal and informal instruction.
1. SECURED FACILITY
1. Due to the high-risk nature of parachute operations, a secured climate controlled area with double lock capability shall be provided.
1. Authorized access shall be only given to 1st Reconnaissance Paraloft personnel as required per Marine Corps Parachuting Policy and Program Administration MCO 3120.11A, for storage of all equipment identified in section 8.0. MCO 3120.11A can be accessed via the following link: http://www.marines.mil/Portals/59/Publications/MCO%203120.11A.pdf.
1. BILLETING. The Contractor shall provide billeting space for 36 Marines utilizing cots during the period of performance.
2. This location shall include full bathrooms so that Marines can shower and use the toilet during entire period.
2. Adequate space must be provided per man to accommodate sleeping, the storage of extra uniforms, gear, and civilian attire (1xCot & 1xSeabag & 1xKitbag).
1. MEALS: The Contractor shall provide catering for up to 36 Marines as follows:
3. Space shall be available in the classroom for catering to be set up and serve a breakfast and dinner meals to 36 Marines.
3. The two meals shall be provided daily; breakfast at 0730 and dinner at 1700, for the full duration of the training, one meal prior to the conduct of training and one meal at the conclusion of training daily. On the last day only breakfast shall be required.
3. The Contractor shall provide all materials, equipment, and labor required to cook, prepare, setup, serve, and clean up the meals.
3. The Contractor shall setup and serve each meal “buffet style.”
3. The Contractor shall ensure meals are ready to be served by the times outlined section 7.4.2 of this PWS, and that all foods are served hot or cold, in accordance with standard commercial practices.
3. The Contractor shall provide all plastic utensils, napkins, plates, and cups for each meal.
3. The Contractor shall dispose of and remove all trash from the site.
3. The Government shall provide a primary point of contact for the purposes of advising the contractor of the number of patrons expected for each meal on the following days. Menus shall not deviate from the contract unless advance approval is received 24 hours prior to any change. The Government point of contact is the only individual, other than the Contracting Officer, authorized to approve menu changes. Any changes that are made to the menu shall not affect the price per meal. All matters concerning changes to price shall be addressed to the Contracting Officer, and no action shall be taken until approval is provided.
3. Meal Guarantees: The Government shall guarantee the number of meals listed in the schedule. In the event that the Contractor does not serve the minimum quantity, the Contractor is entitled to invoice for the guaranteed minimum provided during that time frame.
3. The Contractor shall furnish all appropriate disposable plates, napkins, and flatware, chaffing dishes and serving utensils for each meal.
3. The Contractor shall provide preparation of meals in food holding containers that conform to industry standards, for any personnel who are not able to return to the site to subsist. The containers utilized by the Contractor must be designed for the capacity of each portion per individual per meal, and must be capable of being transported. The Government shall provide an estimated number of meals required 24 hours prior to each meal, and the exact number shall be provided at the time that meal is served.
3. All meals will comply with the following guidelines:
11. All meals shall be prepared to include, at a minimum, the U.S. Department of Agriculture recommended daily allowances of each of the four basic food groups.
11. At a minimum, the contractor shall provide 2% fat milk and coffee with each meal. The contractor shall provide at least one 100% fruit juice with each breakfast, and provide soda, tea, and bottled water for each dinner.
11. Salt and pepper shall be provided with each meal. The following condiments, as appropriate and in accordance with standard commercial practices, shall be provided with each meal: ketchup, mayonnaise, mustard, butter, jellies, hot sauce, and salad dressings.
1. PLACE OF PERFORMANCE. Contractor performance location shall meet the following criteria:
1. Located within 360 mile radius of Camp Pendleton.
1. Dry climate with fairly predictable weather.
1. No major air traffic routes through training area.
1. No major mountainous regions to traverse during training.
1. No significantly large bodies of water that would increase the risk to parachute operations.
1. UNIT TRAINING EQUIPMENT. This is government furnished information being provided for situational awareness. The government will utilize this equipment during the performance of this effort.

1. CERTIFICATION. The contactor shall provide student certificates at the end of the last class day to the USMC unit Technical POC identified in the contract. A Quality Assurance Plan will be utilize in verifying this performance requirement.
1. GOVERNMENT POINT OF CONTACT. Points of contact shall be provided at time of contract award.
1. ADDITIONAL REQUIREMENTS.
0. The Contractor shall be responsible for complying with all applicable Federal Acquisition Regulations (FAR) and the Defense Federal Acquisition Regulations (DFAR) and all other Federal, State and local regulations.

52.209-11 REPRESENTATION BY CORPORATIONS REGARDING DELINQUENT TAX LIABILITY OR A
FELONY CONVICTION UNDER ANY FEDERAL LAW (FEB 2016)
(a) As required by sections 744 and 745 of Division E of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L. 113-235), and similar provisions, if contained in subsequent appropriations acts, the Government will not enter into a contract with any corporation that--
(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or
(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.
(b) The Offeror represents that--

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for Quotes, it was the only Quote received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.

(Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database. The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror's name and address. The DUNS +4 is the DUNS number plus a 4-character suffix that may be assigned at the discretion of the offeror to establish additional SAM records for identifying alternative Electronic Funds Transfer (EFT) accounts (see FAR Subpart 32.11) for the same concern. If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one. An offeror within the United States may contact Dun and Bradstreet by calling 1-866-705-5711 or via the internet at http://fedgov.dnb.com/webform. An offeror located outside the United States must contact the local Dun and Bradstreet office for a DUNS number. (k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.
(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:
(1) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer.
(2) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.
(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.
(4) A summary of the rationale for award;
(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.
(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.

ADDENDUM TO 52.212-1
1. SUMMARY: This is a request for quotation. Responses to this solicitation are considered quotations and not offers. In this instances where the words offer, offeror, and proposal are used, the reader should understand that the use of such words does not change the nature of this request for quotation. The resulting award will be a Firm-Fixed Priced contract to provide Advanced Tactical HAHO Insertion training within a 360 radius miles of Camp Pendleton, California. The period of performance is from June 4, 2016 through June 21, 2016.
2. SUBMISSION OF QUOTATIONS: Quotations must be returned to the address listed below no later than the date and time specified in block#8, page #1 – Pacific Daylight Time (PDT). Quotations may be hand carried, emailed or submitted by way of commercial courier service (FEDEX, UPS, etc.). Faxed quotations will not be accepted. Do not attempt to send the quotation via the US Postal Service (USPS) since the US Postal Service does not deliver to this building. For email quotes, the Government office designated for receipt of the quote is the email inbox of the addressee indicated below. Notwithstanding the provisions at FAR 52.212-1(f) or FAR 52.215-1(c)(3), delivery is not accomplished until the addressee can open email; delivery to server or email inbox on server is not considered delivery to the designated Government office and the quotation is not under the Governments control until the addressee can open the email. The email shall not be considered to be delivered unless the entire content of the email and all attachments can be read by the addressee indicated above. Receipt of an electronic acknowledgement from the addressee establishes that a record was received but does not establish that the contract sent corresponds to the content received. Email attachments are limited to no more than 2MB. Quoter’s are specifically warned that email may be subject to spam filters or attachment stripping. If the offer does not receive a proof of receipt, offer should assume his/her submission did not reach the individual below. The Government reserves the right to make an award solely on initial quotes received.
In accordance with FAR 4.302(b), if the electronic submission is not used, quoter’s shall use at least 30 percent postconsumer fiber paper and print or copy double-sided ( or include an explanation concerning why it is not possible to print or copy double-sided)
For quotes delivered by hand, offers are advised that entry to the installation is restricted, and offerors are directed to familiarize themselves with the entry control location and process. Entry process time is unpredictable and can be lengthy. The addressee indicated above may be able to facilitate entry processing, but is not required to do so, and inability to gain access shall not excuse late delivery.
In accordance with FAR 52.212-1(f), quotes are due at the date and time specified in block#8, page #1 – Pacific Daylight Time (PDT). Electronic submission of quotes is encouraged. Offeror's are responsible for allowing adequate time for transmission to be completed. The offeror bears the risk of non-receipt of transmissions, and should ensure that all pages of the quote (and any authorized modifications) have been received by the designated office before the deadline indicated. Pages of a transmission that arrive after the deadline will not be considered.

3. PERIOD OF ACCEPTANCE OF OFFERORS: The pricing terms and condition of the quotation shall be valid for 90 days unless stated otherwise in the quote.
4. QUESTIONS CONCERNING THE SOLICITATION: Questions shall be submitted by email no later than April 29, 2016 at 1:00PM Pacific Daylight Time (PDT) to the email address listed above. No phone questions will be accepted. The deadline is necessary to ensure timely award and the Government may, in its sole discretion, choose not to respond to questions received after the deadline. All questions will be reviewed and responded to and by an amendment to the solicitation.
5. COMPLETE SUBMISSIONS: This section specifies the contracts, format, and limitations that the quoters, shall use when submitting quotes. Submissions shall be in the form prescribed below and shall contain a response to each of the areas identified. Each of the parts mush be separate and complete so that the evaluation may be accomplished independently for each part. A complete submission must be received for consideration. A complete submission requires the following two (2) volumes:
VOLUME I: Technical Capability: must not exceed 20 pages. The submission shall demonstrate that the offeror is fully capable of providing the Training, Facilities, and Aircraft support services in the PWS by addressing the following elements in detail:
a. Section 1 – Provides an overview of the Offeror’s technical understanding and approach in meeting the requirements as identified in the Performance Work Statement (PWS).
b. Section 2 – Propose minimum qualifications, certifications, experience, and specialized experience that the individuals will possess for each of the contractor provided support identified in the PWS. The Offeror shall certify that all the individuals to perform the services throughout the life of the contract will meet the characteristics proposed.
c. Section 3 – Offerors shall provide no more than three (3) past performance references for the prime and any subcontractor. Emphasis should be placed on the provision of Advance Tactical HAHO training and support within the last three (3) years. This information will be used to assess contractor responsibility.
VOLUME II: Price – Volume II does not have a page limitation. A completed Standard Form 1449 (SF1449), Price Quote with Breakdown including any solicitation amendments.
a. Standard Form of the contract 1449: Blocks 17a, 30b, and 30c of page 1 of the SF1449 shall be completed by quoters and Block 30a shall be signed by an authorized agent to confirm that the quoter has read and agrees to comply with all the terms, conditions and instructions provided in this solicitation document. The SF1449 and SF30 (amendments) shall be signed by an authorized agent to confirm that the quoter has read and agrees to comply with all the terms, conditions and instructions provided in the solicitation document.
b. The price quote shall be provided in the schedule of supplies/services of the solicitation SF1449 – Contract Line Item Number (CLIN) 0001, CLIN 0002, CLIN 0003, CLIN 0004 and OPTION CLIN 0005.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Factor 1: Technical Capability – The Government will evaluate the overall technical merits of the proposed technical approach.
1. Subfactor 1 – Minimum Instructor Certification in accordance with PWS section 5 and subsections
2. Subfactor 2 – Aircraft requirement IAW with section 6 of the PWS and shall have FAA or the equivalent foreign Civil Aviation Authority (CAA) air carrier or commercial operator certificates.
3. Subfactor 3 – In accordance with section 6.5 of the PWS, the contract shall provide at least (5) Zone Availability Reports (ZAR) listed drop zones.
4. Subfactor 4 – Location in accordance with PWS section 8 and subsections.
Factor 2: Price: The Offeror’s price quote will be evaluated to determine price completeness and reasonableness.
(b) Award will be made to the vendor whose proposal represents the best value to the government, based on a Lowest Price Technically Acceptable (LPTA) basis between price and non-price factors –Technical Capability.
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (FEB 2016)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site accessed through http://www.acquisition.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (q) of this provision.
(a) Definitions. As used in this provision --
“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
Inverted domestic corporation means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
Manufactured end product means any end product in product and service codes (PSCs) 1000-9999, except--
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--
