Justification and Approval for Other than Full and Open Competition Limited Source Justification for Brand Name Acquisition

Fujifilm Synapse Software and Maintenance Support Licenses J&A Tracking No.

1. Identification of the agency and contracting activity: Defense Health Agency (DHA), Enterprise Medical Support - Contracting Division (EMS-CD), Joint Base San-Antonio, TX 78234.

2. Nature and/or Description of Action being approved: The DHA EMS-CD requests approval to award a sole source contract for the purchase of FujiFilm Synapse software and maintenance support licenses.

3. Description of Supplies/Services: The PMO DHMS requires a one (1) year support and maintenance/subscription license renewal for Fuji SW. The Fuji Picture Archiving and Communication System (PACS) SW Interface system provides image quality and dose efficiency with advanced technologies in digital radiography, Fuji PACS Software Interface is utilized at multiple MTFs and the Fixed Facility Government Approved Laboratory (FF GAL) has been testing and evaluating the system since 2017. FujiFilm creates a secure ecosystem of medical images with advanced image processing and tools to facilitate collaboration, fast and simple of viewing Radiology Images, and supportability with MHS Genesis in production.

Required licenses include:

The resultant contract will have an estimated value of $44,178.40 with 12 month coverage period 1 October 2021 to 30 September 2022. The contract type is Firm Fixed price (FFP) and will be funded with O&M dollars.

4. Statutory Authority Cited permitting other than full and open competition: Acquisition of commercial item(s) conducted pursuant to FAR Subpart 13.5 in accordance with 41 U.S.C. 1901 Simplified Acquisition Procedures.

5. Rationale Justifying Use of the Statutory Authority Cited: This requirement is for the purchase of software maintenance and support license renewal for existing software currently in use within the DHA enterprise. FujiFilm is the Original Equipment Manufacturer (OEM) for the required brand name FujiFilm Synapse software and maintenance support licenses. FujiFilm is the manufacturer of this SW and owns the proprietary rights to their products. Due to proprietary rights only FujiFilm or FujiFilm approved vendors can provide and service the SW that the Government already owns.

The absence of this software will negatively cause testing and evaluation event delays, test cancellations and defects on the system for MHS Genesis. Users will also be unable to test/complete radiology workflow such as consolidating all of its separate long-term image archives into a vendor neutral archive system that shares information across the services.

6. Efforts to Obtain Competition: The Government contacted the OEM for a listing of authorized resellers capable of renewing the existing licenses. The contractor confirmed that they currently do not have any authorized resellers, however they have two consulting firms that they utilize for Government contracts. The Government contacted both firms via email and received one response. Nolij Inc confirmed that they are capable of providing the required licenses. In addition, the Government posted a RFI posted via the NASA SEWP portal with no responses received. A query of the FPDS-NG database identified previous actions for the same software licenses, all of which were that were awarded on a sole source basis to the OEM. The Government anticipates competition in response to the issuance of a solicitation. The notices required by FAR 5.202 will be posted.

7. Determination that Anticipated Cost to the Government will be Fair and Reasonable: In accordance with FAR 13.106-3(a)(2) in acquisitions, the contracting officer may base the statement of price reasonableness on competition; market research; comparison of the proposed price with prices found reasonable on previous purchases; current price lists, catalogs, or advertisements; a comparison with similar items in a related industry; contracting officer’s personal knowledge of the item being purchased; comparison to an independent Government estimate; or any other reasonable basis. The contracting officer intends to utilize one or a combination of the mentioned methods in determining the proposed price as fair and reasonable.

8. Market Research: Market research did not identify any alternative solution that could provide the required maintenance and support services for the existing Fuji SW currently in use within the DHA enterprise. The only product capable of providing support and maintenance for the Fujifilm software is the Fujifilm software license.

10. Interested Sources: To date, no sources have expressed interest in this requirement.

11. Actions to overcome barriers:

(a) Until the infrastructure changes other sources are not viable. DHA continuously monitors the commercial IT market and will reassess brand requirements on a regular basis.

(b) Follow-on Requirements: The Government will continue to conduct market research to ascertain if there are changes in the marketplace that would enable future actions to be fully competed. If the DHA replaces its current Fuji SW, market research will be performed at that time to assess vendor innovations, advancements, emerging technology, testing, and reviewing of the same/similar technology, to find as many potential offerors as possible to compete on the actual support services for that software.
