Justification and Approval (J&A) for Other Than Full and Open Competition

I. Contracting Activity.

United States Air Force Air Combat Command (ACC) Acquisition Management Integration Center 129 Andrews Street, Suite 306 Langley Air Force Base, VA 23665-4516

II. Nature and/or description of the action being processed.

This is a follow-on fixed price contract to FA489014P0032 with a base period of one year and four 12-month options. It will be coded as a commercial acquisition in the Federal Procurement Data System (FPDS). The contractor receiving the order is Accenture Federal Services LLC, 800 North Glebe RD #300, Arlington VA 22203-1807.

III. Description of supplies/services required to meet agency needs.

Provide ACC with software renewal for 4,000 Task Management Tool (TMT) users/seats. Support will include software assurance (SA); installation, configuration, and troubleshooting, and Customer Relationship Management (CRM), for TMT at the Hill Enterprise Data Center (HEDC) in Utah and Langley AFB, Virginia. This support will include training, functional and technical support as well as assistance in leveraging ACC's investment in CRM to solve applicable business problems. Technical support will include software upgrades and some on-site visits. The on-site support will be related to the installation, configuration, upgrade, migration data restore/migration and/or upgrade to the ACC TMT NIPRNET, SIPRNET to a fully operational status; and the migration of all TMT to the updated Share Point configuration.

Intended CLIN Structure:

0001 Purchase 4,000 TMT Licenses

0002 Four Contractor Visits each year

- TMT support in compliance with DoD Password Management Guidelines per DoD CSC- STD-002-8.

- Migrate TMT/SP NIPRNET, SIPRNET data, upgrade Windows Server, Share Point, SQL Server, and CRM 4.0.

- Interchange, install, configure, and/or upgrade Enterprise Tasking Service-Interchange (ETS-I) and apply associated Commands.

- Provide Program Management reach-back support.

- Provide ability to purchase software user licenses for registered and prospective TMT users.

- Consultant/ or system engineer TMT technical reach-back support.

- Troubleshooting and problem resolution for TMT.

- Deliver TMT and CRM related technical documents after any upgrades/installation; along with smoke test evaluation documentations.

0003 Optional Support

- Ability to purchase software user licenses for registered and prospective TMT users

- On-site training for number of days as requested by the MAJCOMs.

- Training materials for all releases to ensure hands-on product training.

- Knowledge transfer to administrator/ or assist as needed to support ACC users

- Copies of all trainee completed training evaluations, which serve as a means to provide user feedback relative to quality of training received.

- Emergency technical/ or on-site consultant support to ACC/HEDC in the event of a catastrophic system failure.

The total estimated contract value is $2,862,462.00 for a one-year base period and four 12-month option years :

IV. Statutory authority permitting other than full and open competition.

10 USC 2304(C)(1), as implemented by FAR 6.302-1(2) - Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

V. Demonstration that the contractor's unique qualifications or nature of the acquisition requires the use of the authority cited above (applicability of authority).

Accenture , in collaboration with Microsoft, developed TMT on the Microsoft Dynamic platform.

Accenture is the only contractor that is capable of providing the TMT solution to meet ACC's needs.

ACC has been procuring TMT services with Accenture on a sole-source basis since 2009. ACC implemented TMT in 2009, and moved its TMT environment to a cloud based solution, complying with the February 26, 2010, Federal Data Center Consolidation Initiative (FDCCI) whereby ACC will realign its Knowledge Operation services under the Hill AFB Enterprise Data Center. ACC is implementing TMT across its Numbered Air Forces and to all ACC Wing Leaders. In order to maintain interoperability with these other locations, TMT must be used by ACC. Accenture TMT capabilities are uniquely customized and require specific network configurations that only Accenture can provide. At this time, Accenture is the only company that produces and maintains the TMT code which runs on Microsoft's CRM software. Implementing another TMT solution would not be reasonable considering the investment ACC has in the TMT solution. Implementing a different solution would significantly and adversely effect ACC's TMT work-flow and task management.

Accenture's TMT customized code is intellectual property of Accenture. The Government has never received the TMT source code and does not have the right to require delivery of the source code.

TMT is exclusively sold by Accenture and subsequently any follow-on software upgrades, maintenance, and technical support for this tool must be completed by Accenture. Therefore, this acquisition is for continued performance of a highly specialized service.

Award to another source would result in substantial duplication of cost to the Government that is not expected to be recovered through competition. TMT is in use by over 100,000 users and 50 different organizations within the US Federal Government. Currently there are approximately 22 active TMT Accenture contracts across the DoD, valued at $18M. Of that, there are 13 USAF

March 2018 FOR OFFICIAL USE ONLY Page 4 of 5 organizations/commands that are connected to the TMT network. Therefore, it would not be in the best interest of the Air Force to implement a new system just for ACC as interoperability currently provided by the current TMT system would be lost. ACC alone has invested approximately $4M million in the Accenture TMT since 2009. Therefore, much of that cost would be duplicated if the decision was made to implement a new TMT system for ACC as well as the time lost in a complete new solution and re-installation ACC wide would be detrimental to the mission. Accordingly, Accenture is the only firm capable of providing the supplies and services described in Section III above without the U.S. Air Force experiencing substantial duplication of cost that could not be expected to be recovered through competition.

VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.

As noted, Accenture is the sole provider for support of TMT and is the only vendor that is capable of providing TMT upgrades/maintenance that meet ACC needs. However, a Sole Source Synopsis was posted on the FedBizOpps.gov website on 7 June 2019. The notice stated that the Air Force intended to negotiate, on a sole source basis, with Accenture Federal Services for the TMT effort and that any responsible source may submit a capability statement, proposal, or quotation which would be considered by the agency. This FBO posting met the FAR 5.201 requirement to publicize the proposed contracting action. No responses were received as of 09 September 2019. As required by FAR 6.305, the justification will be made publicly available within 14 days after contract award.

VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

Before contract award, the cost of the contract will be determined by the contracting officer to be fair and reasonable and the basis for the determination will be included in the contracting file.

This is a commercial requirement and will be a firm fixed price award. As such, a price analysis will be completed without specific emphasis on examining cost elements and proposed profit.

However, other than cost and price information may be requested if required. Typically, a price analysis will consider comparisons to historical prices and catalog or market prices. These techniques will be used in this instance. The intent of the price analysis will be to verify that the overall price offered is fair and reasonable.

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

As described in Section VI above, market research, in accordance with FAR Part 10, was conducted by synopsizing the proposed contracting action and advising industry of the pending acquisition which included soliciting inquiries from interested parties.

IX. Any other facts supporting the use of Other Than Full and Open Competition.

In August 2019, Barksdale AFB, issued a sole source award to Accenture for TMT support services. As TMT software is used by more government agencies, Accenture may license other vendors to use its products which would foster more competition. As technology changes there may be a different approach available by the end of this current effort, after five years.

X. List of any sources that expressed, in writing, an interest in the acquisition.

See Section VI above.

XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.

There are no potential alternate sources for the maintenance of the TMT software. As noted, Accenture owns the rights to the software and does not have any authorized resellers or maintainers. In the event that the Air Force decides to implement a new solution in place of TMT, any future effort will be competitive as long as the new software is not proprietary to one vendor.

At this time, TMT is the only software in place Air Force wide for these purposes.
