JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION (JOFOC)
for
80TECH21Q0013 GSS CINEMA PRO
1. Federal Acquisition Regulation (FAR) 6.303-1(b)(1) – Identification of the agency and the contracting activity, and a specific identification of the document as a “Justification for other than full and open competition.”
This document is a justification for other than full and open competition prepared by the National Aeronautics and Space Administration (NASA), Information Technology Procurement Office on behalf of John F. Kennedy Space Center (KSC).
The procuring agency is the National Aeronautics and Space Administration (NASA) and the contracting activity is Information Technology Procurement Office on behalf of John F.
Kennedy Space Center (KSC).
2. FAR 6.303-2(b)(2) – Nature and/or description of the action being approved:
This justification provides the rationale for contracting by other than full and open competition to award a sole-source contract to Gyro-Stabilized Systems, LLC. (GSS) for the acquisition of a Gyro-Stabilized Cinema Pro+ 520 and mid-wave infrared (MWIR) camera Platform with a 900mm lens. This will be a Firm Fixed Price contract.
3. FAR 6.303-2(b)(3) – A description of the supplies or services required to meet the agency’s needs (including the estimated value):
This procurement will provide delivery of a 5-axis gyro-stabilized gimbal and MWIR camera system to the Kennedy Space Center for use in imagery of Commercial Crew Program activities as well as SLS/Orion launches and landings. The estimated value of this procurement is $565,664 with a delivery date 4-5 months after award.
4. FAR 6.303-2(b)(4) – An identification of the statutory authority permitting other than full and open competition:
The statutory authority permitting other than full and open competition is 10 U.S.C. 2304 (c)(1) Contracts: competition requirements as implemented by Federal Acquisition Regulation (FAR) 6.302-1(2), Only one responsible source and no other supplies or services will satisfy agency requirements, which permits contracting without providing for full and open competition when the supplies or services needed by the agency are available from only one responsible source or only from a limited number of responsible sources and no other type of supplies or services will satisfy the needs of the agency.

5. FAR 6.303-2(b)(5) – A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited:
The rationale supporting the use of 10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies will satisfy agency requirements, as described below.
Gyro-Stabilized Systems, LLC is the only responsible source for this acquisition and no other manufacturer or supplier will satisfy NASA Program requirements for this 5-axis gimbal system with the specified MWIR camera system. There are unique requirements only GSS can meet including the following:
a. Concurrent operations: The new GSS system is to be used in concurrent operation with the existing NASA-owned GSS system currently utilized. The common controls and functionality will ensure procedures are common within the joint operation.
b. Performance: The GSS system has the ability to internally roll the camera > +/- 90 degrees without changing mounting configuration (installing the camera in a non-normal configuration). This feature is required for imagery acquisition to maximize pixels on target. Other systems on the market only allow for +/- 75 degrees.
c. Form Factor: The GSS Cinema Pro+ 520 system is the only system that has integrated the specified MWIR camera and 900mm continuous zoom lens. This specific camera and lens configuration have been selected for engineering imagery acquisition of spacecraft parachute verification of performance.
Gyro-Stabilized System is the manufacture of specialized camera stabilization platforms that are designed and manufactured for custom customer requirements.
6. FAR 6.303-2(b)(6) – A description of efforts made to ensure that offerors are solicited from as many potential sources as is practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies:
A notice to the Government Point of Entry (GPE) website (Sam.gov) was published on August 6, 2021, in accordance with FAR Subpart 5.2. This posting informed potential sources of NASA’s intent to award this sole-source contract to Gyro-Stabilized Systems, LLC. The results of this synopsis are summarized in Section 10 below.
7. FAR 6.303-2(b)(7) – A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:
The Contracting Officer’s signature on this document indicates that the Contracting Officer has determined that the anticipated cost to the government will be fair and reasonable. The Contractor shall be required to submit a proposal to be evaluated and negotiated by the Government.
Prior to the execution of the contractual instrument, a proposal analysis will be performed. The
Rev. A Page 3 of 4 proposal analysis will ensure that the final agreed-to price for the contract action is fair and reasonable. The CO will compare prices to historical prices paid for the same or similar items per FAR 15.404-1(b)(2) in determining reasonableness.
8. FAR 6.303-2(b)(8) –Description of the market research conducted, and the results or a statement the reasons a market research was not conducted:
Upon receipt of the PR package, I forwarded the SOW to SEWP to verify if it could be awarded via a SEWP contract. A search on GSA Advantage, category product, Using keywords ‘Cinema Pro’ brand name search. This resulted in zero finds specifically for the GSS Cinema Pro product needed for this requirement. GSA FSS had one vendor listed as a GSS supplier and a call was made to Automation Aid, Inc. to confirm if the supply being requested was on their schedule contract, in which I was advise the necessary products and services needed were not on the schedule catalog.
Additionally, a search was conducted on FPDS to determine the history of orders for similar services utilizing keywords ‘5-Axis Gyro’, limiting to NASA awards. This search revealed an award to Gyro-Stabilized Systems, LLC on May 06, 2020 (80KSC020P0012). Further research displayed another purchase from March 30, 2018 (80KSC018P0023).
Furthermore, when conducting my market research, GSS was contracted directly to determine if the supply was available through any authorized resellers, in which the response provided clearly stated, “Gyro-Stabilized Systems, LLC sells their products directly to end users in the Customs territory of the United States and outlying areas. No distributors or re-sellers are used in the customs territory of the United States and outlying areas.”
9. FAR 6.303-2(b)(9) – Any other facts supporting the use of other than full and open competition, such as:
None
10. FAR 6.303-2(b)(10) – A listing of sources, if any, that expressed, in writing, an interest in the acquisition:
A notice of NASA’s intent to award this sole-source action will be synopsized on the GPE website (beta.sam.gov) per FAR Subpart 5.2 (See Section 6 above). The synopsis was posted August 6th and closed August 20th, 2021 with no responses.
11. FAR 6.303-2(b)(11) – A statement of actions, if any, the Agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:
The Agency will continue to examine the market in the future for alternative solutions or new sources before executing any subsequent acquisitions for the same requirements. Discussions are already in the works with NASA Solution for Enterprise-Wide Procurement GWAC, given this is a recurring purchase every 2 years.
