JUSTIFICATION FOR OTHER THAN

FULL AND OPEN COMPETITION

I. Agency and Contracting Activity.

This Justification and Approval is to request authority for Other Than Full and Open

Competition supports requirements generated for the Air Force Life Cycle

Management Center, (AFLCMC/WIUAB), Robins AFB GA 31098.

AFLCMC/WIUKA is the contracting agency responsible for this requirement. The purchase request number supporting this contracting action is FD2060-21-31129

II. Nature and/or description of the action being approved.

Due to the circumstances described herein, the activity requests authority to acquire the services listed in this document using Other Than Full and Open Competition as prescribed by FAR 6.302-1, "Only One Responsible Source and No Other Supplies or

Services Will Satisfy Agency Requirements." This action will result in the award of a new contract which will be definitive “C" type contract with a basic one-year plus two

(2) one-year options, as well as terms of FAR 52.217-8, “Option to Extend Services.”

The new contract will include Cost Plus Fixed Fee (CPFF) contract line item numbers

(CLINs) for engineering services; Not Separately Priced (NSP) CLINs for data and a

Cost Reimbursable, No Fee (CRNF) CLINs for travel. Based on the projected contract award date, the period of performance (PoP) is anticipated to be 29 Sep 2021 through

28 Mar 2025, if the all options including 6-month maximum extension are exercised.

This sole source requirement will be purchased from the following company:

III. Description of supplies/services required to meet agency needs (including the estimated value).

The purpose of this acquisition is for support of sustaining engineering and technical support for the Electro-Optical/lnfrared (EO/IR) Sensor HC/MC-130J and subsystems

(hereafter referred to as AN/AAS-54 EO/IR system) to resolve deficiencies and improve reliability, maintainability and functionality. These requirements include engineering studies in resolving reliability and maintainability issues, obsolete parts issues, identify and propose solutions to Diminishing Manufacturing Sources (DMS) issues, analyzing failure trends from the depots and the field level shops support, and software maintenance activities.

The Government has determined this system is not a commercial item. In order to perform these services, a vendor must be able access Raytheon databases which contains/maintains HC/MC-130J AN/AAS-54 EO/IR system engineering drawings.

Without access to Raytheon’s intellectual property, a new vendor would not be capable of supporting this system and its subsystems. There are no other companies that can provide the specific technical knowledge and expertise necessary to support the AN/AAS-54 EO/IR system. Sustainment of the AN/AAS-54 EO/IR by Raytheon is mission critical.

Accordingly, Raytheon is the only firm capable of providing the requirements described in Section III above without the U.S Air Force experiencing unacceptable delays in fulfilling its requirements.

VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by subpart 5.2 and, if not, which exception under FAR 5.202 applies.

A Request for Information (RFI) synopsis was posted to Beta.Sam on 26

February 2021 with a response date of 29 March 2021 under Solicitation Number

FA8509-21-R-0020. The RFI requested responses from interested vendors that possess the expertise, capabilities, and experience to meet qualification requirements for this effort. Only the OEM, Raytheon, responded to the RFI.

The requirement will be synopsized to Government Point of Entry in accordance with

FAR 5.201. It is anticipated that sources having an interest in subcontracting may be identified through synopsis. Any source who responds to the Government as a result of this synopsis will be identified to the prime contractor as a potential subcontracting possibility.

VII. Determination by the Contracting Officer that the anticipated cost to the

Government will be fair and reasonable.

The overall cost of this acquisition will be fair and reasonable to the Government. In accordance with FAR 15.403-4, the contractor will be required to provide certified cost or pricing data to be used to support the Government's evaluation of the proposed cost.

The proposed skill mix of labor, labor hours, types and quantities of material and other direct costs, and direct and indirect rates will be negotiated by the Government based on recommendations from the Defense Contract Management Agency and expert technical personnel supporting the program. The contract price will be negotiated in accordance with the procedures in FAR Part 15 ensuring the ultimate cost to the

Government is fair and reasonable. Contracting Officer will perform price and cost analysis to determine the price fair and reasonable.

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

Market research was conducted beginning 25 January 2021 and completed on 29

March 2021 in accordance with FAR Part 10.001 and 10.002. The market research techniques used are as follows:

A Small Business Administration Dynamic Small Business Search query and Google search was conducted utilizing North America Industry Classification System (NAICS) code 334511, Search, Detection, Navigation, Guidance, Aeronautical, and Nautical

System and Instrument Manufacturing. Keywords used were Electro-Optical System and Infrared Optical System. Searches using a combination of the NAICS code and keywords yielded some matches. This query produced approximately 50 potential vendors. The market research performed revealed potential sources within various

Small Business (SB) categories. Those SB categories include: 8(a), Woman-Owned

Small Business, Hub zone, Small Disadvantaged, Veteran Owned, and Minority

Owned companies. Initial analysis indicated several small businesses could potentially meet some of the basic criteria. After additional evaluation, the Integrated Product

Team concluded no other vendor was capable of supporting the AN/AAS-54 EO/IR

System due to lack of access Raytheon intellectual property, including tools and equipment required to support this sustaining engineering effort. Engineering services in support of other systems were eliminated for lack of commonality and dissimilarity of purpose.

As described in Section IV above, a RFI was posted to Beta.Sam advising industry of the pending acquisition and soliciting inquiries from interested vendors. The RFI was posted on 26 February 2021 under Solicitation number FA8509-21-R-0020. Only the

OEM, Raytheon, responded to the RFI.

Procurement of the AN/AAS-54 EO/IR System does not meet the commercial definition per FAR Part 2.101. This system is defined as military unique and it not customarily used by the general public or by non-Governmental entities. The

Government requires parts that meet an exact form, fit and function as determined by the specific mission. There are no aircraft in the commercial market with the same or similar components.

The Market research concluded Raytheon is the only vendor capable of fulfilling the

Government requirement.
