I. Contracting Activity.

II. Nature and/or description of the action being processed.

This is intended to be a sole source, firm-fixed price, open market procurement for MATLAB Annual Software License Maintenance Renewal, IAW FAR 6.302-1.

III. Description of supplies/services required to meet agency needs.

MathWorks, Inc. will provide the MATLAB Annual Software License Maintenance Renewal as a quantity of one (1) LOT, in support of the MathWorks software tool "MATLAB" that is used to support 412 Test Wing Engineering post-test analyses. Th total estimated value for the renewal is . Period of performance is 1 JAN 17 - 31 DEC 17.

IV. Statutory authority permitting Other than Full and Open Competition.

10 USC 2304(c)(1), as implemented by FAR 6.302-1, required by FAR 6.303-2(b)(4).

V. Demonstration that the contractor's unique qualifications or nature of the acquisition requires the use of the authority cited above (applicability of authority).

The mission of the 412 Test Wing is to "test, evaluate and develop weapon systems to deliver war winning capability to our nation's combat forces." A critical component of this mission is performing complex data analysis and visualization. MATLAB is a state-of-the-art high-level technical computing language and interactive environment that specializes in data analysis and visualization, which is widely used in government, industry, and academia. MATLAB has the following product despcription/salient characteristics: MATLAB Maintenance (SUBML) to include Simulink Maintenance (SUBSL), Aerospace Blockset maintenance (SUBAE), Aerospace Toolbox Maintenance (SUBAT), Curve Fitting Toolbox Maintenance (SUBCF), MATLAB Compiler Maintenance (SUBCO), Control System Toolbox Maintenance (SUBCT), Database Toolbox Maintenance (SUBDB), Parallel Computing Toolbox Maintenance (SUBDM), Spreadsheet Link EX Maintenance (SUBEL), System Identification Toolbox Maintenance (SUBID), Image Processing Toolbox Maintenance (SUBIP), MATLAB Coder Maintenance (SUBME), Mapping Toolbox Maintenance (SUBMG), MATLAB Report Generator Maintenance (SUBMR), Neural Network Toolbox Maintenance (SUBNN), Optimization Toolbox Maintenance (SUBOP), Partial Differential Equation Toolbox Maintenance (SUBNN), Optimization Toolbox Maintenance (SUBOP), Partial Differential Equation Toolbox Maintenance (SUBPD), Simulink Control Design Maintenance (SUBSD), Stateflow Maintenance (SUBSF), Signal Processing Toolbox Maintenance (SUBSG), Symbolic Math Toolbox Maintenance (SUBSM), Statistis Toolbox Maintenance (SUBST), Simulink Verification and Validation Maintenance (SUBVV), Wacelet Toolbox Maintenance (SUBWA), Real-Time Windows Target Maintenance (SUBWT). MATLAB Compiler holds these key features: packaging of MATLAB programs as standalone applications or shared libraries; Royalty-free distribution of applications to users who do not have MATLAB; Integration of MATLAB programs into Java, Microsoft. Net and Excel applications using MATLAB builder products; large-scale deployment of MATLAB programs using MATLAB Production Server, and encryption of MATLAB code to protect your intellectual property.

MATLAB is a high-level language and interactive environment for numerical computation, visualization, and programming.

Using MATLAB, one can analyze data, develop algorithms, and create models and applications. The language, tools, and built-in math functions enable one to explore multiple approaches and reach a solution faster than with spreadsheets or traditional programming languages, such as C/C++ or Java. MATLAB can be used for a range of applications, including signal processing and communications, image and video processing, control systems, test and measurement, computational finance, and computational biology. MATLAB is the language of technical computing that is essential to the Government's requirements, thereby precluding consideration of a product manufactured by another company. It has been determined that Math Works, Inc. is the only firm capable of providing the supplies described above without the U.S. Air Force

Page 3 of 4Updated: 15 Mar 16 experiencing substantial duplication of cost that could not be expected to be recovered through competition and unacceptable delays in fulfilling its requirements.

MathWorks, Inc. has beeb providing Math Works products to Edwards Air Force Base, CA as MATLAB Maintenance and Compiler Maintenance with both Commercial Perpetual Individual and Commerical Perpetual Concurrent products;

Software Maintenance Service for MATLAB licenses has been in place since 24 Mar 2014, under Contract with follow-on licenses awarded under contract The basis of the previous contract awards was sole source to Math Works, Inc. As noted, for Software Maintenance renewals, only Math Works can provide support for the software, corresponding technical support and product updates, despite existing resellers.

The 412th Test Wing believes that award to any other source would result in substantial duplication of cost to the Government not expected to be recovered through competition and result in unacceptable delays in fulfilling the Air Force's requirements. The 412 Test Wing has made a significant investment in developing and validating engineering data analysis applications that are built using the MATLAB technical computing language. The Math Works is the sole owner, developer, and maintainer of the MATLAB software. An award to any other source would result in the need to re-develop the existing engineering data analysis codebase with a different technical computing language. A conservative estimate of the locally developed engineering data analysis application codebase is approximately 50 man-years of effort (approximately 500 engineers * 10% power-users and developers * 1 man-year on average per power-user for design, development, testing, and validation). This equated to approximately 10 calendar years of effort (50 man-years of effort / 50 power-users and developers / 10% availability for redevelopment due to ongoing mission needs) to re-develop the existing engineering data analysis codebase to a language other than MATLAB.

Therefore, this acquisition will be a follow-on contract for continued application of highly specialized software.

VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.

The Math Works is the sole owner, developer, and maintainer of the MATLAB software. An award to any other source would result in the need to re-develop the existing engineering data analysis codebase with a different technical computing language. Given that the migration of existing engineering data analysis applications from MATLAB to another technical computing language would result in approximately (see Section V for details), offers were not solicited for competing products from other sources as this was deemed not practicable.

VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

The anticipated prices will be determined fair and reasonable based on comparison with open market prices for historical pricing

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

Market research and attendance at program management conferences will occur to enable investigation of other vendors that might offer a product similar to MATLAB offered by Math Works. Evaluations can then be conducted to determine if the costs of changing software platforms are outweighed by the benefits offered by other vendors.

The 412 Test Wing is actively exploring alternatives to MATLAB, and has identified a viable candidate in the Scientific Python (SciPy) technical computing language. SciPy is open source software (OSS) and therefore is very cost effective from a software licensing perspective, and there are multiple vendors that provide service-level support for SciPy, since it is a non-proprietary technical computing language. Consequently, the 412th Test Wing engineers. But even assuming a zero licensing cost for SciPy, it is a differenct technical computing language and is not MATLAB compatible. Consequently, using SciPy, it is a different technical computing language and is not MATLAB compatible. Consequently, using SciPy as an alternative to MATLAB will entail the migration of engineering data analysis applications on the order of in labor costs and 10 calendar years of effort. Although SciPy is a very promising candidate, it currently does not have all of the capabilities of MATLAB (specifically the Simulink modeling and simulation capability) and it would not be prudent to eliminate MATLAB support in favor of SciPy support until SciPy has proven that it in fact can met the needs of the 412 Test Wing. The 412 Test

Wing will contunue to moitor the market and conduct research to acquire the best value in technical computing software for the Government.
