NSWCCD intends to award a firm-fixed price contract to GE Energy Power Conversion USA, Inc. (GEPC), the original equipment manufacturer (OEM) for the agency’s current Cycloconverter Drive, and the only company with intimate and comprehensive knowledge of the existing proprietary hardware, software, and firmware utilized to operate the drive.

This justification document is in accordance with FAR 13.501(a).

The total estimated value of the acquisition is approximately $ .

Additionally, NSWCCD requires the following engineering, hardware, software, installation, and commissioning support services to upgrade and modernize the LCC Cycloconverter Drive, and to ensure seamless integration with the existing hardware:

· Designing, planning, acquisition, fabrication and testing of replacement hardware and firmware to upgrade the current LCC SIGMA Based Cycloconverter Drive System.

· Removal of existing hardware.

· Conversion of the existing software to software compatible with the replacement hardware.

· Installing program of PEC-e digital regulator and PIBe3 power interface board (with associated circuitry) in accordance with the LCC Cycloconverter System Upgrade Specification of this contract.

The total value of the anticipated contract including labor, parts, and installation is $ .

4. Statutory Authority Permitting Other Than Full and Open Competition

10 U.S.C. 2304(c)(1), “The property or services needed by the agency are available from only one responsible source or only from a limited number of responsible sources and no other type of property or services will satisfy the needs of the agency.” (FAR 13.106-1(b) (2))

5. Rationale Justifying Use of Cited Statutory Authority

The supplies and services contemplated with this procurement consists of engineering, hardware, software, installation, and commissioning support services necessary to upgrade and modernize the LCC Cycloconverter Drive. GEPC is the OEM of the current LCC Cycloconverter Drive, originally designing and installing the drive in 1989, and then subsequently upgrading it in 1997. More so, GEPC possesses the intimate knowledge necessary to upgrade the drive, given that GEPC specifically designed and built the current LCC Cycloconverter Drive, and maintains the proprietary rights to the proprietary hardware, software, and firmware currently utilized with the drive. Furthermore, GEPC is the only company that possesses the unique supplies and services necessary for the successful upgrade and modernization of the LCC Cycloconverter Drive.

Although it is possible for NSWCCD to replace the current Cycloconverter drive through the procurement and install of completely new equipment from a different vendor, the costs for such an effort is approximately $ . Additionally, the major overhaul of completely replacing the drive will require the LCC Facility to shut down for approximately three months, in order to allow for the removal of the existing drive, and to install the new Cycloconverter drive, to include any installation of associated hardware, software, and firmware. The procurement of a completely new Cycloconverter drive may result in unacceptable delays to ongoing projects of the agency that require the use of the LCC Cycloconverter Drive. An upgrade and modernization of the existing Cycloconverter drive is estimated to cost NSWCCD approximately $ , and may only require the LCC Facility to shut down for three weeks. Upgrading the existing LCC Cycloconverter Drive is in the best interests of NSWCCD, considering the additional cost and downtime of the LCC Facility required with a full replacement of the existing drive.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable

The Government conducted market research in accordance with FAR 10.002(b)(2)(vii), focusing on both replacement of the LCC Cycloconverter Drive by other manufacturers, as well as alternatives to replacement of the drive.ABB and Siemens, were identified as companies who make new Cycloconverters and could provide replacement cycloconverters.
Additionally, numerous manufacturers could provide additional “drive solutions” to replace the existing Cycloconverter. However, in all cases, the estimated costs of replacement efforts would be three to times higher, and require a significantly longer facility downtime to accommodate the reconfiguring and rewiring of the facility. NSWCCD (Division 89) did an engineering and risk assessment and determined that the increased cost and downtime of replacement are high risk items to NSWCCD’s ability to meet the Agency’s testing schedule. While replacement provides all new hardware, upgrading also provides new hardware for the control portion of the drive. This significantly reduces the main benefit of replacement.NSWCCD determined that upgrading the drive provided reduced risk and fully met

the mission requirements. The OEM rights for the proprietary equipment that will be retained is owned by GEPC. The OEM is the only responsible source with the demonstrated ability to upgrade the existing drive. No other sources have access to the information in the proprietary hardware, software, and firmware that is to be retained, and therefore would be unable to reasonably provide an upgrade. Using a contractor that lacks knowledge of the proprietary hardware, software, and firmware to be retained would pose a significant and unacceptable risk to the Government’s mission requirements.

7. Determination of Fair and Reasonable Costs

In accordance with FAR 15.402, the Procuring Contracting Officer (PCO) shall ensure that all supplies and services provided under this contract are procured at a fair and reasonable price. The PCO shall determine that the proposed order represents the best value (as defined in FAR 2.101) to meet the Government’s needs. In addition to the PCO, experienced technical analysts will review the contractor’s proposal. The PCO will use price analysis as the basis for negotiating a fair and reasonable price.

8. Actions to Remove Barriers to Competition

NSWCCD will assess whether competition for future requirements associated with the LCC Cycloconverter Drive is feasible. However, NSWCCD’s requirement is a unique case, because intimate knowledge of proprietary GEPC technologies is required for upgrading and modernizing the existing LCC Cycloconverter Drive. Although market research does suggest that other vendors offer the capability of providing Cycloconverter drives, the costs and installation of these drives are both costly and time consuming to meet the mission requirements for Division 89. More so, none of these other vendors possess the unique capabilities required to work with the proprietary hardware, software, and firmware involved with updating and modernizing the LCC Cycloconverter Drive. If future requirements involving the LCC Cycloconverter Drive develop, the PCO will assess whether the circumstances surrounding the need to obtain the required supplies/services without full and open competition have changed in a manner to allow for competition in meeting those future requirements.

CERTIFICATIONS AND APPROVAL TECHNICAL/REQUIREMENTS CERTIFICATION (FAR 6.303-2(c)) I certify that the facts and representations under my cognizance, which are included in this justification and its supporting acquisition planning data except as noted herein, are complete and accurate to the best of my knowledge and belief.
