PART 1 – Intro
The Food and Drug Administration (FDA) has a requirement to procure an Ion Mobility Time of Flight Mass Spectrometer, WATERS Corp Select Series Cyclic IMS 8K, part number # 186009211, BRAND NAME
OR EQUAL.
This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, (STREAMLINED PROCEDURES FOR EVALUATION AND SOLICITATION FOR COMMERCIAL ITEMS) as supplemented with additional information included in this notice. This announcement constitutes the only solicitation.
The solicitation is issued as a Request for Quote (RFQ), using the Simplified Acquisitions Procedures of FAR 13. The solicitation documents incorporated provisions and clauses are those in effect through the current Federal Acquisition Circular: FAC_ 2020-05.
The associated North American Industry Classification System (NAICS) Code is 334516, Analytical Laboratory Instrument Manufacturing. Small Business Size Standard is 1,000 employees. This acquisition is set aside for small business.

TRAINING.
“IMPORTANT NOTE: Due to the ongoing COVID-19 pandemic and related measures to combat the spread of novel coronavirus which include alternative work arrangements (i.e., remote telework) and/or worksite closures, the Contractor is advised that the delivery date stated in this contract is subject to availability of Government personnel to receive and/or accept the goods or services at the
Place of Performance described herein. The Contractor shall coordinate, in advance, any deliveries required under this contract, including any services deliverables, with the Contracting Officer's Representative (COR) or Contracting Officer to ensure that Government personnel are available at the Place of Performance to receive and/or accept the goods or services. Any delays as a result of non-availability of Government personnel at the Place of Performance shall be governed by FAR 52.212- 4(f) “Excusable Delays” (for Commercial Items/Services) or FAR 52.249-14 “Excusable Delays” (for Non-Commercial Items/Services). The Government shall not be responsible for any costs incurred for contract deliverables for goods or services that have not been coordinated in advance with the COR or Contracting Officer pursuant to this paragraph.”

PART 3 –SYSTEM’S MINIMUM SALIENT CHARACTERISTICS
Minimum Salient Characteristics:
1. The system shall be newly manufactured, not used, or refurbished or previously used for demonstration.
2. The instrument shall meet the following technical requirements
a. The instrument shall be capable of operating as a time-of-flight mass spectrometer and as a high-resolution ion mobility separation mass spectrometer, with a minimum ability to perform ion mobility mass spectrometry (IMS), ion mobility/ion mobility mass spectrometry and IMSn experiments.
b. Mass Spectrometry:

3. The instrument shall include the following hardware specifications:
a. ESI ion source
b. Quadrupole mass filter
c. Cyclic ion mobility device: 98 cm path length, closed-loop-traveling wave (TW)-enabled IM separator positioned orthogonally to the main ion optical axis
d. Time of flight detector
e. Appropriate power conditioning equipment for operation. A UPS shall be included.
f. Rough Mechanical Pumps
4. Integrated computer-based data system (Windows 10) capable of controlling the instrument and associated, user selected liquid chromatograph system, acquiring data and performing subsequent data analysis.
5. Instrument pre-installation kit
6. Custom Instrument bench design to support the mass spectrometer and associated mechanical pumps (if required)
7. Ultra Performance Liquid Chromatography System (UPLC). The UPLC shall be equipped with a binary solvent manager, sample manager with fixed loop (0.1 ul to 250.ul) and a standard column heater (20-90 degrees C)
a. The instrument shall have a maximum operating pressure of 18,000 psi up to 1 mL/minute.
b. The instrument shall be capable of an operating flow rate range: 0.010 to 1.000 mL/minuate with a pump flow accuracy of +1.0% at 0.5 mL/minute
c. The UPLC system shall be capable of being fully integrated into operation (hardware and software) with MS system. All chromatograph functions shall be controllable and programmable from the MS operating system.
d. The UPLC software shall have an interactive system to monitor qualify control and user diagnostics enabling methodical examination of system integrity and leaks.
8. One year warranty to cover all parts and labor after instrument installation.
Delivery and Installation:
The contractor shall delivery and install the scientific instrument to the following:
Delivery: FDA/CFSAN, 5001 Campus Drive, College Park, MD 20740. Delivery shall be made 180 days after award date.
If the contractor is not installing on the day of delivery, the delivery shall be made to the loading dock and moved into location on the date of installation. The entire system must ship as one (1) lot, no back orders allowed. If shipments must be sent separately, payment will not be made until all deliveries have been made. The contractor is responsible for installment of the instrument.
The vendor will demonstrate upon installation that the item will meet all the performance specifications by the manufacturer. The instrument will not be accepted until those performance specifications have been met. Installation shall be provided by service engineers who are trained and certified by the original manufacturer of the instrument.
NOTE: Section 508 Compliance: HHS/FDA provides for an exception to Section 508 compliance for laboratory equipment.
Familiarization Training:
On-site Familiarization Training shall take place immediately following installation or within 30 days of installation and acceptance by the FDA. Training will include 1 to 3 FDA scientists for a total of 40 hours and the following training objectives:
1. Provide guidance to FDA’s scientists/operators on the proper use of the instrument.
2. Any routine maintenance required by the users.
3. Any safety and related safeguards as deemed appropriate.
4. Information on what the users should do if the unit is not functioning properly.
5. Other demos or topics deemed necessary by the vendor.
6. Training and/or service manuals shall be made available to the FDA one week in advance of the delivery and installation by either electronic and/or printed material.
Warranty:
1. Entire system shall be warranted for parts and labor for 12 months from the date of acceptance.
2. Contractor shall include trouble-shooting capabilities based on complete knowledge of the entire scientific instrument, immediate access to certified replacement parts and immediate access to improvements and new procedures provided by the original vendor and manufacturer.
3. Service shall be provided by service engineers who are trained and certified by the original manufacturer of the scientific instrument. Engineers shall have access to the manufacturer’s latest technical developments, repair procedures, application updates and diagnostic software.
4. The contract shall enable the Contracting Officer Representative or their designee to have access to the manufacturer’s call center at regular business hours for technical assistance, which is staffed by engineer(s) who provide a high level of expertise for troubleshooting the scientific instrument.
5. All software updates to the scientific instrument and /or system software and related installation of such scientific instrument’s updates and/or system software.
6. Respond to requests for emergency on-site service and/or non-emergency requests (Monday-Friday, excluding vendor and Federal Holidays) within 24 hours. An emergency is defined as an unscheduled on-site service to correct an emergency need to prevent injury, loss of property, or return asset to service that is immediately needed.
7. Upon the site visit, the contractor shall assess the scientific equipment and determine if the repairs are needed to the scientific equipment are covered under the warranty. If the repairs are not covered under the warranty, the contractor shall submit a quote to the Government for review and approval by negotiation, which shall include travel costs, parts costs and labor costs. Turnaround time from the emergency site visit to completion of repairs shall not exceed 72 hours. Turnaround time for non-emergency site visit to completion of repairs shall not exceed 148 hours. One year warranty on all parts and labor.
I. For repairs up to $10,000, not covered by the warranty, the Government shall pay the contractor (with proper Government approvals) with a Government Purchase Card.
II. For repairs over $10,000 not covered by the warranty, the Government will issue a Purchase Order for the repairs.
III. Repair work that is not covered by the warranty, is not to be initiated by the contractor unless the Government has given the contractor proper authorization.
8. Service Records and Reports: The Contractor shall commensurate with the completion of each service call (inclusive of service/maintenance calls) provide the end user of the equipment with a copy of a field service report/ticket identifying the equipment name, manufacturer, model number and serial number of the equipment being serviced/repaired and detailing the reason for the service call, a detailed description of the work performed, the test instruments or other equipment used to affect the repair or otherwise perform the service, the names (s) and contact information of the technician who performed the repair/service, and for information purposes, the on-site hours expended and parts/components replaced. In addition, the vendor shall provide monthly reports to the FDA COR and Contract Specialist, not later than the 5th workday following the end of each month, summarizing the maintenance and repair activities for the previous month; negative reports are required.
PART 4 – INSPECTION AND ACCEPTANCE
The Contracting Officer’s Representative (COR) will perform inspection and acceptance of the scientific equipment and if necessary, the repair services to be provided.
4.1. For the purpose of this PART, (COR – TBD) is the authorized representative of the Contracting Officer.
4.2. Inspection and acceptance will be performed at the location identified in 5.2. Acceptance is communicated in writing unless otherwise indicated in writing by the Contracting Officer or COR within 30 days of receipt.
4.3. This contract incorporates the following clause, 52.246-2 Inspection of Supplies-Fixed Price (Aug 1996) by reference, with the same force and effect as if it was given in full text. Upon request, the Contracting Officer will make its full text available.
PART 5 – PLACE OF PERFORMANCE
5.1. PERFORMANCE LOCATION:
The system shall be delivered and installed at the following FDA location:
a. Delivery: FDA/CFSAN, 5001 Campus Drive, College Park, MD 20740
b. Installation: FDA/CFSAB, 5001 Campus Drive, Room Number to be determined later, College
Park, MD 20740
c. The Contractor shall provide the FDA with a minimum of 3-day scheduling notice prior to the delivery of the system.
PART 6 – CONTRACT ADMINISTRATION DATA
6.1 CONTRACTING OFFICERS REPRESENTATIVE (COR)
The following COR will represent the Government for the purpose of this contract: TBD The COR is responsible for: (1) monitoring the Contractor's technical progress, including the surveillance and assessment of performance and recommending to the Contracting Officer changes in requirements; (2) interpreting the Statement of Work and any other technical performance requirements; (3) performing technical evaluation as required; (4) performing technical inspections and acceptances required by this contract; and (5) assisting in the resolution of technical problems encountered during performance.
6.1.1 The Contracting Officer is the only person with authority to act as agent of the
Government under this contract. Only the Contracting Officer has authority to: (1) direct or negotiate any changes in the RFQ; (2) modify or extend the period of performance; (3) change the delivery schedule; (4) authorize reimbursement to the Contractor any costs incurred during the performance of this contract; or (5) otherwise change any terms and conditions of this contract.

B. Invoices submitted under this contract must comply with the requirements set forth in FAR Clauses 52.232-25 (Prompt Payment) and 52.232-33 (Payment by Electronic Funds Transfer - System for Award Management) and/or other applicable FAR clauses specified herein. To constitute a proper invoice, the invoice must be submitted on company letterhead and include each of the following:
(i) Name and address of the contractor;
(ii) Invoice date and invoice number;
(iii) Contract/Order number (including a reference to any base award for Indefinite-Delivery/Indefinite- Quantity Contracts or Blanket Purchase Agreements);
(iv) Description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed, including:
(a) period of performance for which costs are claimed;
(b) itemized travel costs, including origin and destination;
(c) any other supporting information necessary to clarify questionable expenditures;
(d) the contractor shall include the award item number for each description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed;
(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on government bill of lading;
(vi) Terms of any discount for prompt payment offered (Prompt Payment terms other than NET 30);

(1) invoice number, amount, & date submitted
(2) corresponding payment amount & date received
(b) total amount of all payments received to date under the subject contract or order
(c) and, for definitized contracts or orders only, total estimated amounts yet to be invoiced for the current, active period of performance;
(xiii) Any other information or documentation required by the award.
C. An electronic invoice is acceptable if submitted in Adobe Acrobat (PDF) format. All items listed in
(i) through (xiii) of this clause must be included in the electronic invoice. Electronic invoices must be on company letterhead and must contain no ink changes and be legible for printing.
D. (d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)
(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-
