JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION

1. Nature and/or Description of Action

The Defense Threat Reduction Agency contracting activity proposes to procure without using full and open competition an additional amount of $240,000 for additional work regarding the effort entitled Owlstone Miniature Chemical Detector (MCD) under the awarded contract to Owlstone Nanotech, Inc., HDTRA1-08-C-0010.

2. Description of the Supplies/Services Required

For the purpose of this addendum, the cost extension will provide follow-on work to prepare the chemical detector for use in third-party testing, participate in the testing, analyze the data and disseminate results to interested groups and organizations for eventual technology transition.

This added effort also includes making the detector more applicable to end-user groups by enhancing the communications capabilities of the unit and developing a user interface that will remove the need for post-trial data analysis by expert users. The period of performance will be 6 months at an estimated cost of $240,000. The revised amount approved with this addendum will increase from $3,903,611 to $4,143,611.

3. Statutory Authority

The statutory authority for this non-competitive action is (choose only one):

10 United States Code (U.S.C.) 2304(c)(1) or 41 U.S.C. 253(c)(1), as implemented by FAR 6.302-1, Only One Responsible Source.

4. Applicability of Authority

The purpose of the J&A amendment is to increase the dollar ceiling and period of performance to continue the work that was approved under the original J&A. For the purpose of this addendum, this additional work is a continuation of the existing effort and cannot be feasibly severed. Having a performer other than Owlstone conduct the additional work would require time and resources well beyond what is proposed, and involve intellectual property and proprietary information from Owlstone that would not be easily made available to this other performer.

5. Effort to Solicit Potential Sources

For the purpose of this addendum, this additional work is a continuation of the not-yet-completed effort and so potential sources were not sought. It would be highly unfeasible to contract out this portion of work to another contractor for equal to or less than the cost or schedule. The impacts would be an unnecessary waste to the Government’s resources and cause undue risk to the successful completion of this effort. This is especially true for the development

8725 John J. Kingman Road, MSC 6201 Fort Belvoir, VA 22060-6201 of the PC-based User Interface (UI) / data analysis software package, which requires implementing peak extraction algorithms and generating the batch data processing tool-kit; and for the Multi-Nodal Unattended Ground Sensor (MNUGS) system integration tasks, which require finalizing the MNUGS-to-MCD communications protocol and refining the peak extraction algorithm.

6. Fair and Reasonable Costs

The anticipated cost/price of this contract action to the Government will be determined to be fair and reasonable based on cost and price analysis, including comparison to the project office’s independent Government cost estimate and review of historical data (i.e., Owlstone’s rate structure under the current contract). The final increased cost is not expected to exceed $240,000.

7. Market Research

For the purpose of this addendum, this additional work is a continuation of the existing effort and so market research was not conducted. Considering the amount of proprietary information and intellectual property involved in the additional work, no other company would likely have the knowledge, capabilities and resources to do the work in a timely and cost-efficient manner.

8. Other Facts

None

9. Interested Sources

None

10. Subsequent Actions

No further action is anticipated, thus ending the Innovation and Systems Engineering (RD-IS) obligations for this project and the prototype will be complete.
