FOR

OTHER THAN FULL AND OPEN COMPETITION

STEVEDORING & RELATED TERMINAL SERVICES (S&RTS)

VLISSINGEN, HTC711-19-D-R017

1. CONTRACTING ACTIVITY

2. NATURE AND/OR DESCRIPTION OF THE ACTION BEINGAPPROVED

This action will result in a modification to increase the Vlissingen S&RTS contract ceiling.

This action is essential for mission success for deploying and redeploying Brigade Combat Team’s (BCT) into and out of the European theater and is essential in supporting our North Atlantic Treaty Organization partners and US nationalobjectives. As a result of increases in operational requirements, the ceiling on the contract will be increased by an additional $5M, increasing the ceiling from $6,528,251.39 to $11,528,521.39, to accommodate anticipated operations through Base Year (1 Sep 2019 – 31 Aug 2020), of the current contract.

3. DESCRIPTION OF THE SERVICES REQUIRED TO MEET THE AGENCY’S

NEEDS

The 598th Transportation Brigade requires continued S&RTS services to maintain and sustain current and future terminal operations through 31 Aug 2020. S&RTS includes vessel loading, vessel discharge, receipt of cargo, disposition of cargo, stuffing/unstuffing of cargo, intra-terminal transfer of cargo, inland transportation of cargo, customs clearance, yard management and management expertise. S&RTS are required to move and track Department of Defense (DoD) sponsored cargo through Vlissingen in support of national and strategic military interests of the United States of America. The estimated value for this action is $5M.

4. STATUTORY AUTHORITY PERMITTING OTHER THAN FULL AND OPEN

COMPETITION

5. DEMONSTRATION THAT THE NATURE OF THE ACQUISITION REQUIRES

USE OF THE AUTHORITY CITED

In accordance with FAR 6.302-1(a)(2)(iii), services may be deemed as available from the original source in the case of a follow-on contract when it is likely award to any other source would result in unacceptable delays to fulfill the agency’s requirements. Any approach to fulfilling this requirement other than increasing the ceiling of the current contract would result in unacceptable delays.

A firm fixed-price IDIQ contract, HTC711-19-D-R017, was awarded, to Verbrugge Zeeland Terminals beginning 1 Sep 2019. The contract is currently in the base year.

Request for Services Contract Approval (SCR) package was submitted to TCAQ by SDDC/G3 on 12 Dec 2019 requesting an increase to the Vlissingen S&RTS contract ceiling for continued support. The services being provided are in support of the 598th

Transportation Brigade’s enduring mission. A break in service is not acceptable.

The contract is only 33% through the base year performance period with approximately $4.2M, or 70%, of the total contract value expended. The projected workload for base year is on pace for a 95% increase above the previous estimated workload. The reason for this increase is due to operational requirements, which have resulted in an increased rate of deployment/redeployment cargo being pushed through the port, unforeseen military exercises and which were unknown at the time the current contract was put in place, including

The increased demand for strategic sealift capability through the port of Vlissingen, Netherlands will quickly push contract obligations above the current ceiling.

This requirement was solicited with full and open competition. Verbrugge Zeeland Terminals was the only offeror to submit a proposal and is the sole qualified contractor known to be available and capable of performing required S&RTS services in support of DoD cargo transiting to and from the Port of Vlissingen. The average time needed to procure a new contract for this effort would take at least nine months. Additionally, support for current and ongoing missions is a necessity and there must not be an interruption in service. Failure to increase the contract ceiling value would degrade the 598th Transportation Brigade’s capability to provide support for military unit deployments and exercise execution, thus decreasing the command’s overall readiness level. An unacceptable delay or interruption of services jeopardizes support and secure deployment of military personnel and cargo during missions and any unforeseen emergency. This contract ceiling increase is required to ensure that the Government is capable of continued performance at a high operational tempo. Increasing the ceiling by $5M will cover the expected expenses until a new source selection can be conducted.

6. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE

SOLICITED FROM AS MANY POTENTIAL SOURCES AS IS PRACTICABLE

Competitive offers were not sought specifically for this proposed ceiling increase as only one offeror responded to the Request for Information (RFI) and the solicitation, both of which were publicized within the last year (2019). FAR 5.202(a)(12), exception applies.

The proposed contract action is by a Defense agency and the proposed contract action will be made and performed outside the United States and its outlying areas, and only local sources will be solicited. A full and open, competitive Request for Proposals (RFP) will be made for the follow on contract.

7. DETERMINATION BY THE CONTRACTING OFFICER THAT THE

ANTICIPATED COST TO THE GOVERNMENT WILL BE FAIR AND

REASONABLE

Contract prices will not change. At time of award, Verbrugge Zeeland Terminal’s prices were determined fair and reasonable IAW FAR 15.404-1(b)(2). No other market conditions exist that alter the determination that the prices on contract are fair and reasonable.

8. DESCRIPTION OF THE MARKET RESEARCH CONDUCTED AND THE

RESULT

No additional market research efforts were conducted specifically for this action. Prior to award, market research was conducted and one company expressed interest in performing this type of service at Vlissingen. One company submitted a proposal for this requirement.

This requirement was solicited with full and open competition. Verbrugge Zeeland Terminals was the only offeror to submit a proposal and is the sole qualified contractor known to be available and capable of performing required S&RTS services in support of DoD cargo transiting to and from the Port of Vlissingen.

9. OTHER FACTS SUPPORTING THE USE OF OTHER THAN FULL ANDOPEN

An RFP will be released February 2020 to begin the solicitation of a new long term contract in Vlissingen. An RFI will be issued to prospective offerors via Beta.SAM.gov, and market research will be conducted to ascertain whether or not any changes to the current contract structure would result in increased competition at the port.
