PART I SECTION A. SOLICITATION/CONTRACT FORM
On behalf of the Department of Homeland Security, National Protection and Programs Directorate (NPPD), Office of Infrastructure Protection (IP) the DHS Office of Procurement Operations (OPO), National Protection and Programs Acquisition Division (NPPAD), would like to issue a solicitation for lease of unreserved parking spaces and award a Firm Fixed Price Contract.

PART I SECTION C. STATEMENT OF WORK (SOW)
The Contractor shall provide for 10 unreserved parking permits, with an option to increase to 5 additional unreserved parking spaces in a covered and fully secured structure that is well lit and secured 24 hours a day, seven (7) days a week. The facility shall be located within a 0.25-mile radius of the DHS facility located 2451 Crystal Drive, Arlington, VA 22202. Permit holders shall have access to the parking facility twenty-four (24) hours per day, seven (7) days a week (including holidays). Parking spaces may be individual or tandem spaces (with no more than two vehicles per space) or combination of tandem and individual spaces. The facility shall be monitored by a garage attendant, at a minimum, between the hours of 7 a.m. to 7 p.m. Parking structure shall have a clearance of at least 6’2’’ in height. Secure access to the facility shall be key security card or a numbered pad. If key security card or fob is used, Contractor shall issue keys or fobs to DHS for all first time parking participants. Any lost or replacement hang tags/key access cards/fobs shall be replaced by contractor; however, employee(s) assigned to a lost or damaged hang tag/key access card/fob is fully responsible for the replacement fee at current retail rate. At no time, shall this fee be included into the contract. If number passed is used for access, DHS will control the numbers. Permit or vehicle hangtags shall be delivered monthly or yearly for distribution to parking participates. Parking area shall be kept clean and maintained at all times. Operational elevator access for ALL participants shall be on every level of garage or spaces assigned to DHS employees shall be on the level(s) of the operational elevators. Contractor shall provide the minimum required ADA accessible parking spaces. ADA accessible space(s) must connect to the shortest possible accessible route to the accessible building entrance, elevator access or facility they serve. Accessible parking spaces are either (8) feet wide; van-accessible spaces are eleven (11) feet wide. Access aisles for either type of space are five (5) feet wide. These adjacent aisles, which can be shared between two (2) spaces, provided room for individuals to deploy vehicle-mounted wheelchair lifts and/or unload and use mobility devices such as wheelchairs, walkers, etc. Access aisles must be marked (e.g., painted with hatch marks) to discourage parking in them by unauthorized drivers. Additionally, van-accessible spaces, their associated access aisles, and the vehicular routes serving them must provide vertical clearance of least 98 inches to allow for the height of typical wheelchair lift equipped vehicles.

B) Invoice and Payment Provisions
Invoices shall be prepared per Section VII, Contract Clauses; Paragraph A. entitled “FAR CLAUSES INCORPORATED BY REFERENCE,” FAR Clause 52.232-25 Prompt Payment. In addition to invoice preparation as required by the FAR, the Contractor’s invoice shall include the following information:
1) Cover sheet identifying DHS;
2) Contract Number;
3) Modification Number, if any;
4) DUNS Number;
5) Month services provided
6) CLIN and Accounting Classifications

PART I SECTION H: SPECIAL CONTRACT REQUIREMENTS
A. Cancellation of Parking Permits
The Contracting Officer may cancel any or all parking permits by providing the Contractor written notice at least thirty (30) calendar days prior to the cancellation date. Any such cancellation shall be made at no cost to the Government. If the cancellation date is not the last day of the month, the monthly price shall be prorated based on a 30-day month. All cancellations shall be via a contract modification issued by the Contracting Officer. Contractor invoices shall reflect the adjustment to the monthly price including any prorated amount for a partial month.
B. Increasing or decreasing Parking Permits
Subject to the availability of additional parking spaces at the facility specified (in this SOW), the Government may increase and/or decrease the number of parking permits provided under this contract at the applicable monthly contract rate. The Contracting Officer will provide the Contractor a written notice at least ten (10) calendar days prior to the effective date of increasing and/or decreasing parking permits. If the effective date for increasing and/or decreasing parking spaces is not the first day of the month, the monthly price shall be prorated based on a 30-day month calendar.
All parking permits shall be increased and/or decreased via contract modification issued by the Contracting Officer. Contractor invoices shall reflect the adjustment to the monthly price including any prorated price for a partial month.
C. Post Award Evaluation of Contractor Performance
a. Contractor Performance Evaluations
In accordance with FAR Subpart 42.1502, Policy, agencies are required to prepare an evaluation of contractor performance for each (non-construction/A&E) contract in excess of $500,000. An assessment must be prepared at least annually and at the conclusion of the contract. In addition, contracts with a period of performance exceeding one year (including option periods) require interim evaluations so as to document contractor performance and provide current information for source selection purposes.
b. Contractor Performance Assessment Reporting System (CPARS)
The U.S. Department of Homeland Security utilizes the Department of Defense’s Contractor Performance Assessment Reporting System (CPARS), a web-enabled application that collects and manages the library of automated contractor performance assessments, to collect and maintain contractor performance assessments. An assessment evaluated evaluates a contractor’s performance, both positive and negative, and provides a record on a given contractor during a specific period of time, under a specific contract or task order. CPARS is for UNCLASSIFIED use only.
c. Contractor Performance Information
The DHS Office of Procurement Operations’ (OPO) assessments of contractor performance shall be accessed by the contractor electronically after completion of the assessment by logging onto CPARS at https://www.cpars.csd.disa.mil. Contractors shall be given a minimum of thirty days to submit comments, rebut statements, and/or provide additional information to the Government.
The OPO Assessing Official shall review the Assessing Official Representative’s assessment and consider the potential for disagreements between the Government and the contractor. If the contractor’s response to the report is contentious, the Assessing Official will forward the evaluation to the Reviewing Official, who will serve as the mediator and shall resolve any dispute between the contractor and Government. If the Reviewing Official cannot resolve the dispute, the matter shall be referred to the Deputy Director, Office of Procurement Operations, for decision and resolution.
Copies of the evaluation, contractor response, and review comments, if any, shall be retained as part of the evaluation. The evaluation may be used to support future award decisions. The release of the completed contractor evaluation shall be restricted to Government personnel and the contractor whose performance is being evaluated. Once the evaluation is completed, it is copied into the Past Performance Information Retrieval System (PPIRS), a web-enabled, government-wide application that provides timely and pertinent contractor past performance information to the Federal acquisition community for use in making source selection decisions, where it can be viewed by authorized personnel at any agency for source selection purposes.
D. Observance of Legal Holidays and Administrative Leave
d. 7.2.1 For work to be performed at Government site(s), the Contractor must establish a standard holiday schedule that coincides exactly with the Government’s schedule for employees working on a Government site. Holidays observed are listed below. For Government site work, holidays and other non-work days are not billable unless work is specifically requested by the Government and productive hours are performed on those days. The following is a list of the official Federal Government holidays:

52.212-2 EVALUATION - COMMERCIAL ITEMS (JAN 1999)
(a) The Government will award a contract resulting from this solicitation to the responsible
Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(b) Options. If Options apply; the Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDUM (1) TO 52.212-2 EVALUATION – COMMERCIAL ITEMS
Department of Homeland Security, Office of Procurement Operations intends to make an award in accordance with FAR 12.602, source selection process.
If needed, the Government intends to exercise the option or options under FAR 52.217-8 (Options to Extend Services (NOV 1999)) without further competition or need for justification for other than full or open competition [or limited source justification or sole source justification]. For purposes of evaluation, the potential need to exercise the option under FAR 52.217-8 to extend the period of contract performance for the maximum period of six (6) months beyond the last option period will be considered the same for all offerors. In considering the price of the base period and any option periods, the Government will consider that if the extension of service clause (FAR 52.217-8) is exercised, it will be on the exact same rates and terms, other than length of performance, as the base or option period being extended. The Government will determine whether the price, inclusive of all options (including the options available under FAR 52.217-8), is fair and reasonable, and whether the price of the base period and all option periods (including the option(s) represented by FAR 52.217-8), in combination with the other evaluation factors specified in the solicitation, represents the best value to the Government.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 60 days.
