Basis for Award:
In order to respond to disasters that have recently occurred in the United States, FEMA is interested in receiving quotations for the purchase of commercially available recreation vehicles (RVs) that are classified, by industry standards, as travel trailers or fifth wheel trailers. In general, the RVs required are those that meet the basic requirements for being safe, sanitary, and functional with limited amenities or special features. All RVs purchased by FEMA shall be manufactured with low emission wood products that have been certified by the California Air Resources Board. RVs shall be new, never used, rented, leased, or otherwise occupied.
They shall be manufactured after January 1, 2016 and currently in dealer stock or having been manufactured as of the date of this Request for Quote.
On August 26, 2017, FEMA posted sources sought request HSFE70-17-I-TTOTL on the Federal Business Opportunities web site. In response to that request, FEMA received information on more than 1700 travel trailers and fifth wheel RVs available for off the lot purchase.
FEMA’s initial criteria includes specifications that the unit should have: a separate bathroom and a separate bedroom.
FEMA’s initial criteria includes specifications that the unit should not have: fireplace, outdoor kitchen, washer/dryer, kitchen island, large entertainment system, theater seating, outdoor television, murphy bed and central vacuum.
The vendor shall remove all televisions that are within the travel trailer prior to delivery of the travel trailer to FEMA
After an analysis of the offerings, FEMA has determined that many of the RVs offered do not meet FEMA’s criteria and developed a list of acceptable RVs for purchase. See Attachment A for the list of RVs that meet FEMA’s initial criteria.
As HSFE70-17-I-TTOTL was not all encompassing and may not have identified all of the RVs that meet the criteria, FEMA will consider RVs not included on the list that meet the above criteria.
Travel Trailer Quote Specifications:
Offerors responding to this RFQ shall submit an information sheet for each RV that includes the following:
The Dealer Business Name, Address, Email Address, and Phone Number Serial Number Vehicle Identification Number Model Year Model Name Floor Plan Identification Manufacturer’s Suggested Retail Price (MSRP) List of items that are standard on the model List of optional equipment installed on the vehicle by the manufacturer
In addition the offeror shall include the following:
A list of any optional equipment that is installed by the dealer (if any) Name of Dealer’s Primary Point of Contact Name of Dealer’s Secondary Point of Contact (if applicable)
The following conditions are required by the government prior to a recreational vehicle (RV) being accepted by the government.
1) The dealer shall in accordance with the owner’s manual and industry practice conduct a Pre-Delivery Inspection (PDI) and repair any issues discovered that render the RV less than in perfect condition, in compliance with all manufacturer’s specifications and ensure that all systems and subsystems function as designed. This includes but is not limited to all electrical; water (potable, grey and black) water; HVAC, gas and other systems. The RV shall also have its exterior envelope checked to ensure that all seals are working properly.
2) All delivered RVs shall have the propane tanks that are described in the Manufacturer's Suggested Retail Price List (MSRP) sheet or on the manufacturer’s web site. Propane tanks do not need to be filled; however, the propane tanks and all related systems shall be checked as part of the PDI to ensure that they function properly and as designed.
3) The RV shall be delivered with a new, unused battery charged and connected so that all 12 volt Direct Current (DC) systems can operate. All DC systems shall have operation verified as performing properly as part of the PDI check.
4) The contractor shall provide any check list (original preferred; however a legible copy is acceptable) used for the PDI inspection to the FEMA employee receiving the RV.
5) RVs are not accepted upon delivery until they have been inspected by FEMA or the agency’s representative. FEMA’s inspection at time of receipt does not limit or relive the RV provider or the RV manufacturer of any warrantee or other legal obligation.
6) All Travel Trailers must be built and readily available for delivery when quote is submitted.
Price Proposal:
The price that the offeror is quoting to the government shall be provided to the government on a separate documents in Excel format, see Attachment B (i.e., a spreadsheet listing vehicle identification number, Manufacture, model, and floorplan identification, unit price and per unit shipping price).
For consideration in obtaining an award for Travel Trailers, all Offerors must provide their DUN & Bradstreet number and have an active SAM.gov registration.

52.211-6 BRAND NAME OR EQUAL (AUG 1999)
(a) If an item in this solicitation is identified as “brand name or equal,” the purchase description reflects the characteristics and level of quality that will satisfy the Government’s needs. The salient physical, functional, or performance characteristics that “equal” products must meet are specified in the solicitation.
(b) To be considered for award, offers of “equal” products, including “equal” products of the brand name manufacturer, must—
(1) Meet the salient physical, functional, or performance characteristic specified in this solicitation;
(2) Clearly identify the item by—
(i) Brand name, if any; and
(ii) Make or model number;
(3) Include descriptive literature such as illustrations, drawings, or a clear reference to previously furnished descriptive data or information available to the Contracting Officer; and
(4) Clearly describe any modification the offeror plans to make in a product to make it conform to the solicitation requirements. Mark any descriptive material to clearly show the modification.
(c) The Contracting Officer will evaluate “equal” products on the basis of information furnished by the offeror or identified in the offer and reasonably available to the Contracting Officer. The Contracting Officer is not responsible for locating or obtaining any information not identified in the offer.
(d) Unless the offeror clearly indicates in its offer that the product being offered is an “equal” product, the offeror shall provide the brand name product referenced in the solicitation.
52.212-2 EVALUATION - COMMERCIAL ITEMS. (OCT 2014)
(a) The Government will award a contract(s) resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
1) Travel Trailer(s) meet the specifications the government has requested
2) Price
(Contracting Officer shall insert the significant evaluation factors, such as (i) technical capability of the item offered to meet the Government requirement; (ii) price; (iii) past performance (see FAR 15.304); and include them in the relative order of importance of the evaluation factors, such as in descending order of importance.)
Technical and past performance, when combined, are [ ] (Contracting Officer state, in accordance with FAR 15.304, the relative importance of all other evaluation factors, when combined, when compared to price.)
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. INVOICE INSTRUCTIONS (FIXED PRICE)
The contractor shall submit a monthly invoice upon delivery and acceptance of all supplies or services as specified in the Section B clause, “Consideration and Payment”. Invoices shall be submitted as follows:
Contractors will use Standard Form 1034 (Public Voucher for Purchases and Services Other Than Personal) and SF 1035 Continuation sheet when requesting payment for supplies or services rendered. The voucher must provide a description of the supplies or services, by line item (if applicable), quantity, unit price, and total amount. The item description, unit of measure, and unit price must match those specified in the contract. Invoices that do not match the line item pricing in the contract will be considered improper and will be returned to the Contractor.

3052.209-70 PROHIBITION ON CONTRACTS WITH CORPORATE EXPATRIATES. (JUN 2006)
(a) Prohibitions.
Section 835 of the Homeland Security Act, 6 U.S.C. 395, prohibits the Department of Homeland Security from entering into any contract with a foreign incorporated entity which is treated as an inverted domestic corporation as defined in this clause, or with any subsidiary of such an entity. The Secretary shall waive the prohibition with respect to any specific contract if the Secretary determines that the waiver is required in the interest of national security.
(b) Definitions. As used in this clause:
Expanded Affiliated Group means an affiliated group as defined in section 1504(a) of the Internal Revenue Code of 1986 (without regard to section 1504(b) of such Code), except that section 1504 of such Code shall be applied by substituting 'more than 50 percent' for 'at least 80 percent' each place it appears.
Foreign Incorporated Entity means any entity which is, or but for subsection (b) of section 835 of the Homeland Security Act, 6 U.S.C. 395, would be, treated as a foreign corporation for purposes of the Internal Revenue Code of 1986.
Inverted Domestic Corporation. A foreign incorporated entity shall be treated as an inverted domestic corporation if, pursuant to a plan (or a series of related transactions)-
(1) The entity completes the direct or indirect acquisition of substantially all of the properties held directly or indirectly by a domestic corporation or substantially all of the properties constituting a trade or business of a domestic partnership;
(2) After the acquisition at least 80 percent of the stock (by vote or value) of the entity is held-
(i) In the case of an acquisition with respect to a domestic corporation, by former shareholders of the domestic corporation by reason of holding stock in the domestic corporation; or
(ii) In the case of an acquisition with respect to a domestic partnership, by former partners of the domestic partnership by reason of holding a capital or profits interest in the domestic partnership; and
(3) The expanded affiliated group which after the acquisition includes the entity does not have substantial business activities in the foreign country in which or under the law of which the entity is created or organized when compared to the total business activities of such expanded affiliated group.
Person, domestic, and foreign have the meanings given such terms by paragraphs (1), (4), and (5) of section 7701(a) of the Internal Revenue Code of 1986, respectively.
(c) Special rules. The following definitions and special rules shall apply when determining whether a foreign incorporated entity should be treated as an inverted domestic corporation.
(1) Certain stock disregarded. For the purpose of treating a foreign incorporated entity as an inverted domestic corporation these shall not be taken into account in determining ownership:
(i) Stock held by members of the expanded affiliated group which includes the foreign incorporated entity; or
(ii) Stock of such entity which is sold in a public offering related to an acquisition described in section 835(b)(1) of the Homeland Security Act, 6 U.S.C. 395(b)(1).
(2) Plan deemed in certain cases. If a foreign incorporated entity acquires directly or indirectly substantially all of the properties of a domestic corporation or partnership during the 4-year period beginning on the date which is 2 years before the ownership requirements of subsection (b)(2) are met, such actions shall be treated as pursuant to a plan.
(3) Certain transfers disregarded. The transfer of properties or liabilities (including by contribution or distribution) shall be disregarded if such transfers are part of a plan a principal purpose of which is to avoid the purposes of this section.
(d) Special rule for related partnerships. For purposes of applying section 835(b) of the Homeland Security Act, 6 U.S.C. 395(b) to the acquisition of a domestic partnership, except as provided in regulations, all domestic partnerships which are under common control (within the meaning of section 482 of the Internal Revenue Code of 1986) shall be treated as a partnership.
(e) Treatment of Certain Rights.
(1) Certain rights shall be treated as stocks to the extent necessary to reflect the present value of all equitable interests incident to the transaction, as follows:
(i) warrants;
(ii) options;
(iii) contracts to acquire stock;
(iv) convertible debt instruments; and
(v) others similar interests.
(2) Rights labeled as stocks shall not be treated as stocks whenever it is deemed appropriate to do so to reflect the present value of the transaction or to disregard transactions whose recognition would defeat the purpose of Section 835.
(f) Disclosure. The offeror under this solicitation represents that (Check one):

[] it is a foreign incorporated entity that should be treated as an inverted domestic corporation pursuant to the criteria of (HSAR) 48 CFR 3009.108-7000 through 3009.108-7003, but it has submitted a request for waiver pursuant to 3009.108-7004, which has not been denied; or

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS. (JUL 2013)
(a) Definitions. As used in this provision-
"Administrative proceeding" means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings).
This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.
"Federal contracts and grants with total value greater than $10,000,000" means-
(1) The total value of all current, active contracts and grants, including all priced options; and
(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).
"Principal" means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(c) If the offeror checked "has" in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:
(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:
(i) In a criminal proceeding, a conviction.
(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.
(iii) In an administrative proceeding, a finding of fault and liability that results in-
(A) The payment of a monetary fine or penalty of $5,000 or more; or
(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.
