Statement of Work

Access to a commercial business database that features general search, monitoring, and unique screening capabilities for domestic and international-based business entities.

Qty: Not to exceed 10 DSS users.

The database must contain the following features:

1. Identifiers:

Database must assign unique identifiers such as an alpha-numeric code to allow for precise matching between entity name and DSS proprietary data sets.

2. Batch Import Capability:

Database must be capable of uploading unlimited batch listings of DSS proprietary information, specifically by entity name and ticker symbol.

3. Monitoring/Alert Service:

Database must include the ability to monitor and alert the user of business entity material change conditions against DSS batch listing of proprietary, private business structures such as all Securities Exchange Commission (SEC) filings to include but not limited to (8K, 13F, 13G), announced/completed transactions, mergers/acquisitions, bankruptcies, company forecasts/ratings, dividend and stock splits, ownership changes, public offerings, officer changes, deal announcements, corporate communications, and upcoming events. The service must offer delivery options ranging from customer personal email notification to batch listings. Results must be exportable to Microsoft Word and Excel.

Platform must include the capability to internally screen, filter, and group private investment fund structures such as limited liability corporations, limited partnerships, hedge funds, sovereign wealth funds and other private entities, by primary geographic location. Platform must also have subset screening capability to group the data by investment categories such as direct investment, equity stake, ownership percentage, limited partnership interests, capital commitment level, and corporate structure.

4. Analytical Platform Tool/Screening Mechanism:

Platform also must possess the capability to export previously developed screens and watch lists to Microsoft Word and Excel. Identify current and historical common stock positions by date/month/year. Stock positions must hyperlink directly to their respective SEC files. Data must be exportable to Microsoft Excel and Word. Screen private institutions for offshore capital contributions, by region/location. Identify private and public investors with ownership summary broken down by type and detailed information about stock holders. Stock holder information must be displayable alphabetically, by common stock equivalent held, percent of common stock etc. Provide customizable merger and acquisition charts containing historical timelines for M&A data. Display timelines for prior, current, and pending global investments for business entities of all types (corporations, limited liability corporations, partnerships, sole proprietorships, etc).

Must be exportable to Microsoft excel and word.

5. Financial Statement Analysis:

Search results must contain business financial data to include income statements, balance sheets, cash flow statements, financial multiples, capital structure, common ratios, industry specific information, and market segment details. Financial ratios must be pre-calculated. Financial information obtained by the service provider through SEC filings must be hyperlinked.

6. Management Personnel:

Provide professional profiles and biographical information for chief executives, board directors/members, and other key professionals. Profiles must include title, office, job functions, board memberships) and business (public and private) affiliation information (both current and prior). Results must be exportable to Microsoft excel and word.

Provide compensation information and options/award details for chief executives, board directors/members, and other key professionals.

7. Customer Support:

Must provide customer service to assist users in tailoring and developing means of utilizing screening platform, and map DSS proprietary data using unique identifiers with datasets contained in commercial database.

(a) The Government may extend the term of this contract by written notice to the Contractor within 15 days;

provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 18 Months.

52.225-25 Prohibition on Contracting with Entities Engaging in Certain Activities or Transactions Relating to Iran- -Representation and Certifications. (DEC 2012)

(a) Definitions. As used in this provision--

Person--

(1) Means--

(i) A natural person;

(ii) A corporation, business association, partnership, society, trust, financial institution, insurer, underwriter, guarantor, and any other business organization, any other nongovernmental entity, organization, or group, and any governmental entity operating as a business enterprise; and

(iii) Any successor to any entity described in paragraph (1)(ii) of this definition; and

(2) Does not include a government or governmental entity that is not operating as a business enterprise.

Sensitive technology--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

(b) The offeror shall email questions concerning sensitive technology to the Department of State at CISADA106@state.gov.

(c) Except as provided in paragraph (d) of this provision or if a waiver has been granted in accordance with 25.703- 4, by submission of its offer, the offeror—

(1) Represents, to the best of its knowledge and belief, that the offeror does not export any sensitive technology to the government of Iran or any entities or individuals owned or controlled by, or acting on behalf or at the direction of, the government of Iran;

(2) Certifies that the offeror, or any person owned or controlled by the offeror, does not engage in any activities for which sanctions may be imposed under section 5 of the Iran Sanctions Act. These sanctioned activities are in the areas of development of the petroleum resources of Iran, production of refined petroleum products in Iran, sale and provision of refined petroleum products to Iran, and contributing to Iran's ability to acquire or develop certain weapons or technologies; and

(3) Certifies that the offeror, and any person owned or controlled by the offeror, does not knowingly engage in any transaction that exceeds $3,000 with Iran's Revolutionary Guard Corps or any of its officials, agents, or affiliates, the property and interests in property of which are blocked pursuant to the International Emergency Economic Powers Act (50 U.S.C. 1701 et seq.) (a) In accordance with section 101(a) of Division A of the Continuing Appropriations Act, 2014 (Pub. L. 113-46), none of the funds made available by that Act for DoD (including Military Construction funds) may be used to enter into a contract with any corporation that—

252.232-7003 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS AND RECEIVING REPORTS

(JUNE 2012)

(a) Definitions. As used in this clause–

(1) Contract financing payment and invoice payment have the meanings given in section 32.001 of the Federal Acquisition Regulation.

(2) Electronic form means any automated system that transmits information electronically from the initiating system to all affected systems. Facsimile, e-mail, and scanned documents are not acceptable electronic forms for submission of payment requests. However, scanned documents are acceptable when they are part of a submission of a payment request made using Wide Area WorkFlow (WAWF) or another electronic form authorized by the Contracting Officer.

(3) Payment request means any request for contract financing payment or invoice payment submitted by the Contractor under this contract.

(4) Receiving report means the data required by the clause at 252.246-7000, Material Inspection and Receiving Report.

(b) Except as provided in paragraph (c) of this clause, the Contractor shall submit payment requests and receiving reports using WAWF, in one of the following electronic formats that WAWF accepts: Electronic Data Interchange, Secure File Transfer Protocol, or World Wide Web input. Information regarding WAWF is available on the Internet at https://wawf.eb.mil/.

(c) The Contractor may submit a payment request and receiving report using other than WAWF only when–

(1) The Contracting Officer administering the contract for payment has determined, in writing, that electronic submission would be unduly burdensome to the Contractor. In such cases, the Contractor shall include a copy of the Contracting Officer's determination with each request for payment;

(2) DoD makes payment for commercial transportation services provided under a Government rate tender or a contract for transportation services using a DoD-approved electronic third party payment system or other exempted vendor payment/invoicing system (e.g., PowerTrack, Transportation Financial Management System, and Cargo and Billing System);

(3) DoD makes payment for rendered health care services using the TRICARE Encounter Data System (TEDS) as the electronic format; or

(4) When the Governmentwide commercial purchase card is used as the method of payment, only submission of the receiving report in electronic form is required.

(d) The Contractor shall submit any non-electronic payment requests using the method or methods specified in Section G of the contract.

(e) In addition to the requirements of this clause, the Contractor shall meet the requirements of the appropriate payment clauses in this contract when submitting payments requests.

252.232-7006 WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (MAY 2013)

(a) Definitions. As used in this clause--

Department of Defense Activity Address Code (DoDAAC) is a six position code that uniquely identifies a unit, activity, or organization.

Document type means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

Local processing office (LPO) is the office responsible for payment certification when payment certification is done external to the entitlement system.

(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(c) WAWF access. To access WAWF, the Contractor shall--

(1) Have a designated electronic business point of contact in the System for Award Management at https://www.acquisition.gov; and

(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this Web site.

(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/.

ORGANIZATIONAL CONFLICTS OF INTEREST

Subpart 9.5 as a situation in which the nature of work under a Government contract and a Contractor's organizational, financial, contractual or other interests are such that:

(1) Award of the contract may result in an unfair competitive advantage; or

(2) The Contractor's objectivity in performing the Contract work is or might be otherwise may be impaired.

(b) The Contractor agrees that if after award it discovers an organizational conflict of interest with respect to this Task Order, it shall make an immediate and full disclosure in writing to the Contracting Officer, which shall include a description of the action(s) that the Contractor has taken or intends to take to mitigate, eliminate, or neutralize the conflict.

(c) The provisions of this clause shall be included in all subcontracts and consulting agreements wherein the work to be performed is similar to the service provided by the prime contractor under this Task Order. The Contractor shall include in such subcontracts and consulting agreements any necessary provisions to mitigate, eliminate, or neutralize organizational conflicts of interest.

(d) The Contracting Officer has determined, however, that the nature of the work to performed under this Task Order may give rise to potential perceived or actual organizational conflicts of interest in future DSS contracts. Accordingly, Contractor and DSS have agreed to the following conditions:

(1) Contractor shall not be required to develop specifications or statements of work that are to be incorporated into any DSS solicitation;

(2) Contractor shall not be provided any Government cost estimates, source-selection information, or third-party proprietary technical or cost data; and

(3) For any follow-on related contracts, DSS will establish a bidders’ library and make available all of the documents and data collected or reviewed by Contractor in performance of the Task Order.

(e) Additionally, Contractor understands that for any related follow-on contract, it may be required to provide a statement which describes concisely all relevant facts concerning any past, present or planned interest (financial, contractual, organizational, or otherwise) relating to the work to be performed under the proposed contract and bearing on whether the offeror has a possible organizational conflict of interest with respect to:

(1) Being able to render impartial and objective assistance or advice; or

(2) Being given an unfair competitive advantage. The offeror may also provide relevant facts that show how its organizational structure and/or management systems limit its knowledge of possible organizational conflicts of interest relating to other divisions or sections of the organization and how that structure or system would avoid or mitigate such actual or perceived organizational conflict.

Contractor understands that no award shall be made until any potential conflict of interest has been neutralized or mitigated to the satisfaction of the Contracting Officer, or unless a waiver has been granted.

1.1. A firm-fixed purchase order will be awarded to the responsible quoter that submits the lowest-price technically acceptable quote in accordance with FAR 13 and FAR 12. Only the Contracting Officer has the authority to: (1) direct or negotiate any changes in the SOW; (2) modify or extend the period of performance; (3) change the delivery schedule,

(4) authorize reimbursement to the Contractor for any costs incurred during the performance of this contract;

or (5) otherwise change any terms and conditions of the contract.
