DMEA J&A # 17-02

Defense Microelectronics Activity 4234 54th Street, McClellan, CA 95652

SOW#17-7A0

Justification and Approval for Other Than Full and Open Competition

1. Agency and Contracting Activity:

Office Of Secretary Of Defense, Defense Microelectronics Activity (DMEA).

2. Nature/Description of Action:

This is a new requirement to purchase software upgrades and support for the existing DMEA Mentor Graphics Design Environment using other than full and open competition procedures.

This software (SW) design tool suite is in support of the DMEA mission and advanced microelectronics technology application programs. This contract will be Firm Fixed Price (FFP) using R&D funds.

3. Description of Supplies/Services:

The contractor shall provide software upgrades and software support for the DMEA Mentor Graphics Design Environment residing in Building 620, Room 134. Mentor Graphics is an Electronic Design Automation (EDA) company that integrates various applications and tools in a single framework to support all the stages of intergrated circuit (IC) design and verification.

These tools support different IC fabrication technologies within DMEA and external to DMEA.

Additionally, the Mentor Graphics toolset is the primary software tool that is used to support various process design kit (PDK) development and design verification in nanometer technologies.

The software maintenance renewal estimated value is approximately: $198,000.00 for one year.

A. The contractor shall provide the items identified in Appendix A of the Mentor Graphics Design Environment Performance Specification.

4. Authority Cited:

FAR 13.501(a)(1)(ii) Test Program for Certain Commercial Items, this document constitutes justification for other than full and open competition for the acquisition described herein, under the authority of 41 U.S.C. 1901.

5. Reason for Authority Cited:

a. The following source represents the only source capable of providing the required software.

Mentor Graphics RPI Office 1001 Ridder Part Drive San Jose, CA 95131 Mentor Graphics Contact: Cecilia Luna Contact Phone: 503-685-7820 Contact Fax: 503-685-7742 Contact Email: cecilia_luna@mentor.com

b. The DMEA Mentor Graphics Design Environment, an existing system, is a proprietary, one-of-a-kind design and simulation tools suite. Mentor Graphics is the sole seller and does not license any other vendor to sell this software. The cost incurred to switch to another vendor would cost more than the software maintenance of the current software tool. Cadence Design System has a similar software to Mentor Graphics Calibre called Assura Parasitic Extractor. The estimated $300K cost of this new software tool, not including software maintenance, costs over $100K more than our current software maintenance for Mentor Graphics alone. A more critical factor is the resultant failure of DMEA to meet the requirements of its multiple varied customers due to implementation of any new similar software system. Retraining the engineering staff in a completely new software tool simulation environment would be costly both in time (6-12 man-months) and money ($300K).

6. Efforts to Obtain Competition:

This acquisition will be posted on the Federal Business Opportunities (FebBizOpps) website. At this time, no other sources have been identified who have the complete capabilities required to meet the requirements identified in the Performance Specification.

7. Market Research:

Market research that was conducted using the following elements to make our determination:

Reviewed catalogs and other generally available product literature published by manufacturers, distributors, and dealers available on the internet.

It was found that no other vendors possess the ability to meet the requirements. (See Paragraph 5b. for specifics).

8. Other Facts:

None

9. Listing of Sources:

No second source exists for this system. Reverse engineering and duplication of efforts would result in substantial expense to the government as well an adverse impact to the schedule.

For reference, the following sole source contracts were previously awarded to Mentor Graphics for similar efforts (software upgrade and support):

DMEA H94003-12-C-1201

DMEA H94003-13-C-1304

DMEA HQ0727-14-C-1402

10. Actions to Increase Competition:

None

11. Technical or Requirements Certification:

I certify that the supporting data under my cognizance which are included in the justification are accurate and complete to the best of my knowledge and belief.

PCO Determination

I hereby determine that under FAR 13.501 (a)(2)(i), and FAR 5.102(a)(6), that the procedures in FAR subpart 13.5, were followed and under the authority of 41 U.S.C. 1901, that only one source exists to meet government needs. This determination satisfies the requirements of FAR 13.106-1(b) and FAR 13.106-3(b)(3)(i).

I hereby determine that the anticipated cost to the Government for this contract action to be fair and reasonable, and this justification is accurate and complete to the best of my knowledge.
