MISSILE DEFENSE AGENCY

JUSTIFICATION AND APPROVAL

FOR OTHER THAN FULL AND OPEN COMPETITION

1. Introduction.

Upon the basis of the following justification, I, as the Director for Acquisition for the Missile

Defense Agency, hereby approve the issuance of the contractual action discussed below using other than full and open competition, pursuant to the authority cited herein.

2. Agency and Contracting Activity (FAR 6.303-2(b)(1)).

This Justification and Approval (J&A) is for the Missile Defense Agency (MDA) Consolidated

Support Program Office to provide Advisory and Assistance Services (A&AS) supporting the

Engineering Directorate. The contracting activity is MDA/DACM, which provides contracting support to the Consolidated Support (CS) program. The point of contact for this action is

3. Nature and Description of the Action Being Approved, (FAR 6.303-2(b)(2)).

This J&A is needed to ensure MDA has no lapse in service between current MiDAESS task orders supporting the Engineering Directorate for Systems Engineering (DE-01-14) and

Modeling and Simulation Engineering (DE-10-14), expiring August 2016 and the future

Technical, Engineering, Advisory, and Management Support (TEAMS) competitive contract award.

The bridge contract supporting the Engineering Directorate will have a period of performance for up to 8 months to allow for uninterrupted, high-quality, experienced personnel providing A&AS support. This will be a cost plus fixed fee contract with a four month base and one four-month option. The funding for this bridge contract will be provided by the existing stakeholders on the current DE-01-14 and DE-10-14 MiDAESS task orders.

4. Description of the Supplies and/or Services Required to Meet the Agency’s Needs

(including the estimated value), (FAR 6.303-2(b)(3)).

This contract will provide A&AS between 2016 and 2017 at an estimated cost of $41.04M, inclusive of options. The proposed effort will provide uninterrupted support and continuity within the MDA engineering community in these broad categories:

- Professional technical and engineering services to provide mission essential support for day-to-day Agency operations

- BMDS architecture development and initial technical baseline definition and design

- BMDS integration, test, and verification

- Develop, manage, and execute high-fidelity models and simulations for building and operating the BMDS

Current task order spend rates were used as a basis to estimate the value for the bridge. The

MDA will use fiscal year 2016 Research, Development, Test & Evaluation funding for the bridge. The estimated value for the bridge is described below.

5. Statutory Authority Permitting Other than Full and Open Competition (FAR 6.303-

2(b)(4)).

The statutory authority permitting other than full and open competition is 10 USC 2304(c)(1), as implemented by Federal Acquisition Regulation (FAR) 6.302-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements. Any break in A&AS will significantly increase program costs and/or delay program schedules. A disruption of contractor support on this effort will have resounding effects on continuity of the MDA mission. This J&A precludes MDA organizations from processing individual documents to request this same authorization.

6. Demonstration of Contractor’s Unique Qualifications or the Nature of the Acquisition

Requires Use of the Authority Cited (FAR 6.303-2(b)(5)).

Parsons Government Services is currently providing highly specialized and critical support services to the Missile Defense Agency. In an effort to increase efficiency in contracting and to eliminate duplicative contractual vehicles, MDA is in the process of executing the TEAMS follow-on support services acquisition. However, this Request for Proposal (RFP) and award process for the TEAMS Systems Engineering contract will not be completed by the end of the current periods of performance for DE-01-14 and DE-10-14. The fast-paced and overarching nature of the Agency integration activities is so tightly interdependent that a disruption in one organization will have a ripple effect across multiple programs and these consequences are detrimental. The most effective way to ensure continuity of operations while the agency completes the TEAMS Systems Engineering acquisition is to “bridge” the A&AS effort with the incumbent contractor until the work can be transferred to the TEAMS competitive acquisition.

A sole source bridge contract would require reduced support from the agency to award, reducing strain on pricing, technical, acquisition, and contracting staff resources while ensuring continuity of services pending the TEAMS competition. Directing full resources to the TEAMS effort will allow Agency resources to devote their efforts to quickly completing the TEAMS RFPs to encourage competition and reduce overall costs. This also avoids creating a domino effect of requiring additional bridge contracts. A sole source bridge contract would also decrease the risk for MDA by ensuring continuity of the highly specialized services currently being provided by the incumbent contractor. The current incumbent contractor, Parsons Government Services, has over five years of experience with MDA and has developed specialized skills and intimate knowledge of MDA’s engineering practices. Parsons has also played a substantial role in the development of the BMDS and the associated test program. Approval of a sole source bridge contract would also eliminate the need to orient a new contractor to the Agency’s mission, thereby reducing any negative impact to the Agency’s ability to conduct its mission of developing and maintaining the BMDS. This would also be cost effective, as the ramp up time that would be needed for a new contractor to become proficient with the Agency’s engineering practices would be eliminated.

7. Description of Market Research Conducted (FAR 6.303-2(b)(6)(8) and (10)).

This sole source action is for continuation of existing work for which market research was conducted at the time of initial contract award. However, the follow-on TEAMS program conducted market research for future A&AS work. Based on the results of the TEAMS market research, extensive competition is expected with the TEAMS Systems Engineering contract which will be a Full & Open competition.

A sources sought synopsis was posted to the FedBizOpps website to inform prospective sources of MDA’s intention to award a sole source bridge contract on March 31, 2016. No responses were received from industry expressing an interest in, or questioning, the acquisition. Any additional responses received will be assessed but sources expressing interest are not a viable competitor.

Per FAR Part 6.305(a), MDA will electronically post a copy of this justification to the

FedBizOpps website stating the Agency’s intent to award a sole source bridge contract to the existing contractor to provide mission-essential professional, scientific, engineering, technical, and support services.

8. Determination of Fair and Reasonable Cost (FAR 6.303-2(b)(7)).

The Government retains detailed data on the incumbent contractor’s performance on current contracts and has access to cost/pricing data on other contractors who perform similar service contracts using comparable labor categories. Thorough price analyses of proposed prices for the bridge periods will be conducted. This analysis will include comparisons of proposed prices to prices previously incurred under these contracts, as well as market analyses for similar services performed by other contractors. Certified cost and pricing data will be required since the estimated value is over $700k and does not meet any condition for exemption. Additionally, cost and price analysis will be conducted. These efforts will provide the Contracting Officer with sufficient data to determine overall price reasonableness of the intended sole source award.

9. Actions Taken to Remove Barriers to Competition (FAR 6.303-2(b)(11)).

There are no known barriers to future competition. MDA will compete this effort using competitive procurement procedures under the TEAMS acquisition strategy before the end of the bridge contract’s period of performance. The effort proposed in this J&A ensures mission critical needs are met throughout the Agency. The TEAMS acquisition is ongoing and the positive feedback from over 400 participants in the February 2015 industry day indicates an understanding of and support for the TEAMS acquisition strategy.
