52.212-1 ADDENDUM – INSTRUCTIONS TO OFFERORS - -
COMMERCIAL ITEMS (DEC 2006)
The following paragraphs of 52.212-1 have been augmented, amended, or added as indicated below.
(b)The vendor shall submit documentation illustrating their approach to satisfying the requirements of the solicitation. Quotes must be clear, coherent, and prepared in sufficient detail for effective evaluation of the vendor’s submission against the evaluation criteria. All quotes must be provided on the attached pricing sheet (Attachment 5). The government will not accept alternative pricing. All correspondence in conjunction with this solicitation should be directed to the Government Contract Specialist identified below:

• Names, titles, and telephone and facsimile numbers, and electronic addresses of persons authorized to negotiate on the vendor’s behalf with the Government in connection with this solicitation
• Name, title, and signature of person authorized to sign the quote. Quotes signed by an agent shall be accompanied by evidence of that agent’s authority, unless that evidence has been previously furnished to the issuing office.
(b)(4) The Technical Description shall address the following factors:
Factor 1 – Technical Capability. The technical capability section shall be a comprehensive statement of the vendor’s understanding of the work required in the Specifications Doc (referred to hereafter as SD) at Attachment 1.
i. Subfactor 1: Software & Technical Specifications: The vendor shall provide the following:
Detailed narrative of the vendor’s ability to manage and perform the requirements of the solicitation, to include the vendor’s approach to thoroughly performing all of the Stand-Alone Encyclopedia Database technical requirements stated in the SD and Technical Exhibit 1.
The narrative shall describe how the vendor’s proposed software and solution meets or exceeds the Government’s required elements as follows:
A – Compatibility, in accordance with SD 3.1.2 Offeror provides evidence that this solution (1) can integrate with DoDEA’s learning management system and/or Google drive, and (2) can interface with Follett’s Destiny Library Manager.
B – Privacy, in accordance with SD 3.2.5 and 4.5.6 Offeror provides evidence that it meets DoDEA’s Privacy requirement.
C – Grade Band Appropriate, in accordance with SD 3.1.1.2 (5) Offeror provides an encyclopedia that provides reading level, vocabulary and conceptual level for appropriate grade band of the students.
D – Access The vendor shall ensure the standalone online encyclopedias:
1.) Are easy to access/use, SD 3.1.1.2 (1).
2.) Are able to be saved, printed, and that articles can be shared, SD 3.1.1.2 (4).
3.) Can be accessed by staff/students at their school and their homes, SD 3.1.2.3 (1).
E – Virtual Learning Services, The vendor shall provide virtual learning services, SD 3.1.4.
ii. Subfactor 2: Characteristics, in accordance with SD 3.1.1.2, Vendor shall provide a Standalone Online encyclopedia database that:
1) Provides colorful interface with graphics and read aloud function for text, and
2) Allows users to:
a) Access and search based on grade bands, such as Elementary, Middle School and High School;
b) Conduct simple and advanced searches;
c) Access/view text, images, maps, charts, sounds, animation, and film
d) Save digital elements from the encyclopedia (such as links, articles, images, digital video) and embed them in virtual reference tools and other online tools used to design digital or virtual instruction; and
e) Access on-demand librarian tools, teacher tips, lesson plans, and user tutorials within the encyclopedia product.
iii. Subfactor 3- Government IT Compliance Requirements: The vendor shall explain and provide documentation showing how the Government will be able to remotely access the proposed system for advance testing that will ensure the system meets the Government’s functional and security requirements. (Technical Exhibit 1) The vendor must submit:
1. A fully executed Cloud Questionnaire at Attachment 2
2. A fully executed “Addendum to License Agreement or Terms of Use” at Attachment 3 and a copy of the license agreement for the proposed system.
3. A fully executed GPAT form at Attachment 4.
The narrative shall not exceed a total of 35 pages, including any graphics, photographs, brochures, pamphlets, charts, and diagrams. Page size shall be 8.5 inches x 11 inches or A4 and text font size no smaller than size 11.
Number pages sequentially, when feasible. Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the quote. Pages shall only include graphics, photographs, brochures, pamphlets, charts, and diagrams for the purpose of depicting the technical approach.
(b)(10) Factor 2- Past Performance The vendor shall provide at least three (3) Past Performance references. These references shall be from relevant and recent contracts, subcontracts, and/or task/delivery orders. Relevant efforts are defined as any efforts that are of similar size and scope as the solicitation. Recent efforts are defined as those performed to any extent within the last three (3) years prior to the closing date of this solicitation. These efforts shall be the same or similar in type, size and complexity as the requirements of this contract. The following information shall be included for each reference as applicable:
1. Company or Organization receiving the goods and services
2. Point of Contact with knowledge of the goods and services received and the vendor’s performance:
• First and Last name
• Job Title
• Phone Number(s)
• eMail Address
3. Description of the deliverable(s) and/or service provided, including the location of the service and its relevancy to the requirements of this solicitation effort (if not obvious).
4. Contract/Task Order Number, if any
5. Date(s) or Period of Performance deliverable(s) and/or services were provided
6. Total contract and/or task order value of the deliverable(s)/services provided
7. Copy of letter sent to company offering the reference’s the Point-of-Contact (POC) to discuss contract performance with Government evaluators.
*Please note that if a vendor does not have three (3) past performance references to submit in accordance with the above submittal requirement, the vendor shall note this information in their quote. Failure to provide this information shall remove the vendor from further consideration.
(b)(6) Factor 3 – Price: The Vendor shall insert the proposed price in the solicitation schedule and Pricing Sheet (Attachment 5) for each Contract Line Item Number (CLIN) to include the unit price, amount and total amount listed in the Schedule for the base year and option periods. All items must have a price to be considered for award.
The Government will NOT accept alternative pricing.
(b)(11) Quote Submission: Quotes shall be submitted via electronic mail (email) to the Contract Specialist, Desmond Scott; email: Mr. Desmond Scott Desmond.Scott@dodea.edu .
Quotes WILL NOT be accepted by mail or hand delivery. Quotes must be received no later than the date and time specified in Block 8 of the SF 1449.
i. E-mail subject line shall include the following information: Solicitation number, vendor’s company name, and number of emails if applicable (e.g. 1 of 3).
ii. Electronic files shall be clearly labeled and compatible with Windows 10, Microsoft Office 2013 and Adobe Acrobat DC.
iii. It is the vendor’s responsibility to ensure receipt of the quote, any modifications, or revisions before the closing date and time specified in the solicitation.
iv. Notice: DoDEA HQ has a size limitation of 10MB for each email to a DoDEA HQ email addressee. Accordingly, the vendor is solely responsible for ensuring that the vendor's quote or correspondence successfully transmits to, and is received by, its intended DoDEA HQ email addresses. The vendor is advised to immediately contact the intended email addresses for acknowledgement email receipt of the vendor’s email quote and attachments (as applicable).
(c) Period for acceptability of quote: This paragraph (c) is changed to read as follows:
The vendor agrees to hold the prices in its quote firm for 60 calendar days from the date specified for receipt of quote, unless another time period is specified in an amendment to the solicitation.
(n) QUESTIONS: Questions regarding this requirement shall be submitted electronically to the Contract Specialist, Mr. Desmond Scott at Desmond.Scott@dodea.edu, and the Contracting Officer, Ms. Georgette Hendricksen at Georgette.Hendricksen@hq.dodea.edu no later than 4:00 PM Eastern Standard Time (EST) five business days before quotations are due. No questions will be accepted after this cut-off time and date.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a purchase order resulting from this solicitation to the responsible Vendor who submits the quote that receives an Acceptable rating for Technical Capability and an Acceptable/Neutral Past Performance rating and has the lowest total evaluated price. Award shall be made in accordance with FAR 13.106-
2. The following factors shall be used to evaluate quotes: Technical Capability, Past Performance, and Price.
Factor 1. Technical Capability. The Government will evaluate the Vendor’s technical capability, including each sub-factor element listed below, in accordance with the following ratings: Any unacceptable rating in a sub-factor makes the overall factor unacceptable.
Note: Specifications Document will be referred to as (SD).
Rating Description Acceptable Quote meets the requirements of the solicitation.
Unacceptable Quote does not meet the requirements of the solicitation.
The Government will evaluate the following Sub-factors under Factor 1.

(2) Enables users to:
(a) Search based on grade bands, such as Elementary, Middle School and High School;

Pass: The vendor submits a fully completed GPAT 508 Compliance Questionnaire and Cloud Questionnaire, passes all IT software testing, and accepts DoDEA’s addendum to the End User License Agreement.
(Based on the questionnaire, DoDEA’s IT department may need to do some testing to see if the vendor’s proposed software system meets DoDEA’s security requirements so that DoDEA can use it on its network. If testing is required, the vendor’s proposed software system must pass all IT checks)
Fail: The vendor does not submit, or submits an incomplete, GPAT 508 Compliance Questionnaire or Cloud Questionnaire; or does not pass all IT software testing; or does not accept DoDEA’s addendum to the End User License Agreement.
Factor 2, Past Performance:
The vendor’s past performance shall be evaluated to assess the vendor’s probability of meeting the minimum solicitation requirements. This assessment is based on the vendor’s record of relevant and recent past performance information that pertains to the services outlined in the solicitation requirements. Relevant efforts are defined as any efforts that are of similar size and scope of the solicitation. Recent efforts are defined as those performed to any extent within the last three (3) years prior to the closing date of the solicitation. Past performance will be rated on an “Acceptable,” “Neutral,” or “Unacceptable” basis.
Rating Description Acceptable Based on the vendor’s performance record, the Government has a reasonable expectation that the vendor will successfully perform the required effort, or the vendor’s performance record is unknown (see note below).
Neutral No recent and relevant performance record is available or the Vendor’s performance record is so sparse that no meaningful past performance assessment rating can be reasonably assigned. The Vendor may not be evaluated favorably or unfavorably on the factor of past performance.
Unacceptable Based on the vendor’s performance record, the Government does not have a reasonable expectation that the vendor will be able to successfully perform the required effort.
The Government may consider data available in the statistical reporting module of the Contractor Performance Assessment Reporting System (CPARS) regarding the vendor’s past performance history for the services being purchased. Information regarding past performance may also be obtained from any other sources available to the Government, to include but not limited to:
Federal Awardee Performance and Integrity Information System (FAPIIS); Electronic Subcontract Reporting System (eSRS); other federal databases; references from Program Managers and Contracting Officers; past customers, Government agencies and activities and other sources deemed necessary.
Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the vendor may not be evaluated favorably or unfavorably on past performance. In that case, the vendor will be determined to have “neutral” past performance, which shall be considered “acceptable.”
Factor 3, Price: Price will be evaluated utilizing techniques identified in FAR 13.106-2 and FAR 13.106(3)(a) to determine whether it is reasonable. This factor will be evaluated using one or more of the following price analysis techniques identified in FAR 13.106(3)(a). (NOTE: The quantity of 67,500 Each will be used to evaluate the base price and all option prices.)
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days of contract expiration provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months.

52.219-4 NOTICE OF PRICE EVALUATION PREFERENCE FOR HUBZONE SMALL BUSINESS
CONCERNS (DEVIATION 2019-O0003) (JAN 2019)
(a) Definitions. As used in this clause— “HUBZone small business concern” means a small business concern, certified by the Small Business Administration (SBA), that appears on the List of Qualified HUBZone Small Business Concerns maintained by the SBA (13 CFR 126.103).
“Similarly situated entity” means a first-tier subcontractor, including an independent contractor, that has the same small business program status as that which qualified the prime contractor for the award; as is considered small for the NAICS code the prime contractor assigned to the subcontract the subcontractor will perform. An example of a similarly situated entity is a first-tier subcontractor that is a HUBZone small business concern for a HUBZone set-aside or sole source award under the HUBZone Program.
(b) Evaluation preference.
(1) Offers will be evaluated by adding a factor of 10 percent to the price of all offers, except—
(i) Offers from HUBZone small business concerns that have not waived the evaluation preference; and
(ii) Otherwise successful offers from small business concerns.
(2) The factor of 10 percent shall be applied on a line item basis or to any group of items on which award may be made. Other evaluation factors described in the solicitation shall be applied before application of the factor.
(3) When the two highest rated offerors are a HUBZone small business concern and a large business, and the evaluated offer of the HUBZone small business concern is equal to the evaluated offer of the large business after considering the price evaluation preference, award will be made to the HUBZone small business concern.
(c) Waiver of evaluation preference. A HUBZone small business concern may elect to waive the evaluation preference, in which case the factor will be added to its offer for evaluation purposes. The agreements in paragraphs
(d) and (e) of this clause do not apply if the offeror has waived the evaluation preference.

(d) Independent contractors. An independent contractor shall be considered a subcontractor.

Any work that a similarly situated entity further subcontracts will count toward the 50 percent subcontract amount that cannot be exceeded;

(f) A HUBZone joint venture agrees that the aggregate of the HUBZone small business concerns to the joint venture, not each concern separately, will perform the applicable requirements specified in paragraph (d) of this clause.
(g) Notice. The HUBZone small business offeror acknowledges that a prospective HUBZone awardee must be a HUBZone small business concern at the time of award of this contract. The HUBZone offeror shall provide the Contracting Officer a copy of the notice required by 13 CFR 126.501 if material changes occur before contract award that could affect its HUBZone eligibility. If the apparently successful HUBZone offeror is not a HUBZone small business concern at the time of award of this contract, the Contracting Officer will proceed to award to the next otherwise successful HUBZone small business concern or other offeror.
52.225-25 PROHIBITION ON CONTRACTING WITH ENTITIES ENGAGING IN CERTAIN ACTIVITIES OR
TRANSACTIONS RELATING TO IRAN--REPRESENTATION AND CERTIFICATIONS. (AUG 2018)
(a) Definitions. As used in this provision--
Person--
(1) Means--
(i) A natural person;
(ii) A corporation, business association, partnership, society, trust, financial institution, insurer, underwriter, guarantor, and any other business organization, any other nongovernmental entity, organization, or group, and any governmental entity operating as a business enterprise; and
(iii) Any successor to any entity described in paragraph (1)(ii) of this definition; and
(2) Does not include a government or governmental entity that is not operating as a business enterprise.
Sensitive technology--
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
(b) The offeror shall email questions concerning sensitive technology to the Department of State at CISADA106@state.gov.
(c) Except as provided in paragraph (d) of this provision or if a waiver has been granted in accordance with 25.703- 4, by submission of its offer, the offeror—
(1) Represents, to the best of its knowledge and belief, that the offeror does not export any sensitive technology to the government of Iran or any entities or individuals owned or controlled by, or acting on behalf or at the direction of, the government of Iran;
(2) Certifies that the offeror, or any person owned or controlled by the offeror, does not engage in any activities for which sanctions may be imposed under section 5 of the Iran Sanctions Act. These sanctioned activities are in the areas of development of the petroleum resources of Iran, production of refined petroleum products in Iran, sale and provision of refined petroleum products to Iran, and contributing to Iran's ability to acquire or develop certain weapons or technologies; and
(3) Certifies that the offeror, and any person owned or controlled by the offeror, does not knowingly engage in any transaction that exceeds $3,500 with Iran's Revolutionary Guard Corps or any of its officials, agents, or affiliates, the property and interests in property of which are blocked pursuant to the International Emergency Economic Powers Act (50 U.S.C. 1701 et seq.) (a) Definitions. As used in this clause--
Adequate security means protective measures that are commensurate with the consequences and probability of loss, misuse, or unauthorized access to, or modification of information.
Compromise means disclosure of information to unauthorized persons, or a violation of the security policy of a system, in which unauthorized intentional or unintentional disclosure, modification, destruction, or loss of an object, or the copying of information to unauthorized media may have occurred.
Contractor attributional/proprietary information means information that identifies the contractor(s), whether directly or indirectly, by the grouping of information that can be traced back to the contractor(s) (e.g., program description, facility locations), personally identifiable information, as well as trade secrets, commercial or financial information, or other commercially sensitive information that is not customarily shared outside of the company.
Controlled technical information means technical information with military or space application that is subject to controls on the access, use, reproduction, modification, performance, display, release, disclosure, or dissemination.
Controlled technical information would meet the criteria, if disseminated, for distribution statements B through F using the criteria set forth in DoD Instruction 5230.24, Distribution Statements on Technical Documents. The term does not include information that is lawfully publicly available without restrictions.
Covered contractor information system means an unclassified information system that is owned, or operated by or for, a contractor and that processes, stores, or transmits covered defense information.
Covered defense information means unclassified controlled technical information or other information, as described in the Controlled Unclassified Information (CUI) Registry at http://www.archives.gov/cui/registry/category-list.html, that requires safeguarding or dissemination controls pursuant to and consistent with law, regulations, and Governmentwide policies, and is--
(1) Marked or otherwise identified in the contract, task order, or delivery order and provided to the contractor by or on behalf of DoD in support of the performance of the contract; or
(2) Collected, developed, received, transmitted, used, or stored by or on behalf of the contractor in support of the performance of the contract.
Cyber incident means actions taken through the use of computer networks that result in a compromise or an actual or potentially adverse effect on an information system and/or the information residing therein.
Forensic analysis means the practice of gathering, retaining, and analyzing computer-related data for investigative purposes in a manner that maintains the integrity of the data.
Information system means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information.
Malicious software means computer software or firmware intended to perform an unauthorized process that will have adverse impact on the confidentiality, integrity, or availability of an information system. This definition includes a virus, worm, Trojan horse, or other code-based entity that infects a host, as well as spyware and some forms of adware.
Media means physical devices or writing surfaces including, but is not limited to, magnetic tapes, optical disks, magnetic disks, large-scale integration memory chips, and printouts onto which covered defense information is recorded, stored, or printed within a covered contractor information system.
Operationally critical support means supplies or services designated by the Government as critical for airlift, sealift, intermodal transportation services, or logistical support that is essential to the mobilization, deployment, or sustainment of the Armed Forces in a contingency operation.
Rapidly report means within 72 hours of discovery of any cyber incident.
Technical information means technical data or computer software, as those terms are defined in the clause at DFARS 252.227-7013, Rights in Technical Data--Noncommercial Items, regardless of whether or not the clause is incorporated in this solicitation or contract. Examples of technical information include research and engineering data, engineering drawings, and associated lists, specifications, standards, process sheets, manuals, technical reports, technical orders, catalog-item identifications, data sets, studies and analyses and related information, and computer software executable code and source code.
(b) Adequate security. The Contractor shall provide adequate security on all covered contractor information systems.
To provide adequate security, the Contractor shall implement, at a minimum, the following information security protections:
(1) For covered contractor information systems that are part of an information technology (IT) service or system operated on behalf of the Government, the following security requirements apply:
