52.204-17 OWNERSHIP OR CONTROL OF OFFEROR (JUL 2016)

(a) Definitions. As used in this provision--

Commercial and Government Entity (CAGE) code means—

(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics Agency (DLA) Commercial and Government Entity (CAGE) Branch to identify a commercial or government entity;

or

(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Commercial and Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as a NATO CAGE (NCAGE) code.

Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

(a) Definitions. As used in this provision--

The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

52.209-11 REPRESENTATION BY CORPORATIONS REGARDING DELINQUENT TAX LIABILITY OR A

FELONY CONVICTION UNDER ANY FEDERAL LAW (FEB 2016)

(a) As required by sections 744 and 745 of Division E of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L. 113-235), and similar provisions, if contained in subsequent appropriations acts, the Government will not enter into a contract with any corporation that--

(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or

(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.

(b) The Offeror represents that--

52.212-1 ADDENDUM – INSTRUCTIONS TO OFFERORS - - COMMERCIAL ITEMS (DEC 2006)

NOTICE: The following instructions to vendors are to ensure the vendors submit information necessary for the Government to fully understand and evaluate quotes. Vendors are cautioned to follow the detailed instructions carefully and provide technical information that clearly shows that the services provided meet the specifications listed in this solicitation.

To be eligible for award, the vendor’s quote shall meet all technical requirements, conform to all required terms and conditions of this solicitation, include all information required, and a determination of responsibility has been made.

Additionally, vendors shall be registered in the System for Award (SAM) database prior to quote submission.

Failure to comply with the terms and conditions of this solicitation as follows may result in the vendor being ineligible for award.

Review of Quotes: All submissions will be reviewed for completeness and compliance with the solicitation requirements. The Technical Capability and Past Performance will receive a detailed evaluation employing the criteria as identified in FAR 52.212-2. The price quote will be evaluated to determine whether it is fair and reasonable and if it reflects the vendor’s understanding of the work.

1. Submission of quotes the following are added and shall apply to the submission requirements in response to this solicitation:

a. Quote Submission: Quotes shall be submitted via electronic mail (E-Mail) to the Contract Specialist, Ms. Anne Tomlin; E-Mail:anne.tomlin@eu.dodea.edu. Quotes WILL NOT be accepted by mail or hand delivery.

i. E-mail subject line shall include the following information: Solicitation number, vendor’s company name, and number of emails if applicable (e.g. 1 of 3).

ii. Electronic files shall be clearly labeled and compatible with Windows 10, Microsoft Office 2013 and Acrobat

DC.

iii. It is the vendor’s responsibility to ensure receipt of the quote, any modifications, or revisions before the closing date and time specified in the solicitation.

iv. Notice: DoDEA Europe has a size limitation of 10MB for each E-Mail to a DoDEA Europe E-Mail addressee.

The vendor is solely responsible for ensuring that the vendor's quote or correspondence successfully transmits to, and is received by, its intended DoDEA Europe E-Mail addressee. The vendor is advised to immediately contact the intended E-Mail addressee for acknowledgement of E-Mail receipt.

b. Factor 1 – Price.

Vendor shall provide the following in their Price Quote:

i. Vendor shall insert the proposed prices in Attachment A, Schedule of Supplies or Services and Prices for each Contract Line Item Numbers (CLINs) to include the unit price, amount and total amount listed in the Schedule for the base year and option periods.

ii. Vendor shall also provide backup pricing information and a price breakdown that demonstrates how the prices for each line item were developed (labor hours, materials, indirect costs, etc.) for each CLIN for each period of performance.

c. Factor 2 – Technical Capability. The technical capability section shall be a comprehensive statement of the vendor’s understanding of the work required in the solicitation.

i. The Technical Section shall not exceed a total of 10 pages, including any graphics photographs, brochures, pamphlets, charts, and diagrams. Page size shall be 8.5 inches x 11 inches or A4 and text font size no smaller than size 11. Number pages sequentially, when feasible. Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the quote. Pages shall only include graphics photographs, brochures, pamphlets, charts, and diagrams for the purpose of depicting the technical approach.

ii. The vendor shall provide the following:

Detailed narrative of the vendor’s ability to manage and perform the requirements of the solicitation, to include the vendor’s approach to staffing, recruitment, substitution, and replacement of qualified personnel to perform the requirements of the PWS.

Proof of current and valid business license issued by a local, state, or federal government agency or organization within Puerto Rico. License submitted in English.

d. Factor 3 – Past Performance.

i. The vendor shall provide at least three (3) Past Performance References. These references shall be from relevant, ongoing contracts, subcontracts and/or task orders accomplished within the past three (3) years. These efforts shall be the same or similar in type, size and complexity as the requirements of this contract. The following information shall be included for each reference as applicable:

2. Period for acceptance of proposals. The vendor agrees to hold the prices in its price proposal firm for ninety (90) calendar days from the date specified for receipt of proposals.

3. Late submissions, modifications, revisions, and withdrawals of proposals.

a) Vendors are responsible for submitting proposals, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation.

b) Any proposal, modification, revision, or withdrawal of a proposal received at the Government office designated in the solicitation after the exact time specified for receipt of proposals is “late” and will not be considered unless it is received before award is made and the Contracting Officer determines that accepting the late proposals would not unduly delay the acquisition.

c) Proposals may be withdrawn by written notice received at any time before the exact time set for receipt of proposals.

d). Contract award. The Government intends to evaluate proposals and award a contract without communicating with vendors. Therefore, the vendor’s initial proposal should contain the vendor’s best terms from a technical and price standpoint. However, the Government reserves the right to communicate with vendors if later determined by the Contracting Officer to be necessary. The Government may: reject any or all proposals if such action is in the public interest; accept other than the lowest proposal; and waive informalities and minor irregularities in proposals received.

e). System for Award Management. By submission of a proposal and price quotes, the vendor acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the vendor does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered vendor. Vendors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.

52.212-2 ADDENDUM – EVALUATION – COMMERCIAL ITEMS (DEC 2006)

The Government intends to award a single award Firm-Fixed Price (FFP), Delivery Order (DO), resulting from this solicitation to the responsible vendor whose quote conforming to the solicitation provides the lowest price while being determined technically acceptable and a Past Performance rating of "Satisfactory." All items listed above will be awarded as “all or nothing”. Lowest priced quotes that do not meet all requirements of the solicitation shall not be considered for award. Quotes will be evaluated pursuant to Federal Acquisition Regulation (FAR) Part 8.404(d) (DEVIATION). The Government will not accept “Open Market” pricing for this requirement.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (NOV 2017)

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.

(a) Definitions. As used in this provision--

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

“Sensitive technology”—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
