C. INVOICE SUBMISSION

1. Payment shall be based on receipt of a proper invoice and satisfactory contract performance (as indicated on the respective Receiving Report completed by the COR). The Contractor shall comply with the content of invoice requirements specified at FAR 32.905, "Payment Documentation and Process," and at FAR Clause 52.212-4, paragraph (g) "Invoices." Failure to provide a proper invoice can result in return of invoice for correction and delay of payment.

D. TAX EXEMPTION STATUS

DoDEA is an activity of the Federal Government. As such, state agencies are precluded from taxing them by reason of the Supreme Court decision in McCullough v. Maryland, 17 US 316 (1817). In addition, the various states have codified this immunity by appropriate statues. DoDEA Federal Tax Identification Number: 26-2331642.

E. CONTRACT TYPE

Contract award type shall be a Firm-Fixed-Price Idefinite Delivery/Indifinite Quantity Contract. The base year period of performance shall be from date of award through 12 months with the Government's option to extend the contract term for up to one 12-month option period.

F. COMMERCIAL PROVISION – SECTION 508 – IT REQUIREMENT

All electronic hardware and software procured under this contract must comply with Section 508 of the Rehabilitation Act of 1973 (29 U.S.C. 794d) and the Architectural and Transportation Barriers Compliance Board Electronic Information Technology (EIT) Accessibility Standards (36 CFR part 1194).

Federal agencies must give disabled employees and members of the public access to information that is comparable to the access available to others. Section 508 requires that Federal agencies electronic and information technology is accessible to people with disabilities. All hardware and software purchased under this contract must be Section 508 compliant. If the deliverables are deemed non-compliant, it is the responsibility of the contractor to make it compliant, at the cost of the contractor. STATEMENT OF WORK

Summer Online High School Courses

1.0 INTRODUCTION

1.1. The Department of Defense Education Activity (DoDEA) serves the educational needs of the dependents of military and civilian employees by providing PK-12 instruction to approximately 85,000 students in seven states, twelve foreign countries, Guam, and Puerto Rico. The number of students varies based on the deployment of military troops worldwide. DoDEA’s curriculum, resources, and student achievement scores on standardized assessments compare favorably to high-performing US public schools.

1.2 DoDEA is divided into three administrative areas. DDESS (Domestic Dependent Elementary and Secondary Schools) covers the schools in seven states and Puerto Rico, and for administrative purposes, Cuba. DoDDS (Department of Defense Dependent Schools) is divided into DoDDS- Europe and DoDDS-Pacific. The former administers the schools in England, Germany, Italy, Belgium, Netherlands, Spain, Portugal, Turkey, and Bahrain. The latter covers the schools in Korea, Japan, and for administrative purposes, Guam.

2.0 BACKGROUND

2.1 Since the summer of 2004, DoDEA has provided selected high school students with the opportunity to take online summer high school courses for credit. Priority has gone to students who need credit replacement or to improve a low grade. Since the program’s inception, participation in summer online courses has slowly risen.

3.0 SCOPE

3.1 The intent of this requirement is to serve a range of student needs from credit replacement to acceleration including supporting the transition from middle school to high school. DoDEA requires fully accredited online summer high school courses facilitated by the Contractor’s certified instructor and hosted on the Contractor’s virtual learning environment (VLE).

3.2 DoDEA will select the course seats from the Contractor’s array of courses after contract award.

Courses must be the equivalent of a one semester course (0.5 unit) or the equivalent of a full year course or a two-semester course (1.0 unit).

3.3 In the contract period, which roughly corresponds to the summer of 2010 school year (01 May – 30 September), DoDEA requires up to 600 seats in accredited high school level 0.5 unit courses in both the Base Year and Option Year One.

4.0 REQUIREMENTS

4.1 General—The courses shall:

4.1.1 Be comprehensive online courses, assessment and course evaluation materials, and have a certified instructor for each course.

4.1.2 Be aligned to the national standards in requested content areas.

4.1.3 Be accredited by a nationally recognized high school accreditation organization such as North Central Association, Middle States Association, Southern Association, Western Association, Northwest Association, or New England Association.

4.1.4 Provide curricular accommodations identified on a student’s IEP (Individualized Education Program) or 504 Program.

4.1.5 Contain modules or units equivalent to a one semester course (0.5 unit) or to a full year course or a two-semester course (1.0 unit).

4.1.6 Be facilitated by the Contractor’s certified instructor and hosted on the Contractor’s VLE.

4.1.7 Allow for staggered entry dates corresponding to the varying school calendars of DoDEA’s high schools worldwide, beginning on June 7, 2010.

4.1.8 Be completed within an 8-week block of time during the summer break, ending no later than August 31, 2010.

4.1.9 Include but not be limited to the core courses necessary for graduation in DoDEA:

English: Grades 9,10, 11, 12 Mathematics: Algebra I, Algebra II, Geometry Social Studies: US History, World Regions, World History, US Government Lab-Based Science: Biology, Chemistry, Earth Science, Physics

4.1.10 Incorporate textbook materials as instructional resources within the course as appropriate.

4.1.11 Provide all necessary orientation materials, textbooks, workbooks, lab books, or other materials needed for completion of the course. These materials may either be available online or sent to the students by the Contractor at no additional cost.

4.1.12 Provide technical support, which shall be available via phone and email, with responses made within one business day.

4.1.4 All software—stand-alone, network or web-based—shall be Section 508 compliant (www.Section508.gov).

4.2 Design—The courses shall:

4.2.1 Be consistent with International Association for K-12 Online Learning (iNACOL) standards of academic integrity and etiquette, which may be found at the following URL: www.inacol.org.

4.2.2 Include content-related topics, readings and activities that provide students with authentic background information and applications to course content.

4.2.3 Emphasize 21st century themes such as learning and innovation skills; information, media, and technology skills; life and career skills.

4.2.4 Use a flexible multi-media approach that includes virtual resources delivered via the Internet and Web 2.0 tools such as audio-graphic collaboration, synchronous chat and asynchronous components.

The purpose of this requirement is to promote student engagements and stimulate interaction between the instructor and students and among the students.

4.2.5 Include learning outcomes that are (1) clearly stated, observable, measurable, achievable and (2) aligned with DoDEA learning standards and objectives.

4.2.6 Employ differentiated instruction and accommodate multiple learning styles.

4.2.7 Include adequate and appropriate assessment methodology to assess students’ mastery of content including both computer-scored and teacher-scored feedback that are appropriate to the outcomes, activities, and technologies.

4.2.8 Possess formative and summative assessments that can be administered to verify each student’s readiness for the next lesson and to support student and teacher needs for feedback.

4.2.9 Be free of racial, color, national origin, age, disabling conditions, sexual, religious, and ethnic bias and shall present a balanced coverage of a variety of cultures accurately and authentically, avoiding stereotypes. Materials should also promote gender equity.

4.2.10 Be student-centered, include collaborative and cooperative learning techniques, and developmentally and linguistically appropriate activities.

4.3 Materials: The courses shall:

4.3.1 Include a variety of audio, video and graphical media elements that are engaging and relate directly to topics covered. The media types accommodate different learning styles and stimulate active participation.

4.3.2 Properly cite all copyrighted materials. Materials protected by fair use shall include a statement that permission has been granted by the copyright owner.

4.4 Registration and Reporting: The Contractor shall:

4.4.1 Provide online information for counselors that support student/parent course selection and registration. This information shall be accessible to DoDEA counselors 24/7 regardless of their location or time zone requirements.

4.4.2 Provide all materials necessary for course selection and/or registration in PDF format for downloading. Access to course descriptions and or sample courses shall be included in this online counselor information.

4.4.3 Provide registration that is staggered, that is, linked to the differing school calendars of DoDEA’s high schools worldwide.

4.4.4 Ensure that students register for a one-semester equivalent or a two-semester equivalent course.

4.4.5 Provide an interim report, which provides a list of all students (and their schools), the course they have enrolled in, current performance level, and expected course completion dates for each.

4.4.6 Submit a complete report on all student participation and performance and student course evaluations to DoDEA.

4.4.7 Report individual student grades electronically to students’ schools no later than two weeks following the completion of the student’s summer course.

5.0 TECHNICAL REQUIREMENTS

5.1 DoDEA requires the use of software which may be installed and/or accessed in a stand-alone environment, a network environment or web-based environment that is compatible with standards cited herein. All software must be completely functional without the need for administrative-level user rights or a requirement to insert media (CD/DVD) to execute the software.

Additionally, all software must be compatible with the following hardware baseline:

5.2 The Contractor shall deliver any online materials on a web-based platform and provide course or video files in QuickTime v.6.0+ and Windows Media v.9+ formats, and /or Flash 6+ format that are compatible with the hardware and operating system requirements listed in Section 5.3.

5.3 The Contractor’s solution shall be robust enough to serve the needs of a large community of learners dispersed across the world using a variety of bandwidths. Contractor’s solution shall be scalable and able to expand to meet future growth, both in terms of the volume of instruction and the size of the student body.

6.0 DELIVERABLES: The Contractor shall:

6.1 Participate in a Post-Award Conference with DoDEA officials by videoconference or telephone within five days after contract award.

6.2 Meet with DoDEA staff by videoconference or telephone to discuss details associated with course enrollment, delivery of the course via hosting or placement on DoDEA virtual learning environment, scheduling and delivery of counselor information, and technical support.

6.3 Meet with DoDEA staff by videoconference or telephone during actual course delivery. The meeting(s) shall be devoted to reviewing progress of and discussing any changes in the course implementation needed to ensure peak performance.

6.4 Provide required enrollment/performance and course evaluation reports as defined in the requirements.

6.5 Provide technical support throughout the life of the contract. Technical support may be delivered via phone or email and should be accessible to users worldwide within one business days.

7.0 PERFORMANCE REQUIREMENT AND TIMELINE

ADDENDUM TO 52.212-1

ADDENDUM TO FAR 52.212-1 -- INSTRUCTIONS TO OFFERORS

The following is incorporated into Paragraph (b) "Submission of Offers":

1. REQUEST FOR PROPOSAL (RFP) - SF FORM 1449: All completed solicitation packages shall be received Not Later Than (NLT) Wednesday, February 24, 2010 at 10:00 AM, Eastern Standard Time (EST) at the following address:

2. PROPOSAL SUBMISSONS: Offeror's proposal shall include:

a) Signed copy of the Standard Form 1449, with blocks 17 and 30 completed.

b) If applicable, a signed copy of the Standard Form 30 of any amendments issued against this RFP.

c) Price Proposal. An original and 1 copy reflecting per unit pricing by contract line item number (CLIN).

All items must have a price, or be marked “NSP” meaning “Not Separately Priced.”

d) Technical Proposal:

� Online Evaluation: The offeror shall provide access (ex. logins/passwords) and written guidance, if necessary, for four reviewers to concurrently review up to four online courses from its curriculum.

The access must be available during March 1-5, 2010.

� Written Proposal: An original and 4 copies addressing how the proposed solution meets the requirements of the Statement of Work (SOW). This may include product literature or other documents if necessary. The technical written proposal shall be separate and distinct from the price proposal and therefore shall contain no pricing information.

e) Past Performance: The offeror's references shall provide 3-5 completed past performance questionnaires (See Attachment A). References shall complete the past performance questionnaires and return them directly to the DoDEA-HQ Procurement Division and not back to the contractor. Offerors who do not comply with this paragraph will receive a neutral rating.

3. FORMAL COMMUNICATIONS:

a) Formal communications such as requests for clarifications and/or information concerning this solicitation must be submitted by written email to Nina Lin, Contract Specialist at nina.lin@hq.dodea.edu, with the subject line “HE1254-10-T-0015”. Questions will be received up to 10:00 AM EST on Wednesday, February 10, 2010. Questions received after this time and date may not be answered.

b) No information concerning this solicitation or requests for clarification will be provided in response to telephone calls. Inquiries will be answered and provided to all potential offerors via email and/or amendment to the solicitation

c) Responses to questions will be posted via amendment to the solicitation on the Federal Business Opportunities website at www.fbo.gov.

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

The significant evaluation factors are Technical, Past Performance, and Price. Technical and Past performance, when combined, are significantly more important than Price.

EVALUATION FACTORS

Factor 1: Technical Capability. Proposals will be evaluated on overall quality and how well the offeror demonstrates its ability to perform the requirements set forth in the statement of work.

Factor 2: Past Performance. Offeror’s Past Performance will be evaluated to determine the likelihood of offeror’s success on the present requirement.

Factor 3: Price. Price will be evaluated to ensure price reasonableness for the services being provided to the Government, considering the specific terms and conditions, and relevant commercial practices.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-5 CONTRACT TERMS AND CONDITIONS REQUIRED TO IMPLEMENT STATUTES OR

EXECUTIVE ORDERS--COMMERCIAL ITEMS (DEC 2009) (DEVIATION)

(a) Comptroller General Examination of Record. The Contractor agrees to comply with the provisions of this paragraph (a) if the contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to the right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times, the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(b)(1) Notwithstanding the requirements of any other clause in this contract, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (b)(i) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-

(i) 52.203-13, Contractor Code of Business Ethics and Conduct (DEC 2008) (Pub. L. 110-252, Title VI, Chapter 1 (41 U.S.C. 251 note).

(ii) 52.219-8, Utilization of Small Business Concerns (May 2004) (15 U.S.C. 637(d)(2) and (3)), in all subcontracts that offer further subcontracting opportunities. 52.216-18 ORDERING. (OCT 1995)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from March 22, 2010 through March 21, 2012.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

52.216-19 ORDER LIMITATIONS. (OCT 1995)

There are no minimum or maximum order quantities under this contract. The Contractor shall honor all orders received unless an order (or orders) is returned to the ordering office within five calender days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 INDEFINITE QUANTITY. (OCT 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum". The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum".

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after March 21, 2012.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days of contract expiration.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within within 30 days of contract expiration; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 30 months.

52.233-2 SERVICE OF PROTEST (SEP 2006)

(a) Protests, as defined in section 33.101 of the Federal Acquisition Regulation, that are filed directly with an agency, and copies of any protests that are filed with the Government Accountability Office (GAO), shall be served on the Contracting Officer (addressed as follows) by obtaining written and dated acknowledgment of receipt from

(b) The copy of any protest shall be received in the office designated above within one day of filing a protest with the GAO.

(a) Definitions.

As used in this clause-

(1) Foreign person means any person other than a United States person as defined in Section 16(2) of the Export Administration Act of 1979 (50 U.S.C. App. Sec. 2415).

(2) United States means the 50 States, the District of Columbia, outlying areas, and the outer Continental Shelf as defined in 43 U.S.C. 1331.

(3) United States person is defined in Section 16(2) of the Export Administration Act of 1979 and means any United States resident or national (other than an individual resident outside the United States and employed by other than a United States person), any domestic concern (including any permanent domestic establishment of any foreign concern), and any foreign subsidiary or affiliate (including any permanent foreign establishment) of any domestic concern which is controlled in fact by such domestic concern, as determined under regulations of the President.

(b) Certification.

By submitting this offer, the Offeror, if a foreign person, company or entity, certifies that it -

(1) Does not comply with the Secondary Arab Boycott of Israel; and

(2) Is not taking or knowingly agreeing to take any action, with respect to the Secondary Boycott of Israel by Arab countries, which 50 U.S.C. App. Sec. 2407(a) prohibits a United States person from taking.

(c) Representation of Extent of Transportation by Sea. (This representation does not apply to solicitations for the direct purchase of ocean transportation services).

(1) The Offeror shall indicate by checking the appropriate blank in paragraph (c)(2) of this provision whether transportation of supplies by sea is anticipated under the resultant contract. The term "supplies" is defined in the Transportation of Supplies by Sea clause of this solicitation.
