(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e) (1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1)in a subcontract for commercial items. CLAUSES INCORPORATED BY FULL TEXT

52.212-4501 FAR 52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

I. Price

II. Past Performance

I. Price: Price will be evaluated by adding the total price for the Base Year to the total price for all options.

II. Past Performance will be evaluated based on the following sub-factors listed in descending order of importance:

1. Timeliness of Performance

2. Customer Satisfaction/Quality of Service

3. Business Relations.

Award will be made to the lowest-priced, technically acceptable Offeror (price and past performance combined).

(b) Options (if included in the Schedule). The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

CLAUSES INCORPORATED BY FULL TEXT

52.215-5 FACSIMILE PROPOSALS (OCT 1997)

(a) Definition. Facsimile proposal, as used in this provision, means a proposal, revision or modification of a proposal, or withdrawal of a proposal that is transmitted to and received by the Government via facsimile machine.

(b) Offerors may submit facsimile proposals as responses to this solicitation. Facsimile proposals are subject to the same rules as paper proposals.

(d) If any portion of a facsimile proposal received by the Contracting Officer is unreadable to the degree that conformance to the essential requirements of the solicitation cannot be ascertained from the document--

(1) The Contracting Officer immediately shall notify the offeror and permit the offeror to resubmit the proposal;

(2) The method and time for resubmission shall be prescribed by the Contracting Officer after consultation with the offeror; and

(3) The resubmission shall be considered as if it were received at the date and time of the original unreadable submission for the purpose of determining timeliness, provided the offeror complies with the time and format requirements for resubmission prescribed by the Contracting Officer.

The Government reserves the right to make award solely on the facsimile proposal. However, if requested to do so by the Contracting Officer, the apparently successful offeror promptly shall submit the complete original signed proposal.

52.217-4501 FAR 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (JUL 2003)

a. The Government may extend the term of this contract by written notice to the Contractor at least 30 days prior to expiration of the current contract period; provided, that the Government shall give the Contractor a preliminary written notice of its intent to extend at least 60 calendar days before the contract expires. The preliminary notice does not commit the Government to an extension.

b. If the Government exercises this option, the extended contract shall be considered to include this option provision.

c. The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months.

52.217-4505 FAR 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor prior to expiration of the contract performance period.

52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (APR 2009)

Small Businesses must re-represent their size status by either validating/updating all certifications in the Online Representations and Certifications Application (ORCA) at https://orca.bpn.gov/ or by completing paragraph (g) of the attached clause. Contractors that represented themselves as other than small at time of contract award may also re-represent their status. The NAICS code for this contract is 311613 and the business size status is 500 employees.

(a) Definitions. As used in this clause--

Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.

Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause.

(b) If the Contractor represented that it was a small business concern prior to award of this contract, the Contractor shall rerepresent its size status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon the occurrence of any of the following:

(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.

(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.

(3) For long-term contracts--

(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and

(ii) Within 60 to 120 days prior to the exercise date specified in the contract for any option thereafter.

STATEMENT OF WORK

Fats, Bones and Meat Scrap Removal

1. GENERAL: The Contractor shall provide all personnel, supervision, equipment, transportation and services necessary to perform the pick up of fats, bones, trimmings, and meat scraps from the Defense Commissary Agency (DeCA) Commissary location(s) identified herein. Contractor personnel must be recognizable while in the commissary by means of uniform or identification badge or patch.

2. EQUIPMENT: The contractor shall provide and maintain in good working condition, the waste containers/equipment and will pickup and empty said containers/equipment as specified within this contract. All containers shall meet industry standards and shall be leak proof and free from rust. The lids shall be counter-balanced, odor-sealing, easy to open and close and in good operating condition. The number of waste containers is annotated on the CLIN for this location.

3. DISPOSAL and COMPLIANCE WITH ENVIRONMENTAL PROTECTION AGENCY (EPA) AND ASSOCIATED FEES: The contractor shall dispose of all waste at an off-base location and shall be in accordance with existing local, state, and federal regulations applicable to removal, transportation, and disposal of such waste. Under Executive Order 13101, the contractor shall comply with all applicable EPA guidelines and procedures during the performance of this contract. The contractor shall, without additional effort by or cost to the Government, maintain and acquire all permits in accordance with local, state, and federal regulations. All charges, fees, or permits pertaining to providing, maintaining, emptying, transporting, and dumping such containers and waste shall be included in Contractor’s price for such service.

4. SANITATION AND MAINTENANCE: All equipment, including trucks, and containers will be kept in a clean and well-maintained condition. The contractor shall be responsible for the cleanup of all spills caused by their handling of this waste in and around the facility.

Deteriorated containers (i.e., excessive rust, lids not operating correctly, exterior damage, etc.), or containers damaged by the Government, will be replaced by the contractor at a reasonable cost (approximately $30.00 per container). Containers damaged by the contractor shall be replaced at no cost to the Government. In addition the contractor shall furnish replacement containers for each one that is removed for maintenance or repair.

Prior to departing the commissary, the contractor will return the work area to the condition it was in prior to start of work, removing any material or debris which resulted from performing the work.

5. VEHICLES: The contractor shall provide all vehicles required to fulfill the requirement. All vehicles shall be in operable condition and meet all local, state, and federal safety requirements. The contractor shall obtain pass and identification forms from Pass and ID, and shall comply with posted speed limits and base safety regulations.

6. INCLEMENT WEATHER SCHEDULE: The contractor shall collect waste during the periods of inclement weather. Exceptions to this may be authorized by the Contracting Officer or designated representative (such as the Commissary Officer) in cases of unduly severe weather. When exceptions are granted, the contractor shall accomplish all collections for each day missed within 24 hours after the severe weather has terminated. Rescheduling to provide make-up collections shall not be a basis for a claim by the contractor for additional compensation.

7. MISSED PICK-UPS: The contractor shall be required to collect the waste at missed pick-up points at no additional cost the Government. Such collections shall be within 24 normal working hours after notification by the contracting officer or designated representative.

8. APPOINTMENT: The Store Director or representative is hereby designated to participate in the administration of this contract to ensure the contractor’s compliance with its technical requirements, including inspection and acceptance of the service for the government at the performance site.

9. DELIVERY/SERVICE TICKETS: The driver shall leave a prepared delivery/service ticket with the number of containers picked up, have the Store Director or designated representative sign the delivery ticket, and leave one copy with the store.

10. INVOICING: Contractor shall submit invoices to the address in Block 18a of the Standard

Form (SF) 1449, contract award document. One additional copy of the invoice shall be forwarded to the commissary. In order to be considered a valid invoice, the following information must be on each invoice:
