JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION (OTFAOC)

Justification for OTFAOC Number: JA14-086

Upon the basis of the following justification, I, as Procuring Activity Competition Advocate, hereby approve the use of other than full and open competition of the proposed contractual action pursuant to the authority of 10 U.S.C. 2304(c)(1); Only one responsible source and no other supplies or services will satisfy agency requirements.

JUSTIFICATION

1. REQUIRING AGENCY AND CONTRACTING OFFICE: Requiring Agency: Defense

2. NATURE/DESCRIPTION OF ACTION(S): The Global Command and Control System-

Joint (GCCS-J) Program Management Office (PMO) requires a firm fixed-price contract to obtain the required proprietary data rights to existing GCCS-J modernization and architecture analysis data. The estimated value (including one option) of this acquisition is $XXXX. The period of performance is 6 months after date of contract award with a 6 month option period.

3. DESCRIPTION OF SUPPLIES/SERVICES: Under an existing contract with Science and

Technology Associates, Inc. (STA), 4100 Fairfax Drive, Suite 910, Arlington, VA 22203-1677, DISA Contract Number XXXX, both STA and its subcontractors, provide contractor support of studies and analyses specific to the overall acquisition management (cost, schedule, and technical performance) of the GCCS-J Program in support of the program’s modernization, synchronization, and sustainment activities.

The primary requirement for this short term contract is the delivery and transition of the proprietary data. BluestoneLogic has possession of all GCCS-J intellectual data.

In accordance with applicable FAR and DFARS clauses, under this short term contract, BlueStoneLogic will be required to transition the GCCS-J intellectual data and associated documentation (into an open source electronic format that is usable/readable by the Government within 30 days prior to the end of the contract.

4. IDENTIFICATION OF STATUTORY AUTHORITY: Only one responsible source and no other supplies or services will satisfy agency requirements, 10 U.S.C.2304(c)(1). (FAR 6.302-

1/DFARS 206.302-1);

5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS:

(a) Description of events.

BluestoneLogic, which is a subcontractor to the existing prime contractor, Science and

Technology Associates, Inc. (STA), 4100 Fairfax Drive, Suite 910, Arlington, VA 22203-1677, under Contract Number XXXX.

BluestoneLogic has possession of all GCCS-J intellectual data that would be required to further the development and implementation of the GCCS-J Modernization Way Ahead activities.

Upon delivery and transition of the required data rights in accordance with applicable FAR and

DFARS clauses, under this short term contract, BlueStoneLogic will be required to transition the

GCCS-J intellectual data and associated documentation into an open source electronic format that is usable/readable by the Government within 30 days prior to the end of the contract.

(b) Justification:

(1) Minimum Government requirements. In accordance with applicable FAR and DFARS clauses, under this short term contract, BlueStoneLogic will be required to transition the

GCCS-J intellectual data and associated documentation into an open source electronic format that is usable/readable by the Government within 30 days prior to the end of the contract. BlueStoneLogic will also provide a Transition Plan that provides detailed procedures for the transfer and verification of GCCS-J intellectual data to the

Government and any information required to support maintenance of this data by termination of the short term award. The Contractor Transition Plan and Transition

Report shall provide process and procedures to support the transition of all ongoing projects with any way-ahead instructions and/or plans.

(2) Proposed sole source contractor. Bluestone Logic LLC, 1313 Dolley Madison

Boulevard, Suite 404, McLean, VA 22101-3926.

(3) Discussion regarding cause of the sole source situation. Transition of this data is imperative to the continued GCCS-J Modernization Way Ahead development and implementation activities. Award to Bluestone Logic will afford the Government the opportunity a plan for the contractor to hand off associated materials and intellectual data to the Government at the end of the contract. Concurrently, the GCCS-J

Modernization Way Ahead development and implementation activities can continue to move forward. This effort is for a period of six (6) months with a six (6) month option to be exercised at the discretion of the Government.

(4) Demonstration of unique source. BluestoneLogic is the sole providing source of their proprietary software providing the metrics and associated analysis. Access to the proprietary software is necessary in order to transition the data management architectures and macro Command and Control (C2) data. No other contractor would have access to this proprietary software and therefore could not transition the current functionality onto a new platform. BluestoneLogic is the only contractor with access to their proprietary software necessary and capable of transitioning the data in an open source electronic format that is usable/readable by the Government.

(5) Procurement discussion.

(6) Impact: The key customers, stakeholders and other beneficiaries of GCCS-J are: the

Secretary of Defense, National Military Command Center, Joint Task Force

Component Commanders, and deployed forces below the JTF , the Office of

Homeland Defense and and other DoD components. GCCS-J is used by all nine

Combatant Commands at sites around the world, supporting joint and coalition operations as well as Joint Staff J-3, Joint Forces Command, and US Strategic

Command.

(7) The failure to gain proprietary rights to the GCCS-J intellectual data would detrimentally impact the GCCS-J PMO

Failure to obtain the data rights to the GCCS-J intellectual data will cost the government 8 months to one year of effort at a cost of approximately $XXXX to reset and complete new engineering analysis and resume modernization planning, development, and implementation of modernization way-ahead activities that should be ongoing now. An eight to twelve month delay will result in a critical short fall in the GCCS-J PMO’s ability to provide enhanced mission applications/systems that provide critical joint warfighting C2 capabilities. GCCS-J provides the

Joint Warfighter with secure, interoperable, and responsive operational decision-support data, crisis action planning, contingency planning, modeling & simulation (M&S) capability, data visualization and command and control (C2). These GCCS-J baselines provide C2 and intelligence systems for the Department of Defense (DoD) and Coalition forces supporting ongoing conflicts and crises.

6. FEDBIZOPPS ANNOUNCEMENT/POTENTIAL SOURCES: Pursuant to FAR 5.203(a), Publicizing and Response Time, a notice will be published at www.fedbizopps.gov to indicate that the Government intends to solicit and negotiate with only one source under the authority of

6.302 for the proposed contract action.

8. MARKET RESEARCH: DISA is currently performing market research for the intended follow on to this short term requirement. Due to the proprietary nature of the BluestoneLogic software, market research was limited as this vendor is the only source capable of delivering the requisite data rights and transition plan.

9. ANY OTHER SUPPORTING FACTS: None.

10. LISTING OF INTERESTED SOURCES: None at this time. Interested sources, if any, may be identified through posting of the pre-solicitation notice at www.fedbizopps.gov and will be responded to as appropriate at that time.

11. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS

THAT LED TO THE EXCEPTION TO FULL AND OPEN COMPETITION.

(a) Procurement History.

BluestoneLogic is a subcontractor to STA Contract XXXX. The period of performance is a 12-month base and two (2) 12-month option periods with a six-month extension. The period of performance breakdown is as follows:

Base Period: September 30, 2010 – September 29, 2011

Option Year 1: September 30, 2011 – September 29, 2012

Option Year 2: September 30, 2012 – September 29, 2013

The period of performance for the six-month extension is as follows:

Option 1: September 30, 2013 – November 30, 2013

Option 2: December 1, 2013 – December 31, 2013

Option 3: January 1, 2014 – January 31, 2014

Option 4: February 1, 2014 – February 28, 2014

Option 5: March 1, 2014 – March 28, 2014

(1) STA, Contract XXXX extension. The period of performance is a 1-month base

(29 March 2014 through 30 April 2014) and a 1-month option (1 May 2014 through 30 May 2014).

12. REFERENCE TO THE APPROVED ACQUISITION PLAN (AP): AP is not required.
