JUSTIFICATION FOR OTHER THAN FULL AND
OPEN COMPETITION
Federal Acquisition Regulation (FAR) Part 6 Justification & Approval (J&A), Supporting Procurements under FAR Part 12 and FAR Part 15
Purchase Request Number: DBDMZ80019 Contract Number: To Be Determined (TBD) Order Number: TBD Procurement Title: Sitecore Software Subscription Estimated Value: $168,288.00 Statutory Authority: FAR 6.302-1(a)(2) and 10 U.S.C. 2304(c)(1)
J&A Number: Not Applicable
Upon the basis of the following justification, I, as Contracting Officer, hereby approve the use of other than full and open competition of the proposed contractual action pursuant to the authority of FAR 6.302-1(a)(2), only one responsible source and no other type of supplies or services will satisfy agency requirements, full and open competition need not be provided for, 10 U.S.C.2304(c)(1). This is an acquisition that specifies a particular brand-name product, peculiar to one manufacturer that is essential to the Government’s requirements, thereby precluding consideration of a product manufactured by another company.
1. REQUIRING AGENCY AND CONTRACTING OFFICE:
a. Requesting Agency:
Defense Information Systems Agency (DISA) Development and Business Center (DBC) Strategic Communications Office, Business and Development Center (BDC) 6910 Cooper Avenue Ft. Meade, Maryland 20755-7090
b. Contracting Office:
DISA/Defense Information Technology Contracting Organization (DITCO) Scott/PL8321 2300 East Drive, Building 3600 Scott Air Force Base, Illinois 62225-5406
2. NATURE/DESCRIPTION OF ACTION(S):
a. The nature of this action is to procure brand-name, commercial, proprietary Sitecore USA, Inc.’s Experience Platform (XP)-Custom upgraded software subscription license package for DISA DBC, Ft. Meade, Maryland. This effort will be publicized as a sole source, firm fixed price (FFP) procurement to Sitecore USA, Inc., the original equipment manufacturer, on the Federal Business Opportunities (FBO) website.

b. The period of performance (POP) will be from the award date through February 28, 2019, followed by three (3) one-year options. The upgraded software subscription will replace Sitecore USA, Inc.’s 20110210071211 Silver software perpetual licenses of HC102817P0097 that expired February 28, 2018. Upgraded capabilities are provided in paragraph 3 below.
Fiscal Year 2018 Operations and Maintenance funds have been provided under Military interdepartmental Purchase Request DBDMZ80019 for the base period. The applicable North American Industry Classification System code is 541519, Other Computer Related Services, with sales size standard of $27.5 million. The total estimated life-cycle value of this acquisition, including options, is $168,288.00, as outlined below.
3. DESCRIPTION OF SUPPLIES/SERVICES:
a. DISA BDC is responsible for Agency Web Communications, with management authority over DISA’s primary public, controlled access, websites, applications (APPS), and other delivery mechanisms. Sitecore software is a critical tool for DISA BDC’s management of websites and communications. Nine Government analysts use Sitecore software concurrently and are working to expand the production environments of the installed software. Sitecore XP-Custom is an upgraded subscription license agreement, which will replace the Sitecore Silver perpetual software licenses with annual support renewals. The Government requires the upgraded XP- Custom software subscription capabilities, which allow the Sitecore content management (CM) software to be used on an unlimited number of production servers and enhanced capabilities not available under Sitecore Silver perpetual licenses. The Sitecore XP-Custom software subscription will provide DISA with unlimited production processing, reporting, and aggregation server installations for unlimited scale and disaster response, and other delivery enhancements, such as bursting in production. Bursting, a common feature of modern websites and APPS, automatically chunks content into individual reusable pieces, allows content to be personalized based on user behaviors, and suggests further content of interest to burst from user searches. The Sitecore XP-Custom software also provides JavaScript Services (JSS)/headless CM system capabilities, which allows the creation and management of the back-end, foundational content to be separate from the delivery of the content to web pages, APPS, or other online devices. This capability allows site managers to edit, store, and manage content, while leaving the design of the delivery of the content to a separate application. These additional features are needed now for the planned Government’s launched in 2019 of new internet-connected communications.
b. The Sitecore USA, Inc. XP-Custom software subscription entails the items outlined below for the base year and each option year for the $168,288.00 life cycle value.

4. IDENTIFICATION OF STATUTORY AUTHORITY: Only one responsible source and no other supplies or services will satisfy agency requirements, 10 U.S.C.2304(c)(1). (FAR 6.302- 1(a)(2)).
5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS:
a. Description of events. Sitecore website CM software has been used by DISA since 2010.
Sitecore is a CM system that allows for seamless user interface, content editing, and design layout capabilities for DISA external websites. The software is a critical component of the infrastructure which allows for comprehensive web publishing solutions with capabilities to automate and improve core web publishing activities, including content workflow, browser-based content updates, web analytics and other capabilities.
b. Justification.
(1) Minimum Government requirements. The minimum Government requirements are addressed in paragraph 3.
(2) Proposed sole source contractor. Sitecore USA, Inc. is the sole manufacturer for
Sitecore XP-Custom software subscription. Based on current market research, while there are other CM systems on the market, Sitecore, USA, Inc. offers the following distinguishing characteristics, such that the system offers a compatible interface, SharePoint components that integrate with DISA’s future intranet platform needs, and other CMS environment capabilities highlighted in paragraph 3.
(3) Discussion regarding cause of the sole source situation. Only the brand-name Sitecore USA Inc.’s XP-Custom software subscription will meet the needs of DISA BDC.
Sitecore has been part of DISA’s infrastructure since 2010, with annual sole source software renewal contracts to Sitecore since 2012. Replacement of the infrastructure would cause a work stoppage with no access to DISA.mil website for over a year.
(4) Demonstration of unique source. At this time, no other products can meet Agency needs as explained above. This conclusion is also supported by the sources sought announcement that was posted from March 8, 2018 to March 12, 2018 on the FBO website, which yielded no responses.
(5) Procurement discussion. The required upgraded Sitecore software subscription is proprietary to, manufactured by, and authorized to be sold only by Sitecore USA, Inc.
They do not authorize any resellers to sell their products. They also do not permit any third party software modification or patches to their products. Sitecore USA, Inc.
owns the copyrighted source software will all legal rights, privileges, and ownership contained therein. No other source may legally support or change their software, nor would they have access to the source code to do so.
Page 4 of 8 Pages
(6) Impact. DISA.mil is the virtual “front door” of DISA. It provides critical information to approximately 137,000 unique visitors per month, including mission partners, industry partners, job seekers, the media, and the general public. Prior to 2010, the Government required about 20 months to research and review systems, obtain rigorous security approvals, transfer, test, and release content of the new CM system.
Without the Sitecore infrastructure, DISA.mil ceases to exist. There is no immediate, or even short term replacement option. Our mission partners cannot learn about our services, register for training, or request assistance; our industry partners cannot obtain information about opportunities to partner with DISA; job seekers cannot learn about the agency and benefits of employment; and members of the media and general public will not have transparent access to information.
6. FEDBIZOPPS ANNOUNCEMENT/POTENTIAL SOURCES: A pre-solicitation sources sought announcement was posted on FBO and a Notice of Intent to award a sole source contract will be posted with the redacted brand-name Justification and Approval and solicitation on the FBO website.
7. DETERMINATION OF FAIR AND REASONABLE COST: A determination will be made by the contracting officer that the contract represents the best value to the Government, as defined in FAR 2.101, and that the cost to the Government will be fair and reasonable. The contracting officer will determine whether the price is fair and reasonable, based on comparison of the proposed prices to historical prices paid, the commercial price list, and the independent Government cost estimate. The contracting officer will also determine the pricing information valid for comparative purposes. Certified cost and price data is not required for this commercial item acquisition, IAW FAR 15.403-1(b)(3).
8. MARKET RESEARCH:
a. Market research was conducted from early January 2018 to mid-March 2018. Market research included gathering data from previous acquisitions, internet searches, conducting internal discussions, contacting the manufacturer, issuance of a sources sought announcement, and reviewing catalogs, literature, existing DISA-wide contract vehicles and other Government-wide acquisition contracts.
b. The first step in conducting market research in support of this requirement was to determine if other brands of products could meet the Government’s need. The capability review was based on the ability of the software to fulfill the mission critical requirements to support DISA BDC’s management of websites and on-line communications. Market research revealed that no other product currently on the market, other than Sitecore XP-Custom software, met all of the Government’s requirements, as listed in paragraph 3.
c. The second phase of the market research was to determine a method of procurement.
Market research concluded that the required software subscription is not available through existing Government contract vehicles, to include Enterprise Software Initiative, General Services Administration, or the National Aeronautics and Space Administration Solutions for Enterprise-Wide Procurement Government-wide acquisition contracts. Market research revealed
Page 5 of 8 Pages that Sitecore USA, Inc. is the sole-source provider of the required brand-name Sitecore XP- Custom software subscription and they only sell their products through open market procurement. The combined synopsis/solicitation will be published on FBO as a sole source procurement.
9. ANY OTHER SUPPORTING FACTS: None.
10. LISTING OF INTERESTED SOURCES:
a. A pre-solicitation sources sought announcement was posted March, 8, 2018 at the FBO website, with a closing date of March 12, 2018, in accordance with FAR 5.2. There were no responses received as a result of the sources sought announcement.
b. Based on results of the market research, the following is the only potential source that was identified to meet the needs of the Government.
Potential Source Business Size Vehicle Sitecore USA, Inc. Large Open Market
11. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS
THAT LED TO THE EXCEPTION TO FULL AND OPEN COMPETITION:
a. Procurement History. Since 2010, Sitecore’s software has been the primary publishing platform for the Government’s DISA.MIL website, automating verification and management of websites and communications. The Government integration of Sitecore software in the DISA.mil infrastructure occurred under HC102811P0150, which was awarded to the Inserno Corporation with a period of performance of January 15, 2010 through March 31, 2012. The Government’s website platform required annual software support renewal since 2012, as outlined below. DISA BDC now requires Sitecore XP-Custom software subscription to meet platform needs.
(1) Contract Number: HC102817P0097 Contractor: Sitecore USA, Inc.
Contract Period: May 11, 2017 through February 28, 2018 Total Estimated Contract Value: $30,000.00 Contract Type: FFP Objective of Contract: Sitecore Silver software support renewal Competitive Status: Sole source, brand-name, open market procurement
(2) Contract Number: HC102816P0069
Contract Period: March 18, 2016 through February 28, 2017 Total Estimated Contract Value: $30,000.00 Contract Type: FFP
Page 6 of 8 Pages
(3) Contract Number: HC102815P0075 Contractor: Sitecore USA, Inc.
Contract Period: March 1, 2015 through February 29, 2016 Total Estimated Contract Value: $30,000.00 Contract Type: FFP
(4) Contract Number: HC102814P0054
Contract Period: April 16, 2014 through February 28, 2015 Total Estimated Contract Value: $30,000.00 Contract Type: FFP
(5) Contract Number: HC102813P0041
Contract Period: March 1, 2013 through February 28, 2014 Total Estimated Contract Value: $30,000.00 Contract Type: FFP
(6) Contract Number: HC102812P0090
Contract Period: March 31, 2012 through February 28, 2013 Total Estimated Contract Value: $23,000.00 Contract Type: FFP Objective of Contract: Sitecore Bronze software support renewal with four additional user licenses Competitive Status: Small business set-aside, brand-name, open market
b. Actions Proposed to Remove Barriers to Competition. Sitecore USA, Inc. is the only provider of the required upgraded Sitecore XP-Custom software subscription. If Sitecore USA, Inc. elects to surrender their legal ownership, copyright, and/or intellectual property software rights and move to a complete open source solution, then the DISA BDC will further analyze other alternative approaches. Regardless, the Government will continue to search the marketplace yearly to determine if alterative solutions exist that can meet Agency needs. The software product will be re-assessed and the Government will continue to conduct market research to determine if there are changes in the market place that would enable future competitive actions, i.e., there are similar products in the marketplace that provide the same functionality, or Sitecore USA, Inc. releases product ownership rights. If similar requirements arise, every effort will be made to compete it to the maximum extent practicable. Replacement of the infrastructure would cause a work stoppage with no access to DISA.mil for over a year, clearly an unacceptable alternative.
