JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION (OTFAOC)
Upon the basis of the following justification, I, as Contracting Officer, hereby approve the use of other than full and open competition of the proposed contractual action pursuant to the authority of FAR 6.302-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements as cited in 10 U.S.C. 2304(c)(1).
1. REQUIRING AGENCY AND CONTRACTING OFFICE:
a. Requiring Agency:

2. NATURE/DESCRIPTION OF ACTION(S):
a. The nature of this action is to procure proprietary brand-name Tyco Security Products Automated Access Control System (AACS) software support and maintenance agreement in support of improving and stabilizing the mission-required AACS and alarm monitoring system.
This will increase system reliability and security for Puget Sound Naval Shipyard (PSNS) and Intermediate Maintenance Facility (IMF) personnel, information and nuclear material, and will enable Defense Information Assurance Certification & Accreditation Process by Naval Network Warfare Command. This procurement will be awarded as a firm-fixed-price (FFP) contract using open market procedures. Support for the software must be provided by an authorized reseller of
Page 2 of 8 Pages all the listed OEMs. The acquisition will involve reinstating annual support which expired on September 30, 2015.
b. The period of performance will be for a base period of 1-year, estimated to be May 1, 2016 through April 30, 2016 with two 1-year option periods. The total estimated life-cycle value of this acquisition is $212,928. Fiscal year 2016 operations and maintenance Navy funds have been provided under a military interdepartmental purchase request. The applicable North American Industry Classification System code is 541519, Other Computer Related Services, with sales size standard of $27.5 million.
3. DESCRIPTION OF SUPPLIES/SERVICES:
a. PSNS requires the renewal of AACS software support which will provide an updated and reinstated Software Support Agreement, (SSA) for Innometriks, Network Harbor and Enhanced SSA, Software House (SWH) to include upgrades, continued telephone and technical (24x7x365) support in order to maintain systems software functionality. AACS provides automated access control, and alarm monitoring to the external perimeter and required interior work locations of Puget Sound Naval Shipyard and its remote locations (in other words, ‘badging in’).
b. The following is a description of the software support required for the period of one base year and two 1-year option periods:

4. IDENTIFICATION OF STATUTORY AUTHORITY: Only one responsible source and no other supplies or services will satisfy agency requirements, 10 U.S.C.2304(c)(1) (FAR 6.302-
1/DFARS 206.302-1).
5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS:
a. Description of events. At this time, the PSNS & IMF security environment includes access control and fire alarm systems using applications from Software House, Network Harbor and Innometriks, which are proprietary in nature and it is not economically feasible to deviate from the currently installed proprietary environment. The companies require factory authorized service providers for the system using trained technicians that are familiar with the current system configurations. Although other vendors can provide selected maintenance and installation
Page 4 of 8 Pages personnel, they do not have certification, dealer of record, system serial numbers or factory authorized technical personnel.
b. Justification.
(1) Minimum Government Requirements. The government’s minimum requirement as listed above in 3(b) for the AACS System at Puget Sound Naval Shipyard requires upgrades in order to maintain access to secured nuclear areas as well as the controlled industrial areas where most of the shipyard’s critical work is completed. The AACS system implemented is a brand new install, and even though personnel associated with its installation have received vendor required training in all aspects of its operation and functionality, the lack of previous experience makes having experienced, technical support familiar with the system critical to maintain its functionality and reliability as personnel become accustomed to its operation.
(2) Proposed contractor. The vendor who can provide the maintenance must be an authorized Tyco dealer for the region. SimplexGrinnell is the integrator of record for this original system. The technicians must be knowledgeable of the systems and software, and in order to program the systems, an individual is required to be factory trained and certified by Tyco Security Products. Additionally, technicians must also have access to all source material, records and references necessary to insure proper maintenance for the systems. The selected support contractor must be a preferred integrator of Tyco Security Products and have extensive knowledge and experience within large distributed environments, with multiple layers of security access privileges, such as is employed at PSNS & IMF.
(3) Discussion Regarding Cause of Sole Source Situation. AACS software has been used by PSNS and IMF for several years. Since fiscal year 2014 the Government has invested in excess of $3M in the current solution. Furthermore, it would cost an estimated $5M to replace the current equipment/software with a new product. Award to any other source would result in substantial duplication of cost to the Government that is not expected to be recovered through competition and unacceptable delays in fulfilling the agency’s requirements.
(4) Demonstration of unique source. The implementation of AACS is based on the requirements of Homeland Security Presidential Directive-12(HSPD), Policy for a Common Identification Standard for Federal Employees and Contractors, and Federal Information Processing Standard 201(FIPS). The personal identity verification of federal employees and contractors is unique in that it has not been accomplished anywhere else under the combination of the applications in use. Because the implementation is so new, the availability of preferred service providers who have familiarity with the system as a whole is severely limited. Only the OEMs and authorized resellers are permitted to provide support on the required products. The purchase of this proprietary software support for the products listed in 2a above is essential to secure the nuclear areas as well as the controlled industrial areas where most of the shipyard’s critical work is completed. To duplicate another functional replacement initiative through full and open competition is not in the best interest of the government at this time. Costs incurred to rewrite applications to function with replacement products would result in substantial work interruptions, creating unnecessary obstacles, restraints, and losses in efficiency.

(5) Procurement discussion. This proprietary software support agreement/maintenance can only be offered through a preferred integrator. The major constraint for this procurement is the diversity of software to be maintained/supported, and the need for the support to be uninterrupted. The previous procurement identified that only one vendor, SimplexGrinnell LP, could meet the AACS requirement as stated. Additionally, software support is an ongoing requirement, and these services were acquired, most recently, in fiscal year 2014.
(6) Impact. Failure to upgrade and maintain full functionality of the AACS system will result in loss of access to and monitoring of secured nuclear areas as well as the controlled industrial areas where most of the shipyards critical work is completed. A system failure could prevent access to work areas, tools, and consumable inventories at Bremerton, Bangor, San Diego, Yokosuka, and Guam sites, as well as the ability to remotely monitor alarms that are in place rather than armed guard personnel. Without access to these areas and resources, PSNS and IMF would be delayed on all projects, current and future, and result in mission failure.
Additionally, interruption and/or loss of monitoring capabilities could result in the compromise of sensitive information and/or materials.
6. FEDBIZOPPS ANNOUNCEMENT/POTENTIAL SOURCES: A synopsized/solicitation will be posted on the FBO website, requesting proposals from all authorized resellers of the OEMs. A copy of the redacted J&A will be posted with the synopsis.
7. DETERMINATION OF FAIR AND REASONABLE COST: A determination will be made by the contracting officer that the contract represents the best value to the government, as defined in FAR 2.101, and results in the lowest overall cost alternative (considering price, special features, and administrative costs) to meet the government's needs. The contracting officer will also determine the pricing information valid for comparative purposes. Certified cost and price data is not required for this commercial item acquisition, in accordance with FAR 15.403- 1(b)(3). The contracting officer will determine whether the price is fair and reasonable, based on: Comparison of the proposed prices to historical and existing prices paid, whether by the government or other than the government, for the same or similar items; Comparison with competitive published price list, published market prices of the same commodities; Comparison of proposed prices with the independent government cost estimate.
8. MARKET RESEARCH:
a. Market research was conducted by the PSNS team from November 2015 through March 2016.
Market research consisted of conducting internet searches, reviewing existing DISA-wide contract vehicles, issuing a sources sought announcement, and determining potential sources.
b. Based on the market research for the required software support, it is known that the Tyco Security Products and support (SSA for Innometriks, Network Harbor and Enhanced SSA SWH) is proprietary, and upgrades and support are only available from a Tyco Security Product manufacturer or their authorized resellers. The required software products have proprietary features and a custom operating environment found only in this brand-name software. At this time, the PSNS operating environment includes the brand-name software, and it is not economically feasible to deviate from the currently installed proprietary environment. Market research determined that there are no competitor functional replacement products in the market capable of meeting the entire AACS
Page 6 of 8 Pages solution without incurring substantial duplicate costs and time delays that could not possibly be recouped through a full and open competition among all contractors that could provide potential replacement products and services.
c. Based on current market research, it has been determined that only the aforementioned brand-name product and/or product support, can fully meet the government’s requirements. The government will continue to conduct market research to determine if there are changes in the marketplace that would enable future competitive actions (i.e., there are similar products and/or product support in the marketplace that provide the same functionality, the OEM releases ownership rights of product, or it is economically feasible to procure a new system). Market research revealed that the required support is commercially available to properly support the operating environment but is not available on existing government contract vehicles, to include Enterprise Software Initiative, General Services Administration, and National Aeronautics and Space Administration Solutions for Enterprise-Wide Procurement. Market research found the only capable contractor known to provide for this requirement is SimplexGrinnell LP. A synopsis/solicitation will be solicited open market and posted to FedBizOpps website.

b. The government will continue to search the marketplace, and alternative software solutions will continually be researched to determine if they will function with currently used products. If the government should determine these brand-name products are no longer required or other hardware/software meets the government’s needs, the government will seek full and open competition for the required functionality. If similar requirements arise, every effort will be made to compete to the maximum extent practicable.
12. REFERENCE TO THE APPROVED ACQUISITION PLAN (AP): In accordance with the exceptions under DISA Acquisition Regulation Supplement 7.103 (S-91)(h), an AP is not required.
