JUSTIFICATION FOR OTHER THAN FULL AND

OPEN COMPETITION (OTFAOC)

JUSTIFICATION FOR OTFAOC

Upon the basis of the following justification, I, as the Contracting Officer, hereby approve the use of OTFAOC of the proposed contractual action pursuant to the authority of Section 4202 of the Clinger Cohen Act of 1996. The regulatory authorities that apply to the requirement are FAR Subpart 13.051, Test Program for Certain Commercial Items and FAR 6.302-1, only one responsible source and no other supplies or services will satisfy agency requirements.

JUSTIFICATION

1. REQUIRING AGENCY AND CONTRACTING OFFICE

2. NATURE/DESCRIPTION OF ACTION(S):

(a) The nature of this action is to procure, brand name, commercial off-the-shelf, Scalable Network Technologies EXata Network Simulation software support. This procurement will perpetuate existing coverage under contract HC1028-14-P-0120, which expires on June 26, 2015. This will be a firm fixed price purchase order to Scalable Network Technologies, the original equipment manufacturer (OEM), who has proprietary rights to the EXata Network Simulation software support and does not have authorized resellers for the EXata Network Simulation software support.

(b) The period of performance is for 1-year, estimated to begin on June 27, 2015 through June 26, 2016. The applicable North American Industrial Classification System code is 511210, Software Publishers, with a $38.5 million size standard.

3. DESCRIPTION OF SUPPLIES/SERVICES:

(a) WIN-T Inc 3 develops the Network Operations (NetOps) software to meet the Army’s Network Convergence goals. NetOps provides the monitoring, control, and planning tools to ensure management of the voice, data, and internet transport networks. The NetOps software will also provide information assurance and network centric enterprise services. This allows for seamless integration of the tactical network planning, management, monitoring, and defense for the Signal staff. These NetOps improvements simplify the management of the network and increase the automation of tools and reporting. The developed NetOps software enhancements will be provided as a technical insertion to WIN-T Increments 1 and 2 for fielding and support. EXata software and the Joint Network Emulator (JNE) library will be used for emulating the same Joint Tactical Radio System (JTRS) radios in a development and test environment that the WIN-T NetOps software will be monitoring, controlling and planning for in the field.

(b) WIN-T Inc 3 also develops the enhanced Net Centric Waveform (NCW) version 10.x for increased throughput capability beyond the line of sight satellite communication and the Highband Networking Waveform (HNW) version 3.0 for line of sight communications. Both NCW and HNW provide improved network capacity and robustness. The waveform improvements will be available for use in other WIN-T and Tactical radio programs. EXata software and the JNE library support the same JTRS waveforms that are used by JTRS radios for development and test environments. This allows development and testing to be done without using physical JTRS radios.

(c) EXata network emulation software is the only emulation engine that the JNE library will currently operate on. EXata software mimics the functions of a real tactical radio network so that it appears, interacts, and behaves like the real network. The emulator provides an exact, high quality, reproduction of external behavior so that the emulated system is indistinguishable from the real system. An emulator provides a cost-effective method of evaluating new network technologies before actual systems or networks are built. The JNE library provides the EXata emulation software with the ability to mimic JTRS radio networks using JTRS waveforms. EXata and the JNE library is currently the only emulation software that can be used for JTRS waveform and JTRS based radio simulation. The JNE library running on EXata network emulation software emulates one or more JTRS based radios. This allows the program to simulate hundreds of JTRS based radios in a simulated virtual environment to test the impact of new equipment on established policies and procedures and the effects of interaction with other equipment, without executing full scale live exercises. The JNE software is a library of communications models and interfaces built on top of Scalable Network Technologies’ EXata emulation platform. Software support consisting of technical support, as well as minor and major software updates, are required for the products supported by Scalable Network Technologies.

4. IDENTIFICATION OF STATUTORY AUTHORITY:

Only one responsible source and no other supplies or services will satisfy agency requirements, Section 4202 of the Clinger-Cohen Act of 1996 and FAR 6.302-1/Defense FAR Supplement 206.302-1.

5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS:

(a) Description of events. The JNE program began in 2009 as a Small Business Innovation Research (SBIR) project sponsored by the Joint Program Executive Office JTRS, which is now the Joint Tactical Networking Center (JTNC). The purpose of the JNE program was to research technology to help with the design and deployment of the JTRS waveforms and JTRS based radios. EXata network emulation software is the only emulation engine that the JNE library will currently operate on. EXata is currently the only emulation software that can be used for JTRS waveform and JTRS based radio simulation.

(b) Justification.

(1) Minimum Government requirements. The minimum Government requirement is for the following is identified above in 3(d).

(2) Proposed sole source contractor. Scalable Network Technologies is the sole source provider of EXata network emulation software and the JNE. No other contractors or distributors can legally obtain access to the software or make duplicate copies, since copyrights and patent laws protect it. Scalable Network Technologies owns all proprietary rights to the source code.

(3) Discussion regarding cause of the sole source situation. Only Scalable Network Technologies can provide the required software support. There is only one responsible source, and no other supplies or services will satisfy agency requirements; this acquisition requires the proprietary purchase of EXata software support from Scalable Network Technologies. At this time, WIN-T operating environment includes the brand-name software, Scalable Network Technologies, and it is not economically feasible to deviate from the currently installed proprietary environment. No other contractors or distributors can legally obtain access to the software nor make duplicate copies, since copyrights and patent laws protect it. Scalable Network Technologies owns all proprietary rights to the source code.

(4) Demonstration of unique source. The JNE program was created due to an absence of products that could be used for network simulations utilizing JTRS waveforms and JTRS based radios. As a result, JNE software running on EXata network emulation software is the only software that will provide the ability to test a scalable tactical radio network in a lab environment for WIN-T Inc 3. Scalable Network Technologies is the sole source provider of EXata network emulation software and the JNE. JTNC funds features in JNE and also approves distribution of the JNE library to other government agencies/government contractors. There are several other organizations that fund development of certain features of interest such as emerging waveform models. Scalable Network Technologies integrates all these funded capabilities and provides a common distribution to all users on a biannual basis. The distribution consists of the JNE library and associated user guide documentation.

(5) Procurement discussion. Because Scalable Network Technologies is the manufacturer of the software and holds all proprietary rights to the software, only Scalable Network Technologies can provide the licenses and support. A review of the marketplace shows there are no other sources that can provide the proprietary software licenses and software support.

(6) Impact. Failure to procure EXata software would result in a loss of the initial investment in the EXata software and support as well as WIN-T Inc 3 not receiving support for EXata and the JNE. This would result in WIN-T Inc 3 not receiving version updates, patches and support for the EXata network emulation software of the JNE. This would keep the program from leveraging any new capabilities in the software. There are no replacement products available. Scalable Network Technologies created the JNE library to support the JTRS based radios and waveforms created by the JTNC. The JNE library only runs on the EXata network emulation software.

6. FEDBIZOPPS ANNOUNCEMENT/POTENTIAL SOURCES

A synopsis for this requirement will be published on the FEDBIZOPPS Website, as required by FAR Subpart 5.2.

7. DETERMINATION OF FAIR AND REASONABLE COST:

The Contracting Officer will make a determination that the anticipated cost to the government is fair and reasonable, based on comparison of commercial list pricing, previous history, comparison of the negotiated prices, and a comparison of the independent government cost estimate. A determination will be made that the contract represents the best value to the government and results in the lowest overall cost alternative. DITCO has concluded that placing an order with Scalable Network Technologies represents the best value (as defined in FAR 2.101) and results in the lowest overall cost alternative (considering price, special features, administrative costs, etc.) to meet the government's needs. Certified cost and price data is not required for this commercial item acquisition in accordance with FAR 15.403-1(b)(3).

8. MARKET RESEARCH:

(a) Market research was conducted by the WIN-T team in 2014 and 2015. The team surveyed the market through internet research, internal discussions, and vendor meetings. The first step taken in conducting market research in support of this project was to determine if there were other software solutions that would meet the government’s minimum requirements. Initial product research was conducted with websites, vendor brochures, and hands-on knowledge of available software. The viability of a vendor's product was based on the product's ability to fulfill the mission-critical requirements of supporting WIN-T. The market research revealed Scalable Network Technologies is the only source that will satisfy the agency’s requirements for EXata software and support.

(b) Market research determined EXata software support is not available on any current blanket purchase agreement, National Aeronautics and Space Administration Solutions for Enterprise-Wide Procurement, or General Services Administration Schedule contract. Market research also determined there are no small businesses capable of providing EXata software and support. It is recommended that this requirement be awarded via open market to Scalable Network Technologies, a large business, the only known source.

(b) If Scalable Network Technologies elects to surrender their legal ownership, copyright, and/or intellectual property software rights and move toward a complete open source solution, then DISA will seek open competition. Regardless, the government will continue to search the marketplace. If the government should determine that the OEM or is no longer required, the government will seek competition for the required functionality. Soliciting a quote for the purchase of brand name Scalable Network Technologies software and support on the Open Market is currently the only way to procure the required products.

12. REFERENCE TO THE APPROVED ACQUISITION PLAN (AP): A written AP is not required for this action as it does not meet the threshold for an AP.
