This document describes the license terms for when an Ordering Activity of a US Government Agency (the

Agency or the Licensee) purchases the Ab Initio part “ELA-01” from the GSA schedule for GSA Contract No.

GS35F636GA (the GSA Schedule). The terms for such a purchase are:

1. Purchase of GSA part ELA-01 enables the Ordering Activity, for one calendar year (the ELA Year), to deploy and use and receive support and maintenance for an unlimited quantity of Licensed Units from the GSA Schedule from the later of either modification PS-0014 or a bilateral modification that expressly amends the list of available Licensed Units offered under GSA part ELA-01.The Ab Initio Products made available through the ELA-01 are listed in the latest awarded ELA-01 service description document. All such Licensed Units are ELA Software Units.

2. The ELA Start Date is the date of the first purchase of the ELA-01 part by the Ordering Activity (in case there are multiple purchases), and the ELA Term is from the ELA Start Date to the end of the ELA Year.

3. If Licensee has Licensed Units of Ab Initio Software acquired prior to this ELA:

a) Licensee’s Licensed Units acquired before the ELA Start Date (Pre-ELA Units) that are listed in Exhibit A.1 shall be upgraded to ELA Software Units. Licensee will no longer have software based on SpecInts.

Instead, server-based software will be licensed in units of Kilo-SpecInt-hours (KSH as defined in Exhibit C).

b) Any Support Fees relating to the portion of the ELA Year that have already been paid by Licensee for the Pre-ELA Units will be credited against the ELA-01 Fee. The Support Fee for the Pre-ELA Units is included in the ELA-01 Fee for the duration of the ELA Year.

4. Except as described below, ELA Software Units can be deployed only at US Government-owned or -contracted data centers or Ab Initio-supported cloud installations (including U.S. Government cloud installations) in North America, Europe, or Asia and used only for processing on behalf of Licensee.

5. Licensee will establish an Ab Initio Center of Excellence (the COE) if one does not already exist, and the COE will provide primary support for all Licensee and all Licensee Affiliate users (including any international users) of Ab Initio software. Ab Initio will, in turn, support the COE. Ab Initio, at its discretion, may directly support specific users.

A Center of Excellence (COE) is a group of individuals who have been trained and are proficient in the use of Ab Initio Products. COE members use their training and experience to advise and guide others on

Licensee's staff in the successful use of Ab Initio Products. COE members typically determine enterprise standards for the deployment of Ab Initio Products and help coordinate installation of the software. COE members provide first line support for users of those Products and collect information as needed to pass on to Ab Initio for support and maintenance services. COE members are often engaged in other activities, including working on Ab Initio projects.

6. Throughout the ELA Year, and so long as Licensee has licenses for KSH-based Products, Licensee shall provide to Ab Initio CPU usage monitoring information and other information, as described in Exhibit C.

7. At the end of the ELA Year, the following options are available:

a) If Licensee has purchased ELA-01 for less than five consecutive years, then Licensee may purchase another year of ELA-01.

b) If Licensee has purchased ELA-01 for five consecutive years then an ELA Completed Event shall have occurred, and the Post-ELA terms of Exhibit D apply (for the purpose of “retaining” perpetual licenses).

The Test Year corresponds to the last of these five years.

KSH-based parts on the GSA Schedule may be acquired only by Licensees who have had an ELA Completed Event. Licensees who have not purchased ELA-01 for five consecutive years may not purchase KSH-based products.

c) If Licensee has purchased ELA-01 for less than five consecutive years and does not purchase an additional year, then an Early Exit Event shall occur. In such an event, all ELA Software Unit licenses shall terminate, the licenses for all Pre-ELA Units will be reinstated as they were prior to the initial purchase of ELA-01, and Licensee shall receive a credit (the Early Exit Credit) with which it may acquire additional Licensed Units from the GSA Schedule. The Early Exit Credit must be used within 10 business days of the end of the then-current ELA Year.

The Early Exit Credit is calculated according to the number of years from the ELA Start Date to the end of the ELA Year as follows: For one year, the credit is 85% of the amount spent on ELA-01, for two years it is 78% of the total amount spent on ELA-01 acquisitions, for three years it is 72% of the total, and for four years it is 67% of the total.

d) Licensed Units removed from the GSA Schedule or the ELA-01 Service Description as a part of a Delete Products Modification is not effective to an ordering agency unless otherwise specified in an ordering agencies underlying task or delivery order.

If Licensee chooses an Early Exit Event, it may no longer acquire additional ELA-01 parts.

8. The additional definitions and conditions in Exhibit F also apply to this agreement.

CPU Usage Monitoring

Licensee will assign a Project and Environment to each job so that usage may be measured for each Project and its associated Environments. The Key Server will capture the number of KSH per Class of server consumed by each job (rounded to two decimal places), along with the job’s Project and Environment, and will store this information in the Key Server’s log.

Definitions

(a) Environment means, with respect to a Project, a set of Servers and/or Partitions that are used together as a stage in Licensee’s application promotion workflow. Applications are typically developed in a Development Environment, then promoted to a Test Environment for testing, before being promoted once again into a Production Environment for production use. Examples of Environments include Development, Test, Production, Quality Assurance, User Acceptance, and so on.

(b) Project means a group of related applications with a common purpose and for a single business function, and that is implemented via Ab Initio Graphs and/or Plans. A Project may utilize any number of Environments, each being specific to that Project. Multiple Environments may share the same hardware platform. There may be an “Other” Project for small applications that do not fit within Licensee’s standard Projects. Licensee may organize its applications into Projects so long as no Project comprises more than 10% of Licensee’s total Ab Initio KSH workload, or merges together multiple distinct business functions. Ab Initio will reasonably consider Projects with more than 10% of Licensee’s total Ab Initio workload on a case-by-case basis for approval. An example of a basis for approval would be a Project whose scope covers a single business function (rather than a merging of multiple business functions) and whose computing needs have grown beyond the 10% threshold.

Licensee may assign to new Projects the graphs and plans that make up a Project, as well as re-assign those graphs and plans to other Projects, as desired throughout the ELA Term. After the ELA Term, multiple Projects may not be merged into fewer and larger Projects, and graphs and plans implemented during the ELA Term may no longer be reassigned to other Projects. Graphs and plans first implemented after the ELA Term can be assigned to a Project at Licensee’s discretion so long as doing so does not change the nature of that Project.

(c) A Kilo-SpecInt-hour (KSH) is the usage of 1000 SpecInts of compute capacity for 1 continuous hour.

For example, a job running for 8 hours on a Partition with a rating of 2,500 Class 1 SpecInts, and which fully utilizes that capacity during the entire 8 hours, consumes a total of 20 Class 1 KSH. When applied to non-expiring software licenses, one KSH license allows a user to consume 1 KSH during each calendar month on an ongoing basis.

Licensee and all Affiliates will use the Key Server capability of the Conduct>It product, or such other tool as

Ab Initio may provide from time-to-time, to monitor and report on Licensed Unit usage across all of its Ab

Initio-based systems.

Within 30 days after the end of each calendar quarter, and within 30 days after the end of the Test Year, and so long as Licensee has KSH-Based Products, Licensee will provide Ab Initio with reports produced by the Key

Server and the Key Server that contain aggregated Licensed Unit usage (KSH and Users) by month within each

Project and Environment for each month since the previous report.

Exhibit D

Post-ELA Terms

The additional terms set forth in this Exhibit apply if Clause 7(b) is in effect and there has been a ELA

Completed Event:

(a) For each Project and Environment combination (Project-Environment) that uses ELA Software Units, the Highest Monthly KSH will be determined as follows:

1. The KSH information collected in accordance with Exhibit C during the Test Year will be used to determine for each Project-Environment the KSH used during each month of the Test Year.

2. For each Project-Environment, the highest of the 12 monthly values in (1) will be determined.

This value is the Highest Monthly KSH for the Project-Environment.

(b) Subject to all the terms of this ELA, and provided that Licensee continues to be compliant with all the terms of this ELA, including the Exhibits, Licensee will retain a license for certain ELA Software Units (Retained Units), wherein the following terms apply:

1. All Retained Units must remain associated with the Project-Environment in which they were being used at the end of the ELA and hence may not be redeployed across, or used for, other Projects or Environments or other uses.

2. Retained Units on non-production Environments may not be used for production processing of any kind.

(c) The quantity of Retained Units shall be computed as follows:

1. For each Project-Environment that is in use as of the last day of the Test Year, Licensee shall retain Licensed Units for KSH-Based Products (GSA parts whose license metric is “KSH”) for the number of KSH per month as calculated by the Highest Monthly KSH in part (b) of this Exhibit D.

2. Licensee shall retain the Licenses Units for User-Based Products (GSA parts whose license metric is “User”, “Block”, or “Desktop”) and the EME Instances (GSA parts whose license metric is “instances”) that have been in active use for development or for operational support or for production applications for 8 days, or more, during each of the last 3 months of the Test Year.

(d) If the total KSH usage in any calendar month for a Project-Environment exceeds the sum of that Project- Environment’s Retained Units KSH and Purchased Units that Licensee has assigned to that Project- Environment (a Need To Purchase Event), Licensee shall acquire those additional Licensed Units (Purchased Units) within 30 days after a Need To Purchase Event, at the pricing and discounts contained in GSA Contract No. GS35F636GA.

Licensee may regulate usage, and therefore KSH consumption, using a combination of Ab Initio’s

WorkLoad Manager utility along with KSH usage monitoring (described in Exhibit C), and thereby avoid

Need to Purchase Events.

(e) Licensee will not design, implement, change, or operate its applications, modify data volumes, or adjust in any way any aspect of the CPU usage monitoring utility in Exhibit C:

1. In such a way as to, directly or indirectly, calculate during the Test Year higher values for a Highest Monthly KSH value as determined under part (a) of this Exhibit D so as to avoid the acquisition of additional software Licensed Units as required in part (d) of this Exhibit D.

2. In such a way as to increase usage during the Test Year of User-Based Products for the purpose, directly or indirectly, of avoiding the acquisition of additional software Licensed Units for these products after the ELA.

3. Or to avoid, override, or negate any of the terms of this agreement.

(f) Licensee may choose to acquire support for the Retained Units and Purchased Units by purchasing the appropriate support parts on the GSA Schedule.

(g) For the calendar year immediately after the ELA Term, Licensee, at its option may acquire part ELA- 01M. This part provides support for all license quantities for all Retained Units, regardless of the quantity of Retained Units.

Licensee, at its option, may instead purchase the support parts from the GSA Schedule (parts ending with “M”). The proper quantity of these parts is the number of “retained” licenses that are calculated in Exhibit D.. The purchase fee for ELA-01M may be lower than the support fee described in (f) above, depending on the number of Retained Units.

The ELA-01M part is available only for one year, the year that begins five years after the ELA Start Date, and only for licensees to whom this Exhibit D applies.

Additional Definitions and Conditions

ADDITIONAL DEFINITIONS:

− Class 1: A Class 1 Server contains CPUs that can run a POWER AIX, Itanium HP-UX, PA-RISC HP-UX, or SPARC Solaris version of the Ab Initio software.

− Class 2: A Class 2 Server contains CPUs that can run an x86 Linux, x86 Windows, or x86 Solaris version of the Ab Initio software, and no other version of the Ab Initio software.

− CPU: A CPU is a specific central processing unit, usually with a unique serial number. Each processor “core” of a multi-core integrated circuit is counted as a distinct CPU (thus, for example, a dual-core processor chip is counted as two CPUs). A CPU is located within a specific Server or Partition.

All CPUs within a Server, or within the Partition of a Server that is running licensed software, must be fully licensed. If an Ab Initio approved workload manager program is in use in a Partition, then a fraction of the SpecInts of the CPUs in the Partition may be licensed.

− Instance: An Instance Licensed Unit is a single instantiation of the EME object store database and associated Metadata Hub. Each Instance is located on a single Server.

− KSH: A Kilo-SpecInt-Hour is the usage of SpecInts measured in units of hours, such that the product of the number of SpecInts times the number of hours is 1000. For example, a job running for 8 hours on a Partition with a rating of 2,500 Class 2 SpecInts consumes a total of 20 Class 2 Kilo-SpecInt-hours. When applied to non-expiring software licenses, one KSH license allows a user to consume 1 KSH during each calendar month on an ongoing basis.

− Server, Partition, LPAR: A Server is a specific physical computer, usually with a unique serial number. A Server contains one or more Partitions, each of which runs a separate operating system instance, has at least one unique IP address, and runs a server-based version of Ab Initio software. Each Partition contains one or more CPUs. The term LPAR is interchangeable with Partition. A Server, Partition or LPAR may be instantiated as a virtual machine instance (VM) utilizing virtualization technology approved by Ab Initio. Ab Initio shall provide upon request a list of supported virtualization technologies, which is updated from time to time and the conditions applicable to their future installation and use.

− SpecInts: A SpecInts Licensed Unit is a measure of computing power. It refers to the industry standard SPECint_base2000 benchmark if such a rating is available for a CPU, and if not, to the AISPECint2006 rating for CPUs that have been benchmarked with the industry standard SPECint2006 benchmark. SPECint_2000 and SPECint_2006 are described at www.spec.org. Ab Initio derives the AISPECint2006 rating from the SPECint2006 benchmark to have the same units as, and to correlate well with, the SPECint2000 benchmark. This calculation is available upon request. If the SpecInt2000 and SpecInt2006 benchmarks are not available for a hardware platform, Ab Initio may adopt a new benchmark and convert SpecInt Licensed Units hosted on that platform to the newer benchmark.
