Program Offering Options As part of consideration for the GSA MAS SIN 511210 - Software Licenses, Prevail is able to offer several options to provide the most flexibility for the organization that best fits their needs or desires. The initial high level offerings are described here, and later the program features are described in more depth. All of the offerings are able to fulfill key aspects of the GSA’s goals to increase efficiency in government spending, utilize the latest health technologies, and reduce costs.
Prevail’s Peers and Virtual Program
This level of offering is the Prevail’s Peers and then attached to it the virtual online behavioral health program that is clinically validated through multiple published clinical trials. A certain percentage of people interacting with the peer-to-peer model will need a higher level of care and want to continue to become more mentally resilient. For these people in the population, they will have the opportunity to sign up for Prevail’s program. Typical usage time of the program is from eight to 10 weeks. These programs have gone through rigorous development with leading doctors throughout the country as well as clinical validation through multiple published clinical trials and the Agency for Healthcare Research and Quality independent review. Users are rewarded throughout the programs which creates tremendous levels of lasting engagement, and ultimately leads to a robust community of people becoming healthier through technology.
Prevail’s Peers and Virtual Program and Telehealth
There will certainly be a percentage of people going through the program that will need a higher level of care than the program is able to provide. For these people who are flagged through Prevail’s algorithms, they will be able to utilize a feature on Prevail’s technology called partner connect. The partner connect option allows the users to connect directly to a telehealth provider that is integrated into Prevail’s system. Users in the program will be granted a certain number of telehealth visits included in the program. The user experience will feel seamless and integrated as one holistic solution. If the user decides to continue beyond the amount of telehealth sessions allotted in the program, there is an opportunity to continue on at their own expense.
Containing Costs Real World Outcomes
From a real world outcomes study over a one-year time period in 2013 within the Veterans population through national delivery of Prevail’s solution, Prevail was able to interact with 6,900 Veterans directly through its proprietary acquisition and engagement efforts. In addition to the 6,900 direct Veterans engaging in Prevail, there were an additional 85,000 visits to the Prevail community that had serious engagement in the realm of 20,400 questions and answers.
Out of the 6,900 Veterans who were engaging in Prevail’s technology, 2,269 met the criteria for having probable depression with a score of greater than 11 on the PHQ-9 assessment. Out of the 2,269 Veterans meeting the clinical threshold for probable depression, 1,031 of those Veterans engaged with Prevail enough to see clinical benefits.
Ultimately this produced a resounding $3.7 million in savings to the Veterans Health Administration and a return on investment of 14.8X for the spending on Prevail. It is important to note that this savings and return on investment is solely focused on the direct spending on mental health treatment, and it does not include the greater amounts that are associated with the comorbid conditions. The Veteran population is one of the hardest populations to engage in different behavioral health or health technology solutions, and so having the ability to demonstrate such savings and return on investment demonstrates the strength of Prevail’s model.
Society of Actuaries
After demonstrating its proven scalability over the years with the Veterans Health Administration, in May of 2016 Prevail collaborated with the Society of Actuaries to further strengthen its association with containing costs. Prevail’s research, “Mental Health Enables Wealth,” was eventually published in the publication titled Health Watch. Prevai’s leadership collaborated with the Chairperson of Behavioral Sciences at Rush University Medical Center, Dr. Stevan Hobfoll, to publish the whitepaper.
The publication is printed hard copy that goes out to thousands of actuaries throughout the country, and there is also a digital version that has an even larger reach throughout the population of actuaries.
One of the most salient pieces of the article is the quotation, “most important, there is an opportunity to expand the usage of this technology to reach a larger population and make a significant impact on health spending in America.”
Partnering with the Society of Actuaries to display the cost containing possibilities of Prevail’s model helps to solidify its strength, and opens the door for Prevail to demonstrate the ability to contain costs in a host of other populations. Just as the article says, there is a timely opportunity to expand the usage of the technology to further demonstrate value.
Every Population is Different
Ultimately each and every population is different, therefore the only way that we will be able to know how much money Prevail will be able to help you save is through the demonstration of the solution in your distinct population. That said, the association between Prevail’s program and containing costs is clearly demonstrated in other populations. This allows Prevail to have an immense amount of confidence that Prevail’s solution will yield similar cost containing results when implemented in your population. Thanks to Prevail’s ability to clearly demonstrate value through data, there will be an opportunity to show the value over a short amount of time that allows your team to see the return on the investment in Prevail’s technology.
Science Behind the Solution With a market-leading evidence base, Prevail sets itself apart from anything else in the marketplace. Rather than relying on generic studies that are conducted based on concepts or ideas, Prevail has taken a completely different path to market that has included multiple published clinical trials on its actual product as well as an independent review by one of the preeminent government organizations that is tasked with reviewing all of the new healthcare innovations that are taking place.
Prevail’s cutting edge technology is backed by sound science thanks to its unique collaboration from the very beginning with the National Science Foundation that later sparked cooperation with some of the leading doctors throughout the country, including some of the most well-known doctors in the field of behavioral health. This includes doctors from institutions such as Rush University Medical Center, University of Chicago, Northwestern University, Boston University, as well as the “grandfather” of cognitive behavioral therapy’s institution, the Beck Academy of Cognitive Therapy.

Thanks to the founding story, support from leading national foundations as well as organizations, the Agency for Healthcare Research and Quality (AHRQ) under the Department of Health and Human Services independently reviewed Prevail’s technology. The assessment was looking at Prevail’s actual program rather than the idea or the concept. During the assessment, the AHRQ awarded Prevail with the highest evidence based rating of ‘strong.’ In addition, the review recognized that 94% of users going through the program would recommend the program to their friends. It is important to note that people going through the program not only were able to receive clinical benefit, but they also enjoyed it so much that they would recommend it to a friend. This is the strongest form of marketing which is able to drive continued, strong engagement.
The technology has four foundational elements:
Interactive Lessons
The core technology that was initially supported by the National Science Foundation was built to enable different rich media content to be delivered to the individual user based on the different questions that they answer. The lessons were built with a team of doctors and are a fun, engaging way to deliver the principles of Cognitive Behavioral Therapy in a way that is manageable, while at the same time it relates to the individual for where they are currently at in life, and the circumstances they are facing.
Throughout the lessons, there are different points in time where the user is asked questions. These questions help to further tailor the lesson and the information to the person as they continue down their Prevail journey. Each of the lessons is roughly between 20 and 30 minutes in length.
Community
One of the best parts of the Prevail technology is the sense of community that is created through usage of social media 3.0 tools seen in other social media channels like Facebook. There is a lively question and answer area where people are able to ask anything that might come to mind. All of the features have a wide variety of different social media functions such as the ability to like and share the different content that is being posted. This helps to create even more engagement in the community as well as ongoing engagement.
There is also an area of the community where people are able to make different posts. These posts are a chance for people to express whatever is on their mind in a different, innovative way. For many people battling with behavioral health issues, the opportunity to write and express different thoughts, ideas, or emotions is extremely helpful. With the posts, the users are also able to utilize different creative aspects of their personalities where they can post different pictures, inspiring quotes, or other things that might help to engage them.
The last part of the community area of Prevail is the actual part that is called “communities.” This is an area where people are able to combine around common interests or passions that they have, which helps them relate to one another. By way of analogy, think of it as being similar to the public and private groups that exist on Facebook. These communities help to hone in on the different life situations or the different challenges that the individual is facing.
Points and Rewards
The entire model around Prevail is built with positive reinforcement in mind thanks to the ability to reward people through points. The points can later be redeemed for different prizes that are completely customizable according to how your organization decides to customize them. Through the years of delivering Prevail to thousands of people, it has been proven that a small amount of points is able to create lively engagement of the users. This equates to a small amount of money that is used to entice as well as encourage users to continue using the program and becoming more and more active.
Rewards in the program are easily able to be customized to the branding and the messaging that your organization would like to have. Currently, the most common usage of the rewards is through online merchants such as Amazon. There are also other implementations of the rewards where users are able to donate their points to a non-profit or organization of their choosing that we are able to coordinate.
Assessments Prevail’s technology creates a unique chance to standardize assessment questions in your population. Due to the fact that members are coming in with the hopes of being actively engages, Prevail creates a baseline assessment of the individual’s profile. Throughout the Prevail journey there are many other assessments that are taken to ensure that the user is continuing to make clinical progress. The ongoing assessments, as well as the data that continues to be built around the individuals, allow your organization have a much deeper understanding of the individual, which in turn allows the right level of care to be provided at the right time. Ultimately this creates a situation where there are better health outcomes, and more profit for your organization.
Even with the best scientific backing in the marketplace, one of the most important elements that allows people going through Prevail’s program to improve is the proprietary ability to integrate those people similar to the members going through their own behavioral health conditions.
Prevail Peers The special glue that not only strengthens the entire Prevail model, but also binds every facet of the program is the proprietary peer-to-peer model. There is robust evidence pointing to the fact that the usage of peers is an effective way to help drive better health outcomes. In the traditional setting, the usage of peers in such settings as Alcoholics Anonymous and others have proven extremely effective. Prevail harnesses the traditional methods of peer-to-peer support, and then takes it into the 21st century.
All of Prevail Peers first go through the Prevail program and then they go through a training program that was developed in partnership with the Department of Veterans Affairs in collaboration with a leading national organization. This allows all of the peers to have an extremely high level of empathy, as well as practice active listening skills.
Prevail has three levels of Peer Specialists, which are detailed below, each of which provide varying levels of service to Prevail users. Prevail’s Peer Specialists are not employees, which is a value proposition in itself. They are volunteers who have experienced the benefits of Prevail’s program and are interested in helping others. They receive incentives such as gift cards for completing chats with Prevail’s users and completing varying levels of training. In this way, Prevail helps to grow a community support network motivated in helping others. Each level of specialty is currently engaged in or has completed the Prevail program.
User Peers
User Peers have been through our program for a mental health condition and are in recovery, and must go through our first level (User Peer) Training Program. User Peers are available 24/7 to provide peer support to other Prevail users. They focus on helping users to grow recovery-building skills, but do not have formal CBT or Prevail program training.
Trained Peer Specialists
Trained Peer Specialists have gone through our Advanced Peer Training Program, which is on-par with most statewide Peer Specialist certification programs (see Peer Certification section). These peers are also available 24/7 to provide peer support to Prevail’s users.
Program Peers
Program Peers have completed Prevail’s User Peer Training Program, Advanced Peer Training Program, as well as training on Prevail’s Cognitive Behavioral Therapy (CBT)-program. Program Peers guide other users through the Prevail virtual therapy based CBT program. Prevail CBT and program training includes reading through a step-by-step manual and taking exams at the end of each chapter to measure competence. Program Peers engage with users while they are navigating the Prevail program, and unlike User peers, guide them through the program and how to use the program tools. Prevail’s Program Peers guide Prevail users through the Prevail program and engage users through various chats to assess their progress utilizing a variety of CBT-based tools, including an Activity Monitor that helps users to understand what activities they are doing that are healthy and unhealthy and types of activities they should be doing more of; a Thought Record that helps users identify negative thoughts and think more realistically; and a Feelings Log that helps users control their emotional responses to their negative thoughts, and in turn prevent negative behaviors.
Becoming a Peer
In order to become a peer, the first step is enrolling in iPrevail. The user will create an account and take an assessment. Based on the assessment, s/he will enroll in program(s) and complete daily tasks to earn points. These could be interactive lessons, activity logging, and community discussion and more. Users must complete at least one program before applying to become a peer.
The training consists of techniques and strategies to be a peer coach with exceptional active listening skills and is created as well as approved by the Veterans Administration and a leading national organization in the mental health field. Ongoing support and clinical advice to the training program is supported by a licensed behavioral health clinician.
The Chat System
In order for Peers to chat with other users or even anonymous visitors to the site, they must enter the Peer Dashboard after logging into the site. Once they enter the Peer Dashboard, they are in Preparing Mode. This allows them to review their profile, make any adjustments, and document any notes for themselves. When they are ready to chat, they will enter Chatting Mode by clicking on a small button at the top right of the screen. The system will have a little pop-up for the Peer to confirm they are ready to enter Chatting Mode and begin interacting with others.
Once a peer enters Chatting, they are officially online and able to chat by accepting Chat Tickets. A Ticket is chat request sent by an individual attempting to conduct a chat on the chat. Each chat request becomes a Ticket for the peer to accept, which will appear in the Incoming Tickets tab.
Peers are alerted when a new user initiates a chat and at that point in time has the opportunity to take the ticket. The label on the ticket is different (Landing vs Enrollment versus Program) to indicate the type of chat. [Only Program Peers will see Program Chats.] If the peer is not already engaged in chats and accepts the chat by clicking “Take,” the chat with a user begins immediately. While peers can see all incoming tickets in real time, they are specifically trained to only take two at a time, which enables them to provide the best possible user experience. Chats do not have any specified length of time, however after 20 minutes peers are instructed to encourage the user to sign-up for Prevail’s interactive program.
When the chat is complete, meaning when the user is has clearly indicated the end of the chat, the Peer will hit “Archive” to send into the archive. This will allow the message to remain as a thread if the user decides to come back and reconnect with the peer about that conversation or if the peer wants to re-connect/check in with the individual.
Peer Resources
Peers are provided resources for a whole host of different issues, conditions, and situations that they can offer the user during the chat such as links to verified sites with some information about a particular illness they may want to read up on. There are also resources available to users in terms of support groups that the user could potentially be interested in. In addition, there is a therapy resource locator resource for users, which allows them to find a professional in their area. This is a link where they can enter their general location/zip code and are able to find a professional based on their needs and other criteria such as cost. In conjunction with the training resources, there are also general peer resources available to the peers. This resource bank was created to assist peers as they are chatting by providing quality resources to share with users and visitors about topics that often come up in chats. These resources are constantly updated and improved to provide the best possible experience for those visiting and joining Prevail.
Crisis Situations
There is a strict step-by-step crisis protocol in place if someone is threatening to harm themselves or others. When there is a threat the peer has the ability to flag the user, which is required in the chat. Inappropriate behavior is also flagged and then the peer is instructed in clear steps on how to proceed. Once the crisis flag is created for the user, the handoff to a national crisis line ensues. The peers at Prevail are able to help a variety of people in many different situations. However, they are not healthcare providers, thus cannot provide any sort of medical care.
In the event of a crisis situation (a user expresses that s/he is thinking of hurting themselves or others), the chat is immediately “Flagged” and connected to the National Suicide Prevention Line Chat. The peer instructs the user to accept the chat three times, and informs the user we are not equipped to handle such situations so the chat cannot continue. Once the user accepts that link, s/he will follow the prompts on the screen, which may include entering some personal information such as a zip code or the reason for contacting the crisis line. The peer will not receive any confirmation if the user has or has not connected with the crisis line. The user may express that s/he wants to continue chatting with the peer, but the peer must encourage the user to accept the chat as continuing the chat is not an option. After encouraging the user three times to accept the chat and explaining that we cannot help in this situation, the peer can respectfully close the chat. At that point the user will see a message with further instructions about contacting the National Suicide Prevention Line Chat or 911.
Upon completion of the handoff, the peer is required fill out the embedded Crisis Evaluation Form which sends a detailed report to the Peer Lead. The Peer Lead monitors these situations closely to constantly iterate and improve the process wherever is needed.
Evaluating Chats and Peer Standards
All of the peers are overseen by a Lead Peer Manager. Each peer is overseen by the Peer Manger. Before the peer is able to take any chats, the Peer Manager ensure that the Peer is able to successfully complete the training with above a passing score for each level. The Peer Manager will also go through practice chats with new Peers. Once the Peer is able to take the chats, those chats and corresponding user ratings are also reviewed to not only ensure that the Peer is compliant with the rules and regulations of the chat, but also that the user is engaged in meaningful chat.
A meaningful chat is measured by checking to see if the Peer accepts the chat in a timely manner, engages the user in conversation, and helps the user find resources or simply listens if that is what the user needs. The ideal time for a fully successful chat is about 7 minutes, which is also looked that by the reviewers. The Peer’s ratings by the user also help gage how the interaction went between the peer and user. All of these factors help determine the final points earned by the Peer, which is incentive to do well.
The quality of the interactions between users and peers is rated on a five start quality rating with five stars being the highest level of quality attainable. The higher amount of stars that are earned for each chat corresponds to a greater amount of points awarded to the peer. The chats are reviewed by the Lead Peer Manager to evaluate and give the correct level of stars. One completed chat equates to 50 points. To count as completed, a chat must last a minimum of 7 minutes and the conversation must be drawn to a close. In the event that the user is disconnected just short of a completed chat, the chat will be reviewed and a determination will be made if the chat could be counted as completed.
A high quality chat is eligible for up to 50 additional points based on rating by the Peer Manager. When the Peer Manager is reviewing chats, they will be looking for 3 primary elements: friendly interaction and engagement with the user, evidence of active listening and use of effective questions, and discussion of other resources available at iPrevail.
The user can also leave a rating about the overall chat experience, the Peer’s helpfulness, and response time as well as leave written comments. The user’s ratings help create an average rating for the Peer, which is visible on their profile and that rating also impacts a peer’s ability to progress in levels. There are high standards set in place and each of these ratings & reviews help motivate the Peer to work towards reaching these high standards and in turn help to create an ecosystem of only the best possible experience for the user.
Additionally, to further ensure the work of the Peers at Prevail is up to the standards put in place, a licensed psychologist clinician within a school, Saybrook University will monitor Prevail’s chats through a custom Admin dashboard. Monitoring means assessing the quality of the chats, engagement between peer and user, and application of training materials related to being a peer and CBT on a weekly basis. This collaboration not only ensures that the training and work by the peers, but also opens the door to further clinical validation through collaborating to publish the work of the students related to the field of behavioral health. The licensed clinician along with the organization work with Prevail to constantly improve the process of the peer training module to improve the quality of the interactions with the users.
User Experience
The initial Program enrollment process focuses on customizing to users through both a clinical and demographic assessment items in order to build a unique member account and avatar for the user based on their answers to between 25-30 questions. Symptomology questionnaires are based on clinically-valid measure and patient-reported outcome measures (PROMs). Examples include the PHQ-9 and CESD or PCL-M. Depending on the user’s answers, additional or follow-on questions may be administered to gain better insight into their individual situation. Users are then given the opportunity to create a confidential user account. Usernames are anonymous; individuals will never be identified in the Prevail Program.
From there, a user lands at their own “My Results” page, allowing the user visual representation of their unique account attributes based on the results of their responses. The “My Results” page shows users how they scored clinically in relation to the given standard, accepted threshold. Users have the ability to take additional assessments, retake assessments, or delete particular results they do not agree with.
Once satisfied with the individual results, users generate a custom program based on attributes tied to assessment items measuring demographic, personality, symptomology, and other types of unique user data sources.
The user’s account is created and they begin their Prevail path that is a completely customized journey. The journey has been developed on the following foundational elements: interactive lessons, instant message peer counseling sessions, community elements, behavioral health tools, guided learning activities, and a partner connect.
Customized Program Flow
The platform configuration consists of programs based on a user’s unique track and pace, which are comprised of lessons which are then further broken down into a certain number of activities proven to boost engagement while encouraging personal understanding and ultimately, improving health outcomes at the individual level.
Within each lesson, the health activities are customized depending on the answers given from the demographic, personality, and clinical assessments. Once the user completes all the activities within a distinct lesson, they are able to advance on to the next level of the program. The user navigates their personalized Prevail path at their own pace and are never identified. User interactions, engagements, and involvement are entirely confidential.
Confidential Community of Support and Empowerment
Community elements spark terrific engagement through valuable user features including writing for self-reflection, questions and answers, and other confidential, social areas to engage in among a lively group of other peers also going through similar life situations. Everyone experiences things differently but here, users can reach out confidentially and hear from others regarding how they have navigated through particular feelings or situations. Likewise, users can share what is helping them improve, what makes them happy, and much more. Having a ‘home base’ to hear and be heard among a supportive community of peers is valued by all Prevail members.
Self-Monitoring and Meditation
There are a variety of behavioral health tools that users are able to use throughout the journey that help to provide more insight into what is going on with their life, for instance mood tracker, sleep tracker, activity tracker, and others. Users self-report in order to monitor their own progress, and celebrate success!
As users track and monitor themselves, the Prevail system maintains entries as a user journal. Users review these over time and reflect and mediate based on their historical entries. By viewing self-reported status over time, individuals build a better understanding of themselves and learn to apply the strategies brought forward by the Prevail Program, enabling self-improvement.
Increasing Willingness to Seek Care
The Prevail model empowers users to overcome the numerous barriers to clinically-proven resources. Embedded in our platform is a focal program feature that provides the opportunity to connect to follow-on care outside of the Prevail platform. There is a high acceptance threshold for individuals to cross in order to setup an appointment with a clinician when compared to the acceptance threshold for engaging in an online, confidential resource. From there, users begin learning about themselves and improving their overall health. With this approach, Prevail illustrates the benefits of seeking care and increases user willingness to pursue follow-on care.
There are options for how users initiate and access external resources and care. One example is the Partner Connect option, which allows for the user to go through a wizard that best connects them to best or most appropriate level of service that they are in need of nearest to them. Another example is that users have the opportunity to pursue a telehealth connection in order to receive on-demand support from a licensed clinician.
Extended Optimization after Graduation
Once the user has graduated from their first program, they are able to proceed to graduate-level programs focused on maintaining and optimizing health and wellness, at this point users will also be eligible to enroll in Peer Training programs to become Trained Peer Specialists. The Trained Peer Network is monitored by experienced Trained Peers known as Peer Mangers and Program Peers to manage Trained Peer on-boarding, monitor content, and maintain communication and comradery among the Trained Peer Network.
Prevail’s programs are centered around personal incentives which keep users motivated. Point reward totals are aligned with personal return on investment. For different areas of involvement in the program, users are rewarded with a requisite amount of points. For higher quality involvement or better content, users are rewarded with more points. In some instances, points of particular activities are influenced by a social element, meaning the most impactful, supportive, and meaningful content created by users may increase by a percentage.
Customization and Integration Depending on the needs of your organization, Prevail will be able to tailor the offering to your organization, and there is also an opportunity for more thorough tech integration.
Customization
Prevail will be able to completely customize the entire program offering to match the look and feel of your organization. This will be done through co-labeling abilities. This will help to ensure all the users coming from your organization will have the initial trust factor that is inherent when they are able to know that it is an offering that your organization is originating from your organization. The typical timeline for a customization along these lines is 30 days.
Integration
If your organization desires, Prevail is able to completely integrate through technology to create Single Sign On capabilities with your organization. This will help to enable the most seamless user experience possible, while also providing countless opportunities to harvest the data to more clearly demonstrate the return on investment in the technology.

Data-Driven Without data, there are just a lot of opinions, however once there is robust data, it provides an opportunity to dive deep to recognize different patterns in data sets enabling leadership to have a strategic view of situations. Prevail’s entire model is built with a long-tail model of a data-driven technology that provides enormous insight into your members. This is accomplished through initial baseline assessments that help to begin building a profile on the member, ongoing assessments, and the constant data mining that the program is able to accomplish. Just as Google starts to know your interests, what you recently bought, and what you are searching for by displaying ad content connected to that, Prevail replicates this model in how it works with its members. When members continue to progress down their Prevail journey, they will be shown content that is more and more specific to just what they need to see.
The data-driven element of Prevail is able to easily demonstrate its value to you through monthly reports that are delivered in the aggregate as well as a real-time administrator dashboard. Monthly reports will be able to recognize different changes in the data that will help leadership to better understand where resources or energy should be focused. The administrator dashboard allows clinicians or other leaders to log into the program at any time to have a view of what is taking place in the population.
Monthly Reports
Prevail’s experience of harvesting robust data through its members provides the opportunity to be as clear and transparent as possible. Prevail wants to allow you to have the deepest insight into the value that the technology provides. The monthly reports are an excellent chance to track the progress on a month over month basis that shows the progress of your members.
The reports will be able to show down to specific levels of engagement throughout different levels of the program. Reports will also be able to show the various levels of clinical improvement of members in the population as they use the program.

Terms and Conditions for 511210 TERMS AND CONDITIONS APPLICABLE TO TERM SOFTWARE LICENSES (SIN 511210 - Software Licenses) SOFTWARE MAINTENANCE a. Software maintenance as it is defined as follows based upon the product or service’s associated SIN:
X 1. Software Maintenance as a Product (SIN 511210 - Software Licenses) Software maintenance as a product includes the publishing of bug/defect fixes via patches and updates/upgrades in function and technology to maintain the operability and usability of the software product. It may also include other no charge support that are included in the purchase price of the product in the commercial marketplace. No charge support includes items such as user blogs, discussion forums, on-line help libraries and FAQs (Frequently Asked Questions), hosted chat rooms, and limited telephone, email and/or web-based general technical support for user’s self diagnostics.
Software maintenance as a product does NOT include the creation, design, implementation, integration, etc. of a software package. These examples are considered software maintenance as a service. Software Maintenance as a product is billed at the time of purchase.
UTILIZATION LIMITATIONS - (SIN 511210 - Software Licenses)
a. Software acquisition is limited to commercial computer software defined in FAR Part 2.101.
b. When acquired by the ordering activity, commercial computer software and related documentation so legend shall be subject to the following:
(1) Title to and ownership of the software and documentation shall remain with the Contractor, unless otherwise specified.
(2) Software licenses are by site and by ordering activity. An ordering activity is defined as a cabinet level or independent ordering activity. The software may be used by any subdivision of the ordering activity (service, bureau, division, command, etc.) that has access to the site the software is placed at, even if the subdivision did not participate in the acquisition of the software. Further, the software may be used on a sharing basis where multiple agencies have joint projects that can be satisfied by the use of the software placed at one ordering activity’s site. This would allow other agencies access to one ordering activity’s database. For ordering activity public domain databases, user agencies and third parties may use the computer program to enter, retrieve, analyze and present data. The user ordering activity will take appropriate action by instruction, agreement, or otherwise, to protect the Contractor’s proprietary property with any third parties that are permitted access to the computer programs and documentation in connection with the user ordering activity’s permitted use of the computer programs and documentation. For purposes of this section, all such permitted third parties shall be deemed agents of the user ordering activity.
(3) Except as is provided in paragraph 8.b(2) above, the ordering activity shall not provide or otherwise make available the software or documentation, or any portion thereof, in any form, to any third party without the prior written approval of the Contractor. Third parties do not include prime Contractors, subcontractors and agents of the ordering activity who have the ordering activity’s permission to use the licensed software and documentation at the facility, and who have agreed to use the licensed software and documentation only in accordance with these restrictions.
