END USER LICENSE AGREEMENT (EULA) FOR RSUITE ENTERPRISE, RSUITE REDACTION, AND RSUITE STANDARD
PLEASE READ CAREFULLY BEFORE USING THIS PRODUCT: This End-User License Agreement ("EULA") is a legal agreement between (a) the Ordering Activity under GSA Schedule contracts identified in the Purchase Order, Statement of Work, or similar document (“you” or “Ordering Activity”) and (b) Contiem, Inc. ("Contiem") that governs your use of the Software, installed on or made available by Contiem.
BY BOTH PARTIES EXECUTING THIS AGREEMENT IN WRITING, YOU AGREE TO BE BOUND BY THE TERMS OF THIS
EULA. IF YOU DO NOT ACCEPT THE EULA TERMS, DO NOT USE THE SOFTWARE.
Definitions: Within this document:
a) "Software" will refer to the proprietary RSuite Enterprise application produced by Contiem. This includes the user interface, associated product documentation, and any third-party components made available to You by Contiem.
b) "You" denotes the Ordering Activity under GSA Schedule contracts identified in the Purchase Order, Statement of Work, or similar document.
c) "Contiem" the GSA Multiple Award Schedule Contractor
1. GRANT OF LICENSE. Contiem grants you the following non-exclusive, non-transferable rights provided you agree to and comply with all terms and conditions of this EULA:
a. Use. Pursuant to this agreement, Contiem grants you the right to access and use the Software for your business operations search, browse, and view all contents in the Software on your computer. You do not have the right to distribute the Software. You agree to only use the Software as expressly permitted herein.
b. Reservation of Rights. The Software is licensed, not sold, to you by Contiem. Contiem owns all right, title and interest in and to the Software and reserve all rights not expressly granted to you in this EULA, including, without limitation, all patent, copyright, trademark, and trade secret. You agree to refrain from any action that would diminish such rights.
2. RESTRICTIONS. You agree not to: (a) copy or use the Software in any manner except as expressly permitted in this EULA; (b) transfer, sell, rent, lease, distribute, or sublicense the Software; (c) use the Software for providing time-sharing services, service bureau services or as part of an application services provider or software as a service offering for third parties; (d) reverse engineer, disassemble, decompile or otherwise attempt to derive source code from the Software, in whole or in part, nor will you use any mechanical, electronic or other method to trace, decompile, disassemble, or identify the source code of the Software or encourage others to do so; (e) alter or remove any proprietary notices in the Software; or (f) modify or create derivative works based upon the Software.
3. DATA PROTECTION. Contiem and You agree to comply with your own obligations under the Federal data protection laws of the United States, as it applies to each of our activities under this EULA and pertaining to the Software. Contiem will not share your personal information to any third party except as required by law.
You agree that Contiem may use your organization name on our corporate website and marketing materials to the extent permitted by the General Services Acquisition Regulation (GSAR) 552.203-71.
4. LIMITED WARRANTY. YOU AGREE THAT THE USE OF THE SOFTWARE IS AT YOUR SOLE RISK AS TO SATISFACTORY QUALITY PERFORMANCE, ACCURACY AND EFFORT. Use of the Software may adversely affect the operation of other software and devices. Contiem warrants that the Software will, for a period of sixty (60) days from the date of your receipt, perform substantially in accordance with Software written materials accompanying it. Except as expressly set forth in the foregoing, To the maximum extent permitted under applicable law, the Software is offered on an "AS-IS" basis and Contiem does NOT warrant that the functions contained in the Software will meet your requirements or that the operation of the Software will be uninterrupted or error free or that such errors will be corrected.
Computer software is inherently subject to bugs and potential incompatibility with other computer software and hardware. You should not use the Software for any applications in which failure could cause any significant damage or injury to persons or tangible or intangible property.
CONTIEM PROVIDES THE SOFTWARE "AS IS" AND WITH ALL FAULTS AND WITHOUT ANY OTHER WARRANTY OF ANY KIND, AND HEREBY DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE AND NON-INFRINGEMENT, ANY IMPLIED WARRANTIES, DUTIES OR CONDITIONS OF MERCHANTABILITY, OF FITNESS FOR A PARTICULAR PURPOSE, AND OF LACK OF VIRUSES ALL WITH REGARD TO THE SOFTWARE. NO ORAL OR WRITTEN INFORMATION OR ADVICE
GIVEN BY CONTIEM SHALL CREATE A WARRANTY.

5. LIMITATION OF LIABILITY. Notwithstanding any damages that you might incur, the entire liability of Contiem and any of its suppliers under any provision of this EULA and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the Software. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONTIEM BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, FOR LOSS OF DATA OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR LOSS OF PRIVACY ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE AND/OR THIRD PARTY HARDWARE USED WITH THE SOFTWARE, OR OTHERWISE IN CONNECTION WITH ANY PROVISION OF THIS EULA), EVEN IF CONTIEM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THE FOREGOING LIMITATION OF LIABILITY SHALL NOT APPLY TO (1) PERSONAL INJURY OR DEATH RESULTING FROM LICENSOR’S NEGLIGENCE; (2) FOR FRAUD; OR (3) FOR ANY OTHER
MATTER FOR WHICH LIABILITY CANNOT BE EXCLUDED BY LAW.
Contiem cannot guarantee that accounts reported in the open literature are complete or accurate. Contiem shall not be held liable for any loss or damage caused by errors or omissions or resulting from any use, misuse, or alteration of the Software. You should not infer any additional actions or results beyond what is presented in a Software entry and specifically, you should not infer an individual associated with a particular incident was tried and convicted of terrorism, cyber-crimes or any other criminal offense. If new documentation about an event becomes available, an entry may be modified, as necessary and appropriate.
6. RESERVED.
7. COMPLIANCE WITH LAWS. You shall comply with all laws and regulations of the United States and other countries ("Export Laws") to ensure that the Software is not (1) exported, directly or indirectly, in violation of Export Laws, or (2) used for any purpose prohibited by Export Laws, including, without limitation, nuclear, chemical, or biological weapons proliferation. You further agree that you will not use the Software for any purpose prohibited under applicable law.
8. GOVERNING LAW AND VENUE. This EULA will be governed by the Federal laws of the United States.
9. ENTIRE AGREEMENT. This EULA, together with the underlying GSA Schedule Contract, Schedule Pricelist, Purchase Order(s), is the entire agreement between you and Contiem relating to the Software and it supersedes all prior or contemporaneous oral or written communications, proposals and representations with respect to the Software or any other subject matter covered by this EULA.
10. MISCELLANEOUS. Nothing contained herein shall be construed in derogation of the U.S. Department of Justice’s right to defend any claim or suit brought against the U.S. pursuant to its jurisdictional statute 28 U.S.C. § 516.
Notwithstanding the terms of the Federal, State, and Local Taxes Clause, the contract price excludes all State and Local taxes levied on or measured by the contract or sales price of the services or completed supplies furnished under this contract. The vendor shall state separately on its invoices taxes excluded from the fees, and the Customer agrees either to pay the amount of the taxes (based on the current value of the equipment) to the contractor or provide evidence necessary to sustain an exemption, in accordance with FAR 52.229-1 and
FAR 52.229-3.
Recourse against the United States for any alleged breach of this agreement must be made under the terms of the Federal Tort Claims Act or as a dispute under the contract disputes clause (Contract Disputes Act) as applicable. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any request for relief, claim, appeal, or action arising under the contract, and comply with any decision of the Contracting Officer.
The Anti-Assignment Act, 41 USC 6305, prohibits the assignment of Government contracts without the Government's prior approval. Procedures for securing such approval are set forth in FAR 42.1204.
The Vendor recognizes that Federal agencies are subject to the Freedom of Information Act, 5 U.S.C. 552, which requires that certain information be released, despite being characterized as “confidential” by the vendor. When the end user is an instrumentality of the U.S. Government, neither this Rider, the Manufacturer’s Specific Terms nor the Schedule Price List shall be deemed “confidential information” notwithstanding marking to that effect.
Ownership of derivative works should be as set forth in the copyright statute, 17 U.S.C. § 103 and the FAR clause at 52.227-14, but at a minimum, the Ordering Activity shall receive unlimited rights to use such derivative works at no further cost.
A negotiated purchase order would take precedence as the negotiated purchase order would demonstrate any changes to these terms to meet the ordering activity’s minimum needs.
