TERMS AND CONDITIONS APPLICABLE TO INFORMATION TECHNOLOGY (IT)

PROFESSIONAL SERVICES (SPECIAL ITEM NUMBER 132-51)

1.

SCOPE

a.

The prices, terms and conditions stated under Special Item Number 132-51 Information Technology Professional Services and Special apply exclusively to IT Services within the scope of this Information Technology Schedule.

b.

The Contractor shall provide services at the Contractor’s facility and/or at the ordering activity location, as agreed to by the Contractor and the ordering activity.

2.

PERFORMANCE INCENTIVES

a.

Performance incentives may be agreed upon between the Contractor and the ordering activity on individual fixed price orders or Blanket Purchase Agreements under this contract in accordance with this clause.

b.

The ordering activity must establish a maximum performance incentive price for these services and/or total solutions on individual orders or Blanket Purchase Agreements.

c.

Incentives should be designed to relate results achieved by the contractor to specified targets. To the maximum extent practicable, ordering activities shall consider establishing incentives where performance is critical to the ordering activity’s mission and incentives are likely to motivate the contractor. Incentives shall be based on objectively measurable tasks.

3.

ORDER

a.

Agencies may use written orders, EDI orders, blanket purchase agreements, individual purchase orders, or task orders for ordering services under this contract. Blanket Purchase Agreements shall not extend beyond the end of the contract period; all services and delivery shall be made and the contract terms and conditions shall continue in effect until the completion of the order. Orders for tasks which extend beyond the fiscal year for which funds are available shall include FAR 52.232-19 (Deviation – May 2003) Availability of Funds for the Next Fiscal Year. The purchase order shall specify the availability of funds and the period for which funds are available.

b.

All task orders are subject to the terms and conditions of the contract. In the event of conflict between a task order and the contract, the contract will take precedence.

4.

PERFORMANCE OF SERVICES

a.

The Contractor shall commence performance of services on the date agreed to by the Contractor and the ordering activity.

b.

The Contractor agrees to render services only during normal working hours, unless otherwise agreed to by the Contractor and the ordering activity.

c.

The ordering activity should include the criteria for satisfactory completion for each task in the Statement of Work or Delivery Order. Services shall be completed in a good and workmanlike manner.

d.

Any Contractor travel required in the performance of IT Services must comply with the Federal Travel Regulation or Joint Travel Regulations, as applicable, in effect on the date(s) the travel is performed. Established Federal Government per diem rates will apply to all Contractor travel. Contractors cannot use GSA city pair contracts.

5.

STOP-WORK ORDER (FAR 52.242-15) (AUG 1989)

(a) The Contracting Officer may, at any time, by written order to the Contractor, require the Contractor to stop all, or any part, of the work called for by this contract for a period of 90 days after the order is delivered to the Contractor, and for any further period to which the parties may agree. The order shall be specifically identified as a stop-work order issued under this clause. Upon receipt of the order, the Contractor shall immediately comply with its terms and take all reasonable steps to minimize the incurrence of costs allocable to the work covered by the order during the period of work stoppage. Within a period of 90 days after a stop-work is delivered to the Contractor, or within any extension of that period to which the parties shall have agreed, the Contracting Officer shall either-

(1) Cancel the stop-work order; or

(2) Terminate the work covered by the order as provided in the Default, or the Termination for Convenience of the Government, clause of this contract.

(b) If a stop-work order issued under this clause is canceled or the period of the order or any extension thereof expires, the Contractor shall resume work. The Contracting Officer shall make an equitable adjustment in the delivery schedule or contract price, or both, and the contract shall be modified, in writing, accordingly, if-

(1) The stop-work order results in an increase in the time required for, or in the Contractor's cost properly allocable to, the performance of any part of this contract; and

(2) The Contractor asserts its right to the adjustment within 30 days after the end of the period of work stoppage; provided, that, if the Contracting Officer decides the facts justify the action, the Contracting Officer may receive and act upon the claim submitted at any time before final payment under this contract.

(c) If a stop-work order is not canceled and the work covered by the order is terminated for the convenience of the Government, the Contracting Officer shall allow reasonable costs resulting from the stop-work order in arriving at the termination settlement.

(d) If a stop-work order is not canceled and the work covered by the order is terminated for default, the Contracting Officer shall allow, by equitable adjustment or otherwise, reasonable costs resulting from the stop-work order.

6.

INSPECTION OF SERVICES

The Inspection of Services–Fixed Price (AUG 1996) (Deviation – May 2003) clause at FAR 52.246-4 applies to firm-fixed price orders placed under this contract. The Inspection–Time‑and‑Materials and Labor-Hour (JAN 1986) (Deviation – May 2003) clause at FAR 52.246-6 applies to time‑and‑materials and labor‑hour orders placed under this contract.

7.

RESPONSIBILITIES OF THE CONTRACTOR

The Contractor shall comply with all laws, ordinances, and regulations (Federal, State, City, or otherwise) covering work of this character. If the end product of a task order is software, then FAR 52.227-14 (Deviation – May 2003) Rights in Data – General, may apply.

8.

RESPONSIBILITIES OF THE ORDERING ACTIVITY

Subject to security regulations, the ordering activity shall permit Contractor access to all facilities necessary to perform the requisite IT Services.

9.

INDEPENDENT CONTRACTOR

All IT Services performed by the Contractor under the terms of this contract shall be as an independent Contractor, and not as an agent or employee of the ordering activity.

10.

ORGANIZATIONAL CONFLICTS OF INTEREST

a.

Definitions.

“Contractor” means the person, firm, unincorporated association, joint venture, partnership, or corporation that is a party to this contract.

“Contractor and its affiliates” and “Contractor or its affiliates” refers to the Contractor, its chief executives, directors, officers, subsidiaries, affiliates, subcontractors at any tier, and consultants and any joint venture involving the Contractor, any entity into or with which the Contractor subsequently merges or affiliates, or any other successor or assignee of the Contractor.

An “Organizational conflict of interest” exists when the nature of the work to be performed under a proposed ordering activity contract, without some restriction on ordering activities by the Contractor and its affiliates, may either (i) result in an unfair competitive advantage to the Contractor or its affiliates or (ii) impair the Contractor’s or its affiliates’ objectivity in performing contract work.

b.

To avoid an organizational or financial conflict of interest and to avoid prejudicing the best interests of the ordering activity, ordering activities may place restrictions on the Contractors, its affiliates, chief executives, directors, subsidiaries and subcontractors at any tier when placing orders against schedule contracts. Such restrictions shall be consistent with FAR 9.505 and shall be designed to avoid, neutralize, or mitigate organizational conflicts of interest that might otherwise exist in situations related to individual orders placed against the schedule contract. Examples of situations, which may require restrictions, are provided at FAR 9.508.

11.

INVOICES

The Contractor, upon completion of the work ordered, shall submit invoices for IT services. Progress payments may be authorized by the ordering activity on individual orders if appropriate. Progress payments shall be based upon completion of defined milestones or interim products. Invoices shall be submitted monthly for recurring services performed during the preceding month.

12.

PAYMENTS

For firm-fixed price orders the ordering activity shall pay the Contractor, upon submission of proper invoices or vouchers, the prices stipulated in this contract for service rendered and accepted. Progress payments shall be made only when authorized by the order. For time‑and‑materials orders, the Payments under Time‑and‑Materials and Labor‑Hour Contracts at FAR 52.232-7 (DEC 2002), (Alternate II – Feb 2002) (Deviation – May 2003) applies to time‑and‑materials orders placed under this contract. For labor‑hour orders, the Payment under Time‑and‑Materials and Labor‑Hour Contracts at FAR 52.232-7 (DEC 2002), (Alternate II – Feb 2002) (Deviation – May 2003)) applies to labor‑hour orders placed under this contract. 52.216-31(Feb 2007) Time-and-Materials/Labor-Hour Proposal Requirements—Commercial Item Acquisition. As prescribed in 16.601(e)(3), insert the following provision:

(a) The Government contemplates award of a Time-and-Materials or Labor-Hour type of contract resulting from this solicitation.

(b) The offeror must specify fixed hourly rates in its offer that include wages, overhead, general and administrative expenses, and profit. The offeror must specify whether the fixed hourly rate for each labor category applies to labor performed by—

(1) The offeror;

(2) Subcontractors; and/or

(3) Divisions, subsidiaries, or affiliates of the offeror under a common control.

13.

Resumes shall be provided to the GSA Contracting Officer or the user ordering activity upon request.

14.

INCIDENTAL SUPPORT COSTS

Incidental support costs are available outside the scope of this contract. The costs will be negotiated separately with the ordering activity in accordance with the guidelines set forth in the FAR.

15.

APPROVAL OF SUBCONTRACTS

The ordering activity may require that the Contractor receive, from the ordering activity's Contracting Officer, written consent before placing any subcontract for furnishing any of the work called for in a task order.

16.

DESCRIPTION OF IT SERVICES AND PRICING

TERMS AND CONDITIONS APPLICABLE TO ANCILLARY SUPPLIES AND /OR SERVICES (SPECIAL ITEM NUMBER 132-100) Non-professional labor categories must be incidental to, and used solely to support professional services, and cannot be offered or purchased separately. Further, non-professional labor categories shall be offered under SIN 132-100 only and must be offered in conjunction with professional service SINs.

The Service Contract Labor Standards (SCLS) may be applicable to services offered under SIN 132 100. The following language shall be included at the end or beginning of each detailed position description. “Non-professional labor categories must be incidental to, and used solely to support professional services, and cannot be purchased separately.

Ancillary supplies and/or services are support supplies and services which are not within the scope of any other SIN under schedule 70.

Note: Commercially available products under this solicitation may be covered by the Energy Star or Electronic Product Environmental Assessment Tool (EPEAT) programs. For applicable products, offerors are encouraged to offer Energy Star-qualified products and EPEAT-registered products, at the Bronze level or higher. If offerors opt to offer Energy Star or Electronic Product Environmental Assessment Tool (EPEAT) products then they shall identify by model which products offered are Energy Star-qualified and EPEAT-registered, broken out by registration level of bronze, silver, or gold. SIN 132-100 ANCILLARY SUPPLIES AND /OR SERVICES

1. Administrative Specialist

Education: High School or 2 years equivalent experience in administrative assistance

Basic Experience: Must have 2 years experience in administrative assistance.

Specialized Experience: At least 1 year of experience as an administrative specialist in an IT-related office environment.

Duties: Performs all the duties of an Administrative Assistant, but is also qualified and expected to oversee and execute special projects. Must posess excellent oral and written communications skills. Duties must be performed in an efficient manner in an IT office setting. The Administrative Specialist may be responsible for basic orientation of new employees, organizting continuing training for current employees, basic technical troubleshooting of office equipment, organization of office data, and other projects to support the smooth operation of the office.

SIN 132-51 IT PROFESSIONAL SERVICES DESCRIPTIONS

2. SYSTEMS ENGINEER III

Education: B.A. or B.S. degree or 3 years of equivalent experience in analytical problem solving related to information technology work flow, organization, and planning.

Basic Experience: Must have 8 years of experience in system engineering.

Specialized Experience: At least 3 years of experience in the supervision of systems engineers, and demonstrated use of interactive, interpretative systems with online, real-time acquisition capabilities.

Duties: Analyzes information requirements. Evaluates problems in work flow, organization, and planning. Develops appropriate corrective action. Provides daily supervision and direction to staff.

3. SYSTEMS ENGINEER IV

Education: B.A. or B.S. degree or 3 years of equivalent experience in analytical problem solving related to information technology work flow, organization, and planning.

Basic Experience: Must have 10 years of experience in system engineering.

Specialized Experience: At least 5 years of experience in the supervision of systems engineers, and demonstrated use of interactive, interpretative systems with online, real-time acquisition capabilities.

Duties: Analyzes information requirements. Evaluates problems in work flow, organization, and planning. Develops appropriate corrective action. Provides daily supervision and direction to staff.

4. SYSTEMS ANALYST II

Education: B.A. or B.S. degree or 3 years of equivalent experience in analytical problem solving related to information technology systems, organization, and planning.

Basic Experience: Must have 5 years of experience in analysis of IT systems.

Specialized Experience: At least 3 years of experience analyzing IT system relationships at an enterprise level.

Duties: Analyzes information requirements. Identify overlapping efforts, recommend program resource allocations, and provide strategic planning support.

5. SYSTEMS ANALYST III

Education: B.A. or B.S. degree or 4 years of equivalent experience in analytical problem solving related to information technology systems, organization, and planning.

Basic Experience: Must have 7 years of experience in analysis of IT systems.

Specialized Experience: At least 4 years of experience analyzing IT system relationships at an enterprise level.

Duties: Analyzes information requirements. Identify overlapping efforts, recommend program resource allocations, and provide strategic planning support.

6. Software Developer

Education: B.S. degree in Computer Science or an Information Technology related degree or 3 years of experience in software development.

Basic Experience: Must have 10 years of experience in software development.

Specialized Experience: At least 5 years of experience developing multi-tiered software systems utilizing web technologies, and relational databases.

Duties: Work in a team environment to develop system requirements, software architecture, and code. May assume leadership responsibilities for team. Work will be performed to meet scheduled release dates and milestones. Periodic reviews and status meetings will be conducted to maintain schedule. May need to provide assistance and technical guidance to less experienced staff.

7. Software Engineer

Education: B.S. degree in Computer Science or an Information Technology related degree or 4 years of experience in software development.

Basic Experience: Must have 10 years of experience in software development.

Specialized Experience: At least 6 years of experience developing multi-tiered software systems utilizing web technologies, and relational databases.

Duties: Ability to work independently and work in a team environment to develop system requirements, software architecture, and code. May assume leadership responsibilities for team. Work will be performed to meet scheduled release dates and milestones. Periodic reviews and status meetings will be conducted to maintain schedule. May need to provide assistance and technical guidance to less experienced staff.

8. Project Coordinator

Education: B.S. degree in Information Technology Management or 3 years of experience in technical project scheduling or management

Basic Experience: Must have 8 years of experience in technical project scheduling or management

Specialized Experience: At least 5 years IT project scheduling or management experience

Duties: Responsible for estimated project activity times, sequencing those activities to maximize productivity and maintain the project schedule throughout the project lifecycle. Must be proficient in appropriate project scheduling tools and software. Manages personel and program resources. Interfaces with customers to manage program expectation, risks, and performance.

9. Project Manager

Education: B.S. degree in Information Technology Management or 3 years of experience in technical project scheduling or management

Basic Experience: Must have 8 years of experience in technical project scheduling or management

Specialized Experience: At least 5 years IT project scheduling or management experience

Duties: Responsible for estimated project activity times, sequencing those activities to maximize productivity and maintain the project schedule throughout the project lifecycle. Must be proficient in appropriate project scheduling tools and software. Reports directly to the Project/Program Manager.

10. Systems Administrator III

Education: B.A. or B.S. degree or 3 years equivalent experience in Information Technology.

Basic Experience: Must have 3 years experience in Information Technology.

Specialized Experience: Must have 2 years experience in Systems Administration.

Duties: Operates, manages, and monitors the health and status of Information Systems hardware and software, troubleshoots and performs corrective actions on manages applications, services, and hardware, provide initial setup and maintenance of user accounts and permissions.

11. Network Administrator II

Education: A.A. or 2 years equivalent experience in Information Technology.

Basic Experience: Must have 1 years experience in telecommunications.

Specialized Experience: Must have 1 year experience in networking (LAN, WAN, CAN).

Duties: Operates, manages and monitors the health and status of world-wide communications/hardware and software applications, troubleshoots and performs corrective action on LAN/CAN/WAN/Messaging devices, networks, systems, and related problems/issues.

12. Network Manager III

Education: A.A.degree or 2 years of equivalent experience in Information Technology.

Basic Experience: Must have 1 year of experience in telecommunications.

Specialized Experience: At least 2 years experience in networking (LAN, WAN, CAN).

Duties: Load data onto automated systems, execute and monitor scripts for data processing, manage data flow on mission critical systems. Must be able to work in a fast-paced environment. Must be able to adapt to new situations and new demands as the mission requirements change. May require some work outside of normal business hours to meet mission demands. Must be thorough and efficient.

15. IT Technician II

Education: High School or 2 years equivalent experience in Information Technology.

Basic Experience: Must have 1 year experience in Information Technology.

Specialized Experience: At least 2 years experience as an IT Technician.

Duties: Load data onto automated systems, execute and monitor scripts for data processing, manage data flow on mission critical systems. Must be able to work in a fast-paced environment. 16. Help Desk Specialist II

Duties: Respond to issues regarding complex Information Technology systems including, but not limited to account issues, application issues, permissions, licenses, hardware issues, upgrades, and other user issues.

Duties: Operates, manages and monitors the health and status of world-wide communications/hardware and software applications, troubleshoots and performs corrective action on LAN/CAN/WAN/Messaging devices, networks, systems, and related problems/issues, provides technical expertise for the optimal performance and configuration of complex large-scale computer integrated networks/messaging systems, to include the processing, and management. Orchestrates/monitors the maintenance/repair action of networks/systems/outages. Coordinates/corresponds with all responsible users and sites on network and messaging health and status issues.

18. Hardware Engineer I

Education: B.S. or 2 years experience in Electrical Engineering

Basic Experience: Must have 3 years of experience in a technical engineering field.

Specialized Experience: At least 2 years experience in Electrical Engineering.

Duties: Designs, builds,and tests hardware components and systems. Must posess strong electrical engineering skills and be able to design and build to precise specifications and requirements. Must be able to interface with customer elements to resolve and understand requirements. Must have knowledge of current best practices and commonly used procedures for developing and prototyping hardware components.

19. Subject Matter Expert III

Education: B.S. or 5 years of experience in Information Technology.

Basic Experience: Must have 8 years of experience in Information Technology.

Specialized Experience: At least 5 years of experience in the specific IT area of expertise.

Duties: Provide technical support on a specific technical area of expertise, provide technical guidance to the customer, review current practices and technical details, and approve work performed in their area of expertise. The Subject Matter Expert may also be called upon to instruct the customer on various aspects of their field of expertise.

20. Principal IT Consultant

Education: B.A. or B.S. or 5 years of experience in Information Technology.

Basic Experience: Must have 5 years of experience in Information Technology.

Specialized Experience: At least 4 year of experience in analysis of requirements for IT.

Duties: Leads major portions of large or medium projects, and leads small projects autonomously. Provides highly technical and specialized solutions to complex IT problems. Performs analyses and studies and prepares reports; Gathers facts through research, interviewing, surveys, etc. analyzes the client’s business, draws conclusions, prepares final reports and gives presentations. Uses in-depth consultative skills and business knowledge to practice business objectives and processes.

21. Sr. IT Consultant

Education: B.A. or B.S. or 4 years of experience in Information Technology.

Basic Experience: Must have 1 years of experience in Information Technology.

Specialized Experience: At least 3 year of experience in Information Technology requirements analysis.

Duties: Performs as a consultant in highly specialized, leading edge information technologies and methodologies; Provides highly technical and specialized guidance concerning automated solutions to complex information processing problems; Performs elaborate analyses and studies; Prepares reports and gives presentations. The senior IT consultant manages the project work as defined by the government. Leads medium to large complex projects and major phases of very large projects. Provides highly technical and specialized guidance and solutions to complex IT problems; performs elaborate analyses and studies. The senior consultant also manages the fact-finding, analysis and development of hypothesis/conclusions, production of final reports and delivery of presentations.

22. Help Desk Specialist III

Education and Relevant Experience:

Duties: Provides management services to facilitate government oversight of the technical and administrative deployment/activations of Information Technology (IT) solutions. The Program Manager will manage multiple projects simultaneously, when required, which will vary in technical complexity. Assists the Government PM with overseeing the program and provide administrative and technical oversight at the TTO Level. Serves as principal interface between Axom, other contractors and the Government PM. Coordinates and monitors the scheduling and technical performance of company programs. Directs contractors and subcontractors and ensures adherence to master plans and schedules, develops solutions to program problems, and directs work of contractors and subcontractors assigned to program to accomplish missions and assigned tasks. Has in-depth knowledge and is able to discuss program specific works in progress and program specific issues.

29. Project Coordinator I

Duties: Working under the direction of a more senior Project Coordinator or Project Manager the Project Coordinator I will provide assistance to activities related to the Integrated Master Schedule(IMS) to include estimating project activity times, sequencing those activities to maximize productivity and maintain the project schedule throughout the project lifecycle. Additionally the Project Coordinator II provides assistance to the preparation of presentations for customers regarding managing program expectation, risks, and performance.

Must be proficient in appropriate project scheduling tools and software. Aides the Project or Program Manager in the management of personnel and program resources. May interface directly with customers to manage program expectation, risks, and performance.

31. Project Manager IV

Education and Relevant Experience:

High School Diploma and at least 14 years, or

Associate's Degree and at least 12 years, or

Bachelor's Degree and at least 10 years, or

Master’s Degree and least 8 years, or

Doctorate and at least 6 year

Duties: Responsible for the Integrated Master Schedule(IMS) to include estimating project activity times, sequencing those activities to maximize productivity and maintain the project schedule throughout the project lifecycle.. Must be proficient in appropriate project scheduling tools and software. Reports directly to the Project/Program Manager.

32. Subject Matter Expert IV

33. Systems Analyst I

Duties: At the direction and under direct control of a supervisor the Systems Analyst I provides assistance to more senior analysts in their analysis of information requirements ( identifying overlapping efforts, recommending program resource allocations, and providing strategic planning support).

34. Systems Administrator II

High School Diploma and at least 4 years, or

Associate's Degree and at least 2 years, or

Bachelor's Degree and no experience

Duties: Working as part of team and under the direct supervision of team lead the System Administrator II contributes to the operation, management, and monitoring of the health and status of Information Systems hardware and software. The SA II troubleshoots routine issues and performs corrective actions on applications, services, and hardware. Additionally, the SA II provides initial setup and maintenance of user accounts and permissions.

35. Systems Administrator IV

Education and Relevant Experience:

High School Diploma and at least 12 years, or

Associate's Degree and at least 10 years, or

Bachelor's Degree and at least 8 years, or

Master’s Degree and least 6 years, or

Doctorate and at least 4 year

Duties: Responsible for systems schedules for deployment and maintenance. Additional provides senior level technical direction for staff assigned to their area with regards to the operation, management, and monitoring of the health and status of Information Systems hardware and software. The SA IV troubleshoots complex issues and performs corrective actions on applications, services, and hardware.

36. Software Engineer I
