2. TERMS AND CONDITIONS FOR ALL IT CONTRACTORS
1. ORGANIZATIONAL CONFLICTS OF INTEREST
a. Definitions.
"Contractor" means the person, firm, unincorporated association, joint venture, partnership, or corporation that is a party to this contract.
"Contractor and its affiliates" and "Contractor or its affiliates" refers to the Contractor, its chief executives, directors, officers, subsidiaries, affiliates, subcontractors at any tier, and consultants and any joint venture involving the Contractor, any entity into or with which the Contractor subsequently merges or affiliates, or any other successor or assignee of the Contractor.
An "Organizational conflict of interest" exists when the nature of the work to be performed under a proposed ordering activity contract, without some restriction on ordering activities by the Contractor and its affiliates, may either (i) result in an unfair competitive advantage to the Contractor or its affiliates or (ii) impair the Contractor's or its affiliates' objectivity in performing contract work.
b. To avoid an organizational or financial conflict of interest and to avoid prejudicing the best interests of the ordering activity, ordering activities may place restrictions on the Contractors, its affiliates, chief executives, directors, subsidiaries and subcontractors at any tier when placing orders against schedule contracts. Such restrictions shall be consistent with FAR 9.505 and shall be designed to avoid, neutralize, or mitigate organizational conflicts of interest that might otherwise exist in situations related to individual orders placed against the schedule contract.
Examples of situations, which may require restrictions, are provided at FAR 9.508.
2. SERVICES PERFORMED
a. All services performed by the Contractor under the terms of this contract shall be as an independent Contractor, and not as an agent or employee of the ordering activity.
b. The Contractor shall commence performance of services on the date agreed to by the
Contractor and the ordering activity.
c. The Contractor agrees to render services only during normal working hours, unless otherwise agreed to by the Contractor and the ordering activity.
3. TRAVEL
Any Contractor travel required in the performance of services must comply with the Pub. L. 99- 234 and FAR Part 31.205-46, as applicable, in effect on the date(s) the travel is performed.
Established Federal Government per diem rates will apply to all Contractor travel.
4. WARRANTY
a. Unless otherwise specified in this contract, the Contractor's standard commercial warranty as stated in the contract's commercial pricelist will apply to this contract.

b. The Contractor's commercial guarantee/warranty shall be included in the Commercial Supplier Agreement to include Enterprise User License Agreements or Terms of Service (TOS) agreements, if applicable.
c. Except as otherwise provided by an express or implied warranty, the Contractor will not be liable to the ordering activity for consequential damages resulting from any defect or deficiencies in accepted items.

3. DESCRIPTION OF IT PROFESSIONAL SERVICES
Technica Corporation is a technology services and solutions provider. We specialize in leading-edge voice and data networks and information systems involving the skillful integration of dozens of products and technologies supporting hundreds to even thousands of users.
We provide a broad range of services within the following categories: Global Network Systems Design and Implementation; Storage Area Networks, IP/MPLS, Enterprise Security Design and Implementation, Network Performance and Testing Services.
APPLICATIONS ARCHITECT I: Functional Responsibility: The Applications Architect I establishes and analyzes IT system information requirements and design specifications using methodologies for the development of large-scale information technology software systems. The AA designs the software architecture in terms of block diagrams and logic flow charts, translates architecture and entailed design into IT computer software, with appropriate refinements to include testing and debugging to produce the required information technology product. The AA provides technical leadership in the development of IT software using formal specifications, databases management systems (DBMS) projects, and/or design of software tools and subsystems to support software reuse and domain analyses. The AA enhances IT software and ensures compatibility in cases of rehosting, or migration of databases. Assists in estimating IT software development costs and schedule and supports software configuration management. Prepares required documentation including project plans, software program and user documentation, and possesses knowledge of state-of-the-art computer systems, high-level computer languages, and database management systems. Education: Bachelor's Degree. Experience: 0 years.
APPLICATIONS PROGRAMMER: Functional Responsibility: The Applications Programmer builds and codes applications and/or modules using languages such as C++, visual basic, ABAP, JAVA, XTML, etc. The Applications Programmer provides patches and upgrades to existing systems and can design graphical user interface (GUI) to meet the specific needs of users. The Applications Programmer prepares operating instructions, compiles documentation of program development, and analyzes system capabilities to resolve questions of program intent, output requirements, input data acquisition, programming techniques, and controls. The Applications Programmer can build add-on modules using application program language. Education: Bachelor's Degree Experience: 4 years
ARCHITECT III: Functional Responsibility: Applies systems and software engineering tools and techniques to develop architectural deliverables at a systems level. Analyzes systems and technology integration requirements across multiple applications. Evaluates analytically and systematically problems of workflows, organization, and planning and develops appropriate corrective action plans. Provides daily supervision and direction to staff. Provides functional guidance, supervision, technical support, training and quality assurance/quality control to Associate and Intermediate personnel. Supports senior staff as required and ensures customer requirements and project milestones are met. Education:

Architect IV: Functional Responsibility: The Architect IV applies systems and software engineering tools and techniques to develop architectural deliverables at a systems level. In this capacity, the Architect IV analyzes systems and technology integration requirements across multiple applications. The Architect IV communicates and works closely with process and system owners, information technology management, peers, and technical staff to ensure the relevance of architecture and system designs to business process requirements. The architecting staff can supplement an existing organization or, in concert with other functional areas, can provide complete project fulfillment. Education: Bachelor's Degree Experience:

COMMUNICATION NETWORK DATABASE ANALYST: Functional Responsibility: Analyzes DISN data from multiple data sources. Specific sources include, DSN, DRSN, DATMS, ATM, IP networks and GIG-BE data sources. Duties include, performing data manipulation to standardize data for NMS applications. Maintains site and equipment graphics, library objects and core configurations. Interacts with local and remote customers on a daily basis to provide day to day support. Education: Bachelor's Degree.
Experience: 3 years.
COMMUNICATION TRANSMISSION ENGINEER, SENIOR LEVEL: Functional Responsibility: Maintains smooth operation of local area, worldwide and virtual private networks (VPN). Plans, evaluates, and coordinates installation and/or reconfiguration of hardware and software elements of data and/or voice communication network. Maintains technical expertise in all areas of networks and computer hardware and software interconnection and interfacing, such as routers, multiplexers, firewalls, hubs, bridges, gateways, etc. May propose solutions to management to ensure all communications requirements based on future needs and current usage, configuring such solutions to optimize cost savings. Prepares or ensures that appropriate network documentation exists, including operational instructions. Provides regular monitoring and network analysis regarding short-and long-range planning for in-house systems. May coordinate third-party maintenance for network equipment. May design network or portion of network that include selection of hardware and software packages. Education: Bachelor's Degree. Experience: 5 years.
COMMUNICATIONS SPECIALIST LEVEL III: Functional Responsibility: Resolves complex service problems; performs expert maintenance; and installs, configures and tests all types of data communications equipment and services. Troubleshoots network hardware using test instruments and monitoring and diagnostic programs. Prepares communications equipment for installation by testing, calibrating, or modifying equipment as required.
Maintains data network equipment and services to ensure working order and demand availability by performing scheduled, routine on-line test and by checking, adjusting, or replacing equipment to established standards. Education: Bachelor's Degree. Experience:
6 years.
COMPUTER SYSTEM PROGRAMMER: Functional Responsibility: The Computer System Programmer creates and/or maintains operating systems, computer software, database packages, compilers, assemblers, and utility programs. The Computer System Programmer modifies existing software as well as creates special-purpose software to ensure efficiency and integrity between systems and applications. Plans, coordinates and performs complex assignments under minimal supervision. Compares network architecture alternatives for interfacing transmission, switching, bandwidth management and network operations equipment and functions. Established details for implementing new means of achieving provisioning and billing process/system requirements.
Translates process requirements into action plans. Addresses technical and procedural issues raised by government and DISN contractors, as related to best industry practices. Education:
Bachelor's Degree. Experience: 4 years.
CONSULTANT INTERMEDIATE: Functional Responsibility: Works directly with customer management in applying advanced principles, theories and concepts to a wide range of work in the areas of planning, deployment, operation and/or enhancement of advanced telecommunications and information technology systems networks. Works on complex problems and provides solutions that are innovative and often involve re-evaluation of established theories and practices, leading to new and creative solutions to problems. Defines network architecture alternative for interfacing transmission, switching, bandwidth management and network operations equipment and functions. Develops new means of achieving provisioning and billing process/system requirements. Resolves technical and procedural issues raised by government and DISN contractors, as related to best industry practices. Provides practical guidance on deployment planning for new network/service rollouts and for transition from existing networks. Develops alternative technical solutions in situations where customer has conflicting advice. Provides functional guidance, supervision, technical support, training and quality assurance/quality control to Associate personnel. Education: Bachelor's Degree. Experience: 7 years.
CONSULTANT LEAD: Functional Responsibility: Working directly with customer management, applies highly advanced principles, theories and concepts that contribute to sustained technical excellence of solutions. Manages the technical output of other Consultants or works independently on unstructured problems and issues involving multivariate factors based on factual or hypothetical data-solution may be innovative or original in nature. Defines leading edge concepts for planning, deployment, operation and/or enhancement of advanced telecommunications networks. Guides others on solution paths for resolving problems. Assesses technical and cost impact of military versus commercial functional requirements on options. Establishes technical recommendations in situations where customer has conflicting advice. Provides functional guidance, supervision, technical support, training and quality assurance/quality control to Associate and Intermediate personnel. Supports senior staff as required and ensures customer requirements and project milestones are met. Education: Bachelor's Degree. Experience: 10 years.
DATA COMMUNICATIONS MANAGER OR VOICE COMMUNICATIONS
MANGER: Functional Responsibility: Ensures that adequate and appropriate planning is provided for remote hardware and communications facilities to develop and implement methodologies for analysis, installation and support of distributed processing client/server systems. Provides coordination in the analysis, acquisition and installation of hardware, software and facilities. Manages the training and efforts of a staff engaged in systems and

DISN TRANSPORT FIELD SUPPORT TECHNICIAN: Functional Responsibility:
Provides on-site technical support for multiple DISN networks and services to include ATM, Integrated Digital Network Exchange IDNX, and SONET Transmission Manager (STM), as well as cryptographic equipment and Modem’s to support these systems. Performs telecommunications hardware operations such as preventive, routine, and demand maintenance services on these systems at specified DISN sites. Based upon established guidelines per location or program, determines and initiates appropriate repair, replacement, or restock action(s). Performs installation, configuration/re-configuration, upgrade, and integration services for hardware and software associated with these systems. Troubleshoots hardware using test instruments and monitoring/diagnostic programs. Performs or assists as necessary with software update/upgrade implementation and testing. Provides tech support for field-testing actions and other projects as required. Identifies logistical shortfalls or problem areas associated with the maintenance posture overall; recommends solutions and/or alternate courses of action. Interfaces with appropriate government, contractor and commercial vendor points of contact (RNOSC, COTR, Site/Program Coordinator(s), Task Manager, Logistics Support, Reps., etc.) prior to, during, and after events (repair, upgrade, etc.) to coordinate effect and document actions. Provides functional guidance, supervision, technical support, training, and quality assurance/quality control as necessary. Education:

HARDWARE/SOFTWARE INSTALLATION TECHNICIAN LEAD: Functional Responsibility: Responsible for resolving service problems; performing expert maintenance;
and installing configuring and testing all types of data communications equipment.
Troubleshoots network hardware using test instruments and diagnostic programs. Maintains data network equipment and services to ensure working order and demand availability by performing scheduled, routine on-line test and by checking, adjusting, or replacing equipment to establish standards. Installs and tests various communications equipment and services to specified configurations and ensures proper working order for new or updated network service. Responsible for organizing and performing Site Surveys. Analyzes existing and develops new hardware requirements and prepares specifications for hardware acquisitions. Directs and leads preparation of engineering plans and site installation Technical Design Packages. Directs and leads preparation of drawings documenting configuration changes at each site. Prepares site installation and test reports. Coordinates post installation operations and maintenance support. Provides functional guidance, supervision, technical support, training and quality assurance/quality control to Associate and Intermediate personnel. Supports senior staff as required and ensures customer requirements and project milestones are met. Education: Bachelor's Degree. Experience: 3 years.
HARDWARE/SOFTWARE SPECIALIST INTERMEDIATE: Functional Responsibility: Analyzes network and computer communications hardware characteristics and recommends equipment procurement, removals, and modifications. HARDWARE/SOFTWARE SPECIALIST LEAD: Functional Responsibility: Performs a variety of electronic and technical assignments on data communications equipment and systems under general supervision. Completes terminal troubleshooting using appropriate diagnostic equipment. Installs terminals, controllers, and test equipment and restores nonworking lines and/or equipment to working condition. Maintains liaison with outside vendors and orders circuits and/or equipment as required. Requires knowledge of specific modems, test equipment, and terminal configuration. May develop recommendations for the combined usage of data processing and telephone system hardware and software. Education:

IA-SECURITY ENGINEER II: Functional Responsibility: The IA-Security Engineer II assists in the analysis and definition of security requirements for Computer Systems Security (CSS) issues.
