Software maintenance as a product includes the publishing of bug/defect fixes via patches and updates/upgrades in function and technology to maintain the operability and usability of the software product. It may also include other no charge support that is included in the purchase price of the product in the commercial marketplace. No charge support includes items such as user blogs, discussion forums, on-line help libraries and FAQs (Frequently Asked Questions), hosted chat rooms, and limited telephone, email and/or web-based general technical support for user’s self diagnostics.

Software maintenance as a product does NOT include the creation, design, implementation, integration, etc. of a software package. These examples are considered software maintenance as a service.

Software maintenance as a service creates, designs, implements, and/or integrates customized changes to software that solve one or more problems and is not included with the price of the software. Software maintenance as a service includes person-to-person communications regardless of the medium used to communicate: telephone support, on-line technical support, customized support, and/or technical expertise which are charged commercially.

Software maintenance as a service is billed arrears in accordance with 31 U.S.C. 3324.

Remember to check the keys for correctness as we cannot move keys only reissue keys (repurchase keys) as all keys are permanent and work for all upgrades.

BEFORE INSTALLING OR USING THE SOFTWARE LICENSE KEY(S).

Permitted Usage

THIS SOFTWARE AND ALL RIGHTS ARE RESERVED BY A BETTER SOLUTION, INC. (ABS). THE

RECEIPT OR POSSESSION OF THIS DOCUMENT, LICENSE OR SOFTWARE DOES NOT

CONVEY ANY RIGHTS TO REPRODUCE OR DISTRIBUTE ITS CONTENTS, OR TO

MANUFACTURE, USE, OR SELL ANYTHING THAT IT MAY DESCRIBE, IN WHOLE OR IN PART,

OR TO REVERSE-ENGINEER WITHOUT THE SPECIFIC WRITTEN CONSENT OF A BETTER

SOLUTION, INC.

Definitions For purposes of this Agreement “Software” is defined as the ClearTrigger, ClearTrigger Lite, ClearReplica, o r ClearManage computer program for which a key has been provided and any updates or maintenance releases thereto. The terms "you", "your" or "user" are synonymous, and refer to someone who purchases a license for the Software from A Better Solution, Inc. or an ABS authorized reseller. A "registered user" is a user who registers his/her purchase with ABS or the authorized reseller.

License You are granted a non-transferable license to use the Software on a single Software Region for ClearTrigger, ClearTrigger Lite or ClearReplica. A Software Region constitutes a Region Name (Usually your company name): Policy Depot pair. You may operate any number of clients from a Software Region. The license(s) may be used to activate its associated software and may not be resold. All license keys are valid for current and future versions of the Software and cannot be transferred. Verify before license installation that the correct Region Name and Policy Depots are returned, as keys are not replaced, new keys must be purchased. If at any time ABS does issue replacement keys, the original keys may no longer be used.

License and Maintenance Fees Your purchase price included the first years License and Maintenance Fees (L&M Fee) of $250.00/ClearTrigger License and/or $250/ClearReplica License, and/or $150/ClearTrigger Lite License (US$). There is no annual L&M Fee for ClearManage. A license is valid only if its associated L&M Fee is current and up-to-date. To use the software, software support services (including phone, email) without the associated L&M Fees current is to use an invalid license and in violation of this agreement.

ABS will invoice you for L&M Fees annually during the term of the license.

Copies You may create copies of the Software to the extent necessary for the exercise of your license rights and to the extent reasonably required for back-up, archival and disaster testing/recovery purposes.

Infringement ABS warrants that they have the right to license the Software to you as provided in this Agreement and that your use of the Software as licensed herein will not infringe upon or violate the copyright, patent, trademark, trade secret, contract or confidentiality rights of any third party.

Restrictions You agree that you will not give, rent, loan, resell or distribute a copy of the license to any other entity.

Copyright and other laws protect the Software in its entirety. The Software also contains ABS trade secrets. Other than the limited license granted to you in the License section of this Agreement, ABS reserves all patent, copyright, trade secret, trade name, trademark, and other proprietary rights related to the Software. You may not de-compile, disassemble, or otherwise reverse engineer the Software.

Notwithstanding anything in this Agreement, ABS has no responsibility or liability for damages or claims relating to any use of the Software or the Services on a professional basis.

DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE SOFTWARE AND SERVICES ARE

PROVIDED "AS-IS" AND, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW,

A BETTER SOLUTION, INC, ITS AFFILIATES, LICENSORS, PARTICIPATING FINANCIAL

INSTITUTIONS, THIRD-PARTY CONTENT OR SERVICE PROVIDERS, DISTRIBUTORS,

DEALERS AND SUPPLIERS (COLLECTIVELY, "REPRESENTATIVES") DISCLAIM ALL

WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SOFTWARE OR SERVICES, DISK

AND RELATED MATERIALS, INCLUDING ANY WARRANTY OF FITNESS FOR A PARTICULAR

PURPOSE, TITLE, MERCHANTABILITY, OR NON-INFRINGEMENT.

ABS does not warrant that the Software or Services are secure, free from bugs, viruses, interruption, errors, or other program limitations. ABS will make every effort to repair any reported defects or errors and/or remove any software viruses.

All warranties or guarantees given or made by ABS with respect to the Software or Services (1) are for the benefit of the original registered user of the Software only and are not transferable, and (2) shall be null and void if a registered user breaches any terms or conditions of this Agreement.

Miscellaneous This Agreement sets forth ABS’s and its representatives' entire liability and your exclusive remedy with respect to the Software and Services, and is a complete statement of the agreement between you and ABS. Headings are included for convenience only, and shall not be considered in interpreting this Agreement. This Agreement does not limit any rights that ABS may have under trade secret, copyright, patent or other laws. The agents, employees, distributors, and dealers of ABS are not authorized to make modifications to this Agreement, or to make any additional representations, commitments, or warranties binding on ABS. If any provision of this Agreement is invalid or unenforceable under applicable law, then it shall be, to that extent, deemed omitted and the remaining provisions will continue in full force and effect. The validity and performance of this Agreement shall be governed by Georgia law (without reference to choice of law principles), and applicable federal law.

U.S. Government Restricted Rights The Software is a "commercial item," as that term is defined at 48 C.F.R. 2.101 (OCT 1995), consisting of "commercial computer software" and "commercial computer software documentation," as such terms are used in 48 C.F.R. 12.212 (SEPT 1995). Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227-7202-1 through 227-7202-4 (JUNE 1995), all U.S. Government End Users acquire the ABS Software (or Licensed Product) with only those rights set forth herein.
