Instructions For Placing Orders for Supplies Based on GSA Schedule Fixed Prices
GSA provides a streamlined, efficient process for ordering the supplies you need. GSA has already determined that solution, Inc.’s prices are fair and reasonable. Agencies may use written orders;
facsimile orders, credit card orders, blanket purchase agreement orders or individual purchase orders under this contract.
Orders under the Micro-Purchase Threshold
• Select the contractor best suited for your needs and place the order.
Orders in-between the Micro-Purchase Threshold and the Simplified Acquisition Threshold
As required by FAR 8.404, you are required to:
• Review the GSA Advantage! online shopping service, review at least three Schedule contractors’ price lists, or obtain quotations from at least three GSA Schedule contractors.
• Evaluate, then make a Best Value determination.
• Place the order directly with Schedule contractor of your choice.
Orders over the Simplified Acquisition Threshold
• Prepare the RFQ (including the SOW and evaluation criteria) and post on eBuy to afford all
Schedule contractors the opportunity to respond, or provide the RFQ to as many Schedule contractors as practicable, consistent with market research, to reasonably ensure that quotes are received from at least three contractors.
• Seek price reductions.
• Evaluate all responses and place the order, or establish the BPA with the GSA Schedule contractor that represents the best value (refer to FAR 8.405-2(d)).
• Place your order with the Schedule contractor offering the Best Value.
Preparing a Request for Quote (RFQ)
• Include the SOW and evaluation criteria;
• Request fixed price, ceiling price, or, if not possible, labor hour or time and materials order;
• If preferred, request a performance plan from contractors and information on past experience; and include information on the basis for selection.

Blanket Purchase Agreement
Ordering activities may establish BPAs under any schedule contract to fill repetitive needs for supplies or services. BPAs may be established with one or more schedule contractors. The number of BPAs to be established is within the discretion of the ordering activity establishing the BPAs and should be based on a strategy that is expected to maximize the effectiveness of the BPA(s). In determining how many BPAs to establish, consider:
• The scope and complexity of the requirement(s);
• The need to periodically compare multiple technical approaches or prices;
• The administrative costs of BPAs; and
• The technical qualifications of the schedule contractor(s).
Establishment of a single BPA, or multiple BPAs, shall be made using the same procedures outlined in 8.405-1 or 8.405-2. BPAs shall address the frequency of ordering, invoicing, discounts, requirements (e.g. estimated quantities, work to be performed), delivery locations, and time.
When establishing multiple BPAs, the ordering activity shall specify the procedures for placing orders under the BPAs.
Establishment of a multi-agency BPA against a Federal Supply Schedule contract is permitted if the multi-agency BPA identifies the participating agencies and their estimated requirements at the time the BPA is established.
Ordering from BPAs:
Single BPA. If the ordering activity establishes one BPA, authorized users may place the order directly under the established BPA when the need for the supply or service arises.
Multiple BPAs. If the ordering activity establishes multiple BPAs, before placing an order exceeding the micro-purchase threshold, the ordering activity shall:
• Forward the requirement, or statement of work and the evaluation criteria, to an appropriate number of BPA holders, as established in the BPA ordering procedures; and
• Evaluate the responses received, make a best value determination (see 8.404(d)), and place the order with the BPA holder that represents the best value.
BPAs for hourly rate services. If the BPA is for hourly rate services, the ordering activity shall develop a statement of work for requirements covered by the BPA. All orders under the BPA shall specify a price for the performance of the tasks identified in the statement of work.
Duration of BPAs. BPAs generally should not exceed five years in length, but may do so to meet program requirements. Contractors may be awarded BPAs that extend beyond the current term of their GSA Schedule contract, so long as there are option periods in their GSA Schedule contract that, if exercised, will cover the BPA’s period of performance.
Review of BPAs:
The ordering activity that established the BPA shall review it at least once a year to determine whether:
• The schedule contract, upon which the BPA was established, is still in effect;
• The BPA still represents the best value (see 8.404(d)); and
• Estimated quantities/amounts have been exceeded and additional price reductions can be obtained.
The ordering activity shall document the results of its review.

Terms And Conditions Of Freeflyer® Software License
This Software License Agreement (the "Agreement") is a legal agreement between a.i. solutions, Inc. and the original purchaser and end-user ("Licensee"). Licensee hereby agrees to be bound by the terms of this Agreement.
If Licensee does not agree to the terms of this Agreement, the application and the accompanying items (including all written materials) should be promptly returned to a.i. solutions, Inc.
1. GRANT OF SOFTWARE LICENSE.
a.i. solutions, Inc. grants Licensee the right to use the enclosed FreeFlyer® application (the "Software") in accordance with this agreement. For the purposes of this agreement, "use" means loading the Software into RAM, as well as installation on a hard disk or other storage device. Licensee may not rent, lease, modify, translate, disassemble, decompile, reverse engineer, or create derivative works based upon the Software.
Licensee is on notice and agrees that this software and associated technology have been identified by the U.S.
government as a "Munitions List" item that is controlled for export under the United States International Trafficking in Arms Regulations (ITAR), 22 C.F.R. § 120-130. Exports of this product require an export license issued by the U.S. Department of State. Furthermore, this agreement shall be subject to any and all laws, regulations, orders or other restrictions on exports from the United States of America which may be enacted from time to time by the United States of America Government or any agency thereof. Licensee hereby agrees and assures a.i. solutions, Inc. that Licensee shall not export, ship, transmit, assign, transfer control, transfer registration, or disclose (directly or indirectly) the Software (including any technology and information in connection therewith) outside of the United States, except as specifically approved by the U.S. Department of State in a valid export license.
Moreover, unless an export or deemed export license is obtained, this software may not be disclosed to, or used by, any national or legal resident of a country other than the United States (even if that disclosure or use occurs in the United States). Licensee agrees that they shall not use the Software in any way or for any purpose that requires an export license or other governmental approval, without: (i) receiving prior written consent of a.i. solutions, Inc, which consent may be withheld in the exclusive discretion of a.i. solutions, Inc.; (ii) obtaining any and all applicable export licenses and government approvals; and (iii) paying any and all fees and expenses associated therewith.
Licensee shall prevent and promptly report to a.i. solutions, Inc. any and all unauthorized exports, shipments, transmissions, assignments, deemed exports, transfers of control, transfers of registration, disclosures, or uses of the Software (including any technology and information in connection therewith) of which Licensee has knowledge or suspicion.
2. COPYRIGHT.
The Software is owned by a.i. solutions, Inc. and is protected by United States copyright laws and international treaty provisions. Licensee must treat the Software like any other copyrighted material and may not otherwise reproduce, copy or disclose to others, in whole or in part, the Software. Licensee may not copy the written materials accompanying the Software. Licensee agrees to use best and good faith efforts to see that any user of the Software licensed hereunder complies with this Agreement.
3. LIMITED WARRANTY.
a.i. solutions, Inc. warrants that, if properly installed and operated on the computer for which it is designed, the Software will perform substantially in accordance with the accompanying written materials for a period of ninety (90) days from the date of receipt. a.i. solutions, Inc.'s entire liability and Licensee’s exclusive remedy shall be, at a.i.
solutions, Inc.'s option, either (a) return of the price paid or (b) repair or replacement of the Software that does not meet a.i. solutions, Inc.'s Limited Warranty. To make a warranty claim, Licensee should return the Software to a.i.
solutions, Inc. along with a description of the problem. This Limited Warranty is void if failure of the Software has resulted in whole or in part from accident, abuse, misapplication or violation of this Agreement.
Any replacement Software will be warranted for the remainder of the original warranty period or thirty (30) days, whichever is longer. This warranty allocates risks of product failure between Licensee and a.i. solutions, Inc. a.i.
solutions, Inc.'s product pricing reflects this allocation of risk and the limitations of liability contained in this warranty.

4. NO OTHER WARRANTIES.
a.i. solutions, Inc. DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE SOFTWARE AND THE ACCOMPANYING WRITTEN MATERIALS. THIS LIMITED WARRANTY GIVES LICENSEE SPECIFIC LEGAL RIGHTS. LICENSEE MAY HAVE OTHERS WHICH VARY FROM JURISDICTION TO JURISDICTION. a.i. solutions, Inc. DOES NOT WARRANT THAT THE
OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED, ERROR FREE OR MEET LICENSEE'S
SPECIFIC REQUIREMENTS. THE WARRANTY SET FORTH ABOVE IS IN LIEU OF ALL OTHER EXPRESS
WARRANTIES WHETHER ORAL OR WRITTEN.
5. EXCLUSIVE REMEDIES.
Licensee agrees that the exclusive remedy against a.i. solutions, Inc., its affiliates, contractors, suppliers, and agents for loss or damage caused by any defect or failure in the Software regardless of the form of action, whether in contract, tort, including negligence, strict liability or otherwise, shall be the return of the purchase price paid or replacement of the Software. This Agreement shall be construed in accordance with and governed by the Federal laws of the United States. Copyright and other proprietary matters will be governed by United States laws and international treaties. IN ANY CASE, a.i. solutions, Inc. SHALL NOT BE LIABLE FOR LOSS OF DATA, LOSS OF PROFITS, LOST SAVINGS, SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT OR OTHER SIMILAR DAMAGES ARISING FROM BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, OR OTHER LEGAL THEORY EVEN IF a.i. solutions, Inc. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to Licensee. The foregoing exclusion/limitation of liability shall not apply to (1) fraud; (2) for any other matter for which liability cannot be excluded by law or (3) express remedies provided under any FAR, GSAR or Schedule 70 solicitation clauses incorporated into the GSA Schedule 70 contract.
6. GENERAL PROVISIONS.
Neither this Agreement nor any part or portion hereof shall be assigned, sublicensed or otherwise transferred by Licensee. Should any provision of this Agreement be held to be void, invalid, unenforceable or illegal by a court, the validity and enforceability of the other provisions shall not be affected thereby. If any provision is determined to be unenforceable, Licensee agrees to a modification of such provision to provide for enforcement of the provision's intent, to the extent permitted by applicable law. Failure of a party to enforce any provision of this Agreement shall not constitute or be construed as a waiver of such provision or of the right to enforce such provision. If a Licensee, other than the U.S. Government, fails to comply with any terms of this Agreement, THE LICENSE IS
AUTOMATICALLY TERMINATED.
LICENSEE ACKNOWLEDGES READING THIS AGREEMENT, UNDERSTANDING THIS AGREEMENT,
LICENSEE AGREES TO BE BOUND BY THIS AGREEMENT'S TERMS AND CONDITIONS. LICENSEE
FURTHER AGREES THAT, EXCEPT FOR WRITTEN SEPARATE AGREEMENTS BETWEEN a.i. solutions, Inc.
AND LICENSEE, THIS AGREEMENT IS A COMPLETE AND EXCLUSIVE STATEMENT OF THE RIGHTS AND
LIABILITIES OF THE PARTIES. THIS AGREEMENT SUPERSEDES ALL PRIOR ORAL
AGREEMENTS, PROPOSALS OR UNDERSTANDINGS, AND ANY OTHER COMMUNICATIONS BETWEEN a.i.
solutions, Inc. AND LICENSEE RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
7. TECHNICAL SERVICES
The Contractor, without additional charge to the ordering activity, shall provide a hot line technical support number for the purpose of providing user assistance and guidance in the implementation of the software. The technical support number, 301-306-1756 Choice 2, is available from 8:00 A.M. to 5:00 PM Eastern Time, Monday through Friday.

8. SOFTWARE MAINTENANCE
Summary of Maintenance Contracts
Maintenance contracts for all a. i. solutions FreeFlyer® products are offered on an annual basis. Upon initial purchase of FreeFlyer®, the purchase of the first year of maintenance is strongly recommended. Maintenance should then be renewed annually as long as FreeFlyer® is being used. This is essential to maintain an ongoing relationship with FreeFlyer® technical support and to ensure full and immediate access to all the latest upgrades and information. Maintenance agreements provide the following benefits:
Product Upgrades
Periodically, a. i. solutions releases upgrades to its software. These releases may introduce new features, provide major improvements to functionality, or fix problems discovered in earlier versions. Customers with current maintenance contracts receive these upgrades at no additional cost.
Technical Support
Maintenance customers receive technical support for issues covered under the scope of the maintenance agreement. Technical support is available via telephone, facsimile, or e-mail Monday through Friday from 8 AM to
5 PM EST.
Additional Benefits – Preconfigured FreeFlyer® Solutions
a. i. solutions has many preconfigured FreeFlyer® solutions available which address common satellite analysis and operational problems. These are available free of charge to customers with current maintenance contracts.
