THE FOLLOWING APPLIES WHEN SIN 334512 is UTILIZED FOR ENERGY SAVINGS
PERFORMANCE CONTRACTS – this includes, but is not limited to projects using appropriated funds as well as alternative financing methods through the use of Energy Savings Performance Contracts (ESPC's) in accordance with the National Energy Conservation Policy Act (NECPA) as amended by the Energy Policy Act of
2005 (EPACT). Projects include energy audits, project management, and energy upgrades of HVAC, Lighting, Controls, etc.
FACILITY ENERGY SAVINGS UPGRADES AND IMPROVEMENTS PERFORMED UNDER THIS SIN SHALL COMPLY WITH
ALL APPLICABLE PROVISIONS SET FORTH IN 42.U.S.C. § 8287 ET SEQ AND 10 C.F.R § 436.30 ET SEQ INCLUDING, AND IN ADDITION TO, THE FOLLOWING REQUIREMENTS:
• Agencies may enter into energy savings performance contracts (ESPCs) under this SIN for a period not to exceed 25 years without funding of cancellation charges.
• Annual Energy Measurement and Verification (M&V) are required. The M&V is required to be performed utilizing the International Performance Measurement and Verification Protocol (IPMVP). Steps in the process include: baseline verification, post-installation verification, and regular interval post-installation verification. Required M&V shall be included in the financing payment quoted by the contractor in response to the agency’s SOW.
• Annual Energy Audits are to be performed utilizing the M&V Protocol issued by the Department of Energy’s
Federal Energy Management Program (FEMP). Required energy audits may be performed by the agency.
Annual energy audits performed by the contractor shall be included in the payment quoted by the contractor in response to the agency’s SOW.
• Terms and Conditions of the Performance Guarantee shall be specified by the contractor in its response to the agency’s SOW. This guarantee shall, at a minimum, provide that the contractor is responsible for maintenance and repair services for any energy related equipment installed under this agreement (including computer software systems). The contractor shall guarantee a minimum amount of energy cost savings per year. Shall the minimum savings amount not be met, the difference shall be paid to the agency within 30 days of the end of the yearly period. An analysis shall be performed to determine if a contract change is required in the event that the guaranteed minimum amount is not met.

• Aggregate annual payments made by an agency to both the utility and energy savings performance contract may not exceed the amount that the agency would have paid for utilities in the absence of the ESPC during the life of the agreement.
• Guaranteed cost savings must exceed the debt service requirements.
• Customer agencies shall have the right to place additional requirements within the scope of this contract in their SOW. Any maintenance agreement performed under this provision shall be effective for the duration of the project, unless otherwise specified by the agency in their scope of work.
• The agency shall have the option of “buying out” the contract at any period during the project. The buy-out amount shall be the equitable adjustment (GSAM 552.243-71) and pricing proposal, (GSMA 552.243.70), based on the evaluation of the ESCO's proposal.
SPECIAL PROVISIONS - Contracts awarded under this SIN are to be for the number of years stated in the task order. The Government has the right to terminate this contract for convenience or default in accordance with
Federal Acquisition Regulation Part 49.
CANCELLATION CEILING - In the event of a partial termination for convenience, the Government shall negotiate a reasonable equitable adjustment, (GSAM 552.243-71) and pricing proposal (GSAM 552.243-
70) based on the evaluation of the ESCO's proposal.
PERFORMANCE DELAYS - The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of
God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine, restrictions, strikes, unusually severe weather, and delays of common carriers. The
Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence. Any delays caused by the Government in its contractual capacity shall be dealt with in accordance with Federal Acquisition Regulation 42.13. Notwithstanding this provision, the Contractor shall not be entitled to any adjustment in the term or price of the ESPC arising from delays caused by the Government unless a detailed Critical Path Method Schedule was provided to the Government at the start of the project and updated regularly by the Contractor.
ESPC ENABLE PROCESS - Overview
The Department of Energy’s (DOE) Federal Energy Management Program (FEMP) is facilitating a fast-track approach to ESPCs referred to as the ESPC Enable process tailored for small Federal facilities (under 200,000 square feet) to implement targeted energy conservation measures (ECMs) including but not limited to lighting, water, and controls. The ESPC ENABLE process provides a standardized process to quickly award and install projects with basic levels of measurement and verification (M&V).

ESPC ENABLE PROCESS - Provides:
• A streamlined and standardized selection and acquisition process;
• Defined parameters for savings and scope; and
• M&V appropriate for the project size and scope.
For vendors who wish to participate in the ESPC ENABLE Process, current SIN 334512 Schedule 84 contract holders can modify their contracts to annotate participation in the ESPC ENABLE Process.
All Schedule 84 contract terms and conditions will still apply when utilizing the ESPC ENABLE Process to the extent that such terms and conditions are not inconsistent with the ESPC authority (42 U.S.C. § 8287 et seq; 10 C.F.R §
436.30 et seq.). Additionally, vendors utilizing the ESPC ENABLE Process may be required to provide various data elements to FEMP as described and incorporated into any resultant MAS Task Order placed against Schedule 84 utilizing the ESPC ENABLE Process.
ESPC ENABLE PROCESS – Streamlined Ordering Procedures:
• Contractor expresses interest to the Agency Request for Quotation / Notice of Opportunity (for
Schedules – posted on GSA eBuy). The agency will determine which contractor offers the best value after this step. State and local government may be exempt from this step.
• Contractor and Agency enter into agreement for the Contractor to perform a detailed Investment Grade
Energy Audit (IGA). The contractor shall utilize the templates and tools provided by the DOE’s Federal
Energy Management Program (FEMP) to perform the IGA. The cost of the detailed IGA may be paid for by the agency or rolled into the financing.
• Contractor shall present a final proposal which includes an overview of the proposed project, the audit findings and savings guarantees (generated from FEMP tool), M&V plan (generated from FEMP template) and a price proposal (including FEMP ESPC schedules). The price proposal shall consist of product prices, and labor prices (to be negotiated in accordance with awarded contract terms and conditions). The periodic payment shall be calculated by the Contractor utilizing the contractual rate of interest. In addition to the Final Proposal the ESCO will also present the scope of work, which may include preliminary drawings/plans.
• Upon agreement to the price proposal and SOW, an ESPC MAS task order shall be issued by the ordering agency.
• Upon acceptance of the work, the guarantee period shall begin.

Administration Staff I perform general administrative duties including but not limited to filing, recordkeeping, copying, delivery, mailing, graphics, word processing, customer relations, contract administration, and technical editing. These individuals play a vital role in TEN's ability to operate efficiently. They are highly organized and detail oriented individuals that ensure everything runs smoothly and efficiently.
Minimum Education: High school diploma or equivalent (e.g., GED).
Minimum Experience: One (1) to five (5) years of related experience.
Administrative Staff II
Administration Staff II perform general administrative duties including but not limited to filing, recordkeeping, copying, delivery, mailing, graphics, word processing, customer relations, contract administration, and technical editing. These individuals play a vital role in TEN's ability to operate efficiently. They are highly organized and detail oriented individuals that ensure everything runs smoothly and efficiently. Administration Staff II personnel are capable of taking on more responsibilities including scheduling and also managing peers and Administration
Staff I personnel.

Engineer I
As an Engineer I within TEN, these individuals provide engineering support on various systems such as system elements and interfacing systems, as well as components, devices and/or processes. Additionally, they participate in other disciplines such as contributing to system architecture and design which includes software, hardware, communications and various interface requirements. The vast knowledge of industry practices, standards and various technology areas make these individuals essential to TEN's operations. The individuals in this position complete various tasks to include but not limited to document preparation, review and evaluation as well as the evaluation of specifications, procedures and test plans. Various types of analysis are required, such as analysis to define, analyze, and allocate requirements. Individuals in this position also perform audits to ensure anticipated efficiency and performance is achieved (including some measurement and verification functions).

Engineer II
Engineer ll within TEN's team provide the security design and analysis on all projects as well as developing system architectures and designs including, but not limited to, software, hardware, communications and interface requirements. These individuals typically serve within a leadership role on design teams and assist Engineer l's with the preparation, review and evaluation of various documentation, test plans, and procedures, as well as specifications. Additional duties may also include those duties discussed for the role of Engineer I. Additionally, these individuals lead the analysis of all requirements to guarantee achievement of intended functionality, operation, and performance requirements (including detailed measurement and verification functions).
Minimum Education: Bachelor's degree or equivalent in Engineering, Science, or another related field.
Minimum Experience: Five (5) to ten (10) years of related experience.
Engineer Ill
Individuals holding the Engineer Ill title within TEN posses a significant amount of expert knowledge as well as experience and skill utilized through implementation of these skills within TEN's innovative, highly technical energy solutions spanning various process areas within the engineering discipline. These individuals take the role of lead engineer on major projects where they are required to apply best industry practices and standards as well as leading edge technology and incorporating innovative solutions to various issues. Additional duties may also include those discussed for the role of Engineer I and Engineer II. Additionally, these individuals lead the analysis of all requirements to guarantee achievement of intended functionality, operation, and performance requirements (including writing and supervising detailed measurement and verification functions). These individuals may also lead combined heat and power (cogeneration) analysis as well as alternative energy strategies and any other projects that fall outside of the mainstream.
Minimum Education: Bachelor's degree or equivalent in Engineering, Science, or another related field.
Minimum Experience: Ten (10) to fifteen (15) years of related experience.
Engineer IV
Engineer IV serves as the highest level of engineering personnel within TEN's team. Individuals in this role possess a highly unique set of experience, skills, and expert knowledge for a highly specialized area or discipline. These individuals take on a high-level leadership role overseeing the engineering of systems, system elements, components, devices and processes. Engineer IV's work directly with customer relation's personnel to apply the most advanced principles, theories and concepts while working to develop comprehensive solutions for our customers' most complex issues. They employ sophisticated methodologies to guide others through issue resolutions and define the key concepts of project planning, deployment, integration, andoperation These individuals supervise and manage all levels of engineers (I, II and Ill) and may perform their duties if required including measurement and verification functions and the analysis of complex projects.
Minimum Education: Bachelor's degree in Engineering, Science, or other related field, or equivalent related experience. Master's degree is desirable in this position.
Minimum Experience: Over fifteen (15) years of related experience in the energy engineering field including

Program Manager I
Program Manager I within TEN play a vital role in administering contracts and ensuring successful contract performance. These individuals provide oversight of large, multi-faceted programs such as large client projects while also directing and managing all communications - both internal and external, as well as all functional program activities required to meet contract costs, schedule requirements and performance objectives. This role allows these individuals to make final decisions on various technical, administrative and operational matters affecting the individual programs under their managements
Minimum Education: Bachelor's degree or equivalent related experience.
Minimum Experience: Ten (10) years of related experience, specifically, five (5) years of progressive general engineering related management experience in design, installation, integration, and testing of complex equipment, and an additional five (5) years of specialized experience in the direct supervision and management of projects, which include design, installation, testing, and integration of complex systems and subsystems.
Program Manager I
Program Manager II within TEN play a vital role in administering contracts and ensuring successful contract performance. These individuals provide oversight of large, multi-faceted programs such as large client projects while simultaneously directing and managing all communications - both internal and external, as well as all functional program activities required to meet contract costs, schedule requirements and performance objectives. This role allows these individuals to make final decisions on various technical, administrative and operational matters affecting the individual programs under their managements. The Program Manager II may supervise Program Manager I and will generally be tasked with larger and more complex programs, which may involve multiple sites or be national in scope or have other features, which make their experience and training a requirement for successful implementation.
Minimum Education: Bachelor's degree or equivalent related experience.
Minimum Experience: Fifteen (15) years of related experience, specifically, eight (8) years of progressive general engineering related management experience in design, installation, integration, and testing of complex equipment, and an additional seven (7) years of specialized experience in the direct supervision and management of subsystems.
Site Manager I
Individuals in the Site Manager I position within TEN provide day-to-day interface with our customers. They hold the responsibility of ensuring that TEN's subcontractors follow contract documents, especially with regard to site safety. In addition, Site Managers provide other direct supervision of subcontractors to ensure that the correct materials are being installed at the correct locations and in the manner determined by written specifications. The
Site Manager I is responsible for completing daily completion reports, which are distributed to the customer and
TEN's internal team including the Project Manager. This individual may also perform in commissioning duties commensurate with their experience in the equipment beingcommissioned.

They hold the responsibility of ensuring that TEN's subcontractors follow contract documents, especially with regard to site safety. In addition, Site Manager IVs provide other direct supervision of subcontractors to ensure that the correct materials are being installed at the correct locations and in the manner determined by written specifications. The
Site Manager II is responsible for completing daily completion reports, which are distributed to the customer and
TEN's internal team including the Project Manager. The Site Manager II may perform the functions of Site
Manager I if required. The Site Manager II may perform in commissioning duties commensurate with their experience in the equipment being commissioned. The Site Manager II may supervise and manage Site Manager I personnel.
Minimum Education: High school diploma or equivalent (e.g., GED).
Minimum Experience: Over seven (7) years of related experience in managing construction crews in occupied commercial buildings including heavy mechanical installations as well as complex projects with high levels of automation and interconnections.
Project Manager I
Individuals in this position within TEN provide authorized technical interface with our customers. They hold the responsibility of providing technical and managerial leadership of each of TEN's projects as well as the overall project performance. A Project Manager I oversee the design, procurement, installation, integration, testing, training, and document preparation efforts. General duties of a Project Manager I include but are not limited to:
ensuring correct staffing levels for all projects; managing and tracking a project budget; communication with contract management personnel; serving as lead on projects by outlining, assigning and coordinating work;
ensuring quality work and timeliness of efforts on all projects
Minimum Education: Bachelor's degree or equivalent related experience.
Minimum Experience: Three (3) to six (6) years of related experience, specifically, two (2) years of progressive general engineering related management experience in design, installation, integration, and testing of complex equipment, and an additional one (1) year of specialized experience in the direct supervision and management of projects, which include design, installation, testing, and integration of complex systems and subsystems.

Sustainability Coordinator
The Sustainability coordinator within TEN focuses on the sustainable application and use of TEN’s programs and projects. Additionally, this position meets with the client to determine their sustainability goals and footprint as it pertains to their project specific and corporate/enterprise-wide goals The Sustainability Coordinator has knowledge of TEN’s technical offerings in order to communicate effectively their impact on the environment and sustainability. The Sustainability Coordinator works with the Program Development team to offer additional intrinsic value to the client for their program. This position focuses on the project benefits other than energy and dollar savings. They have very limited responsibility for the direction of others but may coordinate and oversee the activities of peers on specific tasks or activities.

Director of Incentives
With the numerous amounts of available energy incentive programs available, the Director of Incentives maintains an impactful position with TEN. Energy incentive programs exists on all levels of government (federal, state and local) as well as within the Public Utility Commission (PUC) service territories and providers. The
Director of Incentives researches and manages the applicable programs for the clients. At times, this also includes assisting the client in application processing, application fulfillment, and rebate administration. The Director of
Incentives has knowledge of TEN’s technical offerings in order to communicate effectively the potential incentives available to our clients. The Director of Incentives is a complementary piece of the Project development team and helps reduce the costs of implementing Energy Conservation Measures.
