PIMSLEUR COURSE MANAGER APPLICATION TERMS OF USE

IMPORTANT – READ CAREFULLY BEFORE PROCEEDING – THIS IS A BINDING LEGAL AGREEMENT

BETWEEN YOU AND PIMSLEUR. This Pimsleur Application (“App”) does not sell Pimsleur products directly but rather helps you organize and use Pimsleur content you purchase directly from Pimsleur. You must have a registered, active account with Pimsleur and input your user name and password for that account in order to access your Pimsleur content on this App. By installing or otherwise using the App, you agree to be bound by these Terms.

In addition, your use of Pimsleur content through this App remains subject to all terms and conditions provided to you or to which you have or will agree when downloading, purchasing, using or registering a Pimsleur product, content or services, whether through Pimsleur or a third party acting on Pimsleur’s behalf (“Additional Terms”). In the event of any conflict between these Terms and any Additional Terms, the Additional Terms will control.

Compliance with Law. When accessing or otherwise using the App, you agree to comply with all applicable federal laws, rules and regulations.

Ownership of Intellectual Property and App Changes. Pimsleur expressly reserves all rights in the App not otherwise expressly granted to you in these Terms. You agree that as between you and Pimsleur, Pimsleur (or its third-party licensors if applicable) own all rights, title and interest in and to the App (including but not limited to any video and audio, photographs, graphics, logos, music or other media incorporated or used as well as any user guides, manuals or documentation), the Pimsleur® trademark, and any other marks related to Pimsleur products, as well as the accompanying trade dress and look and feel of the App. These items may further be protected by additional international, federal statutes, such as copyright, trademark, patent and trade secrecy laws. Pimsleur reserves the sole right (but is under no obligation) to update, modify, replace, or alter the App, in whole or in part, from time to time without any liability to you. Various updates or upgrades may be offered to you, and may be offered to you for a separate fee, and the applicable updates or upgrades may be accompanied by additional terms and conditions. You are under no obligation to accept any update or upgrade for which a fee may be charged; provided, however, that you acknowledge that Pimsleur may , in its sole discretion, cease to operate the App or features within the App and Pimsleur reserves the exclusive right to discontinue support, in whole or in part, for prior versions of the App.

Pimsleur agrees that GSA seals, trademarks, logos, service marks, trade names, and the fact that GSA has a presence on the Pimsleur Site and use its Services, shall not be used by Pimsleur in such a manner as to state or imply that Pimsleur 's products or services are endorsed, sponsored or recommended by GSA or by any other element of the Federal Government, or are considered by GSA or the Federal Government to be superior to any other products or services. Except for pages whose design and content is under the control of GSA, or for links to or promotion of such pages, Pimsleur agrees not to display any Agency or government seals, trademarks, logos, service marks, and trade names on Pimsleur's homepage or elsewhere on the Company Site unless permission to do has been granted by GSA or by other relevant federal government authority. Pimsleur may list the Agency's name in a publicly available customer list on its homepage or elsewhere so long as the name is not displayed in a more prominent fashion than that of any other third party name.

Your Rights To Use The App. Upon your acceptance of these Terms, Pimsleur grants you a limited, personal, non-exclusive, not-transferable, revocable right to use the App, as provided, subject at all times to your compliance with these Terms. By using the App, you agree that Pimsleur may contact you regarding the App, your use of the App, and Pimsleur products and that we may do so through the App or through the contact information associated with your account.

Disclaimer of Warranties. TO THE MAXIMUM EXTENT PERMITTED BY THE LAW, NEITHER PIMSLEUR, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS (COLLECTIVELY “PIMSLEUR PARTIES”) MAKE

ANY WARRANTIES, EXPRESS OR IMPLIED, WHETHER BY STATUTE, COMMON LAW, CUSTOM,

THE APP WILL NOT INTERFERE WITH YOUR COMPUTER, MOBILE DEVICE OR OTHER DEVICE USED

TO ACCESS THE APP OR THAT YOU SHALL NOT BE SUBJECT TO THIRD PARTY CLAIMS OF

INFRINGEMENT. THE PIMSLEUR PARTIES DISCLAIM ANY AND ALL OTHER EXPRESS OR IMPLIED

FREE, OR ERROR-FREE. YOU ACKNOWLEDGE THAT NO EXPRESS OR IMPLIED REPRESENTATIONS

OR WARRANTIES ARE MADE BY ANY THIRD PARTY LICENSORS ON THEIR OWN OR PIMSLEUR’S

You agree that Pimsleur is free to use any recommendations, concepts or ideas, including, without limitation, changes or new features you suggest that you provide Pimsleur, through your use of the App or otherwise(“User Ideas”), for any purposes whatsoever, including, without limitation, developing, manufacturing and marketing products and services, and creating informational articles, without any payment of any kind to you. In exchange for the ability to make suggestions or recommendations to Pimsleur you waive and release Pimsleur, its affiliates, employees, directors and agents from any and all claims by you in connection with any User Ideas made by you or on your behalf regarding the App or associated services.

Governing Law, Venue, and Jurisdiction. These Terms shall be governed in all respects by federal law. These Terms and the App will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, if applicable.

You agree that any claim or dispute you may have against may be resolved exclusively by a federal court.

Third Party Links and Content. The App may include links to or otherwise allow you to interact with a third party through a website, software application or otherwise. You acknowledge and agree that Pimsleur is not liable for any loss or damage which may be incurred by you as a result of your interaction with any third party, including without limitation, any reliance placed by you on the completeness, accuracy, or existence of any advertising, products, or other materials on or available from third parties.

Miscellaneous. These Terms shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, which is expressly excluded from applying. If either party fails to fully exercise any right, power or remedy under these Terms, such right, power or remedy shall not be waived. No express waiver or assent by either party with respect to any breach or default under any provision of these Terms shall constitute a

GS-00F-166CA Page 33 of 47 waiver or assent with respect to any subsequent breach or default under that or any other provision. No waiver shall be effective unless in writing signed by the party waiving its rights hereunder. If any provision of these Terms is held by a federal court of competent jurisdiction to be illegal, invalid or unenforceable, the legality, validity and enforceability of the remaining provisions of these Terms shall not be affected and those provisions shall remain in full force and effect. If a court or other decision-maker should determine that any provisions of these Terms is overbroad, unfair or unreasonable, such provision shall be given effect to the maximum extent possible by narrowing or enforcing in part that aspect of the provision found overbroad or unreasonable. Pimsleur may assign these Terms to any successor to its business. Except as otherwise expressly provided herein, these Terms constitutes the entire agreement between you and Pimsleur with respect to the use of the App and supersedes all prior or contemporaneous oral or written understandings regarding such subject matter. No amendment to or modification of these Terms, or action, or delay, will be binding unless in writing and signed by Pimsleur. You acknowledge that the App is or may be subject to U.S. export controls and jurisdiction. Provisions of these Terms that would logically survive termination shall survive the termination of these Terms for any reason, including without limitation, disclaimers of warranties, and limitation of liability.

PIMSLEUR APPLICATION PRIVACY POLICY

This Pimsleur Application (“App”), which is provided by Simon & Schuster, Inc. and/or its subsidiaries, divisions and imprints, including its Pimsleur® imprint (collectively "Pimsleur") does not sell Pimsleur products directly but rather helps you organize and use Pimsleur content you purchase directly from Pimsleur (“Pimsleur Content”). You must have a registered, active account with Pimsleur and input your user name and password for that account in order to access your Pimsleur Content on this App. Your use of Pimsleur Content through this App remains subject to all terms and conditions provide to you or to which you have agreed previously when purchasing, using or registering a Pimsleur product, whether through Pimsleur or a third party acting on Pimsleur’s behalf. This Privacy Policy describes the information collected by the App as you download and use the App. Your registration information remains subject to the Pimsleur (or third party) privacy policy in place at the time you provided your information or to which you have later agreed.

The App Does Not Collect Personal Information but is Tied to Your Pimsleur Account.

You do not need to provide your name or contact information in order to download or use the App. You do need to input your username and password associated with an existing, valid Pimsleur account in order to access your Pimsleur Content. If you registered with Pimsleur, your personal information is connected to the App once you sign-

in. This is necessary in order to provide you access to and the ability to use your Pimsleur Content. If you registered with a third party and received valid Pimsleur log-in credentials (user name and password), we do not receive the personal information you provided to the third party but we do share information relating to your use of the App (which is connected to your user name and password) with that third party as further discussed below.

Collection of Information Relating to Your Use of the App

The App collects certain information relating to your use of the App and your use of Pimsleur Content within the App. This is necessary in order to allow you use of your Pimsleur Content through the App and for the content and services to function properly, as well as for us to better understand how people use our content and for administrative and security reasons. We may use third party vendors to collect this information or to analyze this information on our behalf.

The information the App collects when you download or use the App includes the following:

We automatically collect your IP address, a mobile device identifier or other unique identifier (“Device Identifier”) for any computer, mobile phone, tablet or other device you may use to access the Site. A Device Identifier is a number that is automatically assigned to the device you use to access a Site, and our servers identify your device by its Device Identifier. Some mobile service providers may also provide us or our third party service providers with information regarding the physical location of the device used to access a Site.

Each time the App makes a request to our servers, we collect and store information linked to your account. For example, we will collect the Device Identifier, your user account ID, successful and unsuccessful login attempts, retrieval of account information and requests to download course files. In addition, the App may contact our servers periodically to check for new content and updates, messages related to the App or your account or similar types of updates or information.

We may store your lesson history, bookmarks and current position in a language course. You may have the ability to turn this feature on or off. This allows you to sync your language course between one or more mobile devices or computers, subject to restrictions in any applicable terms that govern your use of the language courses or other Pimsleur Content.

We collect usage data regarding how you interact with and use the App and the Pimsleur Content. We use this data to understand how users use the App and the language courses and to improve our services. The App also will send diagnostic data to our servers if the App experiences a technical problem (for example, something stops working

GS-00F-166CA Page 35 of 47 within the App). This information is linked to your Device Identifier but not your name or user account. You may be able to turn these features on or off within the App.

Information Sharing and Disclosure

If you registered with a third party and received valid Pimsleur log-in credentials (user name and password), we do not receive the personal information you provided to the third party but we do share information relating to your use of the App (which is connected to your user name and password) with that third party. The third party may be able to connect this information with the personal information you supplied when you registered with that third party.

If you registered directly with Pimsleur, Pimsleur may share information collected through the App with third parties, but generally not in a manner that identifies you personally. For example, we may share aggregate statistics with our third party partners or vendors.

We may share information that is collected with your user account, and which therefore may identify you personally, under the following limited circumstances: (i) with our service providers, but only for the purpose of providing support to you or for our internal operations; (ii) to enforce compliance with any applicable…
