This solicitation will utilize the policies contained in the Federal Acquisition Regulations (FAR) Part 12 in conjunction with the policies and procedures for solicitation evaluation and award prescribed in FAR Part 13, Simplified Acquisition Procedures, as appropriate for this acquisition.
Award will be made to that offeror whose offer, conforming to the solicitation, is the lowest price technically acceptable offer. A technically acceptable offer will meet or exceed all requirements below.
Balance and Mechanical Volumetric Dispensing Devices (MVDD) Statement of Work
The United States Geological Survey (USGS), National Water Quality Laboratory (NWQL) offers environmental analytical services. The NWQL utilizes approximately 45 balances and approximately 300 MVDDs that require ongoing and routine inspection, cleaning, calibration, maintenance, and repair.
Note: Balance and MVDD certifications shall be National Institute of Standards and Technology (NIST) traceable and compliant.
The contractor shall provide all equipment, labor, and materials (unless otherwise provided herein) necessary to perform the following tasks:
1. Balance service should include bi-annual inspection (previously April, October), cleaning, and calibration (60 day warranty on all inspection services). The calibration of laboratory balances shall be performed using Class S (or better) test weight sets. A copy of the current (within the past year) weight certification certificate shall be provided for each weight set used. The certificate shall be presented to the designated USGS technical contact before any work is done in support of this agreement, and annually thereafter. The certification documentation shall include:
A. The identification of the certification supplier.
B. The identification of the calibration standard (manufacturer, type, model, serial number and any other unique identifier), the standard’s range and accuracy, and NIST traceability or similar information when using other recognized standards. As an alternative, it is acceptable for the calibration documentation to provide reference to documents containing the standard’s identity, range, accuracy, and traceability.
C. The date the calibration was performed.
D. Records of the actual calibration data values, when applicable, both before and after any adjustments. This will allow the determination of whether or not the equipment used was and is within the required tolerances or accuracy. If adjustments are not required, the second data set is not necessary.
E. Identification of the person performing the calibration.
2. Calibration certificates for each laboratory balance calibrated shall be completed and submitted to the designated USGS technical contact within two weeks (ten business days) of the calibration.
The balance calibration certificates shall include the following information:
A. Identification of the equipment (manufacturer, type, model, and serial number).
B. Identification of the calibration standard used (see item 1 B).
C. Date of balance calibration.
D. A record of the actual calibration values (see item 1 D).
E. Identification of the person and company performing the calibration.
3. MVDD service shall include quarterly inspections (previously March, June, September, and December), cleaning, and calibration (60 day warranty on all inspection services). Worn parts (O-rings, seals, etc.) shall be replaced as required with parts billed as a separate item on invoices.
The NWQL will provide a computer, printer, and Pipette Tracker software system on-site for MVDD calibration and documentation by the contractor. The calibration of MVDDs shall be performed on-site using a calibrated balance provided by the contractor. A copy of the balance calibration information shall be provided to the designated USGS technical contact before the calibration of any NWQL MVDD. The certification shall include information identified in 1 above.
4. The contractor is required to provide on-call and on-site repair/service for the balances or MVDDs listed on the attached inventory sheets. The contractor is expected to acknowledge a request for service within one business day (24 hours) from the time the service call is received from the USGS technical contact. Repairs/service shall commence within 3 business days of the service request acknowledgement.
5. Normal services and calibration shall be performed on-site at the NWQL. If it is necessary to remove a balance from the NWQL for repairs, the contractor shall provide a written (e-mail is acceptable) estimate of the date of return (EDR). This date shall be determined within one week (5 business days) from the day the balance is removed from the laboratory.
If the balance or MVDD cannot be repaired and returned before the EDR, the service representative shall notify the USGS technical contact and a new EDR must be agreed upon.
6. Location: All work under this agreement, except as noted is to be performed at the location identified below. The contractor shall be given a work area within the laboratory area of the building.

7. Period of performance:
Scheduled work shall be performed between 7:00am to 4:00pm MST, Monday – Friday, with the exception of Government holidays. Resultant award shall identify a USGS technical contact that will coordinate the work schedule with the awarded vendor. The contractor shall notify the point of contact of changes to the schedule agreed upon.

9. The contractor shall comply with all federal and USGS safety and security requirements.

Electronic Invoicing and Payment Requirements - Invoice Processing Platform (IPP) (APR 2013)
Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform System (IPP).
"Payment request" means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial item contracts. The IPP website address is: https://www.ipp.gov.
Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice:

The Contractor must use the IPP website to register, access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in SAM will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) within 3 - 5 business days of the contract award date. Contractor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email ippgroup@bos.frb.org or phone (866) 973-3131.
If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Contractor must submit a waiver request in writing to the Contracting Officer with its proposal or quotation.
GS1117 Deobligation of Unexpended Funds MAY 2013
The contractor shall submit all invoices under the award no later than 90 calendar days after the period of performance has expired, unless a request for extension has been submitted to the Contracting Officer.
After 120 days has passed since the expiration of the performance period, the government reserves the right to issue a unilateral modification deobligating any unexpended funds, and to initiate closeout procedures.
52.000S-5079 Technical Liaison - Technical Direction (OCT 1997)
(a) The performance required herein shall be subject to the technical direction of the Technical Liaison (TL) as identified below.
As used herein, "technical direction" is defined as direction to the contractor that fills in details, suggests possible lines of approach, or otherwise supplements the scope of the work set forth herein and shall not constitute a new assignment, and does not supersede or modify any article or clause of this contract.
(b) The Technical Liaison is not authorized to perform, formally or informally, any of the following actions:
(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;
(2) Waive or agree to modification of the delivery schedule;
(3) Make any final decision on any contract matter subject to the Disputes Clause;
(4) Terminate, for any reason, the contractor's right to proceed;
(5) Obligate in any way, the payment of money by the Government. Only a warranted Contracting Officer is authorized to obligate funds on this or any other contract action.
(c) The contractor shall immediately notify the Contracting Officer in writing if the Technical Liaison has taken an action (or fails to take action) or issues direction (written or oral) that the contractor considers to exceed the above limitations.
(d) The Technical Liaison assigned for this contract will be listed at time of award on the cover page.

52.000S-5105 Parts (OCT 1997)
Parts, if needed, shall be invoiced at either the vendor's current established parts price list (less any applicable discounts) in effect at the time of installation or at a rate not to exceed that charged to the vendor's most favored customer for the same item in like quantities, or the current market price, whichever is lower.
52.217-9 Option to Extend the Term of the Contract. (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor prior to contract expiration; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.

Except when it is determined in accordance with FAR 17.206(b) not to be in the Government’s best interests, the Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. (d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. Alternate I (Feb 2000). Alternate II (Mar 2015). As prescribed in 12.301(b)(4)(ii), substitute the following paragraphs (d)(1) and (e)(1) for paragraphs (d)(1) and (e)(1) of the basic clause as follows:

(1) The Comptroller General of the United States, an appropriate Inspector General appointed under section 3 or 8G of the Inspector General Act of 1978 (5 U.S.C. App.), or an authorized representative of either of the foregoing officials shall have access to and right to—
(i) Examine any of the Contractor’s or any subcontractors’ records that pertain to, and involve transactions relating to, this contract; and
(ii) Interview any officer or employee regarding such transactions.
(e)

52.212-3 Offeror Representations and Certifications -- Commercial Items (MAR 2015)
The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site accessed through http://www.acquisition.gov . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (p) of this provision.
(a) Definitions. As used in this provision--
“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
“Forced or indentured child labor” means all work or service—
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror.
