Food and Drug Administration (FDA) Request for Quote (RFQ) for Certara Phoenix License Subscription Renewal
06/23/2022
1.0 BACKGROUND
The FDA receives lnvestigational New Drug (IND), New Drug Applications (NDA) Biologics Licensing Applications (BLA), Abbreviated New Drug Applications (ANDA), and other submissions from sponsors. Within these submissions sponsors include clinical pharmacology and pharmacometric data (Pl</PD modeling, non-linear mixed effects modeling, in vivo-in vitro correlations, and trial simulation) output from Phoenix Quantum.
Phoenix Quantum is critical for OGD meeting the strict schedule related to ANDA review under Generic Drug User Fee Act (GDUFA) II agreements. Every bioequivalence reviewer in OGD is trained to use Phoenix to evaluate and confirm the sponsor’s analysis of the pivotal bioequivalence data submitted in ANDAs. These activities have a direct impact on public health. Phoenix Quantum includes Phoenix WinNonlin, NLME, IVIVC, Connect, and Trial Simulator which provide the necessary tools to perform these data analyses.
2.0 OBJECTIVE
The objective is to obtain the annual Phoenix Quantum software licenses to allow OGD reviewers to complete the review of ANDAs and well as other regulatory activities, such as pre-ANDA meeting package review and production of product-specific bioequivalence guidance.
3.0 REQUIREMENTS
3.1 Software
The contractor shall provide the following products to the FDA:
3.1.1 Phoenix-Quantum-334 Annual Named User Server Licenses of Phoenix WinNonlin, Phoenix Connect, Phoenix NLME and Unlimited Server license for Distributed Computing. The licenses shall have the capability and/or ability of:
Directly opening Phoenix Quantum files as provided by sponsors in INDs, NDAs, BLAs, ANDAs, and other submissions.
Provide Pharmacokinetic and Pharmacodynamic modeling and noncompartmental analysis.
Process, visualize, and tabulate data.
Generate high-quality graphs, tables, and figures allowing for integrated communication of analysis results.
Perform nonlinear mixed effects modeling.
Integrate with third party tools such as SAS, S+, R, NONMEM, and Excel.
Analyze study design types:
o Bioequivalence and Bioavailability.
o Drug-Drug and Food-Drug interactions.
o First-in-man.
o Dose Proportionality.
o Special Populations (e.g. renal, hepatic, age).
3.1.2 IVIVC Toolkit for Phoenix WinNonlin – 235 Annual Named User Server License. The licenses shall have the capability and/or ability of:
Directly open Phoenix Quantum files as provided by sponsors in INDs, NDAs, BLAs, ANDAs, and other submissions.
Perform in vitro-in vivo correlations.
Deconvolution (Wagner-Nelson, Loo-Riegelman, Numerical).
Convolution - Run multiple inputs over multiple responses at once.
Levy Plot - Assess time-scale of dissolution experiments.
3.2 Compatibility
The Contractor shall ensure that the software in Section 3.1 is compatible with Windows 10 Enterprise. For the purposes of this contract, compatible means that there will be no communication, integration, performance, maintainability issues in the interconnection of solutions with different configurations or workstation platforms within FDA.
3.3 Maintenance
The Contractor shall provide software maintenance for each license in Section 3.1 to include software updates and patches as they are released from the original equipment manufacturer
(OEM).

5.0 PLACE OF DELIVERY
The Contractor shall deliver the software licenses electronically via secure e-mail to the Contracting Officer’s Representative (COR) with license activation code in accordance with the start date of each period of performance as stated in deliverable table in Section 4 above.

The Contractor shall deliver or make available to the COR updates, patches, and new versions of the required software within ten (10) business days of release.
6.0 INSPECTION AND ACCEPTANCE
Pursuant to the inspection clause, all items specified in this Statement of Work to be delivered under this contract are subject to final inspection and acceptance by an authorized representative for the Government. The authorized representative of the Government is the Government’s COR, who is responsible for inspection and acceptance of all services, materials, or supplies to be provided by the Contractor.
The COR will load the software and licensing to verify that the software is functioning properly. The COR will inspect and verify that the software is operational, functional and compatible with FDA server and software. The COR will provide written notification of acceptance or rejection within 10 days of receipt. The Contractor shall correct any deficiencies within thirty (30) days of when the Government issues the rejection notice. If the Contractor cannot correct the deficiencies within this time frame, the Contractor shall immediately notify the COR of the reason for the delay and provide a proposed corrective action plan within ten (10) business days.

10.0 CONTRACTING OFFICER AUTHORITY
The Contracting Officer (CO) is the sole person authorized to make or approve any changes in any of the requirements of this contract and notwithstanding any provisions contained elsewhere in the order, the said authority remains solely with the CO. In the event the Contractor makes any changes at the direction of any person other than the CO, the change shall be considered to have been made without authority and no adjustment will be made in the delivery order terms and conditions, including price. The CO shall be the only individual authorized to accept nonconforming work, waive any requirement of the order and modify any term or condition of the order. The CO is the only individual who can legally obligate Government funds.
The Contracting Officer’s Representative (COR) or Project Officer is not authorized to make any commitments or otherwise obligate the Government or authorize any changes which affect the order price, terms or conditions.
The COR/Project Officer is responsible for the technical aspects of the project and serves as technical liaison with the contractor and is responsible for the final inspection and acceptance, and such other responsibilities as may be specified in the order.
11.0 ORDER OF PRECEDENCE
The Contractor shall follow the terms and conditions of this contract. Should the Contractor include any additional terms and conditions resulting in conflicts between this document and the Contractor’s document, the Order of Precedence shall be as specified in FAR Clause 52.212-4. The Contractor shall not auto-renew any subscriptions, licenses, maintenances and services not authorized under this contract. Any auto-renewals are at the risk of the Contractor, and the Government will not reimburse the Contractor.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
