Combined Synopsis/Solicitation for DSA Tools TM Software Suite Support and Maintenance for the Federal Energy Regulatory Commission (FERC); RFQ #FERC-16-Q-0066
This is a combined synopsis/solicitation for commercial supplies/services prepared in accordance with the format in Subpart 12.6 as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested and a written solicitation (SF1449) will not be issued.
The Government intends to procure DSA Tools TM Software support and maintenance for the Federal Energy Regulatory Commission FERC). The Government is contemplating award in accordance with FAR Parts 13.5 and 12. The contract will be awarded using the Firm Fixed Price (FFP) contract type with an overall period of performance of one (1) base year plus four (4) one-year options (if applicable).
The solicitation number is FERC-16-Q-0066. The solicitation is issued as a request for quotation (RFQ).
The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-87, effective 6 April 2016.
This procurement is not set-aside for small businesses. The NAICS code for this procurement is 511210 (Software Publishers); the small business size standard is $38.5M.
The combined synopsis solicitation contains one (1) firm-fixed price line item (base year) in the Cost/Price Schedule of the solicitation, with four (4) one-year option periods.
The objective of this contract is to provide DSA Tools TM software support and maintenance to FERC. (See attached for Brand Name Justification.)
A more detailed description of the requirements and period of performance dates are provided in the Price/Cost Schedule. The FOB point and acceptance point for deliverables are destination (FERC Headquarters, 888 First Street NE, Washington DC 20426.)
The provisions at 52.212-1 Instructions to Offerors–Commercial Items, applies to this acquisition.
The provision at 52.212-2 Evaluation–Commercial Items does not apply to this acquisition; the lowest priced quote will result in award.
Offerors shall include a completed copy of the provision at 52.212-3, Offeror Representations and Certifications–Commercial Items, with its quote. If the offeror’s annual representations and certifications are current in the U.S. Government System for Award Management (SAM), the offeror may merely state that the offeror’s representations and certifications are available through SAM in lieu of submitting the annual representations and certifications as part of the offeror’s quote.
The clause 52.212-4 Contract Terms and Conditions–Commercial Items applies to this acquisition.
The clause 52.212-5, Contract Terms and Conditions Required To Implement Statutes Or Executive Orders–Commercial Items, applies to this acquisition; additional FAR and other clauses applicable to this acquisition are included in the attached solicitation document.

Shipping documentation must reference contract number stated on page 1 of contract award.
If applicable, physical deliveries required to FERC Regional Offices shall be shipped to the addresses identified in the CLIN structure above.
DELIVERY OF SOFTWARE LICENSES
Information related to software licenses are received by FERC through a central location. Software licenses keys and any other information related to the software licenses shall be sent via email to softwarelicensing@ferc.gov with a Courtesy Copy (CC) to the COR identified in the contract. Additionally, software license renewals available only via downloads require the contractor to electronically submit instructions for obtaining the renewal to the email address provided above.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

A.5 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within thirty (30) days.
A.6 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within thirty (30) days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least sixty (60) days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

A.8 CONTRACTING OFFICER REPRESENTATIVE (COR) APPOINTMENT--LOCAL PROVISION
Jean Marshall has been appointed as the Contracting Officer’s Representative (COR) for this Contract with responsibility for technical oversight, contract administration and day-to-day inspection of the work. The appointment will be in effect until final completion of the project, or when terminated or superseded by the Contracting Officer. The COR will accomplish inspection and acceptance, including final delivery. Services shall conform to the requirements set forth in the contract.

A.9 IT SYSTEMS & SERVICE CONTRACTS – SECURITY REQUIREMENTS – LOCAL PROVISION (FEB 2011)
QUALITY CONTROL
All software products purchased from or developed for FERC by a vendor or contractor will be certified by the provider to be free of malicious code. The provider will be held responsible for any damage or loss of business as a direct result of malware or malicious code embedded within software licensed to or developed for FERC.
HSPD-12
Contractors will be required to ensure compliance with HSPD-12 mandate requirements for logical and physical access per OMB memo M-11-11 and NIST SP 800-63.
SECTION 508 COMPLIANCE
Section 508 of the Rehabilitation Act of 1973, as amended (29 U.S.C. 794d) requires that when Federal agencies access to and use of information and data that is comparable to the access and use by Federal employees who do not have disabilities, unless an undue burden would be imposed on the agency. The contractor will ensure compliance with Section 508 requirements identified by the Government.
SOFTWARE LICENSE
FERC requires the contractor to certify that they have appropriate systems and controls in place to ensure that FERC funds or resources are not used to acquire, operate, or maintain information technology software in violation of U.S. copyright laws or applicable licensing restrictions. If FERC finds that the contractor is using FERC funds or resources to acquire, operate, or maintain information technology software in violation of U.S. copyright laws or applicable licensing restrictions, FERC will take such corrective measures as the agency deems appropriate and consistent with the requirements of the law. In addition, FERC will identify if the contractor must deliver software license keys in order to perform under this contract.
SUPPLY CHAIN RISK MANAGEMENT
Cyber security protections in Federal acquisitions can be further enhanced by performing increased business due diligence to gain better visibility into, and understanding of, how contractors develop, integrate, and deploy their products, services, and solutions as well as how they assure integrity, security, resilience, and quality in their operations. The contractor will be responsible for evaluating the security of their proposed products, services, and solutions to ensure compliance with the requirements and guidelines established in NIST SP 800-161.
A.10 52.232-18 AVAILABILITY OF FUNDS (APR 1984)
Funds are not presently available for this contract. The Government’s obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer.
