Question 1.

Reference: Section 3.0 Requirement, 3.1 Software, 3.1.1

Question: section 3.1.1 (Requirements) in the RFQ lists Phoenix‐Quantum‐367 Annual Named

User Server Licenses… whereas the deliverables section lists a different quantity. Can you confirm the items and quantities noted in the deliverables section is the correct number to use?

Answer: Yes. SOW, Section 3.0 Requirement, 3.1 Software, 3.1.1 has been modified to indicate that Phoenix‐Quantum‐160 Annual Named User Server Licenses of Phoenix WinNonlin, Phoenix

Connect, Phoenix NLME and Unlimited Server license for Distributed Computing; OR EQUAL is being requested.

Statement of Work

Statement of Work, dated 29 June 2020, is deleted. Statement of Work, dated 02 July 2020, is added.

STATEMENT OF WORK (SOW)

for

Certara Phoenix License Subscription (Brand Name or Equal) 076/0229/2020

1.0 BACKGROUND

The FDA receives Investigational New Drug (IND), New Drug Applications (NDA) Biologics Licensing Applications (BLA), Abbreviated New Drug Applications (ANDA), and other submissions 5from sponsors.

Within these submissions’ sponsors include clinical pharmacology and pharmacometric data (PK/PD modeling, non-linear mixed effects modeling, in vivo-in vitro correlations, and trial simulation) output from Phoenix Quantum. These data must be independently analyzed and verified by Office of Clinical Pharmacology reviewers and pharmacometricians. Phoenix Quantum includes Phoenix WinNonlin, NLME, IVIVC, Connect, and Trial Simulator which provide the necessary tools to perform these data analyses.

This software is essential to the review of sponsor submissions. These reviews are on strict schedules with timelines that must be met per the various user fee acts governing such work (Prescription Drug User Fee Act, Generic Drug User Fee Act, Biosimilars User Fee Act) and other FDA Mission-critical functions. These activities have a direct impact on public health.

2.0 OBJECTIVE

The FDA’s objective is to obtain the annual Phoenix Quantum software licenses, brand name or equal, to allow Office of Clinical Pharmacology drug reviewers to complete the review of INDs, NDAs, BLAs, ANDAs, and other submissions from sponsors, the primary role of the Office.

3.0 REQUIREMENTS

3.1 Software

The contractor shall provide the following products to the FDA:

3.1.1 Phoenix-Quantum-160367 Annual Named User Server Licenses of Phoenix WinNonlin, Phoenix Connect, Phoenix NLME and Unlimited Server license for Distributed Computing; OR EQUAL. The licenses shall have the capability and/or ability of:

Directly opening Phoenix Quantum files as provided by sponsors in INDs, NDAs, BLAs, ANDAs, and other submissions.

Pharmacokinetic and Pharmacodynamic modeling and noncompartmental analysis.

Process, visualize, and tabulate data.

Generating high-quality graphs, tables, and figures allowing for integrated communication of analysis results.

Nonlinear mixed effects modeling.

Integration with third party tools such as SAS, S+, R, NONMEM, and Excel.

Analysis of study design types:

o Bioequivalence and Bioavailability.

o Drug-Drug and Food-Drug interactions.

o First-in-man.

o Dose Proportionality.

o Special Populations (e.g. renal, hepatic, age).

3.1.2 IVIVC Toolkit for Phoenix WinNonlin Annual Named User Server License; OR EQUAL.

The licenses shall have the capability and/or ability of:

Directly opening Phoenix Quantum files as provided by sponsors in INDs, NDAs, BLAs, ANDAs, and other submissions.

In vitro-in vivo correlations.

Deconvolution (Wagner-Nelson, Loo-Riegelman, Numerical).

Convolution - Run multiple inputs over multiple responses at once.

Levy Plot - Assess time-scale of dissolution experiments.

3.1.3 Trial Simulator Annual Licenses; OR EQUAL. The licenses shall be able to:

Simulate clinical trials.

Covariate Distribution Models.

Create Drug Models.

Create Nominal Protocol Models.

Create Trial Execution Models.

Create simulated “individuals”.

3.2 Compatibility

The Contractor shall ensure that the software in Section 3.1 is compatible with Windows 10 Enterprise. For the purposes of this contract, compatible means that there will be no communication, integration, performance, maintainability issues in the interconnection of solutions with different configurations or workstation platforms within FDA.

3.3 Maintenance

The Contractor shall provide 12 months of software maintenance for each license in Section 3.1 to include software updates and patches as they are released from the original equipment manufacturer

(OEM).

5.0 PLACE OF DELIVERY

The Contractor shall deliver the software licenses electronically via secure e-mail to the Contracting Officer’s Representative (COR) with license activation code within 72 hours of purchase.

The Contractor shall deliver or make available to the COR updates, patches, and new versions of the required software within ten (10) business days of release.

6.0 INSPECTION AND ACCEPTANCE

Pursuant to the inspection clause, all items specified in this Statement of Work to be delivered under this contract are subject to final inspection and acceptance by an authorized representative for the Government. The authorized representative of the Government is the Government’s COR, who is responsible for inspection and acceptance of all services, materials, or supplies to be provided by the Contractor.

The COR will load the software and licensing to verify that the software is functioning properly. The COR will inspect and verify that the software is operational, functional and compatible with FDA server and software. The COR will provide written notification of acceptance or rejection within 10 days of receipt. The Contractor shall correct any deficiencies within thirty (30) days of when the Government issues the rejection notice. If the Contractor cannot correct the deficiencies within this time frame, the Contractor shall immediately notify the COR of the reason for the delay and provide a proposed corrective action plan within ten (10) business days.

10.0 CONTRACTING OFFICER AUTHORITY

The Contracting Officer (CO) is the sole person authorized to make or approve any changes in any of the requirements of this contract and notwithstanding any provisions contained elsewhere in the order, the said authority remains solely with the CO. In the event the Contractor makes any changes at the direction of any person other than the CO, the change shall be considered to have been made without authority and no adjustment will be made in the delivery order terms and conditions, including price. The CO shall be the only individual authorized to accept nonconforming work, waive any requirement of the order and modify any term or condition of the order. The CO is the only individual who can legally obligate Government funds.

The Contracting Officer’s Representative (COR) or Project Officer is not authorized to make any commitments or otherwise obligate the Government or authorize any changes which affect the order price, terms or conditions.

The COR/Project Officer is responsible for the technical aspects of the project and serves as technical liaison with the contractor and is responsible for the final inspection and acceptance, and such other responsibilities as may be specified in the order.

11.0 ORDER OF PRECEDENCE

The Contractor shall follow the terms and conditions of this contract. Should the Contractor include any additional terms and conditions resulting in conflicts between this document and the Contractor’s document, the Order of Precedence shall be as specified in FAR Clause 52.212-4. The Contractor shall not auto-renew any subscriptions, licenses, maintenances and services not authorized under this contract. Any auto-renewals are at the risk of the Contractor, and the Government will not reimburse the Contractor.

(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

The term “successor” does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

Veteran-owned small business concern means a small business concern—
