Part 1 – Description

The U.S. Food and Drug Administration’s (FDA) CDER/OTR requires the procurement of a Tip-Enhanced Raman Spectroscopy (TERS) system, which combines functionality of Raman Spectroscopy and Atomic Force Microscopy (AFM), which will provide new analytical capability to the Agency. The instrument will be used by multiple Centers, for example, for the analysis of nanoscale domains within complex formulations, detecting strain within materials used for medical devices, and evaluating degradation products of protein-based therapeutics. This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested, and a separate written solicitation will not be issued.

This solicitation is a Request for Quote (RFQ) using FAR Parts 12 and 13 procedures. The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2019-01 January 22, 2019. The North American Industry Classification System (NAICS) code for the proposed acquisition is 334516, Analytical Laboratory Instrument Manufacturing, Small Size Standard 1,000 Employees. THIS IS A TOTAL SMALL BUSINESS SET-ASIDE.

This requirement is for Tip-Enhanced Raman Spectroscopy (TERS) System to include purchase of TERS system and optical table capable of meeting the technical requirements outlined below and four years of preventative maintenance inspections.

Part 3 – Description/Specifications

3.1 Background

This requirement was identified after years of scientific analysis and imaging of complex drug product formulations. Through a collaboration with the National Institute of Standards and Technology (NIST), there was an initial assessment of the feasibility of using TERS for the evaluation of the quality of emulsion drug products. The configuration of the instrument at NIST was not ideal for working in liquids, although the technique does deliver on the promise of super resolution chemical identification. FDA will procure a beam-bounce AFM configuration, more versatile and appropriate for use in liquids.

3.2 Statement of Work

The TERS system must consist of

· Co-located, coupled AFM/SPM instrument and Raman Spectrometer

· Controller device and all accessories required for immediate operation

· Calibration standards, test samples, and three (3) tips to confirm functionality

The AFM/SPM and Raman instruments must be provided by the same manufacturer, with proven compatibility between the instruments and system components.

The system must meet all technical and performance requirements listed below.

For the AFM/SPM:

Equipment requirements

· Cantilever/”beam-bounce” AFM head (Allows for imaging in liquids, high speed imaging)

· Performance in liquids and air

· Liquid cell (liquid sample holder) and liquid cantilever holder to be included

· Side- and top- optical access path to AFM for TERS imaging

· Scanner stage range:

· XY: ≥ 100 microns

· Z: ≥15 microns

· Accepts samples up to: 40x50 mm, 15 mm height

· Non-contact, tapping (semi-contact), and contact AFM modes, with phase imaging

· Options for conductive AFM, Kelvin probe or surface potential force microscopy, capacitance, and electric force microscopy, scanning tunneling microscopy, photocurrent mapping, nanolithography, nanomanipulation, and magnetic force microscopy available

· Closed-loop piezo objective scanner for alignment of tip to Raman excitation

Technical/software specifications

For the Raman Spectrometer:

· Multiple excitation wavelengths for resonant and wavelength dependent measurements: 532 nm, 633 nm, and 785 nm lasers with software controlled motorized switching of optical paths.

· Edge and bandpass filter sets for each excitation wavelength

· Computer controlled laser power selection (down to 0.01% power)

· Near IR optimized objective for 785 nm excitation

· Ultra-low frequency filter sets for 532 nm and 785 nm excitation (down to 10 wavenumbers)

· Detector suitable for 400 nm to 1100 nm spectral range

· Computer controlled grating turret and grating with spectral resolution better than 1 cm-1

· Motorized scanning stage, with computer-controlled positioning as follows:

· X scan range of 75 mm

· Y scan range of 50 mm

· XY positioning steps (resolution) of ≤ 50 nm

· Z positioning steps of ≤ 0.01 microns

· Motorized half- and quarter-waveplates for both visible and near-IR wavelengths with analyzer and scrambler

· Internal reference standards for calibration and correction

· Microscope for viewing and aligning samples with adjustable binoculars and eyepieces with 3-position unit for illumination (reflection, transmission, and mixed)

· Darkfield condenser

· Software with searchable library and capability to build a user-defined library with search function, and chemometrics module including multivariant analysis to be performed

For the optical table:

· At least 4 ft x 6 ft in size

· Support at least 250 lb (113.5 kg)

· Provide tunable active dampening

· Be able to support an instrument for at least 1750 mm x 1050 mm

· Have individually sealed mounting holes

For the system as a whole:

· AFM software must communicate with Raman software through triggering or be integrated into a single software package

· Any controller device required to run software or instrument must be included.

· Optical coupling between instruments with contained pathway with both top and side excitation paths to AFM instrument

· Lasers must be coupled to instrument with reflective optics

· Capability of both TERS and co-located AFM and Raman spectroscopy

· TERS system must be able to analyze samples such as:

· Liquids, such as emulsions

· Small scale devices

· Nanoscale materials, such as carbon nanotubes, which may be functionalized for drug delivery systems In addition, the system must meet the following requirements:

· Capable of storing data in USB flashdrive connected to control module

· Capable of transmitting measured values and operational parameters to an external PC through integrated Ethernet interface.

· Dedicated human-machine interface (HMI) for system control

· Size restriction: must fit completely on a 4 ft x 6 ft optical table

· The instrument shall also be customizable at the user’s discretion to operate outside of the normal routines (i.e. different configurations on various ports simultaneously).

· Analyst usage of this instrument shall be traceable by way of user log-ins confirmations and hierarchy level access controls.

Contractor shall provide:

· TERS system

· Calibration standards

· TERS test sample to verify functionality

· At least three (3) tips for initial use

· Interface cables and all other accessories required for immediate operation

· Industrial equipment controller capable of interfacing with Windows operating system software

· Operating Procedure Manual

· One-year manufacturer warranty from the date of Government acceptance.

· Warranty shall include the replacement or repair of the instrument within 30 days after notification to Contractor of instrument issue.

· If system cannot be repaired within 30 days, a loaner instrument or loaner replacement part shall be provided by the Contractor at no extra charge to the Government during the entire warranty period

Preventative Maintenance and Repair Service

· The Contractor shall provide full coverage of parts, labor and travel for all repairs within any restrictions stated in the warranty.

· The Contractor shall perform two (2) preventative maintenance inspections (PMI) for the instrument in the first year and up to four additional years to be included as options. PMIs shall be scheduled through the FDA Technical Representative (See Part 7).

· The Contractor shall, under the service agreement, repair or replace any part or parts which prove to be defective at no extra charge to the Government.

· The Contractor shall make arrangements for the fastest delivery and will resume work upon receipt of parts within 5 business days, unless otherwise mutually agreed upon with the FDA Technical Representative.

· All parts replaced shall be new replacement parts that meet the original manufacturer’s specifications.

Delivery, Installation, Training, and Support: 52.247-34 F.O.B. Destination Shipment/Delivery/Installation shall include the following:

· All components of the TERS system and table shall be delivered and installed at the same time.

· Shipment, delivery, and installation of the system no later than three (3) months following award of contract.

· Installation and testing of TERS system shall take no more than five (5) days.

· Two (2) days of initial, on-site training for five (5) FDA personnel to take place following installation and testing of the system.

· Contractor shall be responsible for all travel expenses for installation and training personnel.

A one-year warranty for parts and service will be provided to begin after installation, including telephone and/or remote support. Options for up to four years of preventative maintenance inspections shall also be included in this package.

Part 5 –Contract Administration

5.1 Representative’s

For this PART, (COR TBD) is the authorized representative of the Contracting Officer.

The Contracting Officer’s Representative (COR) will perform inspection and acceptance of equipment and services to be provided.

The COR is responsible for the following as required by this order: (1) monitoring the Contractor's technical progress, including the surveillance and assessment of performance and recommending to the Contracting Officer changes in requirements; (2) interpreting the Statement of Work and any other technical performance requirements; (3) performing technical evaluations; (4) performing technical inspections and acceptances; and (5) assisting in the resolution of technical problems encountered during performance.

The Contracting Officer is the only person with authority to act as an agent of the Government under this order. Only the Contracting Officer has authority to: direct or negotiate any changes in the order, including modifying or extending the period of performance, changing the delivery schedule, authorizing reimbursement to the Contractor for any costs incurred during the performance of this order, or otherwise change any terms and conditions of this order.

B. Invoices submitted under this contract must comply with the requirements set forth in FAR Clauses 52.232-25 (Prompt Payment) and 52.232-33 (Payment by Electronic Funds Transfer – System for Award Management) and/or other applicable FAR clauses specified herein. To constitute a proper invoice, the invoice must be submitted on company letterhead and include each of the following:

(i) Name and address of the contractor;

(ii) Invoice date and invoice number;

(iii) Contract/Order number (including a reference to any base award for Indefinite-Delivery/Indefinite-Quantity Contracts or Blanket Purchase Agreements);

(iv) Description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed, including:

(a) period of performance for which costs are claimed;

(b) itemized travel costs, including origin and destination;

(c) any other supporting information necessary to clarify questionable expenditures;

(d) the contractor shall include the Contract Line Item/Funding line item for each description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed;

C. An electronic invoice is acceptable if submitted in adobe acrobat (PDF) format. All items listed in (i) through (xii) of this clause must be included in the electronic invoice. Electronic invoices must be on company letterhead and must contain no ink changes and be legible for printing.

(a) Definitions. As used in this clause–

“Covered contractor information system” means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.

“Federal contract information” means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public websites) or simple transactional information, such as necessary to process payments.

“Information” means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).

“Information system” means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).

“Safeguarding” means measures or controls that are prescribed to protect information systems.

(b) Safeguarding requirements and procedures.

(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:

(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).

(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.

(iii) Verify and control/limit connections to and use of external information systems.

(iv) Control information posted or processed on publicly accessible information systems.

(v) Identify information system users, processes acting on behalf of users, or devices.

(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.

(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.

(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.

(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.

(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.

(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.

(xii) Identify, report, and correct information and information system flaws in a timely manner.

(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.

(xiv) Update malicious code protection mechanisms when new releases are available.

(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.

(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.

(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial items, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.

52.204-22 Alternative Line Item Proposal.

As prescribed in 4.1008, insert the following provision:

Alternative Line Item Proposal (Jan 2017)

(a) The Government recognizes that the line items established in this solicitation may not conform to the Offeror’s practices. Failure to correct these issues can result in difficulties in acceptance of deliverables and processing payments. Therefore, the Offeror is invited to propose alternative line items for which bids, proposals, or quotes are requested in this solicitation to ensure that the resulting contract is economically and administratively advantageous to the Government and the Offeror.

(b) The Offeror may submit one or more additional proposals with alternative line items, provided that alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation. However, acceptance of an alternative proposal is a unilateral decision made solely at the discretion of the Government. Offers that do not comply with the line items specified in this solicitation may be determined to be nonresponsive or unacceptable.

52.209-11 Representation by Corporations Regarding Delinquent Tax Liability or a Felony Conviction under any Federal Law.

As prescribed in 9.104-7(d), insert the following provision:

Representation by Corporations Regarding Delinquent Tax Liability or a Felony Conviction under any Federal Law (Feb 2016)

(a) As required by sections 744 and 745 of Division E of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L. 113-235), and similar provisions, if contained in subsequent appropriations acts, the Government will not enter into a contract with any corporation that—

(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or

(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.

(b) The Offeror represents that—

As prescribed in 12.301(c), the Contracting Officer may insert a provision substantially as follows:

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers: Lowest Price Technically Acceptable

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 Offeror Representations and Certifications-Commercial Items.

As prescribed in 12.301(b)(2), insert the following provision:

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u)) of this provision.

(a) Definitions. As used in this provision—

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation”, means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern”, consistent with13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that—

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by—

(i) One or more socially disadvantaged (as defined at13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation. “Veteran-owned small business concern” means a small business concern—(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and(2) The management and daily business operations of which are controlled by one or more veterans. “Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances. “Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern—

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program” (in accordance with 13 CFR part127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.
