PART 1 – Description The U.S. Food & Drug Administration (FDA) requires the purchase of an Acquity UPLC Fluorescence Detector. This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested, and a separate written solicitation will not be issued.
This solicitation is a Request for Quote (RFQ) using FAR Parts 12 and 13 procedures. The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2020-04 January 15, 2020. The North American Industry Classification System (NAICS) code for the proposed acquisition is 334516 Analytical Laboratory Instrument Manufacturing, small business size standard 1000 employees.

*The firm-fixed-prices are inclusive of all costs, such as shipping, parts, installation, labor, travel, and any other warranty and service maintenance costs. Payment is only authorized for the respective firm-fixed-prices upon successful completion of the respective CLINs, including delivery and acceptance of all deliverables, as determined by the FDA Contracting Officer’s Representative (COR), and upon submission of a proper invoice. Proper invoice submission includes following the invoice instructions below.
PART 3 – Description/Specifications
3.1 Background
The statement of work below describes a UHPLC instrument for analyzing proteins, quantifying levels of reactive oxygen species, and measuring polysorbate degradation/oxidation in biotherapeutic drug formulations. The instrument will be paired with an Electrochemical Detector (ECD) for analyzing a variety of samples including complex proteins mixtures and biotherapeutic drug formulations.
3.2 Statement of Work/Salient Characteristics
The proposed instrument must be newly manufactured unit, not used or refurbished, or previously used for demonstration.
This statement of work covers the purchase, installation and qualification of the Acquity UHPLC System, in addition to a preventative maintenance and service contract.
UHPLC Hardware Requirements
· The pump must have an optional and integrated solvent select valve on one solvent line, adding additional six (6) solvents (for a total of nine (9) solvents).
· The pump contribution to delay volume must be ≤ 400 μL, with the standard mixer (100 μL) configured.
· The maximum operating pressure of the pump must be 15,000 psi with user selectable upper and lower pressure limits within the settable range of the flow rate.
· The pump must be equipped with an integrated and active pump intake valve.
· The pump must be equipped with an automatic and programmable seal wash, with pulsed flow settable from 0.04 to 900 minutes. The pump shall support a function (Wash Plungers) designed to prevent the build-up of precipitates on the pump plungers, by washing them with seal wash solvent.
· The pump must be able to deliver gradients with eleven (11) gradient curve shapes (linear, two (2) step, four (4) convex, four (4) concave).
· The sample manager precision must be ≤ 0.3% RSD for the 5.0 to 100.0 μL range.
· The sample manager must have a settable temperature range from 4.0°C to 40.0°C in 0.1°C increments to provide an environment for temperature sensitive samples.
· The column heater compartment contribution to delay volume must be typically ≤ 3 μL with active pre-heating. Excellent thermal transfer properties without added system volume.
· The photodiode array detector must have a wavelength range of 190 to 800nm that is covered by a single deuterium lamp.
· The dispersion volume of the analytical flow cell (excluding inlet/outlet tubings to/from bulkheads) must be ≤ 0.9 μL.
· The photodiode array detector must have an optical bandwidth of 1.2 nm or less.
· The fluorescence detector must have a wavelength repeatability of less than ± 0.25 nm.
· The gradient delay volume, as measured at the lift-off point in a step gradient, must be ≤300 μL.
· This system must also be compatible with the other Waters instruments within our institute, this will allow us to share spare parts.
· The system shall support other low volume, fast data rate optical detection options such as UPLC PDA, UPLC Evaporative Light Scattering and UPLC Fluorescence and UPLC Refractive Index.
· All components of the system including UPLC pump/ auto injector, UPLC detectors (PDA, FLR – Fluorescence ECD- Electrochemical), fraction collector and Empower software must be manufactured and serviced by the same company/organization.
Fraction Collector Hardware Requirement
· Capable of flow rate ranges of 0.1 to 10 ml/min.
UHPLC Software Requirements
· Windows 10 compatible
· Must be able to support up to four (4) separate instruments running on different time-bases. The software must be able to support multi-detector configurations for each instrument.
· The UPLC system software must be able to store each analytical method including instrument set points, data acquisition, data evaluation and reporting parameters as one analytical specification.
Training and Support Requirements
· Vendor shall perform installation and operational qualification services (IQ/OQ) on delivered equipment within 30 days of delivery.
· Crating and shipping shall be included.
· Familiarization of instrumentation shall be provided on following IQ/OQ including on-site hardware, software and applications training which will be held at the FDA site. All appropriate training manuals and literature must be supplied either electronically or in hard copy.
· Technical support shall be provided through common avenues: phone, web, fax, during standard business hours Service Contract Requirements
· All installation and services must be performed by certified field technicians specific this type of equipment.
· Must be able to provide any needed parts, labor, and travel for repair in a timely fashion (3-7 days).
· Replacement parts must be Waters technologies-supplied and may not void any remaining warranties.
· A minimum of one preventative maintenance visit per service contract year.
· Scheduling must be Monday-Friday between the hours of 9am-4pm.
· Scheduling to be coordinated through the TPOC on the contract; Elliot Rosen.
· All technicians must have a valid U.S. Driver’s license for entry through security
Part 4 –Performance and Deliverables
4.1 Delivery, Installation, Training, and Support: 52.247-34 F.O.B. Destination The vendor is responsible for delivery and installation of the instrument and all components specified above to:

Delivery shall be no later than 60 days after contract award. Must ship as 1 lot, no back orders accepted. If for some reason this cannot be shipped as 1 lot, payment will not be made until the entire requirement has been received.
The vendor is responsible for delivery and installation of the instrument and all components specified above. If the vendor is not installing on the day of delivery, the delivery should be made to the loading dock and moved into location on the date of installation. The vendor is responsible for installation of the instrument. The vendor will demonstrate upon installation that the item will meet all performance specifications by the manufacturer. The instrument will not be accepted until those performance specifications have been met. The entire system will be warranted for parts and labor for 12 months from date of installation. Service and installation must be provided by service engineers who are trained and certified by the original manufacturer of the instrument. Engineers should have access to the manufacturer’s latest technical developments, repair procedures, application updates, diagnostic software, and planned maintenance procedures.
The vendor shall cover all costs associated with the following:

· On-site installation, Installation Qualification, Operational Qualification, Onsite Training hardware, software, and applications training shall be provided at the FDA site. All appropriate training manuals and literature shall be supplied electronically.

Place of Performance and Work Hours The delivery of the instrument and or services must occur during regular business hours (Monday-Friday) during the times of 9:00 AM – 4:00 PM, excluding holidays. Delivery and installation should be coordinated through Project Officer, Elliot Rosen. Work shall be conducted Monday through Friday, excluding federal holidays.
Packing, Marking and Shipping All deliverables required under this contract shall be packaged, marked and shipped in accordance with Government specifications. At a minimum, all deliverables shall be marked with the contract number and contractor name. The contractor shall guarantee that all required materials shall be delivered in immediate usable and acceptable condition.
Inspection and Acceptance The Contracting Officer Representative (COR) will perform inspection and acceptance of equipment, installation and services to be provided. The COR – to be determined upon contract award - is the authorized representative of the Contracting Officer.
4.2 Period of Performance
The base period of performance (POP) begins the date of contract award execution and continues for one year beginning on the day of formal government acceptance.
This is a standard procurement for a commercial product item. Period of performance will be the standard delivery after placement of the order, plus warranty and service contract coverage for one (1) year and four (4) optional year periods.

PART 5 –Contract Administration
5.1 Representative’s
The COR will perform inspection and acceptance of equipment and services to be provided.
For this PART, (COR TBD) is the authorized representative of the Contracting Officer.
The COR is responsible for the following as required by this order: (1) monitoring the Contractor's technical progress, including the surveillance and assessment of performance and recommending to the Contracting Officer changes in requirements; (2) interpreting the Statement of Work and any other technical performance requirements; (3) performing technical evaluations; (4) performing technical inspections and acceptances; and (5) assisting in the resolution of technical problems encountered during performance.
The Contracting Officer is the only person with authority to act as an agent of the Government under this order. Only the Contracting Officer has authority to: direct or negotiate any changes in the order, including modifying or extending the period of performance, changing the delivery schedule, authorizing reimbursement to the Contractor for any costs incurred during the performance of this order, or otherwise change any terms and conditions of this order.

B. Invoices submitted under this contract must comply with the requirements set forth in FAR Clauses 52.232-25 (Prompt Payment) and 52.232-33 (Payment by Electronic Funds Transfer - System for Award Management) and/or other applicable FAR clauses specified herein. To constitute a proper invoice, the invoice must be submitted on company letterhead and include each of the following:
(i) Name and address of the contractor;
(ii) Invoice date and invoice number;
(iii) Contract/Order number (including a reference to any base award for Indefinite-Delivery/Indefinite-Quantity Contracts or Blanket Purchase Agreements);
(iv) Description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed, including:
(a) period of performance for which costs are claimed;
(b) itemized travel costs, including origin and destination;
(c) any other supporting information necessary to clarify questionable expenditures;
(d) the contractor shall include the award item number for each description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed;
(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on government bill of lading;
(vi) Terms of any discount for prompt payment offered (Prompt Payment terms other than NET 30);
(vii) Name and address of official to whom payment is to be sent (must be the same as that in the purchase order/award, or in a proper notice of assignment);
(viii) Name, title, and phone number of person to notify in event of defective invoice;

C. An electronic invoice is acceptable if submitted in Adobe Acrobat (PDF) format. All items listed in (i) through (xiii) of this clause must be included in the electronic invoice. Electronic invoices must be on company letterhead and must contain no ink changes and be legible for printing.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3)As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. 52.204-24 Representation Regarding Certain Telecommunications and Video Surveillance Services or Equipment (Aug 2019)
(a) Definitions. As used in this provision— Covered telecommunications equipment or services, Critical technology, and Substantial or essential component have the meanings provided in clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
(b) Prohibition. Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Contractors are not prohibited from providing—
(1) A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(2) Telecommunications equipment that cannot route or redirect user data traffic or permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(c) Representation. The Offeror represents that— It [ ] will, [ ] will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation.
(d) Disclosures. If the Offeror has responded affirmatively to the representation in paragraph (c) of this provision, the Offeror shall provide the following information as part of the offer—

(4) For equipment, the entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the OEM or a distributor, if known).

(a) If an item in this solicitation is identified as “brand name or equal,” the purchase description reflects the characteristics and level of quality that will satisfy the Government’s needs. The salient physical, functional, or performance characteristics that “equal” products must meet are specified in the solicitation.
(b) To be considered for award, offers of “equal” products, including “equal” products of the brand name manufacturer, must—
(1) Meet the salient physical, functional, or performance characteristic specified in this solicitation;
(2) Clearly identify the item by—
(i) Brand name, if any; and
(ii) Make or model number;
(3) Include descriptive literature such as illustrations, drawings, or a clear reference to previously furnished descriptive data or information available to the Contracting Officer; and
(4) Clearly describe any modifications the offeror plans to make in a product to make it conform to the solicitation requirements. Mark any descriptive material to clearly show the modifications.
(c) The Contracting Officer will evaluate “equal” products on the basis of information furnished by the offeror or identified in the offer and reasonably available to the Contracting Officer. As used in this provision— “Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror.
