Part 1 – Description
The U.S. Food and Drug Administration’s (FDA), Center for Drug Evaluation and Research
(CDER), requires a contract to obtain Active Pharmaceutical Ingredients’ (API), their manufacturing facilities and their activities. This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation
(FAR) Part 12.603. This announcement constitutes the only solicitation; proposal are being requested, and a separate written solicitation will not be issued.
This solicitation is a Request for Proposal (RFP) using FAR Parts 12 and 13 procedures. The solicitation document and incorporated provisions and clauses are those in effect through Federal
Acquisition Circular (FAC) 2020-07 dated August 31, 2020. The North American Industry
Classification System (NAICS) code for the proposed acquisition is 541910, Marketing Research and Analysis, Small Size Standard $15,000,000.00. This requirement is full and open competition to all potential proposal.
This requirement is to provide API Manufacturer Data Acquisition.

Payment is only authorized for the respective firm-fixed-price upon successful completion of the respective CLINs, including delivery and acceptance of all deliverables, as determined by the FDA Contracting Officer’s Representative (COR) according to the Statement of
Work, and upon submission of a proper invoice. Proper invoice submission includes following the invoice instructions below. The amount invoiced shall be derivative of the number of ownership verifications performed for that billing period at the approved per unit rate.
Part 3 – Description/Specifications
3.1 Background
US Food Drug & Administration (FDA) Center for Drug Evaluation and Research (CDER) is interested in improving and validating their understanding of the worldwide Active
Pharmaceutical Ingredients’ (API), their manufacturing facilities and their activities, and recognizing the critical importance that API manufacturers have in producing safe and effective drugs.
To that end, CDER would like to obtain worldwide API manufacturing facility and product data that can assist CDER in programs that rely on manufacturing information for the purposes of compliance, surveillance, enforcement, drug shortages and user fee collections.
3.2 Objective
The objective of this effort is to Procure API Manufacturing facility and product data that will be used in program analysis.
3.3 Statement of Work
The contractor shall be responsible for delivering a file containing as complete a list of all API manufacturers as possible.
3.4 Contractor Tasks / Requirements.
Contractor shall work with Contracting Officer Representative (COR) to coordinate all activities with respect to this task.
3.5 Contractor shall provide API data that will be tailored to contain the following information:
3.5.1 Relationships with other drug manufacturers and Sponsors
3.5.2 Regulator standing abroad and domestically
3.5.3 Presence of Drug Master File (DMF) licenses
3.5.4 The facility is producing or is capable of producing commercial quantities of the
API
3.5.5 The site is in the developmental process, and has the capacity to manufacture the
API
3.5.6 Facility is currently not manufacturing this API, but had at some time in the past manufactured this API
3.5.7 API Manufacturer Company Name
3.5.8 API Manufacturer Company Street Address
3.5.9 API Manufacturer Company City
3.5.10 API Manufacturer Company Country
3.5.11 API Manufacturer Unique numeric identifier, referred to as a “DUNS” (Data

3.6 Contractor shall provide quarterly progress reports on the accomplishment of specific activities each month and various stages of work in progress. Each quarterly report shall be brief reports in letter format and shall include:
• Work accomplished during the previous quarter
• Planned activities for the upcoming period
• Description of any problems experienced during the previous quarter or anticipated in the upcoming quarter, solutions or recommended plan for addressing issues (if applicable).
• List of data elements enclosed within the current quarterly electronic file submitted with associated data definitions,
• List all new UNII and DUNS matches performed within the previous quarter, and a list of all if any discrepancies found during Quality Analysis (QA) of database extraction required following the production of the initial dataset and the current quarterly update.
One copy of this report will go to the FDA/CDER COR and one copy to the Contracting Officer within five (5) business days of end of previous calendar month.
3.7 Meetings: Contractor will be available to meet with either the COR and/or POC for meetings throughout the period of performance to include a kickoff meeting, and quarterly meetings. Meetings may be held via teleconference or face-to-face.
3.8 Quality control will be performed by the contractor and documentation of such will be provided to the COR on a monthly basis. Please refer to section 8.0 for acceptable data quality levels and performance standards.
3.9 Key Personnel
The following labor categories are considered Key Personnel and are subject to the terms of HHSAR 352.237-75 – Key Personnel. The minimum experience for these categories is stated below:
1. Subject matter expert (master’s level with 6 years of experience)
This is an individual with prior experience in marketing research or selling consumer products, preferably Pharmaceutical products specifically. The SME has a working knowledge of Pharmaceutical product manufacturing, product development, product sales, and government regulations associated with these products.
2. Project Manager- (bachelors’ level with 5 years of experience)
This individual serves as liaison between Contractor personnel and Government representatives and has overall responsibility for contract administration, organizing task teams, reviewing technical approaches to ensure proper methodologies and procedures are followed in accordance with client requirements, and ensures that all products and services are of high quality and delivered on time and within budget.
3.10 352.237-75 – Key Personnel (DEC 2015)
The key personnel specified in this contract are considered to be essential to work performance. At least 30 days prior to the contractor voluntarily diverting any of the specified individuals to other programs or contracts the Contractor shall notify the
Contracting Officer and shall submit a justification for the diversion or replacement and a request to replace the individual. The request shall identify the proposed replacement and provide an explanation of how the replacement's skills, experience, and credentials meet or exceed the requirements of the contract (including, when applicable, Human Subjects
Testing requirements). If the employee of the contractor is terminated for cause or separates from the contractor voluntarily with less than 30 days notice, the Contractor shall provide the maximum notice practicable under the circumstances. The Contractor shall not divert, replace, or announce any such change to key personnel without the written consent of the Contracting Officer. The contract will be modified to add or delete key personnel as necessary to reflect the agreement of the parties.
Part 4 –Performance and Deliverables
4.1 Delivery, Installation, Training, and Support: 52.247-34 F.O.B. Destination
The contractor is responsible to provide all deliverables via electronically specified above and shall adhere to the following performance requirements.

4.1.1 Kickoff Meeting
Within five (5) business days after award, the contractor shall meet with the Government via teleconference to discuss contract administration.
4.1.2 Security Considerations
This Statement of Work (SOW) does not require the contractor to (1) develop, (2) have the ability to access, or (3) host and/or maintain a Federal information system(s).
All data used by and generated by the contractor remains and is the property of the Food and
Drug Administration.
4.2 Place of Performance and Work Hours
Work shall be performed at the contractor’s site.
4.3 Inspection and Acceptance
The Contracting Officer’s Representative will perform inspection of the services to be provided.
The Contracting Officer’s Representative – to be determined upon contract award - is the authorized representative of the Contracting Officer.
4.4. Conflict of Interest
The Contractor shall warrant that, to the best of its knowledge and belief, and except as otherwise disclosed in its proposal, it does not have any actual, potential, or apparent conflict of interests pertaining to the subject procurement, as described in FAR Subpart 9.5 and U.S. Health and
Human Services (HHS) and FDA policies, for its organization, employees, or subcontractors proposed to be working under the procurement.
After award of an order for this procurement, if the Contractor discovers an actual, potential, or apparent conflict of interest with respect to this procurement, it shall make an immediate and full disclosure in writing to the FDA Contracting Officer and COR for this order, including a description of any actions the Contractor has taken or proposes to take to avoid, neutralize, or mitigate any conflict of interest. The Contractor shall act impartially and objectively and must avoid actions that would cause a reasonable person to question their impartiality or engage in activities that may result in an unfair competitive advantage.
The Government reserves the right to exercise any remedy available at law or equity, including termination of the order for cause or convenience, should the Government determine remedial action is necessary to address any actual, potential, or apparent conflict of interest.
The Contractor shall include a clause substantially similar to this “Conflicts of Interest” clause in any subcontract.
4.5 Period of Performance
The period of performance for this contract is for one year.
Period of Performance: September 21, 2020 to September 20, 2021. Subject to change based on award date.
Part 5 –Contract Administration
5.1 Administrative Points of Contract
Contracting Officer’s Representative’s
For this PART, (COR TBD) is the authorized representative of the Contracting Officer.
The Contracting Officer’s Representative (COR) will perform inspection and acceptance of equipment and services to be provided.
The COR is responsible for the following as required by this order: (1) monitoring the
Contractor's technical progress, including the surveillance and assessment of performance and recommending to the Contracting Officer changes in requirements; (2) interpreting the Statement of Work and any other technical performance requirements; (3) performing technical evaluations;
(4) performing technical inspections and acceptances; and (5) assisting in the resolution of technical problems encountered during performance.
The Contracting Officer is the only person with authority to act as an agent of the Government under this order. Only the Contracting Officer has authority to: direct or negotiate any changes in the order, including modifying or extending the period of performance, changing the delivery schedule, authorizing reimbursement to the Contractor for any costs incurred during the performance of this order, or otherwise change any terms and conditions of this order.

B. Invoices submitted under this contract must comply with the requirements set forth in FAR Clauses
52.232-25 (Prompt Payment) and 52.232-33 (Payment by Electronic Funds Transfer – System for
Award Management) and/or other applicable FAR clauses specified herein. To constitute a proper invoice, the invoice must be submitted on company letterhead and include each of the following:
(i) Name and address of the contractor;
(ii) Invoice date and invoice number;
(iii) Contract/Order number (including a reference to any base award for Indefinite-
Delivery/Indefinite-Quantity Contracts or Blanket Purchase Agreements);
(iv) Description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed, including:
(a) period of performance for which costs are claimed;
(b) itemized travel costs, including origin and destination;
(c) any other supporting information necessary to clarify questionable expenditures;
(d) the contractor shall include the Contract Line Item/Funding line item for each description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed;
(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on government bill of lading;
(vi) Terms of any discount for prompt payment offered (Prompt Payment terms other than NET 30);
(vii) Name and address of official to whom payment is to be sent (must be the same as that in the purchase order/award, or in a proper notice of assignment)
(viii) Name, title, and phone number of person to notify in event of defective invoice;
(ix) Taxpayer Identification Number (TIN);
(x) Electronic funds transfer (EFT) banking information, including routing transit number of the financial institution receiving payment;
(xi) Name and telephone number of the FDA Contracting Officer Representative (COR) or other
Program Center/Office point of contact, as referenced on the award;
(xii) For all Time-and-Materials and Labor-Hour Awards, Contractor is required to attach an invoice log addendum to each invoice which shall include, at a minimum, the following information for contract administration and reconciliation purposes:
(a) list of all invoices submitted to date under the subject award, including the following:
(1) invoice number, amount, & date submitted
(2) corresponding payment amount & date received
(b) total amount of all payments received to date under the subject contract or order
(c) and, for definitized contracts or orders only, total estimated amounts yet to be invoiced for the current, active period of performance;
(xiii) Any other information or documentation required by the award.
C. An electronic invoice is acceptable if submitted in adobe acrobat (PDF) format. All items listed in (i) through (xii) of this clause must be included in the electronic invoice. Electronic invoices must be on company letterhead and must contain no ink changes and be legible for printing.

52.204-21, Basic Safeguarding of Covered Contractor Information Systems (JUN 2016)
(a) Definitions. As used in this clause–
“Covered contractor information system” means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.
“Federal contract information” means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public websites) or simple transactional information, such as necessary to process payments.
“Information” means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).
“Information system” means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information
(44 U.S.C. 3502).
“Safeguarding” means measures or controls that are prescribed to protect information systems.
(b) Safeguarding requirements and procedures.
(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:
(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).
(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.
(iii) Verify and control/limit connections to and use of external information systems.
(iv) Control information posted or processed on publicly accessible information systems.
(v) Identify information system users, processes acting on behalf of users, or devices.
(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.
(vii) Sanitize or destroy information system media containing Federal Contract
Information before disposal or release for reuse.
(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.
(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.
(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.
(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.
(xii) Identify, report, and correct information and information system flaws in a timely manner.
(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.
(xiv) Update malicious code protection mechanisms when new releases are available.
(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.
(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.
(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial items, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.
