I. Contracting Activity.
The contracting organization that is responsible for the proposed contract action is the Air Force Test Center (AFTC), Directorate of Contracting, Enterprise Acquisition Division (PZIEA), 5 South Wolfe Avenue, Edwards AFB, CA 93524-1185. The contracting officer is Jacob C. Arola. This is a Justification and Approval (J&A) for Other Than Full and Open Competition. The purchase request number for this contract action is F1S0AF8106B102 and F1S0AF8123B102.
II. Nature and/or description of the action being processed.
Zodiac will provide the following Aerospace Data Recorders (ADR) and signal modules in sustainment of Zodiac's ADR legacy systems:
1. SHS500-32344 MDR8-shRC - SDP - Up to 800 Mbit/s (media dependent), 8 slots, receiver for removable RSM media, screw down plate, front panel for MDR8 (Qty=2, )
2. SHS511-1002 MC10TA - TM Downlink Airborne 1 x PCM input (QTY=4,

III. Description of supplies/services required to meet agency needs.
The ZODIAC recorders are currently being used in instrumentation test systems. The listed equipment above are used to sustain, troubleshoot, maintain and configure the data system, per test requirement, prior to integration. The 412th Test Wing, Instrumentation Division conducted "Market Research for Instrumentation System Improvement and Maintenance Program" on 9 March 2017 and concluded that previously purchased Zodiac Aerospace MDR8 recorders and modules under Eglin AFB-IDIQ Contract #FA2487-14-D-0106. Maintaining the current recorder configuration utilized on various airframe platforms will be the most cost effective, and imperative to system configuration management and performance parameters, avoidance of scrap and rework, duplicative costs, and critical schedule requirements. Any deviation from the existing design and architecture (form, fit, function) will result in unnecessary expenses, down time and failure in fully meeting the mission objectives.
Zodiac Data Systems is the manufacturer of the data recorders needed to satisfy the Government's requirement. No other vendor currently produces products that integrate with Zodiac Data System’s existing components. The consequence of awarding this contract to another vendor would result in substantial duplication of costs and program delays to modify current airborne instrumentation systems and system configurations that would not be recovered through competition. The cost to redesign and replace existing devices to introduce another vendor's system which meets the form, fit and function into our existing infrastructure and will also include spares and maintenance for existing systems.
IV. Statutory authority permitting other than full and open competition.
In accordance with FAR 6.302-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements; supplies may be deemed to be available only from the original source in the case of a follow-on contract for the continued development or production of a major system or highly specialized equipment, including major components thereof, when it is likely that award to any other source would result in:
(A) Substantial duplication of cost to the Government that is not expected to be recovered through competition, or

(B) Unacceptable delays in fulfilling the agency's requirements. (See 10 U.S.C. 2304 (d)(1)(B) or 41 U.S.C. 3304 (b)(2).)
V. Demonstration that the contractor's unique qualifications or nature of the acquisition requires the use of the authority cited above (applicability of authority).
The product must meet the IRIG 106 standards for processing Mil-Std-1553, ARINC 429, and PCM streams for the legacy/existing equipment in operations accordingly:
1- Must be physically compatible with the ZODIAC input slot/interface with MDR8/GMDR12 recorder.
2- Must be compatible electrically, and properly interface with Zodiac recorder's back bone.
3- Must be compatible with D4Rec software by Zodiac.
4- Must have the play back capability with actual ARINC-429 signal output.
Form, fit, and function is exact utilizing integrated and verified Zodiac Data Systems components.
Redirecting to a different vendor is very cost prohibitive to the government. The following estimate shows 34 weeks of labor cost and additional $2.55M in parts/materials costs for such deviation:
1- Electrical redesign 4 weeks 2- Wiring implantation for Portable Data System (PDS) 6 weeks (2 weeks each X 3 PDS) + new parts ($50K) 3- Mechanical redesign 4 weeks 4- Fabrication of new brackets and parts 2 weeks + Parts ($50K) 5- Lab functional testing, configuration (TMATS...) and troubleshooting 8 weeks 6- Aircraft wiring 2 weeks 7- Integration testing in the aircraft 4 weeks 8- T2-Mod documentation 2 weeks 9- Validation and verification and ATP 2 weeks 10- Cost of new equipment $1.25M (estimated) 11- $1.2M loss of existing inventory
VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.
Customer shall continue its market surveillance utilizing Internet search engines (google, bing, yahoo, etc.), vendor contact, Inter-Range Instrumentation Group (IRIG) conventions (for market surveys) and Government data bases (GSA, GWACs, SBA) for other sources of Zodiac data systems supplies and services, or standardized open architecture hardware/software that may be compatible with other vendors' (Zodiac) hardware/software.
VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.
The Contracting Officer will perform a price reasonableness determination as part of the fair and reasonable determination. Fair and reasonable will be determined based prices paid for previously purchased equipment (historical data), by reviewing Zodiac catalog pricing, as well as the three (3) vendors reviewed while executing market research: Calculex, Ampex Data Systems, and TTC, and by seeking additional discounts on the order.
VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.
Market research indicated that there are several other vendors:(CALCULEX, Inc., Ampex Data Systems Corp., Teletronics Technology Corp (TTC)) that offer ADR systems that may be acquired to satisfy the Government's requirement. The customer surveyed Calculex, AMPEX, and TTC via email for information regarding Chapter 7 standards capabilities, Sole Source (Including Brand Name) Justification - Simplified Procedures for Certain Commercial Items

Calculex is the only other vendor capable of providing the required Chapter 7 functionality. However, Calculex's Chapter 7 functionality (source code) is proprietary and is not inter-operable with the current Zodiac ADR system utilized by the .
To utilize the Calculex ADR configuration, replacing all the current recorders and signal modules, and redesigning of the entire airborne data system. In turn, the Air Force would have to re-accomplish duplicative aircraft data system modifications to build, install, test, and qualify the Calculex instrumentation system for airworthiness.
IX. Any other facts supporting the use of Other Than Full and Open Competition.
To arrive at the market research findings, the customer and Contract Specialist conducted internet searches (google, bing, yahoo, etc.) for other sources of supply for Zodiac data systems supplies and services, the legacy system configuration at Edwards AFB; there are no authorized distributors or pass-through opportunities. Also, the Zodiac Field Service Representative forwarded its GSA and commercial price lists to support this requirement. Eglin AFB has an existing Zodiac IDIQ contract, the upgraded/revised equipment items needed to satisfy this requirement have not been added to the contract's negotiated price catalog.
X. List of any sources that expressed, in writing, an interest in the acquisition.
No other sources have expressed, in writing, an interest in this acquisition.
XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.
