SECTION I

1.0 DESCRIPTION OF SERVICES

1.1 General. This is a non-personnel services contract to provide Spirent Simulator Services. The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.

1.1.1 Overview Description of Services/Introduction. The Contractor shall provide all management, personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform Spirent Simulator Services as defined in this Performance Work Statement except for those items specified as Government furnished property and services. The Contractor shall perform to the standards in this contract. This includes the planning, coordination, and surveillance of the activities necessary to ensure disciplined work performance and timely application of resources to accomplish all tasking under the contract. The Contractor shall be responsible for maintaining communication with the Contracting Officer (CO) and to immediately notify the CO of any problems that would prevent timely performance of this contract.

1.2 Background. The 746th Test Squadron (746TS), also known as the Central Inertial and Global Positioning System (GPS) Test Facility (CIGTF), in the 704th Test Group (704TG) at Holloman AFB, NM is the premier supplier of GPS laboratory test services. The 746TS uses a variety of Global Navigation Satellite System (GNSS) equipment and software to simulate a GPS environment in the laboratory reducing risk and cost for test customers. Services for 746TS test systems are required for customer testing.

1.3 Objective. The purpose of this contract is to obtain software and firmware updates/upgrades, technical support, maintenance support and engineering consultation for the 746TS Spirent simulator systems described below to ensure uninterrupted support for the 746TS current and future testing requirements.

1.4 Scope. This contract is for firmware and software license updates/upgrades, technical support, maintenance/repair services, and engineering consultation in a manner that will ensure continuous and on schedule operations of 746TS testing. This support shall be conducted via e-mail, telephonic support, shipping equipment to the Spirent location, or on-site work at Holloman AFB, NM.

1.5 Inherently Governmental Function. The Contractor shall not perform Inherently Governmental functions as defined in FAR Subpart 7.5 in relationship to this PWS.

1.6 Period of Performance. 12 months ARO

1.7 Place of Performance. The contractor shall perform the services via e-mail, telephonic support, shipping equipment to the Spirent location, or on-site work at Holloman AFB, NM.

1.8 Specific Tasks.

1.8.1 Firmware and Software Updates/Upgrades: This includes upgrades and software releases for the systems identified in para 1.4. The contractor shall provide these updates via a downloaded format or disc. Based on historical data it is anticipated that this shall include 2 software and/or firmware updates for a 12 month period.

1.8.2 Technical Support: The contractor shall provide access to their technical support services website in order to maintain the systems identified in para 1.4 and enable the government to ask specific questions relevant to the maintenance and support of the simulator systems. This includes access to the following service sections:

Frequently Asked Questions Status tracking of open maintenance actions Documentation including product specifications and user guides This access is provided 24 hours a day, 7 days a week for a 12 month period.

1.8.3 Maintenance/Repair Services: The contractor shall provide hardware and software maintenance/repairs services for the system identified in para 1.4. The contractor shall respond to all maintenance and repair requests within 6 hours to begin the initial diagnosis and assess the fault/error. It is estimated that this service will be required 30 hours per month.

1.8.3.1 Hardware: The contractor shall complete all hardware repairs, replacement parts, cleaning or adjustments as needed to correct the issue. This includes shipping the equipment to the factory/repair facility or sending the replacement parts to the 746 TS for the government to insert/replace.

In the event the government replaces any parts/components the faulty parts shall be returned to Spirent.

This includes any remedial work.

1.8.3.2 Software: The contractor shall provide all software maintenance repairs. The specific service includes troubleshooting over the telephone, issuing software fixes with documentation (manuals) or proposing alternative uses of the software or workarounds.

1.8.4 Engineering Consultation: The contractor shall provide 60 hours of consultation for special projects or issues that arise that are not addressed in para 1.8.1 – 1.8.3 above. This support shall be provided via telephone or email.

1.9 Historical Data. The tasks described above have been performed in the past by Spirent providing about 500 hours of service last year (FY 16) at a cost of approximately $150,000.

1.10 Minimum Qualifications. The work described in para 1.8 must be performed by Spirent Communications, Inc. They are the Original Equipment Manufacturer (OEM) and maintain all proprietary rights to the systems.

1.11 Deliverables.

1.11.1 Below is a list of deliverables under this contract.

SECTION II

2.0 GOVERNMENT FURNISHED PROPERTY, EQUIPMENT, AND SERVICES

2.1. Government Furnished Services. The Government will provide:

2.2 Government Furnished Equipment. The Government will retain control and accountability for the below listed systems, but in the event they require repair they may be shipped to the contractor’s repair facility:

Equipment Inventory. The Contractor and the Government representative shall conduct a joint inventory of all Government Furnished Equipment listed. The Contractor shall sign receipt for all equipment provided by the Government no later than (5) work days after receiving Government Furnished Equipment when delivered. The Contractor and the Government representative shall jointly determine and certify agreement on the working order and condition of all equipment. Items of equipment missing or not in working order shall be recorded. If the Contractor does not elect to participate in the inventory within the timeframe listed above, the Contractor must accept as accurate, the listing and stated condition of equipment provided by the Government. If the Contractor participates in the inventory but does not agree with the Government representative's determination as to the working order of the equipment, the equipment will be turned in as excess or the matter will be turned over to the CO for resolution.

SECTION III

3.0 GENERAL INFORMATION

3.1. Security Requirements:

3.1.1. Physical Security. The Contractor shall be responsible for safeguarding all Government equipment, information and property provided for Contractor use.

Security Clearance Levels. Contractor personnel performing work under this contract must have a Secret Security Level at time of the proposal submission, and must maintain the level of security required for the life of the contract. The security requirements are in accordance with the attached DD254.

Contractor Access to Air Force Installations.

(1) The Contractor shall obtain base identification and vehicle passes, if required, for all Contractor personnel who make frequent visits to or perform work on the Air Force installation(s) cited in the contract. Contractor personnel are required to wear or prominently display installation identification badges or Contractor-furnished, Contractor identification badges while visiting or performing work on the installation.

(2) The Contractor shall submit a written request on company letterhead to the Contracting Officer listing the following: contract number, location of work site, start and stop dates, and names of employees and subContractor employees needing access to the base. The letter will also specify the individual(s) authorized to sign for a request for base identification credentials or vehicle passes. The Contracting Officer will endorse the request and forward it to the issuing base pass and registration office or security police for processing. When reporting to the registration office, the authorized Contractor individual(s) should provide a valid driver’s license, current vehicle registration, and valid vehicle insurance certificate, to obtain a vehicle pass.

(3) During performance of the contract, the Contractor shall be responsible for obtaining required identification for newly assigned personnel and for prompt return of credentials and vehicle passes for any employee who no longer requires access to the work site. When work under this contract requires unescorted entry to controlled or restricted areas, the Contractor shall comply with AFI 31-101, Volume 1, The Air Force Installation Security Program, and AFI 31-501, Personnel Security Program Management. Upon completion or termination of the contract or expiration of the identification passes, the prime Contractor shall ensure that all base identification passes issued to employees and subContractor employees are returned to the issuing office. Failure to comply with these requirements may result in withholding of final payment.

Notification of Government Security Activity and Visitor Group Security Agreements. This contract contains a DD Form 254, DoD Contract Security Classification Specification, and requires performance at a Government location in the United States. Prior to beginning operations involving classified information on an installation identified on the DD Form 254, the Contractor shall take the following actions:

(1) Within thirty (30) days of contract award, notify the security police activity shown in the distribution block of the DD Form 254 as to:

(a) The name, address, and telephone number of this contract company’s representative and designated alternate in the U.S. or overseas area, as appropriate;

(b) The contract number and military contracting command;

(c) The highest classification category of defense information to which Contractor employees will have access;

(d) The Air Force installations in the U.S. (in overseas areas, identify only the APO number(s)) where the contract work will be performed;

(e) The date Contractor operations will begin on base in the U.S. or in the overseas area;

(f) The estimated completion date of operations on base in the U.S. or in the overseas area; and

(g) Any changes to information previously provided under this clause.

**This requirement is in addition to visit request procedures contained in DoD 5220.22-M, National Industrial Security Program Operating Manual.

(2) Prior to beginning operations involving classified information on an installation identified on the DD Form 254 where the Contractor is not required to have a facility security clearance, the Contractor shall enter into a Visitor Group Security Agreement (or understanding) with the installation commander to ensure that the Contractor’s security procedures are properly integrated with those of the installation.

As a minimum, the agreement shall identify the security actions that will be performed:

(a) By the installation for the Contractor, such as providing storage and classified reproduction facilities, guard services, security forms, security inspections under DoD 5220.22- M, classified mail services, security badges, visitor control, and investigating security incidents;

and

(b) Jointly by the Contractor and the installation, such as packaging and addressing classified transmittals, security checks, internal security controls, and implementing emergency procedures to protect classified material.

3.2. Contractor Furnished Property and Services. Except for those items or services specifically stated to be Government-furnished in Section II and any appendixes, the Contractor shall furnish everything required to perform this contract in accordance with all of its terms. The following mentioned requirements are not all inclusive of the Contractor furnished items and services required in the performance of this contract.

Contractor Travel. Contractor may be required to travel during the performance of this contract. The Contractor may be required to travel to 746TS and to ship hardware to these locations in support of this PWS. Contractor will be authorized travel expenses consistent with and no higher than the substantive provisions of the Joint Travel Regulation (JTR) and the limitation of funds specified in this contract.

3.3. Environmental Protection. The Contractor shall comply with all applicable Federal, state and local laws, regulations and standards that are or may become applicable to Contractor’s activities in performance of this PWS.

Permits. The Contractor shall be solely responsible for obtaining at its cost and expense any environmental permits required for its operations under the Contract, independent of any existing permits held by the Government. Any and all environmental permits required for any of the Contractor’s operations or activities would be subject to prior concurrence of Government. The Contractor acknowledges that the Government will not consent to being named a secondary discharger or co-permittee for any operations or activities of the Contractor under the Contract. In the event the Government is named as a secondary discharger or co-permittee for any activity or operation of the Contract, the Government shall have the right to take reasonable actions necessary to prevent, suspend, or terminate such activity or operation, including terminating this Contract, without liability or penalty.

Right to Inspect. The Government’s rights under this Contract specifically include the right for Government officials to inspect upon reasonable notice the work site for compliance with environmental, safety and occupational health laws and regulations, whether or not Government is responsible for enforcing them. Such inspections are without prejudice to the right of duly constituted enforcement officials to make such inspections. The Government normally will give the Contractor twenty-four (24) hours prior notice of its intention to inspect, unless it determines the entry is required for safety, environmental, operations or security purposes.

Non-compliance. If the Contractor is found to not be in compliance with any of these regulations, there may be cause for the facility to shut down until Contractor, when within the Contractor’s control or the Government’s, has remedied the problem. Any sanitary deficiencies shall require immediate correction.

Audit. This contract may be subject to audit by any and all cognizant Government agencies. The Contractor shall make available all records, which it maintains with respect to this contract, to such agencies.

Failure to Insist On Compliance. The failure of Government to insist, in any one or more instances, upon performance of any of the terms, covenants or conditions of this contract shall not be construed as a waiver or relinquishment of Government's right to the future performance of any such terms, covenants or conditions and the Contractor's obligations in respect to such future performance shall continue in full force and effect.

3.4. MISCELLANEOUS PARAGRAPHS:

3.4.1 Freedom of Information Act (FOIA). All official Government records affected by this contract are subject to the provisions of the FOIA (5 U.S.C. 552/DoD 5400.7-R/AF Supplement). Any request received by the Contractor for access/release of information from these records to the public (including Government/Contractor employees acting as private citizens), whether oral or in writing, shall be immediately brought to the attention of the CO for forwarding to the Base FOIA Manager to ensure proper processing and compliance with the Act.

3.4.2 For Official Use Only (FOUO). The Contractor shall comply with DoD 5400-7-R, Chapter 4, DoD Freedom of Information Act (FOIA) Program requirements. This regulation sets policy and procedures for the disclosure of records to the public and for marking, handling, transmitting, and safeguarding FOUO material.

3.4.3 Notification of Debarment/Suspension Status. The Contractor shall provide immediate notice to the Contracting Officer in the event of being suspended, debarred or declared ineligible by any other Federal Department or agency, or upon receipt of a notice of proposed debarment from another DOD Agency, during the performance of this contract.

3.4.4 Official Correspondence. The Government singularly identifies each project with a contract number at time of award. The contract number is a unique identifier to purposely and permanently represent an awarded project. The Government issued contract number is to be referenced on all official communication starting upon notice of award.

3.4.5 Safety Concerns. The Contractor is solely responsible for compliance with OSHA standards for the protection of their employees. The contract manager shall ensure specific safety requirements in AFOSH standards and Air Force technical orders are complied with by Contractor personnel when non-compliance would clearly present the potential to harm or damage Government resources. (See AFI 91- 301, paragraph 9 and AFI 21-101 paragraph 2.16.) The Air Force is not responsible for ensuring that

Contractors comply with “personal” safety requirements that do not present the potential to damage Government resources.

3.4.6 Insurance. The contractor shall obtain the necessary insurance as required by FAR part

28.3. The minimum amounts of insurance will be maintained IAW FAR 28.307-2.

Fire Prevention. The Contractor shall take all necessary precautions to prevent fires in the units and Contractor-furnished and Government-furnished facilities while performing any work under this contract.

In the event fires do occur, the Contractor shall immediately notify the Base Fire Department at 911. The Contractor shall then notify the requiring activity and the CO. The Contractor shall brief and document its employees monthly in fire safety issues and procedures in reporting fires.

Section 508 Compliance. The Contractor shall support the Government in its compliance with Section 508 throughout the development and implementation of the work to be performed. Section 508 of the Rehabilitation Act of 1973, as amended (29 U.S.C. 794d) requires that when Federal agencies develop, procure, maintain, or use electronic information technology, Federal employees with disabilities have access to and use of information and data that is comparable to the access and use by Federal employees who do not have disabilities, unless an undue burden would be imposed on the agency. Section 508 also requires that individuals with disabilities, who are members of the public seeking information or services from a Federal agency, have access to and use of information and data that is comparable to that provided to the public who are not individuals with disabilities, unless an undue burden would be imposed on the agency.

Weapons, Firearms, and Ammunition. Contractor employees are prohibited from possessing weapons, firearms, or ammunition on themselves or within their Contractor-owned privately owned vehicles while on base.

SECTION IV

APPENDIX 1

DEFINITIONS

Contract Administrator (CA). The individual within the contracting office who performs the day-to-day administration of the contract. The contract administrator may also be the contracting officer.

Contracting Officer (CO). The duly appointed Government agent authorized to award or administer contracts. The contracting officer is the only person authorized to contractually obligate the Government.

Corrective Action Report (CAR). Used to document unacceptable performance by the Contractor.

Defect. Any non-conformance with requirements specified in the contract.

Defective Service. A service output that does not meet the standard of performance specified in the contract for that service.

Fair Wear and Tear. The deterioration of items attributed to normal usage.

Government Furnished Property (GFP). Facilities, equipment, tools, supplies, parts, or any other items furnished for the concessionaire's use by the Government.

Major discrepancy. A major finding is defined as a condition that would endanger personnel, jeopardize equipment or system reliability, affect safety of flight, or warrant discontinuing the process or equipment operation.

Minor discrepancy. A minor finding is defined as an unsatisfactory condition that requires repair or correction, but does not endanger personnel, affect safety of flight, jeopardize equipment reliability, or warrant discontinuing a process or equipment operation.

Performance Assessment. A process that measures success towards achieving defined performance objectives or goals defined within the performance thresholds in the services summary or the process of assessing progress towards achieving the objectives/goals developed in a performance plan or partnering agreement.

Performance Indicator. A measurable characteristic of an output of a work process. Generally synonymous with attribute.

Performance Management. The use of performance measurement information to effect positive change in organizational culture, systems, and processes, by helping to set agreed upon performance goals, allocating and prioritizing resources, informing managers to either confirm or change current policy or program directions to meet those goals, and sharing results of performance in pursuing those goals.

Performance Objective. The outcome associated with successful contract performance in a specific area. This is a critical success factor in achieving the organization’s mission, vision and strategy which, if not achieved, would likely result in a significant decrease in customer satisfaction or risk mission failure.

Obtaining multi-services/sub-services performed at a certain measurable standard and consistently ensures success in achieving the objectives critical to the mission.

Performance Threshold. The minimum performance level of a performance objective required by the Government.

Quality Assurance (QA). Those actions taken by the Government to assure services meet the requirements of the Performance Work Statement (PWS).

Standard. An exact value, a physical entity, or an abstract concept, established and defined by authority, custom, or common consent to serve as a reference, model, or rule in measuring quantities or qualities, establishing practices or procedures, or evaluating results. A fixed quantity or quality. A defined measure of comparison.

Travel is authorized as needed and is anticipated to have two qualified personnel to travel simultaneously to the 746TS location at Holloman AFB, NM 2 times per year.

1.7 Place of Performance. The contractor shall perform the services via e-mail, telephonic support, shipping equipment to the Spirent location, or on-site work at Holloman AFB, NM.
