I. Contracting Activity.
II. Nature and/or description of the action being processed.
This justification and approval (J&A) for Other Than Full and Open Competition is for the purpose of acquiring SDL XyLiveContent Enterprise Viewer License Renewal, SDL XPP, and Contenta Publishing Suite Software and License renewal including SDL Contenta S1000D, SDL LiveContent. There is only one responsible source for these supplies and services and no other supplies or services will satisfy agency requirements.
Purchase of these supplies and services are required for use on the program to operate, maintain, update, and distribute Interactive Electronic Technical Manual (IETMs), both on the aircraft and in ground support activities. The aircraft software requirements have already been developed and approved at the Critical Design Review. SDL viewer/transformer software is proprietary to SDL. As a result of these specific requirements, the requested SDL software is the only software available to the Government that meets the configuration requirements of the contract.
III. Description of supplies/services required to meet agency needs.
The currently has a requirement to develop and maintain a Type 2 IETM hosted on a common source database. This will be used to manage all aircraft specific technical orders, manuals and to procure sufficient numbers of the SDL LiveContent electronic Technical Order (eTO) viewer licenses which are needed to view the Type 2 IETMs on as well as electronic Tools (eTools)/laptops. Attachment 8 of the contract ( ), entitled “ Technical Manual Contract Requirement”, requires the contractor to utilize AIA S1000D compliant solutions, per TO 00-5-3 TO Life Cycle Management. SDL designs, develops, and supports eTO viewer software solutions for use with Aerospace Industries Association (AIA) S1000D compliant Type 2 IETMs.
Under this proposed sole-source contract, SDL will provide Non-Production Developers licenses. This requirement is referenced in the System Specification, Section J, Attachment 1 of the The eTO viewer software is required to view the Type 2 IETM's that contain both maintenance and flight operations data. This requirement is referenced in the System Specification, Section J, Attachment 1 of the contract. As such the eTO viewer software will be part of the on-aircraft software package which enables the IETM to be viewable using flight deck multi-function displays located in the aircraft's instrument panels; and be part of eTools' software package which enables maintenance technicians to view the IETM during the performance of aircraft maintenance actions.
The program previously procured ( ) of the total requirement of individual SDL LiveContent viewer licenses from SDL to support the development of the IETM as mandated by ), Section J, Attachment 8, Technical Manual Contract Requirement (TMCR) document. The remaining licenses were planned and budgeted to be incrementally procured individually over a period of several years aligning with the production of aircraft and stand-up of
In May of 2015, SDL approached the with a time-sensitive limited opportunity to procure an enterprise (unlimited) license at drastically reduced pricing along with a reduced fixed annual maintenance support cost. The first year savings realized by capitalizing on this one-time opportunity are for licenses and on annual maintenance support). This proposed viewing solution is in the best interest of the Government and best utilizes public dollars; as it removes any rework/new development risk, eliminates any additional rework/new development cost, and eliminates new integration effort completely because the SDL viewing software enterprise license is a complete fully operational solution.
IV. Statutory authority permitting other than full and open competition.

V. Demonstration that the contractor's unique qualifications or nature of the acquisition requires the use of the authority cited above (applicability of authority).
This proposed acquisition is for highly specialized software supporting a major aircraft system. In a competitive acquisition environment, the Government awarded an for the new ; which included the development of highly sophisticated S1000D Specification compliant Type 2
Interactive Electronic Technical Manual (IETM) requirements for the aircraft and for use by flight and maintenance personnel supporting this aircraft. Although market research indicates the availability of similar viewing software which can display the data in similar fashion from suppliers other than SDL; it is SDL's propriety architecture of how their specific software works and interacts with other software installed on the aircraft that makes it unique. believes that award to any other source would result in substantial duplication of cost to the Government that is not expected to be recovered through competition and unacceptable delays in fulfilling the requirements. This architecture uniqueness is why other viewing software packages are not simple “plug and play “alternatives and would require extensive rework or development of new processes and interfaces with the aircraft software in order to replace the SDL software.
Additional testing effort would also be realized to test the restored capability using another supplier's software to meet airworthiness certification and complete the necessary documentation. If this proposed acquisition for the SDL viewing software is not approved, the resultant impacts to the would be an unacceptable new development or rework of aircraft and laptop interfaces' cost
This proposed acquisition removes all the rework/new development risk, eliminates the additional rework/ new development cost, and eliminates the new integration effort completely because the deliverable is a complete fully operational solution. This solution is in the best interest of the Government and best utilizes public dollars.
Accordingly, SDL/XyEnterprise, Inc., is the only firm capable of providing the supplies/services described above without the experiencing substantial duplication of cost (or unacceptable delay) that could not be recouped through competition.
VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.
SDL is the only known source to provide the requested software needed to meet the Government's unique aircraft interface requirements. Market research confirms that SDL Software may only be purchased from SDL/Enterprise through one of their sales representatives.
VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.
The Contracting Officer will determine a fair and reasonable price. This determination will be made based

Note: The programs have previously purchased and installed this software.
VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.
As described in Section VI above, market research, in accordance with FAR Part 10, was conducted by synopsis of the acquisition, advising industry of the pending acquisition and soliciting inquiries from interested parties.
