I. Contracting Activity.

II. Nature and/or description of the action being processed.

A. Upon approval to use other than full and open competition procedures, the Air Force will issue a new contract to provide integration support of the Common Weapons Engagement Zone (Common WEZ) on the F-16 aircraft. This requirement is for support of updates to the Common WEZ, and will be used by F-16 Block 40/50 aircraft. Contract will be awarded to FAAC Inc., FAAC Incorporated 1229 Oak Valley Drive Ann Harbor, MI 48108 CAGE Code 3J401

B. Contract Type & Structure: A new supply contract to provide updates to the CWEZ software for all versions utilized by the F-16 platform. A 5 year IDIQ contract, with one 5 year ordering period is anticipated to include a Firm Fixed pricing arrangement. The estimated value is $9.5M. The estimated award date is 30 Sept 2016.

III. Description of supplies/services required to meet agency needs.

A. Under the contemplated contract, FAAC will provide CWEZ updated software for the F-16 weapon System per each defined D/O. FAAC's CWEZ software is mandated and supports every aircraft weapon system in DOD and EPAF, to include the USAF. As each aircraft platform has its Operational Flight Program (OFP) updated, FAAC's CWEZ software and interface requires updating. The contemplated contract will be used to accomplish these interface and software updates for the F-16 platform. The Contractor will provide Software Language Conversion on the F-16 Weapons System CWEZ Integration program which includes re-hosting of the FAAC Inc. Zone Acquisition Process (ZAP) software for the F-16 Operational Flight Programs (OFP) updates.

B. Estimated ordering period of performance will be 30 September 2016 through 31 August 2021. The 5 year ordering period approval is being requested because there are no feasible actions that can be taken to promote competition during the performance of this acquisition as described in Section V of this document.

C. Total estimated maximum dollar value for this IDIQ is $9.5M over one 5 year ordering period. This estimate is based on the Program Office historical data from previous contracts for CWEZ Software per year. Funding will be NGREA, 3400 , 3600 or EPAF. D/O will be funded by approved CWEZ requirements as they arise for SCU/M-Series/EPAF. The initial D/O will be funded by SCU9 for the current LITENING Integration of LPD and Video/Interface optimization.

IV. Statutory authority permitting Other than Full and Open Competition.

10 USC 2304 (c) (1) as implemented by FAR 6.302-1 - Only One Responsible Source.

V. Demonstration that the contractor's unique qualifications or nature of the acquisition requires the use of the authority cited above (applicability of authority).

A. The above authority was selected because this acquisition is for performance of a highly specialized and unique software on the F-16. This acquisition is for Weapons System CWEZ programs which includes re-hosting of the FAAC Inc. Zone Acquisition Process (ZAP) software for the F-16. FAAC Inc. is the Original Equipment Manufacturer (OEM) for the CWEZ Algorithms. CWEZ capability allows for common weapons cues among USAF and USN weapons platforms and was selected for all USAF fighter aircraft weapon systems by HQ ACC/A5A16. ZAP is embedded software that computes Launch Zones and other weapon employment/support information. Therefore, this acquisition is for performance of a highly specialized and unque software.

The Program Office estimates award to any other vendor would result in substantial duplication of cost in fulfilling the agency's requirements to the government that is not expected to be recovered through competition. The CWEZ software is mandated on every fighter aircraft weapon system in the USAF.

As each platform is updated the software that is upgraded is shared across all CWEZ aircraft platforms.

The Program Office does not have the means to determine how many upgrades other platform have each year but estimates the duplication of costs would be a minimum of $38M per year or $ 190M over the 5 year period of this contract. Due to this multi-platform and multi-service agreement it is not feasible to compete this effort since FAAC is the only vendor for CWEZ for all USAF and USN fighter platforms.

B. The HQ ACC/A5A16 selected CWEZ for all USAF fighter aircraft and is mandated on every fighter aircraft weapon system in the USAF. With multiple aircraft platforms (F-16 Block 30/40/50, F-15, F-22 and F-18) having integrated Common WEZ the procurement FAACs ZAP software would not be economical viable. Accordingly, FAAC Inc. is the only vendor capable of providing the services described in Section III above without the government experiencing substantial duplication of cost in providing the Software Language Conversion on the F-16 Weapons System CWEZ. Procurement of FAAC's proprietory software is not an option. Integration requirements that could not be expected to be recovered through competition. The F-16 Program Office contacted FACC and inquired about purchasing the specialized data on 24 Sept 2015. FAAC responded directly to the F-16 Contracting Office stating they were not interested in selling the data.

VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.

A. Sources Sought Synopsis: A Sources Sought Synopsis, FA8232-16-R-CWEZ, was posted 23 Sep 2015 and was closed 08 Oct 2015 on FedBizOpps, requesting Common Weapon Engagement Zone (CWEZ) software for the 309th Software Maintenance Group (SMXG) USAF/EPAF F-16 Operational Flight Program (OFP). FAAC Incorporated Ann Arbor Michigan was the only vendor to respond to the Sources Sought.

B. This requirement will be, synopsized in FedBizOpps, as a notice of proposed contract action IAW FAR

5.201. If other sources express interest as a result of this synopsis or other actions, they will be listed in the official contract file.

C. Other Actions: None

D. Qualifying Country Sources: None

VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

The following steps will be taken to ensure that the anticipated cost of this acquisition will be fair and reasonable. The Contracting Officer will comply with the procedures and criteria contained in Federal Acquisition Regulation (FAR) under Part 30 - Cost Accounting Standards, Part 31 - Contract Cost Principles and Procedures, Subparts 15.4 - Contract Pricing; to include technical evaluations and audits, as appropriate. Additional steps to ensure price reasonableness will be under the guidance of the Contract Pricing Reference Guides, jointly developed by the Federal Acquisition Institute and the Air Force Institute of Technology. The contracting office will obtain certified cost and pricing data IAW FAR Subpart 15.403, when required. The final step is to include the Price Negotiation Memorandum (PNM). This detailed documentation and justification of price reasonableness will be disclosed in the official PNM, to be prepared upon completion of negotiations.

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

A. As described in Section VI above, market research, in accordance with FAR Part 10, was conducted by synopsis of the proposed acquisition, advising industry of the pending acquisition, and soliciting inquiries from interested parties.

B. Market research consisted of the Sources Sought Synopsis identified in Section VI. It is determine there are no alternate source available to fill the government's needs. IAW FAR Part 10, engineering has determined there are no commercial services or non-developmental services available that could be modified that could satisfy the Air Force's needs.

IX. Any other facts supporting the use of Other Than Full and Open Competition.

None

X. List of sources, if any, that expressed interest in the acquisition.

See section VI above

XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.

FAAC Inc. is the only known source capable of satisfying all the program requirements at this time. No other contractor has the necessary skills, software, data, and capabilities in place to accomplish the required system support. HQ ACC/A5A16 has no plans to replace the Common WEZ system. The USAF will continue its attempts to acquire CWEZ data.
