I. Contracting Activity.

II. Nature and/or description of the action being processed.

This individual Justification and Approval (J&A) authorizes use of other than full and open competition procedures to procure: One (1) Multi-Sensor Measuring Machine (MSMM) and support equipment.

The resulting new contract is a sole source, requirements type, Commercial, Firm-Fixed-Price (FFP), negotiated action for a commodity with incidental services. This acquisition is not a bridge action.

The Contractor shall manufacture, deliver, install/assemble, and calibrate/test the MSMM with integrated rotary table to include the delivery, installation/assembly, and calibration/testing of: MSMM, Rotary Table, Equipment, Basic Programming, Blade, Gear, Curve, Inspection Software, IGES, STEP, Solidworks File Import/Export Capabilities, Software Updates/Patches, and Training. The Contractor shall ensure the items are in full operational capacity.

Acquisition History does not exist for this requirement as this is the first time the Government has purchased this equipment.

III. Description of supplies/services required to meet agency needs.

This is a supply with incidental service.

IV. Statutory authority permitting other than full and open competition.

The authority for this action is AFFARS 5313.501(a)(1)(ii) - 10 U.S.C. 2302b, Implementation of Simplified Acquisition Procedures (41 U.S.C. 1901) and FAR 6.302-1(a)(2)(ii)(A), "Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements" as implemented by 10 U.S.C. 2304(c)(1).

V. Demonstration that the contractor's unique qualifications or nature of the acquisition requires the use of the authority cited above (applicability of authority).

Only One Responsible Source (FAR 6.302-1(a)(2). Only one contractor responded to the Sources Sought Synopsis (SSS) with an MSMM that has the specifications to meet all of the Governments necessary requirements. The SSS was posted in August 2019 and is valid for the current effort and until March 2021. Therefore, market research results show that Zeiss is the only known system that can meet all of the requirements as well as the equipment size requirements to ensure a safe work environment.

Market research was conducted and it was found that Carl Zeiss Industrial Metrology, LLC is the only source that can meet all requirements.

Award to any other source would result in unacceptable delay in fulfilling the Governments requirement. The amount of time and development for another Contractor to develop, integrate, and test the technology that is proprietary to Zeiss is unknown.

Accordingly, Carl Zeiss Industrial Metrology is the only firm capable of providing a MSMM to meet the specifications described in Section III above without the US Air Force experiencing unacceptable delays in fulfilling its requirements.

VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.

A SSS was posted onto Federal Business Opportunities (FedBizOpps) on 2 August 2019 with a response date of 16 August 2019 under synopsis number FA8126-19-R-9997. The purpose was to identify sources capable of supplying a MSMM that satisfied the Governments requirements as described in the SOW. Carl Zeiss was the only vendor who responded to the SSS and the engineer deemed that Zeiss was capable of meeting the Government's requirement.

Qualifying Country Sources: No qualifying country sources expressed interest in this effort.

The combined synopsis solicitation for this requirement will be posted to https://www.fbo.gov/ as a notice of proposed contract action In Accordance With (IAW) FAR 5.201 and FAR 12.603(a) for no less than 15 days.

VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

The Contracting Officer will ensure that the items described herein are negotiated at a fair and reasonable price to the Government, IAW FAR as supplemented, the contractor will be required to submit Other Than Cost or Pricing Data. A redacted invoice(s) of similar MSMMs provided at other base installations or places of business will be used for comparison purposes as Other than Certified Cost and Pricing Data. A detailed price analysis will be performed. Price reasonableness will be determined using price analysis IAW FAR 15.404-1(b), and supported by a technical evaluation and analysis by the Subject Matter Expert (SME).

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

As described in Section VI, IAW FAR Part 10, market research was conducted by synopsis of the proposed acquisition, advising industry of the pending acquisition and soliciting inquiries from interested parties. IAW FAR 10.001(a)(2) and (3), market research was conducted between 1 May 2019 and 22 August 2019. It was concluded that this equipment is commercial in nature. Based on the results of the market research and SSS, only one source was found to have the capabilities, technology and expertise to fulfill this requirement.

The Subject Matter Expert (SME) for this effort, requested and received a Rough Order of Magnitude (ROM) from the only source capable of satisfying this requirement, Carl Zeiss Industrial Metrology.

A SSS was uploaded to FedBizOpps 2 August 2019 and closed 16 August 2019. Only one Contractor responded to the SSS, which was Carl Zeiss.

IX. Any other facts supporting the use of Other Than Full and Open Competition.

There are currently no other MSMM manufacturers that meet the required performance specifications.

X. List of any sources that expressed, in writing, an interest in the acquisition.

The following is the only source provided through market research:

XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.

There are no known actions that can be taken to remove or overcome barriers to competition; therefore, specific actions and milestones can not be established.
