II. Nature and/or description of the action being processed.
This Justification and Approval (J&A) document is for the purchase of new spare Hydroacoustic Data Acquisition System (HDAS) Hydroacoustic Shore Equipment (HASE) Assemblies and modification of existing HASE assemblies utilizing a firm fixed-price contract and in accordance with FAR 6.302-1, more specifically, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements (6.302-1 (a)(2)(ii) and (iii)). The vendor identified to deliver the spare units and modification of current units is L-3 MariPro, Inc., 1522 Cook Place, Goleta, California 93117. L-3 MariPro also developed and delivered the current operational HASE system to AFT AC in March 2015. This capability greatly contributes to AFT AC's mission of continued detection of nuclear events.
The purpose of this acquisition is to fulfill the sparing concept required when the operational systems were purchased and modify existing assemblies to extend their functional capabilities. Without sufficient spares and modifications, the mission is vulnerable to potential lapses and limited data display due to malfunction or required repair of fielded systems.
Technical, cost, and schedule risks are minimized in this acquisition because the contractor providing the spares is the same manufacturer who provided the original systems. Therefore, L-3 MariPro is the only vendor capable of delivering spare systems that are fully compatible with the existing framework. Use of any other vendor would result in significant delays and incur new development costs.
Ill. Description of supplies/services required to meet agency needs.
AFTAC is tasked with monitoring compliance with nuclear weapons test ban treaties. To perform this mission, AFT AC uses several different monitoring techniques, each designed to monitor a specific physical domain (i.e., space, atmosphere, oceans, and underground) for nuclear explosions. These techniques together form the United States Atomic Energy System (USAEDS). One part of the USAEDS system is the HDAS. The HDAS system utilizes suspended hydrophones in the ocean to monitor signals from explosions propagating through the ocean medium.
As part of the HDAS framework, HASE was developed and manufactured by L-3 Mari Pro. The four (4) HASE systems were purchased and delivered from L-3 MariPro in March 2015 via a Navy/Expeditionary Warfare Center (EXWC) contract. The HASE systems are currently assigned to the following locations: Wake Island, Ascension Island, Diego Garcia, and AFTAC Depot. AFTAC's need of a sparing concept for these locations will be fulfilled by L-3 MariPro production of four (4) spare HASE units. Additionally, modificat ion of the four (4) existing assemblies will ensure accurate, full spectrum data display capability on the existing HASE units. The period of performance is expected to be six months.
The modification of existing assemblies will enable HASE units to be interchangeable between HDAS locations. The minor modification to hardware and software will make reception and display of underwater optical data configurable on each individual HASE unit. Any HASE unit would then be able to provide correct optical readings regardless of where it was installed. Redundancy for the mission system will be significantly bolstered.
IV. Statutory authority permitting Other than Full and Open Competition.
10 U.S.C. 2304(c)(1) as implemented by Federal Acquisition Regulation (FAR) 6.302-1, "Services are available from only one responsible source, and no other services wil l satisfy agency requirements".
V. Demonstration that the contractor's unique qualifications or nature of the acquisition requires the use of the authority cited above (applicability of authority).
Only one responsible source and no other supplies or service will satisfy agency requirements (FAR 6.302-1 (a)(2)(ii) and
(iii)) for highly specialized services. L-3 Maripro developed and installed the complex HDAS systems for the government. L-3
MariPro developed and manufactured the four (4) initial HASE systems as an upgrade to a portion of the HDAS system. The development effort took approximately one year from the time of funding to actual delivery. Development of the proposed spare systems and modification of existing assemblies are not "off-the-shelf", they are built by L-3 MariPro and include proprietary components. The HASE units were designed with the benefit of being able to connect directly to other components of the existing HDAS system at the installation sites. HASE units control and display many function of the HDAS system to include: power management, calibration initiation and results display, data formatting and control, precise data time tagging, intrusion monitoring, system out-of-tolerance monitoring, data and system status display. L3-Maripro not only possesses the specialized workforce and manufacturing capability to produce and modify HASE units, but they also maintain the only test system that replicates the fielded HDAS system to assure fully regimented, rea l-world testing of the HASE. A different vendor could not provide a like item and would have to go through the long and expensive development procedure. L-3 MariPro built and installed the HDAS system into which the HASE unit interfaces. L-3 Mari Pro has fami liarity with AFT AC's rigorous engineering standards as they already delivered 4 systems in fu ll compliance with all testing reviews.
Accordingly, L-3 Maripro is the only firm capable of providing the supplies and services described in Section Ill above without the U.S. Air Force experiencing substantial duplication of cost and could not be expected to be recovered through competition. It is estimated new HASE units would cost roughly S2M to reestablish the R&D and build the new parts. Finally, the system the HASE units are replacing is antiquated. A different vendor would have to go through a lengthy development process in addition to taking the time for testing and verification to ensure compatibil ity w ith the existing HDAS system, which would unnecessarily delay the needed replacement.
VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.
The current operational systems were purchased via MIPR to a Navy/EXWC contract. The Navy issued an RFP that yielded proposals from 3 offerors: A team of Navy/EXWC SMEs performed an evaluation of the proposals that concluded with the selection of L-3 MariPro to provide the capability. Technical and cost factors were considered.
VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.
Price analysis will be conducted in accordance with FAR 15.404-1 (b) to determine the price fair and reasonable. Historical pricing will be considered by comparing prices to the original systems delivered in FYl 5 which were competed and deemed fair and reasonable based on competition. Furthermore, since the proposed acquisition will be contracted directly with the vendor instead of using a Navy contract (like the initial purchase), it is anticipated that the overall cost will be lower due to no contract usage fee. Additionally, the previous award was competed and we can use that historical data to compare prices.
VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.
Market research was performed prior to the purchase of the current operational systems by Navy/EXWC and completed again on 17 May 2016. The manufacturer of these items, L-3 Maripro, does not have a distribution center or vendors that distribute their equipment. Likewise, no authorized repair center exists that is authorized or capable of working on this equipment. Furthermore, any repair or modification work not performed by the original equipment manufacturer will undoubtedly and unacceptably jeopardize the functionality of these units in an operational field setting.
Data processing equipment that currently exists at HDAS locations has exceeded it's life and has become challenging to sustain. When it was determined that a technical refresh was necessary for HDAS, the Government issued an RFP and three responses were received for the purchase of the new system. The Government would now like to purchase spares for the system. Based on the significant cost portion for the research and development effort in developing the HASE solution, it was apparent that another company would have to expend similar effort to arrive at a solution for HASE spares. L3-Maripro is the only vendor that can produce spare HASE units within available cost and time constraints to meet mission requirements. Additionally, L3-Maripro, who developed the rest of the HDAS system, possesses the electro-optical and physical interface data for integrating the HASE into the HDAS system.

The nature of the buy and the surrounding circumstances preclude any steps to increase competition at this time. At completion of this spare purchase and assembly modification, there should be no need to make any subsequent purchases.
In the event that the mission requires such a purchase, it is conceivable that a sole source to L-3 MariPro would be sought given the above reasoning. This said, the program office will continue to observe market trends and capabilities through trade journal reviews, internet searches, and regularly scheduled vendor demonstration events.
