1. 52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL ITEMS (Feb 2012)
Addendum to FAR 52.212-1(b), Submission of Offers. Submit signed and dated offer to 10th Contracting Squadron, 10 CONS/LGCB, Michael Davidson, Contract Specialist, 8110 Industrial Drive, Suite 200, USAF Academy, CO 80840-2315. Offers must be submitted by the date and time specified in blocks 6 and 8 on the SF 1449. Facsimile and e-mails proposals will not be accepted, no exceptions.
Addendum to FAR 52.212-1(b), Submission of Offerors. The subparagraph(s) are tailored as follows:
Paragraph (b)(5) is deleted in its entirety.

| Provide a written statement that the offeror’s proposal incorporates all amendments to the solicitation. |
Addendum to FAR 52.212-1(c), Period for Acceptance of Offers. The paragraph is tailored as follows: “The offeror agrees to hold the prices in its offer firm for 120 calendar days from the date specified for receipt of offers.”
Addendum to FAR 52.212-1(e), Multiple offers. This paragraph is deleted in its entirety.
Addendum to FAR 52.212-1(h) Multiple Awards is amended as follows: The Government will award a contract on an “all or none” basis, multiple awards shall not be contemplated.
This contract will be firm fixed price Indefinite Delivery Indefinite Quanity Contract. This will be a competitive Best Value Source Selection using Performance Price Trade-Off procedures under Federal Acquisition Regulation (FAR) 12 and 15, the Department of Defense Source Selection Procedures and the Air Force Federal Acquisition Regulation Supplement (AFFARS) 5315 which competing offeror’s past performance history will be evaluated on a basis significantly more import than price. This approach allows the Government to accept other than the lowest priced proposal or other than the highest rated proposal to achieve a best-value contract award. By submission of its offer in accordance with the instructions provided in FAR 52.212-1, Instruction to Offerors, the offeror accedes to the terms of this model contract and all such offers shall be treated equally except for their prices and performance records. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.
2. FORMAL COMMUNICATIONS. Requests for clarification and information concerning the solicitation must be provided in writing no later than 8 days prior to closing of the solicitation. Answers will be compiled and posted electronically to the Federal Business Opportunities Website: https://www.fbo.gov. Questions may be faxed, emailed or delivered via U.S. postal mail service to the information listed in block 9 of the SF 1449 of the solicitation.
3. Quality Assurance Assessment Plan (QASP) Attachment 4 is provided for informational purposes.
4. Addenda to 52.212-1 PROPOSAL PREPARATION INSTRUCTIONS
General Instructions:
To assure timely and equitable evaluation of the proposal, the offeror must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, and representations and certifications. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The proposal must be complete, self-sufficient, and respond directly to the requirements of this solicitation; alternate proposals will not be accepted. The response shall consists of three (3) separate parts: Part I – Price Proposal;
Part II – Past Performance Information and Part III – Contract Documentation.
This section provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. The offeror’s proposal must include all data and information requested and must be submitted in accordance with these instructions.
(a) In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.
(b) The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer’s opinion, adequate price competition exists, no additional data will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines adequate competition no longer exists, offerors may be required to submit cost data to the extent necessary for the contracting officer to determine the reasonableness and affordability of the price.
(c) Format for proposal Parts I, II, and III shall be as follows:
1. The proposals will be 8 ½” x 11” papers except for fold-outs used for charts, tables, or diagrams, which may not exceed 11” x 17”.
1. Typing shall not be less than 12 font, with “1” margins. Smaller, legible font may be used for charts and tables.
1. Elaborate formats, bindings or color presentations are not desired or required. Company name and solicitation number shall be included in the header of each page. Submit the proposal using three ring binders; all binders shall be capable of lying flat when opened.
5. PART I - PRICE PROPOSAL - Submit original and one (1) copy
(a) Complete blocks 12, 17(a), 19, 20, 21, 22, 23, 24, 30(a) (b) and (c) of the SF 1449. In doing so, the offeror accedes to the contract terms and conditions as written in the SOLICITATION, with attachments. The SOLICITATION constitutes the model contract.
(b) Insert proposed UNIT and EXTENDED (EXT) prices in the Clinical Support Pricing Worksheet (Attachment 3). Do not insert pricing information in the Cost Travel CLINS (0004, 1004, 2004, 3004 and 4004). Insert TOTAL for the Base plus all four option years on the Clinical Supporting Pricing Worksheet. All dollar amounts SHALL be ROUNDED TO THE NEAREST DOLLAR.
6. PART II- PAST PERFORMANCE INFORMATION – Past Performance information - Only references for recent and relevant contracts are desired. Submit original and one (1) copy. The maximum number of pages will be 45 pages.
(a) Quality and Satisfaction Rating for Contracts Completed in the Past Three Years (from issue date of solicitation): Provide information currently available (letters, metrics, customer surveys, independent surveys, etc.) which demonstrate customer satisfaction with overall job performance and quality of completed product for relevant past efforts/contracts (similar in scope and magnitude to the effort and complexities this solicitation requires). In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems.
(b) Past Performance Surveys: The Government will use information submitted by the offeror and any other sources of information available to the Government to assess past performance. Provide a list of no more than five (5) of the most relevant contracts performed for Federal and State agencies and commercial customers within the last three (3) years from the issue date of this solicitation.
Furnish the following information for each contract listed:
1. Company/Division name
1. Services
1. Contracting Agency/Customer
(iv) Contract Number
(v) Contract Dollar Value
(vi) Period of Performance
(vii) Verified up-to-date name and contact information (email and phone) for each company point of contact
(viii) Comments regarding compliance with contract terms and conditions
(ix) Comments regarding any known performance deemed unacceptable to the customer, or not in accordance with the contract terms and conditions
(x) If subcontractor, describe portion of the work performed

If not applicable to the specific contract request, please state, “Not Applicable.”
In the past performance information, directly link the past performance information submitted to the contractor having performed the effort, and tie the information to the work the contractor is proposed to perform in this effort. Past performance for contracts exceeding the time frame for this definition of recency will be excluded from evaluation. Relevant contracts include information on contracts that are relevant in demonstrating your ability to perform the proposed effort. This includes the similar magnitude (quantities and dollar value) and type/complexity (staffing a variety of physicians and other clinical healthcare workers as described in the Performance Work Statement, Appendix A, Position Descriptions). Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort. The Government is not bound by the offeror’s opinion of relevancy.
(c) In addition to the above information, the offeror shall mail Attachment 5 of this solicitation, Past Performance Questionnaire, to the list of most relevant contract references. Instruct these references to complete the past performance questionnaire and return to:

Any past performance questionnaire sent directly from a proposing offeror will not be accepted or evaluated. For the purpose of expediency of evaluation, please instruct references to respond to the past performance questionnaire as soon as possible. Not more than five (5) past performance questionnaires may be submitted. Completed past performance surveys shall not be reviewed by the offeror. Once the survey is completed, it is considered FOR OFFICIAL USE ONLY, and is only viewed by Government personnel directly involved in the evaluation process for this acquisition. It is the sole responsibility of the offerors to ensure questionnaires are submitted by the RFP closing date. The offerors are encouraged to follow-up with respondents for completed questionnaire.
(d) If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past performance information on previous teaming arrangements with same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past relevant contracts. If the prime contractor has no past performance and is relying on their subcontractor’s past performance, the prime contractor may be assessed an unknown confidence rating or, depending on the past performance information of the subcontractor, their past performance may be assessed as defined in the DoD Source Selection, Table 3 with the two ratings being combined in an overall confidence assessment rating.
(e) Joint Venture Agreements – Joint Ventures are allowable on competitive 8(a) set-asides, however, the joint venture agreement must be received by SBA prior to proposal due date and approved before award of any resulting contact. If you are contemplating a joint venture on this project, you must advise, in writing, your assigned SBA Business Opportunity Specialist (BOS) as soon as possible. It is also recommended that the agreement be submitted as soon as practicable to ensure compliance with established regulations. Any corrections and/or changes needed can be made only when your BOS has adequate time for a thorough review before the proposal due date. NO CORRECTIONS AND/OR CHANGES ARE ALLOWED AFTER TIME OF SUBMISSION OF PROPOSAL.
7. PART III - Contract Documentation - Representation and Certification
(a) Either complete Representation and Certification in SAM at https://www.sam.gov or the necessary fill-ins and certification in provisions FAR 52.212-3 and its Alt I. If FAR 52.212-3 and its Alt I are completed in hard copy it shall be returned along with the contractor’s proposal.
(b) Provide a written statement that the offeror’s proposal incorporates all amendments to the solicitation (if applicable).
(c) A letter of authorization for the contracting officer to verify offeror’s financial responsibility. Include financial institution’s name, address and primary point of contact and phone numbers for financial institutions and complete Offeror’s Financial Reference (Attachment 6).
(d) Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the primary offeror without the subcontractor’s consent. Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.
Documents submitted in response to this solicitation must be fully responsive to and consistent with the following:
1. Requirements of the solicitation, Performance Work Statement (PWS), and Government standards and regulations pertaining to the PWS.
1. Proposal Preparation Instructions (Addendum to FAR 52.212-1, Instructions to Offerors – Commercial Items).
INFORMATION
INFORMATION REGARDING SUBMISSION OF PROPOSAL: If you are submitting a hand carried proposal, it must be submitted to the 10th Contracting Squadron, 10 CONS/LGCB located at 8110 Industrial Drive, Suite 200, USAF Academy (USAFA), CO 80840-2315. The sealed envelope or package used to submit your proposal must show the time and date specified for receipt, the solicitation number, and the name and address of the offeror.
Offerors are cautioned that the USAFA has visitor control procedures requiring individuals not affiliated with the installation to obtain a visitor pass prior to entrance. SOME DELAY SHOULD BE ANTICIPATED WHEN HAND CARRYING PROPOSALS. Offerors should allow sufficient time to obtain a visitor pass and arrive at the 10th Contracting Squadron PRIOR to the time specified for receipt. Late proposals will be processed in accordance with (IAW) FAR 52.212-1(f) “Late submission, modifications, revisions, and withdrawals of offers”.
