CLAUSES INCORPORATED BY FULL TEXT
52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
1. Basis for Award
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(1) FACTOR 1 – PRICE
(2) FACTOR 2 - TECHNICAL
Subfactor 1: Product Specification (Manufacturer, Model with Technical specifications) - If an or equal product is offered Technical Specification of offered product must meet all main characteristics as described in line item descriptions of Clin 0001 and 0002.
(1) FACTOR 1: Price
Offerors will be evaluated on the Total Evaluated price resulting from the estimated total amounts of all CLINs 0001 through 0002. Only EURO currency offers will be accepted. Unbalanced prices may serve as a basis for rejection of the proposal. The price evaluation will document the reasonableness of the total evaluated price.
Arithmetic Discrepancies. For the purpose of initial evaluation of offers, the following will be utilized in resolving arithmetic discrepancies found on the face of the pricing schedule as submitted by the offeror.
(A) Obviously misplaced decimal points will be corrected;
(B) Discrepancy between unit price and extended price, the unit price will govern;
(C) Apparent errors in extension of unit prices will be corrected;
(D) Apparent errors in extended prices per CLIN will be corrected.
Reasonableness: Price analysis will be used to determine reasonableness of prices. The techniques and procedures described under FAR 13.106-2, as determined appropriate, will be the primary means of assessing quotes in determining the reasonableness.
(2) FACTOR 2: Technical
Offerors will be evaluated on written documentation as listed in subfactor 1 above. Technical acceptability is based on successfully meeting this requirement. The focus of the technical rating is to identify if the contractor has an adequate approach and understanding of the requirement. Each outlined subfactor will be rated “Acceptable” or “Unacceptable” as follows:

Offerors must receive “Acceptable” rating for each subfactor to receive an overall “Acceptable” rating in the technical evaluation. In the event one or more subfactors receive an “Unacceptable” rating, the quote will receive an overall “Unacceptable” rating in the technical evaluation.
(A) Subfactor 1: Product Specification: In order to receive an acceptable rating contractor must provide manufacturer’s name and model with applicable technical specifications if offering an “or equal” product. Technical Specification must be in accordance with the corresponding requirement and must meet all of the main characteristics within the description of Clin 0001 and 0002.
2. Contractor Responsibility.
Prior to award, a responsibility determination will be made as described in FAR Part 9.
(a) Award Process: The Government intends to award to the lowest priced, technically acceptable offer. The evaluation process is as follows:
(1) Price: The Government will first evaluate all quotes for price, ranking the offerors from lowest to highest total evaluated price. Price must be fair and reasonable to proceed with the technical evaluation.
2) Technical: The lowest priced quotel will then be evaluated for technical acceptability. Quotes must be rated “Acceptable”. If the lowest priced offeror’s technical quote is “Unacceptable”, the next low offeror’s technical quote will be evaluated, continuing until an offeror with an “Acceptable” technical rating is identified.
(b) An award will be made and e-mailed to the successful offeror after all offers have been evaluated and a winning quote has been identified. The successful offeror must reply in writing and confirm his acceptance of the offer. The successful offeror has to fill out/sign the award document SF 1449 in blocks 30a, 30b, and 30c and mail, handcarry, or e-mail the award document back to the contract specialist Hildegard Kreutz, e-mail: hildegard.kreutz.de@us.af.mil promptly.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(a) Definition. United States, as used in this clause, means, the 50 States, the District of Columbia, and outlying areas.
(b) Except as provided in paragraph (c) of this clause, the Contractor and its subcontractors, if performing or traveling outside the United States under this contract, shall--
(1) Affiliate with the Overseas Security Advisory Council, if the Contractor or subcontractor is a U.S. entity;
(2) Ensure that Contractor and subcontractor personnel who are U.S. nationals and are in-country on a non-transitory basis, register with the U.S. Embassy, and that Contractor and subcontractor personnel who are third country nationals comply with any security related requirements of the Embassy of their nationality;

(a) Prices set forth in this contract are exclusive of all taxes and duties from which the United States Government is exempt by virtue of tax agreements between the United States Government and the Contractor's government. The following taxes or duties have been excluded from the contract price:

If the Contractor intends to use imported products from inventories on hand, the price of which includes a factor for import duties, the Contractor shall ensure the United States Government's exemption from these taxes.
The Contractor may obtain a refund of the import duties from its government or request the duty-free import of an amount of supplies or components corresponding to that used from inventory for this contract.
(d) Tax relief will be claimed in Germany pursuant to the provisions of the Agreement Between the United States of America and Germany Concerning Tax Relief to be Accorded by Germany to United States Expenditures in the Interest of Common Defense. Department of Defense Activity Address Code (DoDAAC) is a six position code that uniquely identifies a unit, activity, or organization.
Document type means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
Local processing office (LPO) is the office responsible for payment certification when payment certification is done external to the entitlement system.
(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. ADDENDUM TO FAR 52.212-1 INSTRUCTIONS TO OFFERORS–COMMERCIAL ITEMS (JULY 2013)
To be considered for award, the offer must be received at this location at or before the exact date and time specified in Block 8 of the Standard Form 1449 and must include the following:
1. Proposal Preparation Instructions.
1. Submit a signed Original Standard Form 1449 and complete Blocks 17a, 30a, 30b and 30c.
2. SF 1449 Continuation page: List all Pricing Information on the complete Schedule of Services.
3. Provide name and model of offered product with all necessary specifications and technical data.
4. Warranty must be addressed in quote.
5. Delivery and installation time (Estimated number of days to complete the requested requirement with delivery F.O.B Spangdahlem Air Base, Germany.

- Representation by Corporations Regarding an unpaid Delinquent Tax Liability or a Felony Conviction under any Federal Law – Fiscal Year 2015 Appropriations Complete all paragraphs that apply.
