Performance Work Statement (PWS)

For Project VYHK15-7065OS, SAM, AIR AIR SAMPLING at SPANGDAHLEM AIR BASE (SAB) and selected GEOGRAHIC SERARATED UNITS (GSUs)

Vision Statement A variety of equipment on Spangdahlem Air Base (SAB) and selected Geographic Separated Units (GSUs) is emitting chemicals and dust into the atmosphere. These pollutants need to be sampled and analyzed on a regular basis. Monitoring is required by host nation authorities. The scope of this contract includes all necessary sampling and analysis. The sampling is to be conducted according to good management practice. The sampler or the analyzing laboratory or the subcontractor shall have an accreditation by the international standard ISO/IEC 17025 (Group 1 Area A, C, D, & F) and the Verein Deutscher Ingenieure (VDI) 4220 as well as those mentioned in Attachment E.

1 Introduction The contractor shall provide non-personal service to include management and labor necessary to complete the sampling, analysis, inspection & monitoring.

1.1 Mission

52 CES/CEIE needs to ensure that all air emission sites are in compliance with the Final Government Standards (FGS) section 2 and related German Laws and regulations.

1.2 Background

Within SAB and related GSUs there are currently 678 air emission sites, some of them need to be measured on a regular basis. The following sampling/inspection is required:

Paint booths (# 5), Indoor shooting range (# 1)

Carpentry shops (# 2), Selected MOGAS Tanks (# 8)

Update of Spangdahlem Air Emission Inventory (AEI) (currently # 678)

The sampling sites are accessible. A small ladder and/or scaffolding to reach a sampling location not higher than 4 m is necessary for some measuring points. Most sites have been measured (in rare circumstances, for example a new installed pipe, an inlet hole needs to be drilled). The required sampling is listed on attachment E.

1.3 Scope

Take and sample air emissions or inspect heating systems within SAB and selected GSUs as per attached listing (attachment E). The contractor shall verify if emission limits are exceeded or not and shall quantify the emissions. The detailed report shall be in German and a summary report in English. The number of samples is limited by the available funding.

2 General Requirements

The sampling may not be necessary for each site nor section every year. 52 CES/CEIE – Environmental Office (Bldg. 119) will direct which sources need to be sampled and analyzed on a required basis. The varieties of sampling requirements are identified in the attached spread sheet (attachment E). When requested, the sampling shall take place within 40 working days. The sampling results and evaluations shall be forwarded via e-mail or CD to 52 CES/CEIE as soon as possible not later than six weeks after the sampling took place. About 2 point of contacts (POCs) need to be contacted to arrange a required sampling.

Protocols have to be submitted not later than one week after completion as a paper copy and electronically copy (PDF and Microsoft Excel) to 52 CES/CEIE.

2.1 Non-Personal Services

The US government shall neither supervise contractor employees nor control the method by which the contractor performs the required tasks. Under no circumstances shall the government assign tasks to, or prepare work schedules for, individual contractor employees. It shall be the responsibility of the contractor to manage its employees and to guard against any actions that are of the nature of personal services, or give the perception of personal services. If the contractor believes that any actions constitute, or are perceived to constitute personal services, it shall be the contractor's responsibility to notify the Contracting Officer (CO) immediately.

2.2 Business Relations

The contractor shall successfully integrate and coordinate all activity needed to execute the requirement.

The contractor shall manage the timeliness, completeness, and quality of problem identification. The contractor shall provide corrective action plans, proposal submittals, timely identification of issues, and effective management of subcontractors to the CO. The contractor shall seek to ensure customer satisfaction and professional and ethical behavior of all contractor personnel.

2.3 Contract Administration and Management

The following subsections specify requirements for contract management, and personnel administration.

2.3.1 Contract Management

The contractor shall establish clear organizational lines of authority and responsibility to ensure effective management of the resources assigned to the requirement. The contractor shall maintain continuity between the support operations at SAB and related GSUs and the contractor's corporate offices.

2.3.2 Contract Administration

The contractor shall establish processes and assign appropriate resources to effectively administer the requirement. The contractor shall respond to government requests for contractual actions in a timely fashion. The contractor shall have a single point of contact between the government and contractor personnel assigned to support contracts or task orders. The contractor shall assign work effort and maintaining proper and accurate time keeping records of personnel assigned to work on the requirement.

2.3.3 Personnel Administration

The government shall inform the contractor about designated government non-work days or other periods where government offices are closed due to weather or security conditions. The contractor shall maintain the certification of their employees by providing initial and refresher training as required to meet the PWS requirements. The contractor shall make necessary travel arrangements for their employees. The contractor shall provide necessary infrastructure to support contract tasks. The contractor shall provide administrative support to employees in a timely fashion (time keeping, leave processing, pay, emergency needs).

2.4 Subcontract Management

The contractor shall be responsible for any subcontract management necessary to integrate work performed on this requirement and shall be responsible and accountable for subcontractor performance on this requirement. The prime contractor will manage work distribution to ensure there are no Organizational Conflict of Interest (OCI) considerations. Contractors may add subcontractors to their team after notification to the Contracting Officer (PCO) or Contracting Officer Representative (COR). Cross teaming may or may not be permitted.

2.5 Contractor Personnel, Disciplines, and Specialties

The contractor shall accomplish the assigned work by employing and utilizing qualified personnel with appropriate combinations of education, training, and experience. The contractor shall provide the necessary resources and infrastructure to manage, perform, and administer the contract.

2.6 Location and Hours of Work

Accomplishment of the results contained in this PWS requires work at SAB and related GSU's. Normal workdays are Monday through Friday except US and German Federal Holidays ( see para. 6 related documents). During severe weather and caused by security issues the access to the installation could be denied. The program manager (PM), the government POC for the task, will inform the contractor as soon as possible if such an instant will take place. The appointments will be rescheduled.

2.7 Travel / Temporary Duty (TDY)

All travel requirements need to be coordinated with the program manager (PM).

3 Performance Requirements When necessary, the contractor shall conduct meetings with 52 CES/CEIE to review project and/or technical issues upon prior coordination of day and time. Meetings will be held on Spangdahlem AB, Building 119.

When requested, the sampling shall take place within 40 working days. The sampling results and evaluations shall be forwarded via e-mail or CD to 52 CES/CEIE not later than six weeks after the sampling took place (special requirements for heating systems, see 1.3). As a goal in the interest of both parties: a maximum number of sampling per visit should be targeted.

3.1 Air emissions testing/sampling

3.2 Provide report of sampling results

The contractor shall compile and provide sampling reports (containing the sampling results, an interpretation of the results, hazard potential analysis, recommended actions and proposals for further sampling if necessary) in German and a summary in English.

Std: One summarized report shall be prepared in English and a detailed report in German as a hardcopy (1 ea) plus one CD (including the German and English versions).

3.3 Provide update of Air Emissions Inventory (AEI) Database

The contractor shall update the existing Air Emissions Inventory Access Database.

Main part is a compliance check for all air emission sources if they are in compliance with FGS-G and German requirements.

Currently 678 air emission sources are grouped in the following categories:

4 Special Requirements The quality standards are fulfilled if the contractor or his sub is accredited by the international standard ISO/ IEC 17025 and the VDI 4220 as well as those mentioned in Attachment E shall be met.

4.1 Security and Safety

The contractor personnel with access to the unclassified information need to ensure it is safeguarded and will not be used nor made available for other tasks not identified in this PWS.

4.2 Transition

A transition plan is not needed. Throughout the phase-in/phase-out periods, it is essential that attention be given to minimize interruptions or delays to work in progress that would impact the mission. The contractor must plan for the transfer of work control, delineating the method for processing and assigning tasks during the phase-in/phase-out periods.

4.3 Government Furnished Materials

A listing of all involved personnel will be provided to the contractor at the first meeting with the PM.

4.4 Environmental Requirements

Need to meet standard environmental requirements stated in the mission section. No additional limitation based on this contract.

7 CMRA Reporting

“The contractor shall report ALL contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract for the 52 CES] via a secure data collection site. The contractor is required to completely fill in all required data fields at http://www.ecmra.mil.

Reporting inputs will be for the labor executed during the period of performance for each Government fiscal year (FY), which runs 1 October through 30 September. While inputs may be reported any time during the FY, all data shall be reported no later than 31 October* of each calendar year.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Award will be made on the basis of the lowest evaluated price of proposals meeting the acceptability standard for non-cost related factors.

Price will be evaluated as an acceptable rating if the contractor provides pricing for each CLIN of the solicitation.

Missing any CLIN’s pricing will result in an unaccptable rating for the proposal.

Technical competency, is rated as Acceptable/Unacceptable. Providing valid proof of the certifications will be rated acceptable. Failing to provide certifications or invalid certifications will be a unacceptable.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (NOV 2014)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site accessed through http://www.acquisition.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (p) of this provision.

(a) Definitions. As used in this provision --

“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

Inverted domestic corporation, as used in this section, means a foreign incorporated entity which is treated as an inverted domestic corporation under 6 U.S.C. 395(b), i.e., a corporation that used to be incorporated in the United http://www.acquisition.gov/

States, or used to be a partnership in the United States, but now is incorporated in a foreign country, or is a subsidiary whose parent corporation is incorporated in a foreign country, that meets the criteria specified in 6 U.S.C.

395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c). An inverted domestic corporation as herein defined does not meet the definition of an inverted domestic corporation as defined by the Internal Revenue

Code at 26 U.S.C. 7874.

Manufactured end product means any end product in Federal Supply Classes (FSC) 1000-9999, except--

(1) FSC 5510, Lumber and Related Basic Wood Materials;

(2) Federal Supply Group (FSG) 87, Agricultural Supplies;

(3) FSG 88, Live Animals;

(4) FSG 89, Food and Related Consumables;

(5) FSC 9410, Crude Grades of Plant Materials;

(6) FSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) FSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) FSC 9610, Ores;

(9) FSC 9620, Minerals, Natural and Synthetic; and

(10) FSC 9630, Additive Metal Materials.

Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the

Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment

Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act

(50 U.S.C. 1702(b)(3)).

Service-disabled veteran-owned small business concern--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern" means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

Small disadvantaged business concern, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

Subsidiary means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

Veteran-owned small business concern means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women;

(6) WOSB concern eligible under the WOSB Program. [Complete only if the offeror represented itself as a women-owned small business concern in paragraph (c)(5) of this provision.] The offeror represents that--
