52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (JULY 2013)

(a) Definitions. As used in this provision--

Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means--

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than $10,000,000.

(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:

(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:

(i) In a criminal proceeding, a conviction.

(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.

(iii) In an administrative proceeding, a finding of fault and liability that results in--

(A) The payment of a monetary fine or penalty of $5,000 or more; or

(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.

(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.

(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management database via https://www.acquisition.gov (see 52.204-7).

Addenda to FAR 52.212-1 Instructions to Offerors - Commercial Items (April 2014)

(a) Paragraph 52.212-1(c), Period for Acceptance of Offers, is tailored as follows: “The offeror agrees to hold the prices in its offer firm until 30 September 2015.”

(b) The following is inserted as new paragraph (m) of the provision:

“(m) Proposal Preparation Instructions.

A. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein.

Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors.

Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The response shall consist of three (3) separate parts; Part I - Summary and Miscellaneous Data, Part II - Price Proposal, and Part III - Technical Proposal.

B. Specific Instructions:

1. PART I – SUMMARY AND MISCELLANEOUS DATA. - Submit original plus one (1) copy.

(a) The offeror shall provide a concise summary and master table of contents of the entire proposal.

(b) Standard Form (SF) 1449. Complete blocks 12, 17a, 30a, 30b, and 30c. In doing so, the offeror accedes to the contract terms and conditions as written in the solicitation.

(c) Complete the necessary fill-ins and certifications in provisions and in the on-line Representations and

Certifications at www.sam.gov. Return the provision FAR 52.212-3, Offeror Representations and Certifications – Commercial Items, along with the proposal. For other provisions and clauses in the solicitation, the offeror is required to submit the pages that require an offeror fill-in.

(d) Submit an acknowledgment of the all solicitation amendments, if issued.

(e) Complete and submit “Vendor Quote Information” and “Vendor Information,” page 10 of SF 1449.

2. PART II – PRICE PROPOSAL - Submit original plus one (1) copy.

(a) This Part shall contain a completed Schedule of Supplies/Services, continuation sheets of SF 1449, blocks 19 – 24.

(b) Insert proposed unit price(s) and extended amount(s) in the Schedule of Supplies/Services for each

Contract Line Item Number (CLIN) on pages 3 and 4 of SF 1440. The extended amount must equal the unit price multiplied by the number of units. It is imperative that mathematical calculations are correct; particular care should be taken to ensure the amounts match when using the EXCEL program and the rounding of figures, limited to two decimal places. (Door-to-door shipping and delivery costs shall be included in the price of each line item.

c) Extreme care should be exercised to ensure that no price data of any kind are included in any other Part of the proposal.

3. PART III – TECHNICAL PROPOSAL - Limited to no more than five (5) pages. - Submit original plus one (1) copy.

Technical information consisting of information necessary to show the quality of the quoted furniture. Ensure that the documentation submitted shows how the quoted product meets the standards and specifications as outlined in the description of the line items of the solicitation. This includes a list of subcontractors with description of materials/work that will be entrusted to them. For the sole purpose of this provision, subcontractors are considered firms that will furnish the furniture.

(i) Color Schemes. Color Schemes shall be provided to show accurate color of items being submitted. This will be used to verify that you are providing color to match the specification of CLIN 0002 and CLIN 0003.

(ii) Technical Characteristics. Offerors shall submit documents containing technical characteristics, (i.e., dimensions, materials used, etc…) of the furniture for each product to include photos of the quoted furniture.

(iii) Attachment 2. Memorandum for Record (MFR) on End Product Country

(NOTE: All quotes must be in compliance with the World Trade Organization Government Procurement Act which become applicable when the total price exceeds $204,000.00 USD.)

D. General Information:

1. Information regarding submission of proposals: Hand carried or mailed proposals must be delivered to the following address:

2. The sealed envelope or package used to submit your proposal must show the time and date specified for receipt, the solicitation number, and the name and address of the offeror.

3. Offerors are cautioned that Kadena Air Force Base has visitor control procedures requiring individuals not affiliated with the installation to obtain a visitor pass prior to entrance. SOME DELAY SHOULD BE EXPECTED WHEN HAND-CARRYING PROPOSALS. Offerors should allow sufficient time to obtain a visitor pass and arrive at 18th Contracting Squadron (18 CONS/LGCA), Bldg. 99 prior to the time specified for receipt. Late proposals will be processed in accordance with FAR 52.215-1(c)(3),“Submission, modification, revision, and withdrawal of proposals.”

To be eligible to receive an award resulting from this solicitation, contractors must be registered in the System for Award Management (SAM) database, NO EXCEPTIONS. To register, you may apply through the Internet at https://www.sam.gov

DEFINITION OF “END PRODUCT COUNTRY.” A preference exists for WTO GPA country end products.

These end products mean an article that:

(1) Is wholly the growth, product, or manufacture of a WTO GPA country; or

(2) In the case of an article that consists in whole or in part of materials from another country, has been substantially transformed in a WTO GPA country into a new and different article of commerce with a name, character, or use distinct from that of the article or articles from which it was transformed.

NOTE: The WTO GPA country end product refers to a product offered for purchase under a supply contract, but for purposes of calculating the value of the end product includes services (except transportation services) incidental to the article, provided that the value of those incidental services does not exceed that of the article itself.

52.212-2 -- Evaluation -- Commercial Items. (Oct 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

The following factors shall be used to evaluate offers:

The technical, when compared to price, is significantly more important than price.

(b) Basis for Award. The Government evaluation objective is to award the offeror who provides the best overall product solutions at a price that coincides with the stated magnitude. The Government may make a price/overall quality tradeoff based on comparative evaluation of offerors.

(c) Technical Evaluation Process

1. The objective of the evaluation process of this factor is to determine compatibility of proposed products to the technical requirements of this solicitation, the comparative quality level of products, the architectural/aesthetic compatibility degree with current on stock furniture, suitability of proposed products, and features for the intended use and durability. Professional judgment of evaluators is implicit in this process especially in determining the degree of architectural/aesthetic compatibility, and quality levels.

2. The Government shall evaluate the offers submitted by;

a. For line items covered by the WTO GPA, the Government will evaluate offers of U.S.-made or designated country end products without regard to the restrictions of the Buy American statute.

Ensure to complete and submit Attachment 2 Memorandum for Record on “End Product Country” for this solicitation FA5270-15-T-0052.

b. Overall Quality Rating: Examining the photos of furniture elements, list of standards of each product as well as characteristics of features/accessories and option items to ensure that the quality levels of the technical specifications are met or exceeded. Failure of a single product to satisfy the respective quality level will result in the entire offer not receiving any further consideration for award regardless of the quality level of the other products offered on that offer.

c. Architectural/Aesthetic Compatibility: Color, pictures, and designs of proposed products will be compared with current furniture inventory to determine compatibility of proposed furniture.

Upon completion of this initial evaluation step, one of the following ratings shall be assigned to each offer. Only offers rated “Acceptable” shall receive further consideration for contract award.

Acceptable Proposal meets the requirements of the solicitation.

Offeror has provided all documentation/data/photos/specifications, technical documentation to demonstrate compliance with stated technical specifications and suitability for intended use.

Overall Quality Rating: All “acceptable” technical offers will be assigned an overall quality rating by examining catalog contents, furniture samples (e.g., fabric or material swatches, etc.), list of standards of each product as well as, characteristics of features/accessories, and option items. Offers will be ranked based on the Government’s subjective evaluation on a scale basis of 1 to 3 for each of the below elements:

The scale value of each element for each offer will then be added and the ranking order of each “Acceptable” offer established. The lower the sum represents the better the overall technical offer ranking with respect to other offers received.

(d) Price: The Government reserves the right to award a contract to other than the lowest priced offer if making a tradeoff for a higher overall quality rated and technically acceptable offer is determined to be in the best interest of the Government.

(e) The Government intends to award this contract without discussion with respective offerors. The Government, however, reserves the right to conduct discussions if deemed necessary. The Government reserves the right to conduct comparative evaluations of offerors.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (MAR 2015)

ALTERNATE I (OCT 2014)

An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically via http://www.acquisition.gov. If an offeror has not completed the annual representations and certifications electronically at the System for Award Management (SAM) website, the offeror shall complete only paragraphs (b) through (i) of this provision.

(a) Definitions. As used in this provision:

"Emerging small business" means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

Service-disabled veteran-owned small business concern—

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing.
